II. FACTS OF THE CASE
Plaintiff filed his complaint on January 19, 2007, alleging claims for violations of § § 10(b)
and 20(a) of the Exchange Act. The defendant company, Alvarion, is an Israeli corporation
headquartered in Tel Aviv, Israel, which provides wireless broadband connectivity solutions and
specialized cellular networks.
Plaintiff alleges that throughout 2004 Alvarion experienced unprecedented revenue growth,
primarily the result oflarge contract orders from Telmex -- a large Latin American customer - which
for most of 2004 comprised approximately 30% ofAlvarion's revenues. Plaintiff claims that during
the Class Period defendants issued materially false and misleading statements portraying Alvarion's
outlook as robust, in order to artificially inflate the price of Alvarion stock long enough to allow
insiders to sell their privately held shares. Plaintiff claims that members of the proposed Class
purchased shares of Alvarion at artificially inflated prices, and that the price of Alvarion common
stock declined when the information alleged to have been concealed from the market was revealed,
thereby causing investors' losses.
