By the Chief, Media Bureau:

1. In this Order, we adopt the attached Consent Decree entered into by the Media Bureau (Bureau) of the Federal Communications Commission (Commission) and DTV America Corporation (DTVA), King Forward, Inc., Tiger Eye Broadcasting Corporation, and Tiger Eye Licensing, LLC, (collectively, Licensees), the licensees, permittees, and proposed assignees of the stations listed in Appendix A of the Consent Decree attached hereto (Stations).1 Currently pending before the Commission are various applications for construction permits, licenses to cover, minor modifications, and other authorizations relating to the Stations. Also before the Commission are (i) applications for consent to the transfer of control of DTVA (Transfer Applications) to HC2 Broadcasting Inc. and (ii) applications for

Federal Communications Commission DA 17-1058 consent to assign the licenses of the Stations held by Licensees other than DTVA (Assignment Applications) to HC2 Broadcasting License Inc., qualified third-party buyers. 2. After reviewing the terms of the Consent Decree, and in light of Licensees’ intent to assign and transfer control of the Stations’ licenses to HC2 Broadcasting License Inc. and HC2 Broadcasting Inc., respectively, we find that the public interest will be served by the approval of the Consent Decree and termination of all pending proceedings relating to the Bureau's investigation into potential violations of the Commission’s rules (Rules). After reviewing the record before us, we conclude that the Consent Decree contains appropriate terms and conditions to ensure ongoing compliance with the Communications Act of 1934, as amended (Act) and the Rules. Furthermore, we find that grant of the Transfer Applications and Assignment Applications is in the public interest pursuant to Section 310(d) of the Act and, in accordance with the Consent Decree, we grant the Transfer Applications and Assignment Applications conditioned upon satisfaction of the Civil Penalty called for by Paragraph 18 of the attached Consent Decree. The Bureau also instructs the Video Division to process the pending construction permit and license to cover applications as called for by Paragraph 19 of the Consent Decree and take all other actions with regards to various applications and licenses called for by the Consent Decree. A copy of the Consent Decree is attached hereto and incorporated by reference. 3. Accordingly, IT IS ORDERED that, pursuant to Section 4(i) of the Act,2 and by the authority delegated to the Media Bureau by Sections 0.61 and 0.283 of the Rules,3 the Consent Decree attached hereto IS ADOPTED without change, addition, or modification. 4. IT IS FURTHER ORDERED that, the investigation by the Media Bureau, as defined by paragraph 2 of the Consent Decree, IS TERMINATED. 5. IT IS FURTHER ORDERED that, pursuant to Section 310(d) of the Act,4 the applications for transfer of control, File Nos. BTCDTL-20170713AAT, et seq. and BTCDTL-20170714ABI, et seq. and applications for assignment, File Nos. BAPDTL-20170710ABT, et seq., BALDTT-20170713AAG, et seq., BAPDTL-20170710AAC, BALDTL-20170714AAQ, et seq., BALTTL-20170717ABJ, BALDTL- 20170710AAB, BAPDTL-20170711AAJ, and BALDTL-20170710AAA, ARE GRANTED. 6. IT IS FURTHER ORDERED that, the Video Division of the Media Bureau SHALL PROCESS the applications listed in Appendices C-1 and C-2, and grant such applications on staff action as it finds to be complete and otherwise consistent with the relevant provisions of the Commission’s Rules, the Communications Act of 1934, as amended, and this Order. 7. IT IS FURTHER ORDERED that, a copy of this Order and Consent Decree shall be sent by both First Class mail and Certified Mail, Return Receipt Requested, to Licensees’ counsel, Mark B. CONSENT DECREE

I. INTRODUCTION 1. This Consent Decree is entered into by and between the Media Bureau of the Federal Communications Commission; DTV America Corporation, King Forward, Inc., Tiger Eye Broadcasting Corporation, and Tiger Eye Licensing, LLC, the licensees of the Stations; and HC2 Broadcasting Inc. and HC2 Broadcasting License Inc., the proposed successors-in-interest of the Stations. This Consent Decree is entered into for the purpose of (i) acting on the above-captioned applications for transfer of control and assignment of licenses; and (ii) terminating the Bureau’s Investigation concerning Licensees’ compliance with the Commission’s rules. II. DEFINITIONS 2. For the purposes of this Consent Decree, the following definitions shall apply: (a) “Act” means the Communications Act of 1934, as amended, 47 U.S.C. § 151 et seq. (b) “Adopting Order” means an order of the Commission adopting the terms of this Consent Decree without change, addition, deletion, or modification. Federal Communications Commission DA 17-1058

(c) “Assignment Applications” means pending applications to assign the subset of Station licenses held by Licensees, other than DTVA, (File Nos. BAPDTL- 20170710ABT, et seq., BALDTT-20170713AAG, et seq., BAPDTL- 20170710AAC, BALDTL-20170714AAQ, et seq., BALTTL-20170717ABJ, BALDTL-20170710AAB, BAPDTL-20170711AAJ, and BALDTL- 20170710AAA), as amended, to HC2 Broadcasting License Inc. (d) “Attributable Interest” means an ownership interest defined as “cognizable” for purposes of determining compliance with the multiple ownership rules, as set forth in Note 2 to Section 73.3555 of the Commission’s Rules, 47 CFR § 73.3555, and as determined at the time of the Effective Date of this Consent Decree. (e) “Bureau” means the Media Bureau of the Federal Communications Commission. (f) “Commission” and “FCC” mean the Federal Communications Commission and all of its bureaus and offices. (g) “Communications Laws” means collectively, the Act, the Rules, and the published and promulgated orders and decisions of the Commission to which the Licensees are subject by virtue of their being Commission licensees, including, but not limited to, 47 CFR §§ 1.17(a), 1.65, and 74.787. (h) “Covered Personnel” means all employees, independent contractors, subcontractors, and agents of the Licensees, who perform or directly supervise, oversee, or manage the performance of duties required to meet the Licensees’ responsibilities under, and compliance with, this Consent Decree and the Communications Laws including, but not limited to the LPTV Rules. (i) “DTVA” means DTV America Corporation and its subsidiaries, affiliates, and currently existing Attributable Interest holders. (j) “Effective Date” means the date by which the Bureau has released the Adopting Order. (k) “HC2 Broadcasting” means HC2 Broadcasting Inc. and its wholly owned subsidiary HC2 Broadcasting License Inc., solely in their capacity as assignee or transferee of the Station licenses listed in the Appendices and without regard to any other FCC authorizations they may hold, together with their subsidiaries, affiliates, successors, assigns and/or transferees. (l) “Investigation” means an inquiry into whether Licensees violated one or more of the Communications Laws, specifically Sections 1.17(a), 1.65, and 74.787 and as discussed in paragraphs 3-9. (m) “King Forward” means King Forward, Inc., and its subsidiaries, affiliates, and currently existing Attributable Interest holders. (n) “Licensees” means DTVA, King Forward, Tiger Eye Broadcasting, and Tiger Eye Licensing. (o) “Low power television station(s)” and “LPTV station(s)” mean a broadcast television station as defined by 47 CFR § 74.701(f). (p) “LPTV Rules” means the regulations set forth at 47 CFR §§ 74.701 through 74.798, the Commission’s orders implementing and interpreting the foregoing regulations, and any other Rules and orders otherwise applicable to low power television stations.

(q) “Parties” means the Licensees, HC2 Broadcasting, and the Bureau, each of which is a “Party.” (r) “Rules” means the Commission’s regulations found in Title 47 of the Code of Federal Regulations. (s) “Station Authorization Applications” means a pending application for construction permit for minor changes for the Stations listed in either Appendix C-2 or Appendix D. (t) “Station License Applications” means a pending application for license to cover of a construction permit for the Stations listed in either Appendix C-1 or Appendix D. (u) “Station(s)” means the facilities listed in Appendix A and, for the avoidance of doubt, includes the same stations listed in the Assignment Applications and Transfer Applications. (v) “Tiger Eye Broadcasting” means Tiger Eye Broadcasting Corporation and its subsidiaries affiliates and currently existing Attributable Interest holders. (w) “Tiger Eye Licensing” means Tiger Eye Licensing, LLC, and its subsidiaries and affiliates. (x) “Transfer Applications” means pending applications to transfer control of DTVA and the subset of Station licenses held by DTVA (File Nos. BTCDTL- 20170713AAT, et seq. and BTCDTL20170714ABI, et seq.), as amended, to HC2 Broadcasting Inc. III. BACKGROUND 3. DTVA, King Forward, Tiger Eye Broadcasting, and Tiger Eye Licensing are either licensees of LPTV stations or hold authorizations to construct new LPTV stations. John N. Kyle II, serves as the President of DTVA, King Forward, and Tiger Eye Broadcasting, as well as Managing Member of Tiger Eye Licensing. DTVA holds 232 LPTV licenses and 176 LPTV construction permits. King Forward holds 13 LPTV licenses and three LPTV construction permits. Tiger Eye Broadcasting holds six LPTV licenses and one LPTV construction permit. Tiger Eye Licensing holds one LPTV license and two LPTV construction permits. 4. On August 25, 2009, the Media Bureau began accepting applications on a first-come, first-served basis for new digital low power television and TV translator stations and for major changes to existing analog and digital low power television and TV translator facilities in “rural areas” (2009 Rural LPTV Filing Window). 5. 1 During the 2009 Rural LPTV Filing Window, applicants were not permitted to propose facilities located within 121 kilometers (75 miles) of the reference coordinates for the top 100 markets according to Nielsen in order to “ensure continued service for viewers of low power television and TV translator stations in the rural portions of the .”2 Collectively, the Licensees applied for and ultimately received more than 350 authorizations as a result of submissions made during this filing window. Subsequent to the filing window, the Licensees also acquired numerous stations through assignment; some, but not all, of which were also originally obtained as a result of the 2009 Rural LPTV Filing Window.

6. In September of 2016, the Bureau staff received information from an outside third party indicating that no transmission equipment or antenna structures were present at the authorized sites for certain Stations. A subsequent inspection by Enforcement Bureau field agents corroborated the absence of permanent equipment at certain of these authorized transmission sites. The Bureau then initiated an investigation into the operational status of the Stations and licensing practices of the Licensees. 7. During the course of the Investigation, the Licensees confirmed that transmission equipment was not present at these sites because it had been removed by the Licensees. The Licensees admit that, with the exception of approximately fifty (50) licensed and operational sites, the Licensees’ licensed sites do not currently contain a transmission facility and, at the time a license application was filed, only contained a temporary transmission facility. While the Licensees contend that each Station was constructed in accordance with the parameters set forth in the Station’s underlying construction permit, they admit that certain Stations were not constructed with the intent to be permanent or provide service to the public permanently from such location. 8. The Licensees’ pattern of repeated station moves occurred as follows: (1) filing of a construction permit to relocate the station within 30 miles of its current licensed site, which site often would be located in an empty field, parking lot, or base of an existing tower; (2) upon grant of the construction permit, the Licensees would construct the facilities using equipment that it did not intend to leave in place permanently; (3) the Licensees would file a license application; (4) following grant of the license application, the Licensees would apply for special temporary authority to be silent on the ground that the station could not continue to transmit a broadcast signal “due to reasons beyond the applicants control,”3 at which point the Licensees would remove the equipment from the site and file for a new construction permit at a location up to 30 miles from the location set forth in the recently granted license. Licensees employed these practices repeatedly for many of the Stations, with the ultimate intent of moving each such station more than 30 miles from the station’s originally licensed site. These practices had the ultimate effect of relocating stations, many of which were applied for during the 2009 Rural LPTV Filing Window, from rural unserved and underserved areas with low population densities, to more densely populated areas within 75 miles of the top 100 markets identified in the 2009 Rural LPTV Public Notice.4 9. Section 1.65 of the Commission’s Rules provides that “[e]ach applicant is responsible for the continuing accuracy and completeness of information furnished in a pending application or in Commission proceedings involving a pending application.”5 Section 1.17(a) of the Commission’s Rules provides that no applicant for a Commission authorization may, in any written or oral statement, (1) “intentionally provide material factual information that is incorrect or intentionally omit material information that is necessary to prevent any material factual statement that is made from being incorrect or misleading”; and (2) “provide material factual information that is incorrect or omit material information that is necessary to prevent any material factual statement that is made from being incorrect or misleading without a reasonable basis for believing that any such material factual statement is correct and not misleading.”6 In addition, FCC Form 347, when used to file an application for license to cover a construction permit in the LPTV service, requires a certification that “[t]he facility was constructed as

2 Federal Communications Commission DA 17-1058 authorized in the underlying construction permit.”7 The record indicates that many of the facilities were not intended to be permanent and even if they were constructed in accordance with the underlying construction permit, the Commission has held that permittees “may not rely on temporarily constructed facilities to satisfy construction requirements….”8 Furthermore, it is well-established precedent that “implicit in the filing of any facility application is that the applicant stands ‘ready, willing, and able’ to construct and operate as proposed.”9 The Bureau’s review indicates that, given the temporary nature of many of the facilities, the Licensees’ business plan may have been to re-locate such facilities within 75 miles of top 100 markets.10 10. Section 74.787 of the Commission’s Rules provides that “[a]pplications for major changes in digital low power television and television translator stations include … [a]ny change in transmitting antenna location of greater than 30 miles (48 kilometers) from the reference coordinates of the existing station's antenna location.”11 Thus, any change in transmitting antenna location greater than 30 miles (48 kilometers) from the existing station’s antenna location requires a permittee to file, and the Commission to grant, a major modification application. In adopting this rule, the Commission concluded that requiring both contour overlap and limiting moves to no more than 30 miles from the station’s reference coordinates was necessary for all minor modifications in order to “enforce the original intent of the minor change rule”12 and to prevent LPTV stations from “frustrat[ing] the intent of the minor change rule by proposing a modified facility that is a substantial distance from the station’s existing location while showing only a very slight amount of contour overlap.”13 As previously discussed, the Bureau contends that the Licensees’ practices had the ultimate effect of relocating stations to locations in excess of 30 miles from their originally authorized location and, given the facts, would have more appropriately been filed as major modifications.14 11. HC2 Broadcasting, a qualified, third-party successor-in-interest of the Stations, was not aware of, nor involved in, any failure to comply with, the Commission’s rules and processes as set forth in Paragraphs 3-10.15 On June 27, 2017, HC2 Broadcasting entered into a series of agreements with Licensees. Taken together, the agreements, once consummated, will assign or transfer control of the Stations’ licenses from Licensees to HC2 Broadcasting. Licensees and BSC filed the Transfer

Applications and Assignment Applications regarding these agreements between July 8, 2017, and July 17, 2017.16 12. The Parties acknowledge that any proceeding that might result from the Bureau’s investigation of the Licensees’ conduct could be time-consuming and require substantial expenditure of public and private resources. To conserve such resources, enable continued service to the public, and facilitate the deployment of new LPTV service, the Parties are entering into this Consent Decree in consideration of the mutual commitments made herein. IV. TERMS OF AGREEMENT 13. Adopting Order. The Parties agree that the provisions of this Consent Decree shall be incorporated by reference in an Adopting Order without change, addition, deletion, or modification. 14. Jurisdiction. The Licensees agree that the Bureau has jurisdiction over them and the matters contained in this Consent Decree and that the Bureau has the authority to enter into and adopt this Consent Decree. 15. Effective Date. The Parties agree that this Consent Decree shall become effective on the Effective Date as defined herein. As of the Effective Date, the Adopting Order and this Consent Decree shall have the same force and effect as any other order of the Commission. 16. Violations. The Parties agree that any violation of the Adopting Order or the terms of this Consent Decree shall constitute a separate violation of a Commission order, entitling the Commission to exercise any rights and remedies attendant to the enforcement of a Commission order. 17. Termination of Investigation. In express reliance on the covenants and representations in this Consent Decree and to avoid further expenditure of public resources, the Bureau agrees to terminate the Investigation and to take the actions specified in Paragraphs 20 through 23. In consideration for the termination of the Investigation, HC2 Broadcasting and Licensees agree to the terms, conditions, and procedures contained herein, including the actions specified in Paragraphs 19 and 21 through 26. The Bureau further agrees that, in the absence of new material evidence, it will not use the facts developed, in whole or in part, from the Investigation through the Effective Date, or the existence of this Consent Decree, to institute, on its own motion any new proceeding, formal or informal, concerning the matters that were the subject of the Investigation. Nor will the Bureau take any action in response to any petition to deny, complaint or objection against the Licensees, HC2 Broadcasting, or any Person holding an Attributable Interest in the Licensees or HC2 Broadcasting concerning the matters that were the subject of the Investigation. The Bureau also agrees that, in the absence of new material evidence, it will not use the facts or findings developed in the Investigation through the Effective Date, or the existence of this Consent Decree, to institute, on its own motion, any proceeding, formal or informal, or take any action in response to any petition to deny, complaint or objection, against the Licensees, HC2 Broadcasting, or any Person or entity holding an Attributable Interest in the Licensees or HC2 Broadcasting, with respect to their basic qualifications, including their character qualifications, to be a Commission licensee or to hold Commission licenses or authorizations. 18. Subsequent Investigations. Except as expressly provided herein, this Consent Decree shall not prevent the Commission or Bureau or other delegated authority from investigating new evidence of noncompliance by Licensees or HC2 Broadcasting with the Communications Laws. Nothing in this Consent Decree shall prevent the Commission or its delegated authority from adjudicating complaints or other adjudicatory pleadings filed against Licensees or HC2 Broadcasting for alleged violations of the Act or the Commission’s rules or for any other type of alleged misconduct, regardless of when such misconduct took place, subject to the limitations set forth in Paragraph 16. The Commission’s

4 Federal Communications Commission DA 17-1058 adjudication of any such complaints will be based solely on the record developed in subsequent proceedings. Information adduced in the Investigation or identified in the Consent Decree shall not be considered in subsequent proceedings. 19. Civil Penalty. The Licensees will pay a civil penalty to the United States Treasury in the amount of One Million Five Hundred Thousand Dollars ($1,500,000). The Licensees agree that the civil penalty will be paid within one (1) business day of the closing of the transactions contemplated by the Transfer Applications and Assignment Applications listed in Appendix F. In the event that the closing does not occur within ten (10) days of the Effective Date, the Licensees and HC2 Broadcasting consent to the Bureau’s rescission of the grants of the Transfer Applications and Assignment Applications. Licensees shall send electronic notification of payment to Evan Morris at [email protected] on the date said payment is made. The payment must be made by check or similar instrument, wire transfer, or credit card, and must include the Account number and FRN referenced above. An FCC Form 159 (Remittance Advice) must be submitted with payment unless payment is made online at the Commission’s Fee Filer website.17 When completing the FCC Form 159, enter the Account Number in block number 23A (call sign/other ID) and enter the letters “FORF” in block number 24A (payment type code). Below are additional instructions you should follow based on the form of payment the Licensees select:18

Ÿ Payment by check or money order must be made payable to the order of the Federal Communications Commission. Such payments (along with the completed Form 159) must be mailed to Federal Communications Commission, P.O. Box 979088, St. Louis, MO 63197- 9000, or sent via overnight mail to U.S. Bank – Government Lockbox #979088, SL-MO-C2- GL, 1005 Convention Plaza, and St. Louis, MO 63101.

Ÿ Payment by wire transfer must be made to ABA Number 021030004, receiving bank TREAS/NYC, and Account Number 27000001. To complete the wire transfer and ensure appropriate crediting of the wired funds, a completed Form 159 must be faxed to U.S. Bank at (314) 418-4232 on the same business day the wire transfer is initiated.

Ÿ Payment by credit card must be made by providing the required credit card information on FCC Form 159 and signing and dating the Form 159 to authorize the credit card payment. The completed Form 159 must then be mailed to Federal Communications Commission, P.O. Box 979088, St. Louis, MO 63197-9000, or sent via overnight mail to U.S. Bank – Government Lockbox #979088, SL-MO-C2-GL, 1005 Convention Plaza, St. Louis, MO 63101.

20. Grant of Certain Station License Applications and Station Authorization Applications. The Bureau agrees to grant the Station License Applications and Station Authorization Applications associated with the Stations listed in Appendix C-1 and Appendix C-2 within a reasonable time after the Effective Date, and in no event later than forty-five (45) days following consummation of the Transfer Applications and Assignment Applications, provided that the following conditions have been met: (a) the Licensees have fully and timely satisfied their obligation to pay the civil penalty referenced in Paragraph 19 of this Consent Decree; (b) the Licensees and HC2 Broadcasting have fully and timely satisfied their obligations under Paragraphs 20 and 22; and (c) there are no issues other than the violations

5 Federal Communications Commission DA 17-1058 described herein that would preclude the grant of the Station License or Station Authorization Applications. 21. Consent to Dismiss Certain Station License Applications and Station Authorization Applications. As of the Effective Date, the Licensees and HC2 Broadcasting consent to dismissal by the Bureau of the Station License Applications and Station Authorization Applications listed in Appendix D. The Licensees and HC2 Broadcasting will not seek reconsideration of these dismissals with the Commission, judiciary, or any other entity, and agree not to file for the same or “substantially similar” applications without a detailed written explanation as to why such applications are necessary and a demonstration that grant is in the public interest, convenience, and necessity. The Parties agree that whether an application is “substantially similar” requires a case-by-case analysis. As such, HC2 Broadcasting and the Licensees agree that upon filing and acceptance of an application the Bureau has the authority to deem an application to be “substantially similar” and request an application be amended to provide the aforementioned showing. 22. Grant of Transfer Applications and Assignment Applications. In the Adopting Order, the Bureau has determined that grant of the Transfer Applications and Assignment Applications is in the public interest, convenience, and necessity and consistent with 47 U.S.C. § 310(d). The Bureau agrees to grant the Transfer Applications and Assignment Applications listed in Appendix F concurrent with adoption of this Consent Decree, provided that there are no issues other than the matters at issue in the Investigation that would preclude grant. Upon closing, HC2 Broadcasting agrees to notify the Commission that consummation has occurred by filing a “Notice of Consummation” in the Commission’s Consolidated Database System (CDBS) within one (1) business day. The Bureau agrees not to rescind the grants of the Transfer Applications and Assignment Applications unless the Licensees or their successors in interest have failed to pay the civil penalty in the amount and manner specified in Paragraph 19, or unless rescission is warranted based on other violations or matters not at issue in the Investigation. 23. Relinquishment of Station Authorizations and Licenses. The Licensees and HC2 Broadcasting agree to surrender the licenses and any related authorizations for the Stations listed in Appendix B within two (2) business days following consummation of the Transfer Applications and Assignment Applications. Following the submission and grant of such request, the Licensees and their successors in interest shall be discharged from any and all legal or regulatory obligations arising under or related to the Communications Laws in connection with the Stations listed in Appendix B including, but not limited to, payment of regulatory fees for FY 2017 and thereafter, and periodic reporting requirements, regardless of the date on which such legal or regulatory obligations arose. 24. Modification of Certain Station Licenses. Within sixty (60) days of consummation of the Assignment Applications and Transfer Applications, HC2 Broadcasting shall file applications for minor modification of the Station licenses listed in Appendix E, using FCC Form 2100, Schedule C, and in each case requesting authority to construct a facility at the reference coordinates and with the operational parameters specified in the file numbers listed in Appendix E. HC2 Broadcasting may modify the reference coordinates and operational parameters in each minor modification application to the extent permitted by the LPTV Rules, so long as the new location is not within 75 miles of the coordinates listed in Appendix A of the 2009 Rural LPTV Public Notice.19 In order to facilitate the filing of each such application as a minor modification, the Bureau finds that it is in the public interest, convenience, and necessity to waive the Commission’s major modification rule, 47 CFR § 74.787(a)(3). Upon filing, the Bureau will process each application in accordance with the Rules in a reasonable and timely manner. HC2 Broadcasting understands that filing of a construction permit is not a guarantee of grant, as all applications must be reviewed for compliance with the Rules, and deficient or defective applications may require amendment or modification or be subject to dismissal. The Bureau and HC2 Broadcasting will cooperate with each other, with the goal of ensuring that the Stations listed in Appendix E will operate as

6 Federal Communications Commission DA 17-1058 closely as possible to the reference coordinates and operational parameters specified in the file numbers listed in Appendix E. If an application for construction permit, FCC Form 2100, Schedule C, is not filed within sixty (60) days of consummation of the Assignment Applications and Transfer Applications for any Station listed in Appendix E, then such Station’s license shall be cancelled, its call sign deleted, and all other pending applications associated with such Station shall be dismissed. In the event of such action, the Bureau shall provide written notice to HC2 Broadcasting, which shall be sent to the official Commission address of record. HC2 Broadcasting waives all rights to seek reconsideration of the written notice set forth in the preceding sentence, except to demonstrate that it was unable to file a construction permit for reasons beyond its control, as specified under Section 73.3598(b) of the Rules. Once a construction permit for a given Appendix E Station has been granted, HC2 Broadcasting must commence construction associated with such Station in a timely manner, unless construction is prevented for reasons beyond the control of the licensee as specified in Section 73.3598(b) of the Rules. If a license application, FCC Form 2100, Schedule D, is not filed within eighteen (18) months of grant of a modified construction permit for any Station listed in Appendix E, then HC2 Broadcasting agrees that the corresponding construction permit shall be forfeited, the underlying license cancelled, its call sign deleted, and all other pending applications associated with such Station shall be dismissed. In the event of such action(s), the Bureau shall provide written notice to the licensee, which shall be sent to the official Commission address of record. HC2 Broadcasting waives all rights to seek reconsideration of the written notice set forth in the preceding sentence, except to demonstrate that HC2 Broadcasting was unable to construct the modified facility for reasons beyond its control, as specified under Section 73.3598(b) of the Rules. 25. Other Stations. The Licensees agree that all Stations and applications for new construction permits in the name of the Licensees that are not listed in Appendices B, C, D, or E shall continue to be governed by the terms, reference coordinates, and operating parameters associated with the file numbers of their most recently granted license to cover, construction permit application, or other authorization. 26. Compliance Plan. To ensure compliance with the Communications Laws in the future, while the Compliance Plan remains in effect: (a) HC2 Broadcasting agrees to adopt and implement a Compliance Plan with respect to the Stations; and (b) DTVA, King Forward, Tiger Eye Broadcasting and Tiger Eye Licensing agree to adopt and implement a Compliance Plan with respect to any LPTV station that is subsequently acquired or becomes subject to the Communications Laws. The terms of the Compliance Plan are set forth below, and the Compliance Plan shall remain in effect for a period of three (3) years from the Effective Date. Unless otherwise specified herein, the terms of the Compliance Plan must be implemented by HC2 Broadcasting or DTVA within thirty (30) days after the date of consummation of the Transfer Applications and Assignment Applications, and by DTVA, King Forward, Tiger Eye Broadcasting or Tiger Eye Licensing within thirty (30) days following consummation of any LPTV station that is acquired or is subject to the Communications Laws. • Operating Procedures. HC2 Broadcasting and the Licensees agree to establish standard internal operating procedures and compliance policies that all applicable Covered Personnel must follow to help ensure the Stations’ compliance with the LPTV Rules. The operating procedures of HC2 Broadcasting and each Licensee shall include internal procedures and policies specifically designed to ensure that, absent a showing of good cause, HC2 Broadcasting and each Licensee (if applicable): (i) maintain, construct, and operate its Stations in a manner which complies with the LPTV Rules and in accordance with the terms of the Stations’ authorizations; (ii) submit a major modification application for any change in transmitting antenna location of greater than 30 miles (48 kilometers) from the Station’s licensed reference coordinates; (iii) upon filing of any minor modification application for any change in transmitting antenna location of greater than ten (10) miles from the Station’s licensed reference coordinates, provide a written explanation as to why modification is needed, whether any minor modifications have been granted within the past two (2) years, and a certification that the licensee intends to 7 Federal Communications Commission DA 17-1058

construct a permanent facility intended to operate as provided under the Rules and policies of the FCC; and (iv) to the extent the Station was authorized as part of the 2009 Rural LPTV Filing Window and seeks to modify its reference coordinates to within seventy-five (75) miles of a top 100 market, it must provide a written explanation as to why such relocation is in the public interest. Notwithstanding the foregoing, in no event shall HC2 Broadcasting or the Licensees be precluded from taking advantage of any Public Notice, Order, or change in FCC Rule, policy, or Communications Law that permits the holders of LPTV authorizations to file an application to change the reference coordinates of a station’s existing antenna location to a site that is greater than thirty (30) miles from the current reference coordinates without a major modification application. • Appointment of Compliance Officer. HC2 Broadcasting and the Licensees (as applicable) shall designate an employee or consultant with the requisite corporate and organizational authority to serve as Compliance Officer and to discharge the duties required by this Consent Decree. Such Compliance Officer shall be appointed by HC2 Broadcasting within (30) days after the date of consummation of the Transfer Applications and Assignment Applications, and by DTVA, King Forward, Tiger Eye Broadcasting or Tiger Eye Licensing within thirty (30) days following consummation of any LPTV station that is acquired or is subject to the Communications Laws. HC2 Broadcasting and the Licensees (as applicable) shall provide the Bureau with the name, e- mail, address, and phone number for the Compliance Officer for each Station. Such information shall be provided within five (5) business days of appointment through the Commission’s Office of the Secretary, with a courtesy copy sent to the Chief of the Bureau’s Video Division. HC2 Broadcasting and the Licensees (as applicable) are permitted to change the Compliance Officer as circumstances dictate, but must notify the Bureau of such change within five (5) business days and in the manner previously set forth. • Duties of Compliance Officer. The Compliance Officer shall be responsible for developing, implementing, and administering the Compliance Plan and ensuring that HC2 Broadcasting and the Licensees (as applicable) comply with the terms and conditions of the Compliance Plan and this Consent Decree. In addition to having and maintaining general knowledge of Communications Laws necessary to discharge his or her duties under this Consent Decree, the Compliance Officer shall have specific knowledge of the Commission’s LPTV Rules prior to assuming his or her duties, either directly or through retention of FCC counsel. • Compliance Manual. Within sixty (60) calendar days following designation of a Compliance Officer, HC2 Broadcasting and the Licensees (as applicable) shall develop and distribute a compliance manual to all Covered Personnel applicable to HC2 Broadcasting or the Licensees. The compliance manual shall explain the LPTV Rules and set forth the operating procedures that such Covered Personnel shall follow to help ensure all Stations’ compliance with the Communications Laws and LPTV Rules. HC2 Broadcasting and the Licensees (as applicable) shall periodically review and revise their compliance manuals as necessary to ensure that the information set forth therein remains current and accurate. HC2 Broadcasting and the Licensees (as applicable) shall distribute any revisions to the compliance manual promptly to all applicable Covered Personnel. • Annual Training. The Compliance Officer shall conduct training for all applicable Covered Personnel at least once every twelve (12) months on compliance with Communications Laws applicable to his or her duties at the applicable Station. A certification that the aforementioned training has occurred shall be sent to the Bureau through the Commission’s Office of the Secretary within five (5) business days and a courtesy copy shall be sent to the Chief of the Bureau’s Video Division.

• New Employee Training. The Compliance Officer shall train any new Covered Personnel within five (5) business days of commencement of his or her duties at the applicable LPTV station. Such new Covered Personnel must sign a declaration affirming that such training has occurred and such declaration must be retained by HC2 Broadcasting and the Licensees (as applicable) while the Compliance Plan remains in effect. Notice to the Commission that such training has occurred is not required, but must be provided upon request. • Reporting Noncompliance. The Compliance Officer shall report any Station’s noncompliance with the LPTV Rules or with the terms and conditions of this Consent Decree to the Bureau promptly, but not more than thirty (30) calendar days after discovery of such noncompliance. Such reports shall include a detailed explanation of: (i) each instance of noncompliance; (ii) the steps that HC2 Broadcasting or any Licensee (if applicable) has taken or will take to remedy such noncompliance; (iii) the schedule on which such remedial action will be taken; and (iv) the steps that HC2 Broadcasting or any Licensee (if applicable) has taken or will take to prevent the recurrence of any such noncompliance. All reports of noncompliance shall be submitted in writing through the Office of the Secretary to the attention of the Chief, Video Division, Media Bureau. A courtesy copy shall also be sent electronically to Evan Morris at [email protected] and David Brown at [email protected]. 27. Waivers. As of the Effective Date, Licensees and HC2 Broadcasting waive any and all rights they may have to seek administrative or judicial reconsideration, review, appeal, or stay, or to otherwise challenge or contest the validity of this Consent Decree and the Adopting Order. The Licensees and HC2 Broadcasting shall retain the right to challenge the Commission’s interpretation of the Consent Decree or any terms contained herein. If the Licensees, HC2 Broadcasting or the Commission (or the United States on behalf of the Commission) brings a judicial action to enforce the terms of the Adopting Order, neither the Licensees, HC2 Broadcasting nor the Commission shall contest the validity of the Consent Decree or the Adopting Order, and Licensees shall waive any statutory right to a trial de novo. The Licensees and HC2 Broadcasting hereby agree to waive any claims they may have under the Equal Access to Justice Act, 5 U.S.C. § 504 and 47 CFR § 1.1501 et seq., relating to the matters addressed in this Consent Decree. 28. Admission of Facts. The Licensees admit, for the purpose of this Consent Decree and for Commission civil enforcement purposes, and in express reliance on the provisions of Paragraphs 17 and 18 herein, to the facts discussed in Paragraphs 3 to 9. By entering into this Consent Decree, the Licensees make no other admission of liability of any Communications Law, and the Bureau makes no finding of any other liability or violation. Notwithstanding any other provision of this Consent Decree, it is expressly agreed and understood that if this Consent Decree is breached by the Bureau, or is invalidated or modified to the prejudice of the Licensees or HC2 Broadcasting by the Commission or any court, then the provisions of the immediately preceding sentences shall be of no force or effect. 29. Severability. The Parties agree that if any of the provisions of the Consent Decree shall be held unenforceable by any court of competent jurisdiction, such unenforceability shall not render unenforceable the entire Consent Decree, but rather the entire Consent Decree shall be construed as if not containing the particular unenforceable provision or provisions, and the rights and obligations of the Parties shall be construed and enforced accordingly. 30. Invalidity. In the event that this Consent Decree in its entirety is rendered invalid by any court of competent jurisdiction, it shall become null and void and may not be used in any manner in any legal proceeding. 31. Subsequent Rule or Order. The Parties agree that if any provision of the Consent Decree conflicts with any subsequent rule or order adopted by the Commission (except an order specifically intended to revise the terms of this Consent Decree to which Licensees do not expressly consent), the relevant provision of the Consent Decree will be superseded by such rule or Commission 9 Federal Communications Commission DA 17-1058 order. A conflict will be considered to have arisen in the event that the Licensees or HC2 Broadcasting are unable to comply with both the terms and conditions of the Consent Decree and the Communications Laws, as amended. 32. Successors and Assigns. The Licensees and HC2 Broadcasting agree that the provisions of this Consent Decree shall be binding on their successors, assigns, and transferees. The Consent Decree shall not have any force or effect as to HC2 Broadcasting until the Commission has granted each Transfer Application and Assignment Application and such transfers and assignments have been consummated. 33. Final Settlement. The Parties agree and acknowledge that this Consent Decree shall constitute a final settlement between the Parties with respect to the Investigation. 34. Modifications. This Consent Decree cannot be modified without the advance written consent of all Parties. 35. Paragraph Headings. The headings of the paragraphs in this Consent Decree are inserted for convenience only and are not intended to affect the meaning or interpretation of this Consent Decree. 36. Authorized Representative. Each Party represents and warrants to the other that it has full power and authority to enter into this Consent Decree. Each person signing this Consent Decree on behalf of a Party hereby represents that he or she is fully authorized by the Party to execute this Consent Decree and to bind the Party to its terms and conditions. 37. Counterparts. This Consent Decree may be signed in any number of counterparts (including by facsimile), each of which, when executed and delivered, shall be an original, and all of the counterparts together shall constitute one and the same fully executed instrument.
