I INTRODUCTION

A Brief on Chandranagar Society Chandranagar is a suburb of Palakkad town in , Kerala, South . It is 3 km from the centre of the town. Chandranagar Cooperative House Building Society Ltd. (hereinafter referred to as Society), founded in 1956, is the first housing colony in the State and one of the largest.

Within and adjoining Chandranagar colony itself, there are many small colonies like ‘Surya Nagar’, ‘Sahayadri Colony’, ‘Tara Nagar’, ‘Santhi Colony’, ‘Jaya Nagar Colony’, 'Krishna Gardens', 'Hill View Colony' etc. There are five main entrances to this colony, the main one being near the National Highway 544 (Old NH 47) and National Highway 213 junction. The colony stretches almost 3 km along the National Highway. There are around 1,000 houses with nearly 3,000 residents within 1 km. radius. Schools like Bharath Matha, Mookambika & Shishya School are based in here. Many banks have branches in Chandranagar. HDFC Bank, Punjab National Bank, Union Bank of India, State Bank of India, South Indian Bank, Allahabad Bank, State Bank of Travancore, Indus Ind Bank, Bank of India, ICICI Bank, YES Bank, Canara Bank, Syndicate Bank, Vijaya Bank etc. are some of them. Chandranagar has many vehicle showrooms like Bajaj Auto, Hero Motors, Suzuki Motors, Maruti, Ford, Honda etc are in the close vicinity. Hotels like Chanakya and Sri Chakra, eateries like McDonalds and Aryaas, and the Cosmopolitan Club are within 1 km radius. Palakkad hosts the Indian Institute of Technology (IIT) and the new Medical College. The Directorate of Industries and Commerce (DIC) has provided infrastructure facilities for small scale sector by acquiring land and developing it into industrial area/plots with facilities like water supply, electricity, necessary building etc. Kanjikkode IDA, NIDA and Wise Park are hubs of industrial activity in the district. Many major firms have their plants in Kanjikode area like UB Group, Marico, BEML and Pepsi. Other prominent units include Paragon Steels Ltd, Malabar Cements Limited, Empee Distilleries, Kerala Agro Machinery Corporation Ltd, ITI, etc. Key Tourist Destinations include: Malampuzha, Nelliyampathy, , Silent Valley National Park, Parambikulam Wildlife Sanctuary, , Kalpathi Ratholsavam, Dhoni waterfalls, Western Ghats Forest and Walayar Dam.

B Pirivusala Commercial Project The Society owns 1.43 acres of land facing NH 544 (old NH 47) on the Palakkad- Kochi Industrial Corridor at Pirivusala, Chandranagar. The Society at its General Body meeting decided to develop a Commercial project at this land & engaged a Techno- Commercial Consultancy Firm to study & suggest the various options. The consultants after conducting a market study & other feasibility studies proposed the Construction and Development of a mixed utility complex - a Mall cum Office Space & Service Apartments.

II PROJECT SUMMARY

A Overview of the Project The project goal is to create a commercial complex that is well balanced, appropriately targeted and financially viable. The project is conceptualised to take advantage of the captive catchment; multi-use development provide opportunity for retail & other components. The ability of the multi-use development model to improve the viability of the project is an attractive option. The conceptual plan of the proposed complex is as follows:-

B Scope of the Joint Development Partnership The Society hereby request Expression of Interest from the prospective Joint Development Partner for the development of the envisaged Commercial project in the said 1.43 acres of land at Pirivusala, owned by the Society. The Society will hand over the rights to develop to the prospective partner on as-is- where-is basis and the Joint Development Partner shall remunerate the Society with its share of developed area. The proposed Joint Development Partner shall obtain necessary approvals from the statutory authorities for the construction of the said commercial structure, based on a plan finalised with the consensus of the Society. The proposed Joint Development Partner to indemnify the Society from any loss the Society may incur due to the delay in the completion of the project. The proposed Joint Development Partner shall market the space created by the development of the property suitably and as mutually agreed. The proposed Joint Development Partner shall maintain & operate the space either by itself or through a third party as mutually agreed.

C Property Description a. Description of property: The property is located in Kodumbu Panchayat of Palakkad Taluk and District, at 10°46'22.9"N 76°41'05.8"E (Google coordinates), 600m east of the Chandranagar junction round about on the northern side of the NH 544 (old NH 47) towards .

The property is situated on the northern side of NH 544, towards Coimbatore.

It is flanked by the Chandranagar Colony gate III road on the west, Panchayat road on the north, 3 meter wide road and a private property on the east and the topography of the property elevates from South to North by 8 meters. b. Site Boundary: North : Panchayath Road (leading to Chandranagar Extension Colony) East : 3m wide private road and private property South : NH 544 (old NH 47) towards Coimbatore West : Panchayath Road (Chandranagar Colony gate III Road)

D Evaluation of Market Potential A structured market survey was conducted to analyse the factors affecting the feasibility of a shopping mall or similar commercial project in the proposed location from a market point of view. A survey was conducted with field level surveyors with a pre-set questionnaire for the interviews. The field survey has been conducted in Urban/Semi-Urban and Rural markets relevant to this project. All major towns within 40 km radius from Palakkad has been surveyed during the process. Expert level interviews were also conducted to ascertain many qualitative and commercial factors affecting viability of the project. Experts were drawn from different group of people such as marketing team of malls, Promoters of Shopping Malls, Architects/ Structural Engineers with knowledge about Palakkad, market Shop Owners in Shopping Malls, Real Estate Developers, Entrepreneurs from Palakkad Area, Brand Staff, Company Employees in Palakkad, Real Estate Agents etc. The Market Research and analysis confirmed the potential of the good Shopping Mall project with amenities like Multiplex, Hypermarket, Game Zones. Food Court etc. An integrated model of Mall with Office complex and Serviced Apartments is found feasible from a Market, Commercial and Statutory point of view. The DPR indicates the structure, as envisaged by the Society/Consultant. The Joint Development Partner (JDP) is expected to make his own independent assessment and conclude on optimum mix and utilisation. The Society is open to any suggestions for change to the proposed composition of development. The JDP may propose changes justifying such changes with better returns on investment.

III QUALIFICATION OF JOINT DEVELOPMENT PARTNER

Companies, Cooperative Institutions, Joint ventures etc having prior experience in Development, Financing, Management, Operation and Marketing of similar types of project is solicited as Joint Development partner The Respondent shall have the financial and technical capability to undertake projects exceeding Rs.100 crores. The Respondent shall have a minimum of 5 years existence and shall have an average annual turnover of Rs.50 crores or more in the preceeding 3 years. The Respondent Joint Development partner shall be ready to execute Performance Bank Guarantee and to provide a non-interest bearing Security Deposit to the Society along with the execution of Joint Development Agreement. In addition, the Society will stipulate certain payments (incorporated into JDA) to be received during the project execution. This payments shall be deemed as interest free advances against income from Society's share of built up space.

IV SUBMISSION REQUIREMENT

A Important Notes

1. The purpose of this document is to assist the Society in the identification and evaluation of potential Joint Venture Developers. 2. Annexure 1 & 2 of this REOI is to be fully and comprehensively completed in all respect & submitted. 3. All documents to be submitted in English Language. 4. Provide supporting documents as requested for in the Annexures. 5. The Society has the right to seek clarification on documents submitted or request to provide more details. 6. Society will examine the documents to determine completeness, general orderliness and sufficiency of response. Failure to complete any part of the annexures and/or failure to provide written answers to any further clarification or requested additional information will result in the Respondent’s elimination from further consideration. 7. Please note that by responding to this REOI you accept that all information provided are legally binding and should the need arise, may be used as evidence in a court of law. Further, Society has the right to verify at its own cost the accuracy of any particulars provided therein.

8. Any information given and later found to be incorrect shall lead to disqualification of the Respondent. 9. Information given by the Respondent shall be treated in strict confidence. 10. Respondents may note that submitting EOI does not amount to any contractual obligation on the part of Society, and that Society is not obliged to invite tenders/quotation from any or all who express interest by responding to this EOI process. 11. Supplementary sheets may be opted while filling up the annexure wherever need arises. 12. The completed documents shall be signed and initialed by Director / Partner / Authorised Signatory of the organization and the Company seal shall be affixed on all pages. 13. Respondents shall meet all costs associated with preparation and submission of their applications. 14. Submission shall be as per instructions given in the Request for Expression of Interest document. 15. The Society may not be able to accept EOI received after the closing date for submission of EOI. 16. An Undertaking of Non–Disclosure as per Annexure 4 must be submitted by the Respondent while seeking the Detailed Project Report, Concept drawings etc. 17. Society reserves the right to bring in additional conditions/requirements in future.

The Expression of Interest (EOI) shall be submitted with the following information and documents within the stipulated timeline.

B Profile of the Joint Development Partner The following information shall be given as the profile of the proposed Joint Development Partner. 1. Company Profile in Annuexure -1 with attachments mentioned therein 2. Project History in Annexure -2. Completion letters / appreciation letters if any to be attached 3. Copies of Audited Accounts for last 3 years with schedules 4. Copies of Certificate of Incorporation, Tax Registrations and other licences etc. 5. Commercial Brochure, if any. 6. Trade References – Provide Contact Details of 3 references of previous / current project under taken by the Respondent similar to the project under consideration.

C Content of Letter of Interest Each Expression of Interest must include a letter of interest, signed by the Authorised Signatory, which describes the Respondent's interest in the project. A copy of the Board Resolution to this effect shall also be attached.

D Proposal Narrative All proposals should include narrative that describes the proposal and its compliance with the guidelines and criteria set forth in this REOI. The narrative should provide an overview of the proposal and the capabilities the developer can marshal to achieve project objectives. All proposals are required to clearly state the proposed funding pattern of the project by the Respondent. The proposed percentage of minimum Equity contribution by the proponent to be clearly stated.

E Project Milestones The EOI should include a tentative Project Milestone to be achieved, proposed by the Respondent, from the date of Joint Development Agreement till the completion of the project.

V DEVELOPER ENQUIRIES

A Site Tour & Access One general site tour and briefing conference will be scheduled on request of Respondent as per window indicated under preface of this document.

B Enquiries & Additional Information Respondent joint development partners can obtain a copy of the DPR and conceptual drawings as prepared by the Society by submitting the Non-Disclosure Undertaking given at Annexure 4 and by paying a sum of Rs.5000 plus service tax to the Society.

V PROPOSAL REVIEW & SELECTION PROCESS

A Submission Deadline Expressions of Interest must be received by or before 3 P.M. of February 20, 2017. Please submit one original and two copies, addressed to:

B Proposal Evaluation Criteria

Step I: Threshold Review All proposals will be subjected to a preliminary screening for adherence to the REI’s submission requirements. The Society may reject any proposal that does not include the appropriate submissions. (Please refer to checklist given as Annexure 5) The Society reserves the right to request clarification and further material on EOI.

Step II: Evaluation of Experience /Qualifications Prior development(s), financing, management, operation and marketing experience with similar development types as proposed in the Expression of Interest will be the adopted criteria for evaluation.

Step III: Financial Capabilities Evaluation of the Financial Capabilities of the Respondent from the documents submitted. The society reserves the right to request clarification and further material to prove the financial capability of the Respondent.

Step IV: Qualifying for Techno-Commercial Bid Shortlisted Respondents will be invited to participate in pre-techno-commercial bid meeting with the Society.

C Calling for Techno Commercial Bid The shortlisted Respondents shall be invited to submit techno-commercial bids as per format and procedure adopted by the Society, tentatively within 5 weeks of submission of EOI.

It is also understood and agreed that information provided by the Society shall not be limited only to the DPR, but shall include designs, drawings, concepts, processes, commercial information, and information provided orally and in writing. It is understood and agreed that the information contained therein shall be used only for purpose of preparing our response to the Society’s request for EOI.

3. We undertake to hold all information provided by the Society or that we become privy to during the course of site visit, conference or any discussion in strict confidence and to take all reasonable precautions to protect such information, not to disclose any such information or any information derived there from to any third person, not to make any use whatsoever at any time of such information except for the purpose of responding to the REoI.

4. We hereby undertake to hold all the information in confidence; to protect and safeguard the information against unauthorized use, publication or disclosure; not to use any of the information except for the purpose of EOI; not to, directly or indirectly, in any way, reveal, report, publish, disclose, transfer or otherwise use any of the information except for the purpose of EOI; not to use any information to unfairly compete or obtain unfair advantage vis-a-vis the Society in any commercial activity which may be comparable to the commercial activity contemplated by the Society; to restrict access to the information to those of its officers, directors, and employees who clearly need such access for the purpose of EOI; to advise each of the persons to whom access to the information is provided, that such persons are

strictly prohibited from making any use, publishing or otherwise disclosing to others, or permitting others to use for their benefit or to the detriment of the Society; to comply with any other reasonable security measures requested in writing by the Society; to refrain from directly contacting or communicating by whatsoever means to the source(s) of information without written consent of the Society; to undertake not to disclose any names and their particulars to third parties without the written consent by the Society.

6. We also understand & undertake that the report has been prepared for Society’s internal purposes and is being shared with us purely to serve as a guideline. It is expressly understood that we have to check, verify & establish any data on our own and the Society will not be responsible or liable for the assumptions and projections made therein.

7. We further acknowledge and agree that no representation or warranty, express or implied, is or will be made, and no responsibility or liability is or will be accepted by the Society, or by any of its respective directors, officers, employees, agents or advisers, as to, or in relation to, the accuracy of completeness of any Information made available in the preliminary project report or thereafter; and that we are responsible for making our own evaluation of such information.

8. We understand that this Undertaking and our obligations hereunder shall be binding on our representatives, permitted assigns, and successors.

9. If there is any inconsistency between the terms of this undertaking and the terms of any other contract entered into in future with the Society, then the terms of this undertaking will prevail.
