The meeting of the Human Resources and Remuneration Committee of the Board of Directors of Joint-Stock Company “Inter RAO” was attended by two (2) of the three (3) members of the of the Human Resources and Remuneration Committee of the Board of Directors of the Company: A. M. Lokshin, D. V. Fyodorov. Absent at the meeting: D. Ye. Shugaev. The quorum is present, the meeting of the Human Resources and Remuneration Committee of the Board of Directors is authorized to take decisions on all issues of the agenda.

THE AGENDA OF THE MEETING: 1. On the amendments to the list of annual benchmarks (Controlled Indicators) for 2014. 2. On the preliminary consideration of the issue related to the competence of the General Meeting of Shareholders: “On the remuneration for the work in the Board of Directors for the Board members being non-state employees in the amount stipulated in the Company's by-laws”.
