Bankruptcy Plan Funding Agreement

BANKRUPTCY PLAN FUNDING AGREEMENT

This Bankruptcy Plan Funding Agreement (this “Agreement”), dated as of July 30__, 2021, is entered into by and between L’Occitane International, S.A. (“International”), a Luxembourg corporation, and L’Occitane, Inc. (“Inc.” and together with International, the “Parties”), a United States of America corporation organized under the laws of the State of New York, with respect to International providing funding and certain guarantees in connection with the chapter 11 plan of reorganization (as may be amended, supplemented, or modified) filed in Inc.’s chapter 11 bankruptcy case.

RECITALS

A. WHEREAS, International is the parent company of Inc.

B. WHEREAS, International and Inc. are parties to a certain Group Cash Management Agreement dated April 1, 2018 (the “Cash Management Agreement”), whereby International agreed to provide financing to Inc. on an unsecured basis to assist Inc. in funding its operations so that Inc. may promote and sell the L’Occitane brand in the United States without having to leverage its assets.

C. WHEREAS, on January 26, 2021 (the “Petition Date”), Inc. filed a voluntary petition for relief under chapter 11 of the United States Bankruptcy Code, in the United States Bankruptcy Court for the District of New Jersey (the “Court”), under case number 21-10632-MBK (the “Chapter 11 Case”).

D. WHEREAS, on the Petition Date, International held unsecured Intercompany Claims1 against Inc. totaling approximately $27 million, consisting of (i) approximately $23 million for repayment of periodic unsecured loans made by International to Inc. under the Cash Management Agreement (the “Financing Claim”), and (ii) approximately $4 million for inventory provided by International to Inc. (the “Inventory Claim”).2

E. WHEREAS, on February 11, 2021, the Office of the United Trustee appointed an official committee of unsecured creditors (the “Creditors’ Committee”) in Inc.’s Chapter 11 Case.

F. WHEREAS, on July 15, 2021, Inc. and the Creditors’ Committee filed a First Amended Joint Plan of Reorganization of L’Occitane, Inc. and the Official Committee of Unsecured Creditors Pursuant to Chapter 11 of the Bankruptcy Code (the “Plan”, including as may be amended, supplemented, or modified).

G. WHEREAS, the Plan provides a 100% distribution to Holders of Allowed Claims, the classes of which are delineated in the Plan.

H. WHEREAS, the Plan is to be funded by cash on hand held by Inc., and to the extent additional funds are needed for Inc. to satisfy the obligations under the Plan, through financing (the “Exit Loan Facility”) to be provided by International pursuant to the terms of the Cash Management Agreement.

I. WHEREAS, in order to facilitate the Plan, International has also agreed to provide guarantees for certain of Inc.’s obligations, as set forth below.

J. WHEREAS, International has agreed to provide the Exit Loan Facility and guaranty certain of Inc.’s obligations under the specific terms outlined below.

AGREEMENT

NOW, THEREFORE, in consideration of the foregoing, the mutual covenants and agreements contained herein and good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, International and Inc. mutually covenant, warrant, and agree as follows:

1. Recitals: The Recitals set forth above form an integral part of this Agreement and are incorporated fully herein.

2. Incorporation of Cash Management Agreement: The terms of the Cash Management Agreement are incorporated herein by reference.

3. Exit Loan Facility: The Exit Loan Facility shall consist of an unsecured loan(s) provided by International to Inc. to provide working capital to Inc. in an amount agreed upon by Inc. and International that is sufficient to make full payment for all Allowed Claims under the Plan. Payment for any Allowed Claim, including for any Allowed Administrative Claim, Professional Fee Claim, Secured Tax Claim, Other Secured Claim, Other Priority Claim, and General Unsecured Claim, shall be made in accordance with the terms of the Plan. The Exit Loan Facility and Inc.’s repayment obligations thereto shall be made in accordance with the terms of the Cash Management Agreement. All rights and remedies of either of the Parties with respect to the Exit Loan Facility shall be governed by the Cash Management Agreement.

4. Treatment of Intercompany Claims: International’s Inventory Claim shall be paid in full in accordance with the Plan. International’s Financing Claim shall be rolled into the Exit Loan Facility and will be subject to the terms of the Cash Management Agreement.

5. Guarantees by International: In order to help facilitate the Plan, International hereby guarantees the following obligations of Inc. under the Plan:

a. Cure Dispute Guaranty: International hereby agrees to guaranty Inc.’s obligation to pay any Cure Amount subject to a Cure Dispute in the event that such Cure Dispute is determined in favor of the counterparty to an Executory Contract or Unexpired Lease that is assumed. Any amounts provided by International pursuant to the Cure Dispute Guaranty shall be rolled into the Exit Loan Facility.

b. Disputed Claim Guaranty: International hereby agrees to guaranty Inc.’s obligation to pay any Disputed Claims in the event that any such Disputed Claim is determined in favor of the Holder of the Disputed Claim. Any amounts provided by International pursuant to the Claim Dispute Guaranty shall be rolled into the Exit Loan Facility

6. Repayment Obligation: Inc. shall repay the Exit Loan Facility, including the Financing Claim, pursuant to the terms of the Cash Management Agreement.

7. Representations and Warranties: Inc. hereby represents, warrants, and covenants to International the following:

a. Confirmation Order: The Confirmation Order has been duly entered by the Court confirming the Plan and said order is valid and continuing and has not been vacated, modified, reversed on appeal, and is not subject to any pending appeal or stay.

b. Use of Proceeds: The Exit Loan Facility shall be used by Inc. for funding the Plan and making distributions in accordance with the terms and provisions thereunder.

8. Successors: This Agreement shall be binding in all respects upon, and shall inure to the benefit of International and Inc., and their respective heirs, successors, transferees, and assigns.

9. Final Agreement: The Parties agree that this Agreement, in conjunction with the Cash Management Agreement, constitutes the entire agreement of the Parties concerning its terms, and constitutes a complete merger of prior negotiations and agreements relating to those terms.

10. Full Authority: Each of the Parties represents that its respective signatories below has full authority to execute, deliver, and fully perform this Agreement and is fully authorized to bind its respective Parties to all the terms and conditions of this Agreement.

11. Modification: This Agreement may not be modified other than by a signed writing executed by an authorized representative of each of the Parties.

12. Waiver: No term or condition of this Agreement shall be deemed to have been waived by conduct, nor shall there be an estoppel against the enforcement of any provision of this Agreement, except by a writing signed by the Party charged with the waiver or estoppel. No waiver of any breach of this Agreement shall be deemed a waiver of any later breach of the same provision or any other provision of this Agreement.

13. Headings: Headings are intended solely as a convenience and shall not control the meaning or interpretation of any provision of this Agreement.

14. Construction: The Parties acknowledge that they and their respective counsel have reviewed this Agreement in its entirety and have had a full and fair opportunity to negotiate its terms. Each Party therefore waives all applicable rules of construction that any provision of this

3 Agreement should be construed against its drafter, and agrees that all provisions of this Agreement shall be construed as a whole, according to the fair meaning of the language used.

15. Choice of Law: This Agreement shall be governed by and construed in accordance with the laws of the State of New York without regard to the State of New York’s rules concerning conflicts of laws. Notwithstanding the foregoing, the terms of the Cash Management Agreement other than as applicable to the Exit Loan Facility shall continue to be governed by Luxembourg law, unless any legal provision of any other jurisdiction is mandatorily applicable.

16. Choice of Forum: The Parties agree that any action arising from or related to the enforcement or implementation of this Agreement shall be brought before the Court, or if the Course refuses or is unable to hear the matter, in the United States District Court for the District of New Jersey. Notwithstanding the foregoing, any action arising from or related to the enforcement or implementation of the Cash Management Agreement other than as applicable to the Exit Loan Facility, shall continue be brought before the Commercial Court in Luxembourg.

17. Severability: The invalidity or unenforceability of any particular provision of this Agreement shall not affect the other provisions hereof, and this Agreement shall be construed in all respects as if the invalid or unenforceable provision had been omitted.

18. Counterparts and Facsimiles: This Agreement may be executed in counterparts, and delivery may be effectuated by transmission of executed counterparts by email, which shall be given the same force and effect as a manually executed original.
