1 Pursuant to the Court's January 8,2004 Case Management Order, no compensation will be paid by the Receiver before the Court enters an Order awarding the compensation for thirty (30) days after this Notice of Compensation to ensure that even if no party in interest objects within ten (10) days of service, the Court will have an additional twenty (20) days to consider the Notice of Compensation and, if the Court deems necessary, schedule a hearing on the Notice of Compensation. Martin Mann, QC ("Mann" or "Applicant"), Special British Virgin Islands Counsel for

Marty Steinberg, Esq., court-appointed receiver (the "Receiver") of Lancer Managenlent Group,

LLC ("Lancer"), Lancer Management Group 11, LLC ("Lancer II"), Lancer Offshore, Inc.

("Offshore"), Omnifund, Ltd. ("Omnifund"), LSPV, Inc. ("Offshore LSPV"), LSPV, LLC

("Partners LSPV"), Alpha Omega Group, Inc. ("AOG), CLR Associates, LLC ("CLR) and

G.H. Associates, LLC ("GHA") (GHA, and together with Offshore, Omnifund, Offshore LSPV,

Partners LSPV, Lancer, Lancer 11, CLR and AOG, the "Receivership Entities") and formerly the responsible person in control of Lancer Partners, L.P. ("~artners")~,hereby files this Fifth

Interim Application for Compensation (the "Application") seeking reimbursement for his fees and costs incurred between July 10, 201 1 through October 1, 201 1, inclusive (the "Application

Period"). This Application is filed pursuant to 11 U.S.C. 5 330. In support of the Application, the Applicant states as follows:

BACKGROUND FACTS

1. On July 10, 2003, this Court entered an Order Appointing Receiver (the

"Receivership Order"), which, among other things, appointed Marty Steinberg, Esq. (the

"Receiver") as the receiver for LMG, LMG 11, Offshore, Omnifund, Offshore LSPV and Partners

LSPV.

2. Paragraph 4 of the Receivership Order provides that the Receiver may employ legal counsel as the Receiver deems necessary and to pay such counsel reasonable compensation and expenses.

2 The Receivership Entities and Partners will be referred to herein collectively, as the "Lancer Entities." 3. On September 3, 2003, the Court entered an Order Expanding Receivership,

expanding the terms of the Receivership Order to include AOG and GHA.

4. On January 8, 2004, this Court entered the Case Management Order. Article VII,

9 (A)(l) of the Case Management Order provides that the Receiver shall file a notice of his intent to hire any professional with this Court.

5. On July 9, 2004, the Receiver, on behalf of the Receivership Entities, filed his

Complaint styled Marly Steinberg, as Court-Appointed Receiver of Lancer Management Group

LLC, et al. v. A Analyst Limited, et al., Case No. 04-60898-CIV-MARRA (the "A Analyst

Litigation")

6. The A Analyst Litigation asserted fraudulent transfer and unjust enrichment counts against numerous defendants, including Citco Global Custody N.V. and Citco Global

Custody N.V.N.A. (the "Citco Defendants"), FirstRand (Ireland) PLC ("FirstRand"), and

Swisstor & Company ("Swisstor").

7. On April 14, 2006, the Citco Defendants filed their Motion to Dismiss Third

Amended Complaint and Memorandum of Law in Support Thereof (DE 106 and DE 107, the

"Citco Motion to Dismiss"). The Citco Motion to Dismiss asserted numerous arguments including that this Court lacked jurisdiction over the Citco Defendants, and that British Virgin

Isla~~ds("BVI") law applied to the Receiver's claims. In support of their arguments that BVI law applies to the Receiver's claims, the Citco Defendants attached a 48 page declaration by Stephen

Smith, Q.C. on the relevant principles of BVI law (the "Smith Declaration").

8. On January 17, 2007, the Receiver filed a Fourth Amended Complaint (DE 259) in the A Analyst Litigation. 9. On April 11, 2008, FirstRand filed its Renewed Motion to Disnliss the Fourth

Amended Complaint (the "FirstRand Motion to Dismiss"), wherein FirstRand asserted numerous

legal arguments including that BVI law was applicable to the Receiver's claims. FirstRand also

sought to incorporate the Citco Motion to Dismiss, as well as the Smith Declaration.

10. On May 20,2008, Swisstor filed its Renewed Motion to Dismiss Fourth Amended

Complaint (DE 442, the "Swisstor Motion to Dismiss"), wherein Swisstor asserted numerous

legal arguments including that BVI law was applicable to the Receiver's claims. Swisstor

similarly sought to incorporate the Citco Motion to Dismiss, as well as the Smith ~eclaration.~

I I. The Receiver initially retained Mann as a BVI legal expert to advise him with respect to the potential application of BVI law to the Fourth Amended Complaint and to provide an expert declaration andlor testimony regarding BVI law. FirstRand and Swisstor relied on the

Smith Declaration as a basis for dismissing the Fourth Amended Complaint under BVI law. The

Receiver employed his own BVI law expert to respond to FirstRand's and Swisstor's Motions to

Dismiss.

12. Moreover, because there might be additional BVI legal issues implicated in the instant litigation and related Receivership Cases subsequent to the briefing on Defendants'

Motions to Dismiss, the Receiver also retained Mann to serve as an expert on BVI law in the A

Analyst Litigation, as well as the related Receivership Cases and other proceedings ancillary to the Receivership Cases. Indeed, with Mann's assistance, the Receiver has filed suit against a number of foreign Defendants in the BVI, and continues to prosecute that litigation.

The Receiver subsequently settled with the Citco Defendants and FirstRand. This Court subsequently granted Swisstor's Motion to Dismiss. 13. On June 24, 2008, the Receiver filed his Notice of Intention to retain the

Applicant under the negative notice procedure of the Case Management Order entered on

January 8, 2004, as BVI law expert to advise the Receiver on legal issues relating to the A

Analyst Litigation, as well as the related Receivership Cases and other proceedings ancillary to the Receivership Cases.

14. On January 7, 2009, this Court entered its Order authorizing the Receiver to retain the Applicant on behalf of the Receivership Entities nuncpro tunc to June 12, 2008 (DE 2210).

DESCIIIPTION OF SERVICES

The professional services performed by Applicant during the Application Period include, without limitation, the following:

Litigation

A. During the Application Period, Applicant has provided expert advice to the Receiver and his U.S. counsel with regard to the Receiver's litigation in the BVI against various foreign

Defendants. The foregoing includes:

Communications - Communications.

Advice to and Strategizing with the Receiver - Applicant provided advice on legal and strategic issues to the Receiver and his U.S. Professional Advisors relating to claims asserted by the Receiver in the BVI against foreign Defendants.

Research of Law - Conducting legal research relating to the Receiver's causes of action in the BVI litigation.

Prepared Documents for filing - Applicant aided the Receiver and the Receiver's general BVI counsel with the preparation of numerous documents for filing in the Receiver's BVI litigation.

Prepared for and Attended Hearing in BVI - Applicant extensively prepared for and attended a hearing in the BVI related to various efforts by certain BVI defendants to strikeldismiss the Receiver's claims in the BVI litigation. B. In addition to the foregoing, throughout the Application Period, Applicant has advised, taken instructions from, and provided advice on several legal and strategic issues to the Receiver and his U.S. Professional Advisors relating to all of the above.

REQUEST FOR ALLOWANCE OF COMPENSATION AND REIMBURSEMENT OF EXPENSES

This Application requests payment by the Receiver of fees from the Receivership

Entities.

Based on the work performed for the Receivership Entities, Applicant requests

£84,358.76 GBP for fees and expenses. The following table sets out a breakdown of these fees and expenses by category:

A list of each of Mann's professionals and paraprofessionals who provided services during the Application Period and their respective hourly rates is attached hereto as Exhibit 14.

COMPENSATION

Courts generally consider twelve factors in determining an award of fees and expenses pursuant to 11 U.S.C. 5 330. Mann's fees during the Application Period were reasonable under the prevailing legal standard and should be allowed as requested herein. Moreover, for all of the reasons described herein, Applicant's services have significantly benefited the Receivership

Entities, their estates, and have furthered the ultimate goal of maximizing the value of the estates

4 The invoice for services rendered during the Application Period is submitted in Great Britain Pounds. of the Receivership Entities. Specifically, the investigating, research and analysis performed by

Applicant provided the Receiver with expert advice regarding the application of BVI law and other legal obligations for the Receivership Entities under BVI law.

Applicant's fees are commensurate with fees that other attorneys of comparable experience have charged as Special Counsel and have been awarded in similar cases. See

Johnson v. Georgia Highway Express, Inc., 488 F.2d 714 (5th Cir. 1974). See also In re Norman v. Housing Authority of City of Montgomery, 836 F.2d 1292 (1 lth Cir. 1988). Applicant requests the Court to consider these factors in determining reasonable compensation for the services rendered to date. As summarized below, these factors include:

a. Time and Labor Required - The Exhibits attached to this Application include

Exhibit 1 - Summary of Professional and Paraprofessional Time, Exhibit 2 - Summary of

Requested Reimbursement of Expenses, and Exhibit 3 - Detailed Time Entries. The Exhibits and narrative descriptions in this Application evidence the time and labor employed by Applicant in processing this case.

b. Novelty and Difficulty of the Issues and Ouestions Presented - Due to the nature of this case, it was necessary for the Receiver to employ professionals that are experienced and familiar with BVI law, legislation and regulations including, without limitation, general litigation, fraud, and a host of other practice areas. Many of the issues presented in this proceeding are novel.

c. Skill Requisite to Perform the Legal Services Properly - In order to perform the services and obtain the results required, Applicant's legal skills and experience in the areas of

BVI law, receiverships and civil litigation were required. d. Preclusion From Other Employment - Although this case has required an

investment of professional and paraprofessional time, it has not been necessary for Applicant to

turn away other work.

e. Hourly Rates - The hourly rates charged by the Applicant are equivalent to the

customary rates of BVI attorneys of comparable skill in the BVI and London, England.

f. Whether the Fee is Fixed or Contingent - Applicant's compensation in this matter

is subject to the final approval of this Court. Applicant has not received any compensation for his fees incurred during the Application ~eriod.~

g. The Limitations Imposed By The Client or the Circumstances - This case has imposed significant time limitations on Applicant. In particular, Applicant responded to the

Receiver and his U.S. Professional Advisors with respect to issues raised on an urgent basis by rapidly, efficiently and economically reviewing discreet issues under BVI law.

h. The Amount Involved and the Results Obtained - The above narrative, together with the Exhibits attached hereto, detail the time, nature and extent of the professional services rendered by Applicant.

?As noted in Exhibits 2 and 3 to the Application, payments from the Receiver in the amounts of $799.73 and $5,884.20 were received on August 3 1,2011 and September 1,2011, respectively, for the purposes of payment of costs of Applicant related to traveling to the BVI to attend a hearing on behalf of the Receiver, which amounts have been credited. 1. 1. Awards in Similar Cases - As set forth above, the Court has the ability and power to award fees and costs to Applicant. Other federal judges in the Southern District of Florida and other federal districts around the United States have awarded similar fees for the same type and quantity of work expended as special counsel in matters involving foreign law. CONCLUSION

Applicant has incurred fees for reasonable and necessary legal services rendered to the

Receiver for the period from July 10, 201 1 through October 1, 201 1 in the amount of

£83,525.00 GBP and expenses in the amount of £833.76 GBP, for a total award of

£84,358.76 GBP.

WHEREFORE, Mann respectfully requests the entry of an interim order (i) awarding fees in the amount of £83,525.00 GBP, and expenses in the amount of £833.76 GBP, for a total of £84,358.76 GBP~to be paid from the estate of the Receivership Entities; and (ii) for such other and further relief as the Court deems proper and just.

Approximately $133,172.96 US dollars based on a conversion rate of 1 Great Britain Pound = $1.57865 US dollars as set forth on the Oanda Currency Converter Interbank Rate webpage dated February 14,2012, £84,358.76 GBP = $133,172.96 US dollars. The Receiver will determine the exact amount of US dollars to pay Mann based on the exchange rate on the date of payment.
