We refer to a share charge agreement dated 29 September 2014 as amended and restated by an Amended and Restated Share Charge Agreement dated 2 April 2015 (the 'Amended and Restated Share Charge Agreement’) between John Taylor and the Lenders pursuant to which John Taylor charged all his shares in Bay Developers and Realty Limited (the ‘Charged Shares') as secunty for the performance of the obligations of the Borrower under the Facility Agreement. The security created under the Amended and Restated Share Charge Agreement was registered with the Collateral Registry on 29 September 2016, with registration number 2016-30835, in accordance with the Borrowers and Lenders A ct 2008 (Act 773)
We refer to a notice of default letter dated 21 February 2017 (the ‘Notice of Default’), pursuant to which Vantage notified the Borrower that it had breached certain terms of the Facility Agreement which amounted to Events of Default, and further that as the Events of Default were continuing. Vantage was intending to take action to exercise its rights to accelerate the outstanding Loan, interest, the Special Dividend Floor Value and all other amounts accrued or outstanding under the Finance Documents, following the expiry of the 30 days' notice required to be given to the Borrower under the Borrowers and Lenders Act, 2008 (Act 773)
We hereby notify you that, pursuant to the Notice of Default, and by a letter dated 29 March 2017, we have appointed Paa Kwesi Morrison of ENSafrica Ghana, 31 Asafoanye O. We refer to the facility agreement dated 29 September 2014 made between Surfline Communications Limited (the ‘Borrower'*), John Taylor (the "Guarantor") and Vantage Mezzanine Fund II Partnership acting through Vantage Mezzanine Fund II (Pty) Limited (the ‘Lender9) as amended and restated by an amendment and restatement loan agreement dated 2 April 2015 made between the Borrower, the Guarantor, the Lender and DEG-Oeutsche Investititions-Und Entwiddungsgeseflschafl MBH (the "Facility Agreement"). 2. Words and phrases defined in the Facility Agreement have the same meaning when used in this letter (unless otherwise defined or the context otherwise requires). 3. Pursuant to dause 17 of the Facfity Agreement, the occurrence of the following events amount to Events of Default under the Loan Agreement a. Non-payment of interest due on 31 January 2017 (Facility Agreement clause 17.1); b. Insolvency due to the Company's inability to pay various debts owed to Surfline's suppliers and E cobank as those debts fafl due (FacAty Agreement dause 17.6); and a Breach of a financial covenant (Facility Agreement clause 17.13) caused by a breach of the revenue covenant in December 2016 (dause 14.2.1 of the FadSty Agreement) - the Company did not achieve revenue for the year ended 31 December 2016 of $50 million as required by the finandal covenant 4. Due to the occurrence of these events, you are in breach of clauses 17.1,17.6 and 17.13 of the Facility Agreement. Pursuant to dause 17 of the Facility Agreement these breaches constitute Events of Default and these Events of Default are continuing. 5. As these Events of Default are continuing, we are entitled (in addition to any other right or remedy we may have against you) to take action w\ accordance with the provisions of dause 17.15 (Acceleration) of the Fad&ty Agreement 6. By this letter, we give you notice in accordance with the Borrowers and Lenders Act, 2006 (Act 773) and request that you remedy the Event of Default mentioned in paragraph 5 of this letter within 30 days of this letter. 7. In terms of dause 9 of the Security Agreement, we give you notice that our floating charge has automatically converted to a fixed charge from the time Tech Mahindra instituted court proceedings against the Borrower. 10. Pursuant to dause 7 of the Amendment and Restatement Security Agreement, dause 8 of the Amendment and Restatement of the Skybridge Investments Share Char*,® clause 8 of the Amendment and Restatement of the Bay Developers and Realty’ Share Charge and the Amendment and Restatement Guarantee, we may proceed without further recourse to you to enforce our security underlie Finance Documents. 11.
