3 MEETING NOTICE The regular monthly meeting of the Pinellas Suncoast Transit Authority (PSTA) Board of Directors will be held on Wednesday, April 26, 2017, at 9:00 AM, in the Board Room at PSTA Headquarters, 3201 Scherer Drive, St. Petersburg. Any last minute postponement of the meeting will result in another scheduled meeting to be held at least two days after the postponed meeting. A full Board Report package is available for public viewing at PSTA Headquarters and on PSTA’s website. Materials printed in large type for the visually impaired can be made available by calling 727-540- 1800 at least two days prior to the Board Meeting. Special listening devices are available for the hearing impaired and can be reserved by calling 727-540-1800. An interpreter for the hearing impaired can be scheduled with one week advance notice. Public Comment - Items Not on the Agenda: The Public Comment agenda item presents an opportunity for individuals to provide input on items that do not appear on the agenda. Public Comment - Items on the Agenda: After staff presentations on agenda items pertaining to Action Items, the Chairperson will ask for public comment, to be followed by Board comments/action. The public will be allowed to speak on any consent agenda item, other than ceremonial and ministerial items, such as the approval of the Board's minutes, during the Public Comment section of the agenda. Comments on Action Items and Consent Agenda Items must be limited to the specific agenda items. Each speaker will be asked to complete a green comment card, which will be given to the Chairperson by PSTA’s General Counsel. Speakers will be recognized in the order in which cards are received. Public Comment - Time Limits: Public comment is limited to three minutes per individual speaker, unless the Board grants additional time. A group can designate a spokesperson by completing the appropriate form and presenting it to staff. The spokesperson can then speak on behalf of the group, addressing the Board for three minutes for each member of the group present in the audience who waives his/her right to speak, up to a maximum of ten minutes. Public Comment - Guidelines: Upon recognition by the Chairperson, individuals addressing the Board shall approach the podium and give his/her name in an audible tone of voice. Each speaker shall not comment more than once on the same agenda item, at the same meeting, unless the Board grants an exception. All remarks should be addressed to the Board as a body, and not to any member thereof. No person other than members of the Board and the person having the floor shall be permitted to enter into any discussion. Questions shall not be asked to individual Board members except through the Chairperson. Any person making personal, impertinent, or slanderous remarks, or who shall become boisterous while addressing the Board, may be requested to leave the meeting and may be barred from further attendance at that meeting. The Pinellas Suncoast Transit Authority (PSTA) Board of Directors met in regular session in the Board Room at PSTA Headquarters at 9:00 AM on this date with the following members present:

PUBLIC COMMENT

Walter Slupecki, St. Petersburg resident, spoke about an issue with the upcoming service changes. He is concerned that the possible increase in service on the trolley routes would decrease frequency on Route 4. Mr. Miller stated that there are no plans to reduce service on Route 4.

PRESENTATIONS

Demand Response (DART) Service Update – Ross Silver, Mobility Manager, delivered a short presentation on how service has dramatically improved since Care Ride took over the DART contract. He introduced two DART riders, Dave Stanton and Elisabeth Olden, who spoke about their positive experiences with Care Ride and their drivers.

COMMITTEE UPDATES

Transit Riders Advisory Committee (TRAC) – Gloria Lepik‐Corrigan, Committee Chair, provided an update from the March 21st TRAC meeting.

Forward Pinellas – Mr. Jonson reported on the Forward Pinellas Board meeting that took place on March 8th.

Forward Pinellas’ Local Coordinating Board (LCB) – The LCB did not meet since the last Board meeting.

CONSENT AGENDA

Mr. Bevis made a motion, seconded by Ms. Long to approve the Consent Agenda. The Board unanimously approved the Consent Agenda, which included the approval of the February 22, 2017 Board meeting minutes and the committee appointments.

ACTION ITEMS

Audit Presentation and Acceptance – Debbie Leous, Chief Financial Officer, introduced Sue Pagan, Engagement Director with CliftonLarsonAllen, PSTA’s independent audit firm. Ms. Pagan delivered a presentation on the FY 2016 audit. She noted that the Independent Auditors’ report on internal controls and the single audit report reported 6 DRAFT Page | 3

no material weaknesses. She also reported that there were two uncorrected misstatements; however, the auditors do not consider them material weaknesses, and have since been fixed.

Mr. Jonson reported that the Finance Committee spent considerable time reviewing the report, but did not vote on this item due to a lack of quorum. Mr. Jonson made a motion, seconded by Mr. Eggers to approve the FY 2016 audit report. There were no public comments. Motion passed unanimously.

Clearwater Beach Transit Center Interlocal Agreement – Heather Sobush, Planning Manager, gave a presentation on the transit center in Clearwater. Ms. Sobush described the transit center, stating that it will be designed for three buses or trolleys with a shade canopy and pedestrian access to a parking lot. She said construction could begin in the summer with completion by spring break 2018. The estimated project cost is $500,000 and the City of Clearwater will contribute up to $250,000.

In response to Chairperson Rice’s call for public comment, John Estok, Safety Harbor resident, said he likes the idea but is against the location. He does not believe this is a convenient location and suggested an alternate site on Gulfview Boulevard.

Mr. Jonson said that since there was no quorum at the Finance Committee meeting, no vote was taken. However, he said the Committee members spoke in favor of this project. Mr. Jonson made a motion, seconded by Ms. Long to approve an Interlocal Agreement and an Easement Agreement with the City of Clearwater to share the cost of construction of a new transit center on . Mr. Bevis inquired about the safety of the crosswalks by the Hooters Restaurant and Walgreens, and Mr. Jonson responded that the City has had discussions aboutt tha area. There were no further public comments. Motion passed unanimously.

CEO Evaluation – Chairperson Rice explained the items included in the packet. She said that nine of the 12 evaluators reported an increase in scores over last year. The Personnel Committee voted to recommend a 5% increase because of Mr. Miller’s accomplishments in 2016 and his significant improved performance over the year. It was mentioned that Mr. Miller has not received an increase in two years. The proposed 5% adjustment maintains the CEO’s compensation in a competitive range compared to peer transportation agencies. The Board was provided with salary information for other transit CEOʹs in and nationwide.

Ms. Long provided information on her experiences serving on PSTA’s Board, indicating that she is impressed with the CEOʹs leadership and improvement over the years. 7 DRAFT Page | 4

Mr. Jonson pointed out two categories that improved from last year – communication and governance/leadership. Mr. Bevis said he voted no at the Personnel Committee meeting because he wanted more information on previous increases and a comparison of salaries with other transit CEOʹs. Ms. Johnson said she is proud to work with Mr. Miller and mentioned the legislative trips and all the communication between the two.

Mr. Eggers suggested separating the evaluation and the compensation for next year’s evaluation. Mr. Scott said he is in favor of the increase and suggested in the future, use the tabulation score as the percent for the increase, i.e., 3.91%. Mr. Scott made a motion, seconded by Ms. Long to approve the Personnel Committee’s recommendation for a 5% increase for Mr. Miller.

Mr. Miller commented on the Boardʹs feedback and said he is thankful for a positive review. He indicated that staff has done a fantastic job, which contributed to this evaluation, adding that he is proud to be the head of PSTA.

In response to Chairperson Rice’s call for public comment, Mr. Stanton stated that he is astounded by Mr. Miller’s depth of knowledge and commitment to transit. Motion passed (12:1) with Mr. Eggers dissenting.

INFORMATION ITEMS

Central Avenue Bus Rapid Transit (BRT) Update – Ms. Sobush reported that PSTA is on target to submit the Small Starts package for this project to the Federal Transit Administration (FTA) by the end of August 2017. She showed detailed maps of the proposed route and station locations. Staff is studying the existing circulator service to determine if any improvements can be made. Ms. Sobush said that Electric buses may be used for this route.

The Board members had questions relating to the bus‐only lanes and how many vehicles will be required. Mr. Bevis asked about the new mayor of St. Pete Beach and Mr. Miller replied that he has not spoken with the new mayor, but the hotel owners and the Beaches Chamber believe that the new mayor will be more receptive to this project.

FY2018 Budget Calendar & Key Assumptions – The Key Budget Assumptions document was included in the Board packet. Mr. Miller reviewed the budget calendar saying that the first draft of the budget would come to the Board in June. He stated that the final draft budget will be presented in August, with Public Hearings and final 8 DRAFT Page | 5

adoption in September. He also briefly reviewed the revenue assumptions for the coming fiscal year.

Vision/Mission Statements – Mr. Miller said the Executive Committee met earlier in the month to discuss revisions to the Vision and Mission statements. The statements were also discussed at the January 13th Board work session. The Vision and Mission statements will be sent to the Board members for their comments and reviewed by the Executive Committee and presented at the next Board meeting.

REPORTS/CORRESPONDENCE

Performance/Updates – The report was supplied in the Board packet. Mr. Miller reported that there was a decline in ridership in February. He also spoke about the Ridership by Route Trend report.

FUTURE MEETING SUBJECTS

The Board was provided with a list of upcoming meeting subjects. Mr. Miller said after the April meeting, there will be a PSTA 101 session which would include introducing key staff to Board members, a mini tour of the facility, a discussion about Legislation in Tallahassee regarding regional transportation, and bus technology. He also gave a brief update on recent Jolley Trolley services and the Cross Bay Ferry from Tampa.

Mr. Miller said Mr. Barkley joined him on a trip to Washington D.C. two weeks ago, and on April 3rd, he and Commissioners Gerard and Long will go to Washington for another Legislative visit.

He indicated that Charlie Crist was at PSTA on Monday to receive a tour of the facility.

BOARD MEMBER COMMENTS

Mr. Bevis thanked PSTA for their help this weekend with the annual Oldsmar Days & Nights event.

Mr. Jonson said on behalf of the City of Clearwater and the business community, he would like to thank the Board and PSTA for the free trolley service to the beach. 9 DRAFT Page | 6

Ms. Long reported that there will be a collaborative lab on May 12th for discussion about the collaboration of the area’s Metropolitan Planning Organizations (MPO’s).

Ms. Johnson reiterated that a majority of Transportation Disadvantaged (TD) eligible people do not know that they qualify for the TD program.

Mr. Tornga questioned the opportunities for staff to speak with Senators Brandes or Latvala regarding transportation and PSTA’s needs. Mr. Miller responded that the Legislators receive the Agency’s top priorities every year.

Chairperson Rice announced that this was a terrific meeting.

Thank you for recently meeting with representatives of our Pinellas Suncoast Transit Authority (PSTA) Board of Directors and CEO, Brad Miller in Washington, D.C. Commissioners Janet Long and Pat Gerard were excited to outline for you our plans in Pinellas County for the Tampa Bay’s first federally‐funded Bus Rapid Transit (BRT) line in St. Petersburg. We appreciated your focus on advancing the FY2017 Federal Transportation Appropriations now, and we write to you in support of a strong FY2018 Transportation Appropriations Bill that fully funds the discretionary transit programs authorized by the 2015 Fixing America’s Surface Transportation Act (FAST) authorized levels.

We specifically ask you to support full funding for the Federal Transit Administration’s (FTA’s) Capital Investment and TIGER grant programs as these federal investments are critical to supporting existing state and local funding in our own BRT project. The Central Avenue BRT will generate jobs and support our already booming tourism economy in a sustainable way that allows tourists and workers to access our world‐famous beaches while reducing traffic congestion.

In built‐out Pinellas County, smart, expanded transportation infrastructure like this project is needed to generate the jobs and keep our community moving in the future. We join other Florida communities, Jacksonville, Orlando, and those in your region, , who also have important transit investments at risk of losing their Federal Capital Investment Grant funding if the FAST Act is not fully funded at authorized levels.

As local officials, we support federal transportation investments that complement our state and local support to make our community move forward. As you develop the FY2018 transportation budget, we ask that you consider increasing Capital Investment Grant and TIGER funding or at a minimum fully fund these programs at their authorized levels.

2017 Mobility Enhancement Grant Program Application Resolution

Action: Approve a Resolution Authorizing the Filing and Execution of a Transportation Disadvantaged Mobility Enhancement Grant Application with the Florida Commission for the Transportation Disadvantaged.

Background:  Last year, PSTA was awarded a Mobility Enhancement Grant (MEG) to implement and operate the Transportation Disadvantaged (TD) Late Shift Program which provides TD bus riders on-demand door-to-door service for work trips that occur outside fixed route bus service hours. The MEG grant also included funds to provide on-demand same-day trips to bus riders who need a daytime door-to-door trip for a life-sustaining need that cannot be pre-scheduled or satisfied by the fixed route system.  The program has been extremely successful, with more than 17,000 rides provided since July 2016. Participants surveyed on the program have told staff that they have experienced increased economic opportunity (new jobs, more shifts, etc.) and that they now have a safer, quicker option than trying to walk or ride a bike long distances late at night. Summary:  The Commission for TD (CTD) recently issued a call for applications for funding for FY 2018.  PSTA staff has developed a grant application that will allow PSTA to continue and expand the TD Late Shift and Urgent TD Program requesting $564,000, with 90% to be funded with state funds and 10% from local match from general revenue and program farebox. Fiscal Impact:  FY 2018 MEG Funding to continue offering TD Late Shift and urgent TD Programs. Recommendation:  Approve a resolution authorizing the filing and execution of a TD Mobility Enhancement Grant Application with the Florida CTD. 13 RESOLUTION #17‐02

A RESOLUTION OF THE BOARD OF DIRECTORS OF THE PINELLAS SUNCOAST TRANSIT AUTHORITY AUTHORIZING THE FILING AND EXECUTION OF A TRANSPORTATION DISADVANTAGED MOBILITY ENHANCEMENT GRANT APPLICATION WITH THE FLORIDA COMMISSION FOR THE TRANSPORTATION DISADVANTAGED

WHEREAS, PSTAʹs Board of Directors has the authority to file and execute the Transportation Disadvantaged Mobility Enhancement grant application and to undertake a Transportation Disadvantaged service project, as authorized by Section 427.0159, Florida Statutes, and Rule 41‐2, F.A.C.

NOW, THEREFORE, BE IT RESOLVED BY PSTAʹS BOARD OF DIRECTORS THAT:

1. That PSTA has the authority to file and execute the Transportation Disadvantaged Mobility Enhancement grant application; 2. Brad Miller, Chief Executive Officer, is authorized to file and execute the Mobility Enhancement grant agreement on behalf of the Pinellas Suncoast Transit Authority with the Florida Transportation Disadvantaged Commission for Transportation Disadvantaged; and 3. Background:  PSTA is a national driver of transit innovation. We are defining what “modern transit” means, and have a responsibility to tell the public about our innovative products and services.  PSTA’s two year marketing plan, which staff will present, will highlight and promote PSTA’s innovative programs, projects, and vision.  A large part of that effort will be a comprehensive Innovation Awareness Campaign coordinated and integrated with PSTA’s in house marketing efforts. This campaign will tell the larger story of how public transit and PSTA’s innovative activities affect our communities. Fiscal Impact:  Upon approval, the amount of $230,000 will be included in the budget request for Fiscal Year 2018. Some of the creative development work will be completed in the current year, 2017. Recommendation:  Approve a Task Work Order with FKQ Advertising for an Innovation Awareness Campaign to be conducted in FY2018 for an amount not to exceed $230,000.  Transit Riders Advisory Committee (TRAC), Finance, and Planning Committees reviewed this item and are recommending approval.

Draft Budget Personnel Assumptions

Background:  PSTA’s largest expense is personnel compensation and benefits.  Personnel expenditures are made up of salaries and fringe benefits.  The major components of fringe benefits are health insurance, pension, social security and workers’ compensation, with health and insurance and pension being the largest portion.  This is the last year of the CIGNA health insurance contract. Fiscal Impact:  The majority of employees are in the SEIU union and most of these employees are covered under a contract that has been negotiated within budget.  The SEIU Supervisor contract is expiring September 30, 2017.  Administrative Employee assumption is a 3.5% increase in FY 2018 consistent with the long range assumptions.  Health Insurance is currently assumed to increase 10%. Recent high claims costs may result in a higher increase. Recommendation:  No recommendation at this time. The DRAFT FY 2018 Budget will be based upon key assumptions in these areas as well as updated information to be presented with the first draft of the budget.

Regional Premium Transit Study Update

Background:  The Florida Department of Transportation (FDOT) is funding a regional premium transit study which is being administered by the Hillsborough Area Regional Transit (HART) agency and conducted by Jacobs Engineering Group.  The study, which began in January 2017, is evaluating the top five performing corridors to identify the three best projects to be included in an implementation plan. The implementation plan will include potential funding sources and identify which entity would build and maintain the first project.  Extensive public outreach will be conducted during the study alongside the technical analysis.  PSTA staff serves on a technical review committee with HART and Pasco County Public Transportation (PCPT) staff. Summary  The first phase of the Regional Premium Transit Study is underway with an evaluation of how well different corridors connect the region’s major activity centers, including the University of South Florida (USF) area, downtown Tampa, the Westshore Area, the Gateway Area, downtown Clearwater, and downtown St. Petersburg. Public outreach through May will focus on these connections and will be followed by the identification of three priority projects by September.  Staff will provide an update on the study.
