LUMIN SOFTWARE END USER LICENSE AGREEMENT VERSION 0.98

IMPORTANT: PLEASE READ THIS LUMIN SOFTWARE END USER LICENSE AGREEMENT (THIS “LICENSE”) CAREFULLY BEFORE USING YOUR MAGIC LEAP DEVICE (“DEVICE”). THE TERMS OF THIS LICENSE ARE ALSO AVAILABLE ON MAGIC LEAP’S WEBSITE LOCATED AT WWW.MAGICLEAP.COM/LEGAL.

THIS LICENSE DESCRIBES THE LIMITED RIGHTS YOU HAVE TO USE THE LUMIN SOFTWARE ON YOUR DEVICE AND IS A BINDING CONTRACT BETWEEN YOU AND MAGIC LEAP, INC. ("MAGIC LEAP"). BY CLICKING “ACCEPT”, OR BY INSTALLING OR USING THE LUMIN SOFTWARE, YOU REPRESENT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENSE.

IF YOU DO NOT AGREE TO THIS LICENSE, INCLUDING THE MANDATORY ARBITRATION AND CLASS ACTION WAIVER REFERENCED IN SECTION 11, THEN YOU MAY NOT CONTINUE WITH THE INSTALLATION OR USE OF THE LUMIN SOFTWARE. IN SUCH EVENT, YOU MAY RETURN THE DEVICE WITHIN THE RETURN PERIOD IN ACCORDANCE WITH MAGIC LEAP’S RETURN POLICY LOCATED AT WWW.MAGICLEAP.COM/WARRANTY.

MAGIC LEAP IS BASED IN THE U.S. BUT IS EXCITED TO WELCOME (WITH A SPECIAL “CHEERS,” “BONJOUR,” AND “GUTEN TAG”) NEW COMMUNITY MEMBERS WHO ARE RESIDENTS OF JURISDICTIONS WHERE WE ARE MAKING OUR PRODUCTS AVAILABLE FOR COMMERCIAL SALE (OUR “INTERNATIONAL FRIENDS”). YOUR PARTICULAR COUNTRY OR JURISDICTION MAY HAVE ENACTED CERTAIN LAWS, STATUTES AND OTHER LEGISLATION THAT APPLY TO OUR LEGAL RELATIONSHIP AND WHICH CANNOT BE DEROGATED FROM BY CONTRACT. WE WANT TO BE CRYSTAL CLEAR — NOTHING IN THIS LICENSE WILL AFFECT YOUR LEGAL RIGHTS UNDER THE LAWS APPLICABLE IN YOUR COUNTRY OR JURISDICTION. WE’VE NOTED BELOW WHERE OUR INTERNATIONAL FRIENDS MAY BE ENTITLED TO DIFFERENT OR ADDITIONAL TERMS BASED ON APPLICABLE LAWS (REFERRED TO AS THE “SPECIAL TERMS” THROUGHOUT THIS AGREEMENT). YOU CAN FIND THE SPECIAL TERMS THAT MAY APPLY TO OUR INTERNATIONAL FRIENDS AT THE END OF THIS LICENSE. NOTICES REGARDING OSS (AS DEFINED BELOW) AND OTHER ITEMS ARE ADDRESSED AT THE END OF THIS LICENSE.

1. LICENSE TO LUMIN SOFTWARE AND UPDATES

1.1 This License covers your use of all Lumin Software, unless any particular Lumin Software component or application is accompanied by separate terms. In that case, the separate terms will solely govern the applicable Lumin Software component or application. If the separate terms do not accompany the Lumin Software component or application, they may be found in the Lumin Software’s NOTICES file. “Lumin Software” means individually or collectively: (a) the Lumin OS software on your Device; (b) all applications that are pre-installed on your Device; (c) certain OSS (defined in Section 4 below); and (d) all related documentation. Lumin Software includes any updates, upgrades, error corrections, bug fixes, patches, changes or revisions (collectively, “Update(s)”) to the Lumin Software provided by Magic Leap. For the avoidance of doubt, any applications that are accessed and downloaded from Magic Leap World and any content, product, services or material accessed by or through such applications are governed by separate terms and conditions. 1.2 Magic Leap hereby grants you a personal, revocable (at-will), limited, nontransferable, nonsublicensable and nonexclusive license to use the Lumin Software on your Device on which it is delivered for or, if the Lumin Software is not delivered on a device, a single computer, solely for the purpose of installing the Lumin Software on a single device for which it is intended. You do not have any other rights to the Lumin Software. 1.3 Magic Leap may provide or make available from time to time Updates to the Lumin Software, and the Lumin Software may automatically connect to Magic Leap or third-party servers via the Internet to check for available Updates and may either: (a) automatically install the Update to the version of the Lumin Software that you are using on your Device; or (b) give you the option of manually installing the Updates. By installing the Lumin Software and not disabling any automated check for Updates, if applicable, you consent to automatically request and receive Updates from Magic Leap or third-party servers and agree that this License will apply to all such Updates unless provided with separate terms, in which case those separate terms will solely apply. Magic Leap encourages you to download, install and use such Updates to maximize your experience with your Device. If you choose not to install and use an Update, you may experience issues with delays, interruption, performance or security. Certain Updates are mandatory (e.g., updates for security concerns or otherwise), which you are required to install within any time period of which Magic Leap notifies you when provided with such Update. If you do not install the mandatory Updates within the applicable time period, you may lose access to certain Magic Leap services. To the maximum extent permitted by applicable law, Magic Leap will not be responsible for any liability that may arise due to your failure to install and use an Update where use of such Update would have avoided the liability.

2. RESERVATION OF RIGHTS AND RESTRICTIONS

2.1 The Lumin Software is licensed and not sold. Magic Leap and its licensors retain all right, title and interest in and to the Lumin Software, and all intellectual property rights therein, including any Updates and improvements, copies, translations, adaptations, modifications, derivations and enhancements of the Lumin Software. Magic Leap does not transfer to you any right, title or interest in or to the Lumin Software. 2.2 You may not, nor allow a third party to do any of the following: (a) make any archival copies of the Lumin Software; (b) work around, interfere with, exceed, or circumvent any technical limitations or software protection measures in the Lumin Software; (c) modify, adapt, alter, rent, lease, loan or distribute the Lumin Software or use the Lumin Software in the operation of a service bureau or for the benefit of a third party; (d) reverse engineer, decompile, translate, disassemble or otherwise attempt to derive any source code of the Lumin Software (except as and only to the extent permitted by applicable law); (e) create derivative or merged works of the Lumin Software or separate the component parts of the Lumin Software; (f) input, upload, transmit or otherwise provide to or through the Lumin Software any unlawful or malicious information, materials or code; (g) alter or remove any proprietary rights notices or legends on or in the Lumin Software; (h) use the Lumin Software in hazardous environments requiring fail-safe performance, including, without limitation, the operation of nuclear facilities, aircraft navigation, or communication systems, air traffic control, direct life support machines or weapons systems (collectively, “Restricted Use”); or (i) use the Lumin Software for the development, provision or use of a competing software service or product.

3. PRIVACY

Our Privacy Policy, which is located at http://www.magicleap.com/privacy, describes how we collect, use and disclose information about you in relation to your use of the Lumin Software and/or your Device. Please read our Privacy Policy carefully so you understand how we use and share information we collect about you.

4. THIRD-PARTY MATERIALS

4.1 The Lumin Software may contain third-party materials that are subject to separate terms and conditions. With regards to third-party materials that are not OSS (as defined herein), those separate terms, and not this License, will solely govern such third-party materials. “OSS” means software and materials distributed by its licensor under a license (an “OSS license”) as “free software,” “open source software” or under similar licensing or distribution terms. Accordingly, OSS licenses include, but are not limited to, the MIT open source license, the BSD open source license, the Apache Software License, the General Public License, the Lesser General Public License and the Eclipse Public License. 4.2 Portions of the Lumin Software contain or are derived from third-party OSS software and materials. OSS received by Magic Leap under an OSS license which permits sublicensing under this License are sublicensed to you by Magic Leap under the terms and conditions of this License. OSS received by Magic Leap under an OSS license which does not permit sublicensing under this License are directly licensed to you from the OSS’s licensor. Derivative works created by Magic Leap of OSS received by Magic Leap under an OSS license which does permit licensing of such derivative works under this License are licensed to you by Magic Leap under the terms and conditions of this License. Derivative works created by Magic Leap of OSS received by Magic Leap under an OSS license which does not permit licensing of such derivative works under this License are licensed to you by Magic Leap as required by the terms of the OSS license (e.g., to you by Magic Leap under the same OSS license). 4.3. To the extent permitted by any third-party materials, or any OSS license, Magic Leap provides that third-party material, OSS, and/or derivative work to you “as is," without warranty of any kind, express or implied, including, but not limited to, the warranties of merchantability, fitness for a particular purpose, and noninfringement. In no event shall Magic Leap be liable for any claim, damages or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with that third-party material, OSS, and/or derivative work, or the use or other dealings in that third-party material, OSS, and/or derivative work. Notwithstanding the foregoing, nothing in this section will limit or exclude liability that cannot be limited or excluded under applicable law. For our International Friends, please see the provisions specific for your jurisdiction in the special terms.

5. CERTIFICATES; SERVICES

5.1 The Lumin Software has settings that enable it to accept digital certificates issued by parties other than Magic Leap. If you choose to enable this setting and use applications signed using certificates issued by a third party, you do so at your own risk and you are solely responsible for such use. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAGIC LEAP AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER WRITTEN, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE OR ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE WITH RESPECT TO USE OF DIGITAL CERTIFICATES.

5.2 Certain Magic Leap services that may be accessed, linked to or displayed on your Device may not be available in all languages or in all countries or regions. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAGIC LEAP AND ITS LICENSORS MAKE NO REPRESENTATION AND EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER WRITTEN, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, THAT ANY SUCH MAGIC LEAP SERVICES ARE APPROPRIATE OR AVAILABLE FOR USE IN ANY PARTICULAR LOCATION. To the extent you choose to use or access such Magic Leap services from your Device, you are responsible for compliance with any applicable laws.

6. TERMINATION

This License is effective on the date you first install or use the Lumin Software and continues unless and until terminated by Magic Leap at its sole discretion. Without prejudice to any other Magic Leap rights, this terminates automatically without notice if you fail to comply with your obligations under this License. Upon termination of this License: (a) your License to use the Lumin Software terminates; (b) you must immediately stop use of the Lumin Software; (c) you must return, destroy or delete, as may be directed by Magic Leap, all copies of the Lumin Software from your Device. These remedies are cumulative and in addition to any other remedies available to Magic Leap and (d) the following provisions will also continue to apply: Third Party Materials, Termination, Disclaimers of Warranty, Limitation of Liability, U.S. Government End Users, Export Restrictions, Governing Law and Arbitration, and General.

7. DISCLAIMER OF WARRANTY

FOR THE AVOIDANCE OF DOUBT, NOTHING IN THIS LICENSE, INCLUDING THIS SECTION 7, WILL LIMIT OR EXCLUDE LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAGIC LEAP PROVIDES THE LUMIN SOFTWARE ON AN “AS IS” AND “AS AVAILABLE” BASIS WITH ALL FAULTS AND WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND. MAGIC LEAP AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER WRITTEN, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE OR ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE. ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY MAGIC LEAP, ITS LICENSORS, SUPPLIERS, DISTRIBUTORS, AGENTS OR EMPLOYEES WILL NOT INCREASE THE SCOPE OF THIS WARRANTY. MAGIC LEAP DOES NOT WARRANT THAT THE LUMIN SOFTWARE WILL MEET YOUR REQUIREMENTS, WILL ACHIEVE PARTICULAR RESULTS OR WILL OPERATE ERROR FREE. THE FEATURES AND FUNCTIONALITY OF THE LUMIN SOFTWARE MAY CHANGE AT ANY TIME, AND MAGIC LEAP DISCLAIMS ANY RESPONSIBILITY FOR SUCH CHANGES. THE LUMIN SOFTWARE IS NOT DESIGNED FOR RESTRICTED USE (AS DEFINED IN SECTION 2.2 ABOVE) AND MAGIC LEAP MAKES NO WARRANTIES FOR SUCH USE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, REPRESENTATIONS OR CONDITIONS, THE LIMITATION OR EXCLUSION OF IMPLIED WARRANTIES, LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST OR EXCLUSIONS OR LIMITATIONS FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY IN FULL TO YOU, AND MAGIC LEAP’S LIABILITY SHALL BE LIMITED TO THE EXTENT SUCH LIMITATIONS ARE PERMITTED BY LAW.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL (A) MAGIC LEAP OR OUR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OF PROFITS, LOSS OF USE, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OR CORRUPTION OF DATA, BUSINESS INTERRUPTION OR SYSTEM FAILURE OR MALFUNCTION, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THIS LICENSE OR THE LUMIN SOFTWARE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF MAGIC LEAP HAS BEEN ADVISED OR IS OTHERWISE AWARE OF THE POSSIBILITY OF SUCH DAMAGES; OR (B) MAGIC LEAP’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS LICENSE EXCEED THE GREATER; OF (i) THE TOTAL AMOUNT PAID BY YOU TO MAGIC LEAP FOR THE DEVICE (IF ANY); OR (ii) ONE HUNDRED DOLLARS ($100). MULTIPLE CLAIMS WILL NOT EXPAND THIS LIMITATION. THE FOREGOING LIMITATIONS, EXCLUSIONS, AND DISCLAIMERS WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE. THE FOREGOING LIMITATIONS OF LIABILITY APPLY TO THE FULLEST EXTENT ALLOWED BY LAW. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN MAGIC LEAP AND YOU. THE FOREGOING CAP ON LIABILITY WILL NOT APPLY TO LIABILITY OF MAGIC LEAP FOR (A) DEATH OR PERSONAL INJURY CAUSED BY MAGIC LEAP’S GROSS NEGLIGENCE IN CONNECTION WITH THE LUMIN SOFTWARE; OR (B) ANY DAMAGES CAUSED BY MAGIC LEAP'S FRAUD OR FRAUDULENT MISREPRESENTATION, INTENTIONAL MISCONDUCT, OR GROSS NEGLIGENCE.

9. U.S. GOVERNMENT END USERS

Lumin Software acquired by the U.S. Government is classified as "Commercial Computer Software" and is provided with Restricted Rights as that term is defined in FAR 52.227-19 and DFARS 227-7202. This License governs the U.S. Government’s use and disclosure of the Lumin Software, and supersedes any conflicting terms or conditions, except to the extent that any term or condition is inconsistent with U.S. Federal law. If the U.S. Government requires any rights that are not conveyed under this License, those rights will be separately negotiated and will be set forth in a separate written license or in a written addendum to this License.

10. EXPORT RESTRICTIONS

You will comply with all U.S. or other applicable export control laws regarding the export of items, software or technology including ensuring that: (a) no equipment, technical data, or Lumin Software is exported or re- exported to any country, person or entity in violation of any U.S. or other applicable export controls or sanctions; and/or (b) that anything received from Magic Leap is not used or re-exported for a prohibited use under U.S. or other applicable export control laws. Further, you represent and warrant that you are (y) not located in a country that is subject to U.S. Government sanctions or has been designated by the U.S. Government as a “terrorist supporting” country and (z) have not been identified as a sanctioned party by the U.S. Office of Foreign Assets Control or any other applicable sanctions or denied persons lists by any other applicable government agency. You will not use the Lumin Software if any applicable laws in your country prohibit you from doing so in accordance with these terms.

11. GOVERNING LAW AND ARBITRATION

This License will be governed by and construed in accordance with the laws of the State of California without resort to its conflict of law provisions. If there is any dispute under this License or otherwise relating to your use of the Lumin Software, you expressly agree that all such disputes will be solely governed by the venue and Agreement to Arbitrate and Waiver of Class Action provisions in the Account Terms and Conditions, which are located at http://www.magicleap.com/account-terms (the “Account Terms”), except to the extent provided in the special terms with respect to our International Friends. Please read the Agreement to Arbitrate and Waiver of Class Action carefully and understand your rights. For our International Friends, please note that different terms regarding governing law and dispute resolution may apply to you – please review the special terms specific to your jurisdiction below. The United Nations Convention on Contracts for the International Sale of Goods will not apply to this License.

12. GENERAL

If any provision of the License is determined to be illegal, invalid or unenforceable, the validity of the remaining provisions will not be affected and will be enforced to the fullest extent of applicable law. This License, together with the Account Terms, contain the entire agreement between you and Magic Leap regarding your use of the Lumin Software and supersedes any prior representation or agreement, oral or written. If there is any conflict between the terms of this License and the Account Terms concerning the Lumin Software, the terms of this License will prevail. The failure of either party to enforce at any time any provision of this License may not be construed to be a continuing waiver of those provisions or any other provision. The provisions of this License that by their nature should continue in force beyond termination of this License will remain in force. You will not delegate, transfer or assign, by operation of law or otherwise, this License, or your rights or obligations under it without Magic Leap’s prior written consent, and any attempt to do so is void. This License binds any permitted successors or assigns and you must present this License to any permitted assignee.

13. SPECIAL TERMS AND CONDITIONS FOR INTERNATIONAL JURISDICTIONS

Hey, International Friends! These special terms set forth additional rights and supplemental terms that may apply to our relationship. If there is a provision in the standard License that is inconsistent with these special terms, the applicable special terms for your jurisdiction will apply.

European Union

General. The following special terms apply to all residents of the United Kingdom (U.K.) or the European Union (“EU Customers”):

• This License shall not limit any of our obligations or your rights under applicable data protection or other laws that cannot be limited by contract.

• Nothing in this License will limit your rights to reverse engineering for the purpose of achieving interoperability with other programs where permitted without consent by mandatory law.

• Please be advised that the following terms constitute “key” terms between you and Magic Leap: Sections 1, 2 and 10.

• The laws of the State of California will continue to apply to our relationship, subject to any applicable mandatory local law. You may bring a legal action relating to these terms or your relationship with Magic Leap in either the state or federal courts located in Santa Clara County, California or in the courts located in your country of residence. In other words, the choice of where to bring your action is up to you.

• If you are not happy with the way Magic Leap deals with any disagreement in connection with this License we may collectively agree to refer the matter to a form of dispute resolution (including as described in the Arbitration Agreement in the Account Terms), but neither of us are restricted from bringing court proceedings. In other words, the Arbitration Agreement in the Account Terms is optional, not mandatory. The European Commission provides for an online dispute resolution platform, which you can access here: http://ec.europa.eu/consumers/odr/. If you would like to bring a matter to our attention, please email [email protected].

France. If you are an EU Customer who is a resident of France, the following special terms also apply:

• Pursuant to Article L. 213-1 of the French Consumer Code, you are entitled to request access to all agreements entered into with you for a value of €120 or more. Your right to access such agreements may be exercised at any time by contacting [email protected].

• With respect to the Lumin Software, you may benefit from the statutory warranty of conformity and the statutory warranty against latent defects regarding such Lumin Software (capitalized terms used below are defined in the applicable statute):

o Statutory warranty of conformity: as per Articles L217-4 to L217-14 of the Consumers Code the Customer has two years from the delivery of the product to obtain a repair or replacement of the Product (subject to costs considerations as detailed under Article L217-9 of the Consumer Code).

o Statutory warranty against latent defects: as per Articles 1641 to 1649 of the Civil Code the Customer has two years from the discovery of the defect to claim a return of the product. The Customer will have to prove that the defect existed when Customer purchased the product.

Germany. If you are an EU Customer who is a resident of Germany, the following special terms also apply:

• Sections 7 (Disclaimer of Warranty) and 8 (Limitation of Liability) will be replaced by the following clauses:

o No provision of this agreement should be understood as a promise of a guarantee, except where specifically named as such. Magic Leap specifically excludes a guarantee for initial defects pursuant to section 536a (1) of the German Civil Code.

o In cases of slight negligence we will not be liable in case of a breach of non-material contractual obligations. In such cases as well as in cases of gross negligence our liability will be limited to typical foreseeable damages. This limitation does not apply to the extent damages have been caused by our managing employees or legal representatives.

o Our liability for intent and gross negligence, for claims under the German Product Liability Act, in the case of fraudulent concealment of defects or a guarantee in respect to characteristics as well as for damages to life, body or health shall remain unaffected and will be determined exclusively in accordance with statutory law.

• Please note that according to section 36 (1) VSGB (German Consumer Dispute Settlement Act), we are not obliged nor willing to participate in dispute settlement proceedings before a consumer arbitration board.

Spain. If you are an EU Customer who is a resident of Spain, the following specific terms also apply:

• Magic Leap does not limit or exclude any liability for defective products under Articles 128 to 134 of the Spanish Consumer Protection Act.

UK. If you are an EU Customer who is a resident of the U.K., the following special terms also apply:

• Magic Leap does not limit or exclude any liability for defective products under the Consumer Protection Act 1987.

If the separate terms do not accompany the Lumin Software component or application, they may be found in the Lumin Software's NOTICES file. "Lumin Software" means individually or collectively: (a) the Lumin OS software on your Device; (b) all applications that are pre-installed on your Device; (c) certain OSS (defined in Section 4 below); and (d) all related documentation. Lumin Software includes any updates, upgrades, error corrections, bug fixes, patches, changes or revisions (collectively, "Update(s)") to the Lumin Software provided by Magic Leap. For the avoidance of doubt, any applications that are accessed and downloaded from Magic Leap World and any content, product, services or material accessed by or through such applications are governed by separate terms and conditions. 1.2 Magic Leap hereby grants you a personal, revocable (at will), limited, non-transferable, nonsublicensable and non-exclusive licence to use the Lumin Software on your Device on which it is delivered for or, if the Lumin Software is not delivered on a device, a single computer, solely for the purpose of installing the Lumin Software on a single device for which it is intended. You do not have any other rights to the Lumin Software. 1.3 Magic Leap may provide or make available from time to time Updates to the Lumin Software, and the Lumin Software may automatically connect to Magic Leap or third-party servers via the Internet to check for available Updates and may either: (a) automatically install the Update to the version of the Lumin Software that you are using on your Device; or (b) give you the option of manually installing the Updates. By installing the Lumin Software and not disabling any automated check for Updates, if applicable, you consent to automatically request and receive Updates from Magic Leap or third-party servers and agree that this Licence will apply to all such Updates unless provided with separate terms, in which case those separate terms will solely apply. Magic Leap encourages you to download, install and use such Updates to maximise your experience with your Device. If you choose not to install and use an Update, you may experience issues with delays, interruption, performance or security. 2. RESERVATION OF RIGHTS AND RESTRICTIONS 2.1 The Lumin Software is licensed and not sold. Magic Leap and its licensors retain all right, title and interest in and to the Lumin Software, and all intellectual property rights therein, including any Updates and improvements, copies, translations, adaptations, modifications, derivations and enhancements of the Lumin Software. Magic Leap does not transfer to you any right, title or interest in or to the Lumin Software. 2.2 You may not do, nor allow a third party to do, any of the following: (a) make any archival copies of the Lumin Software; (b) work around, interfere with, exceed or circumvent any technical limitations or software protection measures in the Lumin Software; (c) modify, adapt, alter, rent, lease, loan or distribute the Lumin Software or use the Lumin Software in the operation of a service bureau or for the benefit of a third party; (d) reverse engineer, decompile, translate, disassemble or otherwise attempt to derive any source code of the Lumin Software (except as and only to the extent permitted by applicable law); (e) create derivative or merged works of the Lumin Software or separate the component parts of the Lumin Software; (f) input, upload, transmit or otherwise provide to or through the Lumin Software any unlawful or malicious information, materials or code; (g) alter or remove any proprietary rights notices or legends on or in the Lumin Software; (h) use the Lumin Software in hazardous environments requiring fail-safe performance, including, without limitation, the operation of nuclear facilities, aircraft navigation, or communication systems, air traffic control, direct life support machines or weapons systems (collectively, "Restricted Use"); or (i) use the Lumin Software for the development, provision or use of a competing software service or product.

3. PRIVACY Our Privacy Policy, which is located at http://www.magicleap.com/privacy, describes how we collect, use and disclose information about you in relation to your use of the Lumin Software and/or your Device. Please read our Privacy Policy carefully so you understand how we use and share information that we collect about you.

4. THIRD-PARTY MATERIALS 4.1 The Lumin Software may contain third-party materials that are subject to separate terms and conditions. With regards to third-party materials that are not OSS (as defined herein), those separate terms, and not this Licence, will solely govern such third-party materials. "OSS" means software and materials distributed by its licensor under a licence (an "OSS licence") as "free software", "open-source software" or under similar licensing or distribution terms. Accordingly, OSS licences include, but are not limited to, the MIT open-source licence, the BSD open-source licence, the Apache Software License, the General Public License, the Lesser General Public License and the Eclipse Public License. 4.2 Portions of the Lumin Software contain or are derived from third-party OSS software and materials. 6. TERMINATION

This Licence is effective on the date on which you first install or use the Lumin Software and continues unless and until terminated by Magic Leap at its sole discretion. Without prejudice to any other Magic Leap rights, this terminates automatically without notice if you fail to comply with your obligations under this Licence. Upon termination of this Licence: (a) your Licence to use the Lumin Software terminates; (b) you must immediately stop use of the Lumin Software; (c) you must return, destroy or delete, as may be directed by Magic Leap, all copies of the Lumin Software from your Device. These remedies are cumulative and in addition to any other remedies available to Magic Leap and (d) the following provisions will also continue to apply: Third-Party Materials, Termination, Disclaimers of Warranty, Limitation of Liability, US Government End Users, Export Restrictions, Governing Law and Arbitration, and General.

7. DISCLAIMER OF WARRANTY FOR THE AVOIDANCE OF DOUBT, NOTHING IN THIS LICENCE, INCLUDING THIS SECTION 7, WILL LIMIT OR EXCLUDE LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAGIC LEAP PROVIDES THE LUMIN SOFTWARE ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITH ALL FAULTS AND WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND. MAGIC LEAP AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER WRITTEN, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE OR ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE. THE LUMIN SOFTWARE IS NOT DESIGNED FOR RESTRICTED USE (AS DEFINED IN SECTION 2.2 ABOVE) AND MAGIC LEAP MAKES NO WARRANTIES FOR SUCH USE.

LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL (A) MAGIC LEAP OR OUR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OF PROFITS, LOSS OF USE, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OR CORRUPTION OF DATA, BUSINESS INTERRUPTION OR SYSTEM FAILURE OR MALFUNCTION, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THIS LICENCE OR THE LUMIN SOFTWARE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF MAGIC LEAP HAS BEEN ADVISED OR IS OTHERWISE AWARE OF THE POSSIBILITY OF SUCH DAMAGES; OR (B) MAGIC LEAP'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS LICENCE EXCEED THE GREATER; OF (i) THE TOTAL AMOUNT PAID BY YOU TO MAGIC LEAP FOR THE DEVICE (IF ANY); OR (ii) ONE HUNDRED US DOLLARS (USD 100). MULTIPLE CLAIMS WILL NOT EXPAND THIS LIMITATION. US GOVERNMENT END USERS Lumin Software acquired by the US Government is classified as "Commercial Computer Software" and is provided with Restricted Rights as that term is defined in US Federal Acquisition Regulation (FAR) 52.227-19 and US Defense Federal Acquisition Regulation Supplement (DFARS) 227-7202. This Licence governs the US Government's use and disclosure of the Lumin Software, and supersedes any conflicting terms or conditions, except to the extent that any term or condition is inconsistent with US federal law. If the US Government requires any rights that are not conveyed under this Licence, those rights will be separately negotiated and will be set forth in a separate written licence or in a written addendum to this Licence.

10. EXPORT RESTRICTIONS You will comply with all US or other applicable export control laws regarding the export of items, software or technology including ensuring that: (a) no equipment, technical data or Lumin Software is exported or re- exported to any country, person or entity in violation of any US or other applicable export controls or sanctions; and/or (b) that anything received from Magic Leap is not used or re-exported for a prohibited use under US or other applicable export control laws. Further, you represent and warrant that you are (y) not located in a country that is subject to US Government sanctions or has been designated by the US Government as a "terrorist-supporting" country and (z) have not been identified as a sanctioned party by the US Office of Foreign Assets Control or any other applicable sanctions or denied persons lists by any other applicable government agency. You will not use the Lumin Software if any applicable laws in your country prohibit you from doing so in accordance with these terms.

11. GOVERNING LAW AND ARBITRATION This Licence will be governed by and construed in accordance with the laws of the US State of California without resort to its conflict of law provisions. If there is any dispute under this Licence or otherwise relating to your use of the Lumin Software, you expressly agree that all such disputes will be solely governed by the venue and Agreement to Arbitrate and Waiver of Class Action provisions in the Account Terms and Conditions, which are located at http://www.magicleap.com/account-terms (the "Account Terms"), except to the extent provided in the special terms with respect to our International Friends. Please read the Agreement to Arbitrate and Waiver of Class Action carefully and understand your rights. For our International Friends, please note that different terms regarding governing law and dispute resolution may apply to you — please review the special terms specific to your jurisdiction below. The United Nations Convention on Contracts for the International Sale of Goods will not apply to this Licence.

12. GENERAL If any provision of the Licence is determined to be illegal, invalid or unenforceable, the validity of the remaining provisions will not be affected and will be enforced to the fullest extent of applicable law. This Licence, together with the Account Terms, contains the entire agreement between you and Magic Leap regarding your use of the Lumin Software and supersedes any prior representation or agreement, oral or written. If there is any conflict between the terms of this Licence and the Account Terms concerning the Lumin Software, the terms of this Licence will prevail. The failure of either party to enforce at any time any provision of this Licence may not be construed to be a continuing waiver of those provisions or any other provision. The provisions of this Licence that by their nature should continue in force beyond termination of this Licence will remain in force. You will not delegate, transfer or assign, by operation of law or otherwise, this Licence, or your rights or obligations under it without Magic Leap's prior written consent, and any attempt to do so is void. This Licence binds any permitted successors or assignees and you must present this Licence to any permitted assignee. 13. SPECIAL TERMS AND CONDITIONS FOR INTERNATIONAL JURISDICTIONS Hello, International Friends! These special terms set forth additional rights and supplemental terms that may apply to our relationship. If there is a provision in the standard Licence that is inconsistent with these special terms, the applicable special terms for your jurisdiction will apply.

European Union

General. The following special terms apply to all residents of the United Kingdom (UK) or the European Union ("EU Customers"):

● This Licence shall not limit any of our obligations or your rights under applicable data protection or other laws that cannot be limited by contract.

● Nothing in this Licence will limit your rights to reverse engineering for the purpose of achieving interoperability with other programs where permitted without consent by mandatory law.

● Please be advised that the following terms constitute "key" terms between you and Magic Leap: Sections 1, 2 and 10.

● The laws of the US State of California will continue to apply to our relationship, subject to any applicable mandatory local law. You may bring a legal action relating to these terms or your relationship with Magic Leap in either the state or federal courts located in Santa Clara County, California, USA, or in the courts located in your country of residence. In other words, the choice of where to bring your action is up to you.

● If you are not happy with the way that Magic Leap deals with any disagreement in connection with this Licence, we may collectively agree to refer the matter to a form of dispute resolution (including as described in the Arbitration Agreement in the Account Terms), but neither of us are restricted from bringing court proceedings. In other words, the Arbitration Agreement in the Account Terms is optional, not mandatory. The European Commission provides for an online dispute resolution platform, which you can access here: http://ec.europa.eu/consumers/odr/. France. If you are an EU Customer who is a resident of France, the following special terms also apply:

● Pursuant to Article L213-1 of the French Consumer Code, you are entitled to request access to all agreements entered into with you for a value of €120 or more. Your right to access such agreements may be exercised at any time by contacting [email protected].

● With respect to the Lumin Software, you may benefit from the statutory warranty of conformity and the statutory warranty against latent defects regarding such Lumin Software (capitalised terms used below are defined in the applicable statute):

o Statutory warranty of conformity: As per Articles L217-4 to L217-14 of the Consumer Code, the Customer has two years from the delivery of the product to obtain a repair or replacement of the Product (subject to cost considerations as detailed under Article L217-9 of the Consumer Code).

o Statutory warranty against latent defects: As per Articles 1641 to 1649 of the Civil Code, the Customer has two years from the discovery of the defect to claim a return of the product. The Customer will have to prove that the defect existed when the Customer purchased the product. Germany. If you are an EU Customer who is a resident of Germany, the following special terms also apply:

● Sections 7 (Disclaimer of Warranty) and 8 (Limitation of Liability) will be replaced by the following clauses:

o In cases of slight negligence, we will not be liable in the case of a breach of non-material contractual obligations. In such cases, as well as in cases of gross negligence, our liability will be limited to typical foreseeable damages. This limitation does not apply to the extent that damages have been caused by our managing employees or legal representatives.

● Please note that according to Section 36 (1) VSGB (German Consumer Dispute Settlement Act), we are not obliged or willing to participate in dispute settlement proceedings before a consumer arbitration board.

Magic Leap ne vous cède aucun droit, titre ou intérêt relatifs au logiciel Lumin. 2.2 Vous n'êtes pas autorisé à effectuer l'une des actions suivantes, ni à en donner l'autorisation à un tiers : (a) effectuer des copies du logiciel Lumin ; (b) contourner ou outrepasser les limitations techniques ou les mesures de protection du logiciel Lumin ou encore interférer avec celles-ci ; (c) modifier, adapter, altérer, louer, prêter ou distribuer le logiciel Lumin ou l'utiliser dans le cadre d'une prestation de services ou au bénéfice d'un tiers ; (d) décompiler, traduire, désassembler ou essayer d'extraire tout ou partie du code source du logiciel Lumin, ou encore réaliser des opérations de rétro-ingénierie sur celui-ci (excepté dans la mesure permise par la législation en vigueur) ; (e) créer des œuvres dérivées ou fusionnées à partir du logiciel Lumin ou en séparer les parties constitutives ; (f) saisir, charger, transmettre ou fournir, de quelque manière que ce soit, dans le logiciel Lumin ou par le biais de celui-ci toute information, tout matériel ou code illégaux ou malveillants ; (g) altérer ou supprimer toute mention de droits de propriété ou légende concernant le logiciel Lumin ou contenue dans celui-ci ; (h) utiliser le logiciel Lumin dans des environnements dangereux nécessitant des mesures de sécurité intégrée, y compris, mais sans s'y limiter, l'exploitation d'installations nucléaires, de systèmes de navigation aérienne ou de systèmes de communication, du contrle du trafic aérien, de machines de maintien de la vie ou de systèmes d'armement (collectivement dénommée « utilisation restreinte ») ; ou (i) utiliser le logiciel Lumin pour le développement, la fourniture ou l'utilisation d'un service ou d'un logiciel concurrent.

4. DOCUMENTS DE TIERS 4.1 Le logiciel Lumin peut contenir des documents de tiers soumis à des conditions générales distinctes. En ce qui concerne les documents de tiers qui ne sont pas des logiciels open source (comme définis dans les présentes), seules lesdites conditions générales, et non la présente licence, les régissent. 5.2 Certains services Magic Leap accessibles depuis votre Appareil, liés à celui-ci ou qui y sont affichés peuvent ne pas être disponibles dans toutes les langues, dans tous les pays ou dans toutes les régions. Dans la mesure o vous choisissez d'utiliser lesdits services Magic Leap ou d'y accéder à l'aide de votre Appareil, vous êtes tenu de vous conformer aux lois en vigueur.

6. RESILIATION

La présente licence prend effet à la date de la première installation ou utilisation du logiciel Lumin et demeure en vigueur jusqu'à ce que Magic Leap la résilie à sa seule discrétion. Sans préjudice de tout autre droit de Magic Leap, la présente licence sera automatiquement résiliée sans préavis si vous ne respectez pas les obligations qui y sont établies. En cas de résiliation de la présente licence : (a) votre licence d'utilisation du logiciel Lumin est résiliée ; (b) vous devez immédiatement cesser d'utiliser le logiciel Lumin ; (c) vous devez restituer, détruire ou supprimer, comme indiqué par Magic Leap, toutes les copies du logiciel Lumin présentes sur votre Appareil. Ces recours sont cumulables et s'ajoutent à tout autre recours dont dispose Magic Leap ; et (d) les dispositions suivantes continuent à s'appliquer : Documents de tiers, Résiliation, Exclusion de garantie, Limitation de responsabilité, Utilisateurs finaux du gouvernement des Etats-Unis, Restrictions d'exportation, Droit applicable et arbitrage, ainsi que Généralités.

LES INFORMATIONS OU CONSEILS ORAUX OU ECRITS FOURNIS PAR MAGIC LEAP, SES CONCEDANTS, FOURNISSEURS, DISTRIBUTEURS, REPRESENTANTS OU EMPLOYES N'ETENDENT PAS LA PORTEE DE LADITE GARANTIE. MAGIC LEAP NE GARANTIT PAS QUE LE LOGICIEL LUMIN REPONDRA A VOS BESOINS, DONNERA DES RESULTATS PARTICULIERS OU FONCTIONNERA SANS ERREURS. LES FONCTIONNALITES ET LE FONCTIONNEMENT DU LOGICIEL LUMIN PEUVENT CHANGER A TOUT MOMENT. MAGIC LEAP REJETTE TOUTE RESPONSABILITE CONCERNANT D'EVENTUELLES MODIFICATIONS A CET EGARD. LE LOGICIEL LUMIN N'EST PAS CONCU POUR UNE UTILISATION RESTREINTE (COMME DEFINI DANS LA SECTION 2.2 CI-DESSUS), ET MAGIC LEAP N'OFFRE AUCUNE GARANTIE POUR CE GENRE D'UTILISATION.

LES RECLAMATIONS MULTIPLES N'ETENDENT PAS CETTE LIMITATION. LES LIMITATIONS, EXCLUSIONS ET RENONCIATIONS SUSMENTIONNEES S'APPLIQUENT DANS LA MESURE PERMISE PAR LA LEGISLATION EN VIGUEUR NONOBSTANT L'ECHEC DE TOUT AUTRE RECOURS EU EGARD A SON BUT ESSENTIEL. 9. UTILISATEURS FINAUX DU GOUVERNEMENT DES ETATS-UNIS Lorsqu'il est acquis par le gouvernement des Etats-Unis, le logiciel Lumin est classé comme « logiciel commercial » (« Commercial Computer Software ») et est soumis à des droits restreints, tels qu'ils sont définis dans les réglementations américaines FAR 52.227-19 et DFARS 227-7202. La présente licence régit l'utilisation et la divulgation du logiciel Lumin par le gouvernement des Etats-Unis et se substitue à toute condition contradictoire, sauf dans la mesure o une condition serait contraire à la législation fédérale des Etats-Unis. Si le gouvernement des Etats-Unis exige des droits qui ne sont pas garantis dans le cadre de la présente licence, ces droits seront négociés séparément et seront définis dans une licence écrite séparée ou dans une annexe écrite jointe à la présente licence.

10. RESTRICTIONS A L'EXPORTATION Vous vous conformerez à toutes les lois américaines ou autres lois en vigueur en matière de contrle des exportations et relatives à l'exportation d'articles, de logiciels ou de technologies, notamment en vous assurant : (a) qu'aucun équipement, qu'aucune donnée technique ou que le logiciel Lumin ne sont ni exportés ni réexportés vers un pays ou transmis à une personne ou une organisation violant tout contrle des exportations ou toute sanction des Etats-Unis ou tout autre contrle ou toute autre sanction en vigueur ; ou (b) que tout élément reçu de la part de Magic Leap n'est pas utilisé ou réexporté pour une utilisation interdite par les lois des Etats-Unis ou toute autre loi en vigueur en matière de contrle des exportations. En outre, vous déclarez et garantissez que (y) vous ne vous trouvez pas dans un pays sous le coup de sanctions du gouvernement des Etats-Unis ou qualifié par ce dernier comme étant un pays « soutenant le terrorisme » et que (z) vous n'avez pas été identifié comme une partie sanctionnée par le Bureau américain du contrle des actifs étrangers (U.S. Office of Foreign Assets Control) ou par toute autre liste de sanctions en vigueur ou de personnes visées par des restrictions établie par toute autre agence gouvernementale. Vous vous engagez à ne pas utiliser le logiciel Lumin si des lois en vigueur dans votre pays vous interdisent de le faire en vertu des présentes conditions.

11. DROIT APPLICABLE ET ARBITRAGE La présente licence est régie par les lois de l'Etat de Californie et interprétée conformément à celles-ci, sans égard aux dispositions relatives aux conflits de lois. En cas de litige découlant de la présente licence ou lié à l'utilisation que vous faites du logiciel Lumin, vous acceptez expressément que ledit litige soit exclusivement régi par les dispositions relatives à l'arbitrage et à la renonciation aux recours collectifs définies dans les conditions générales du compte, qui sont disponibles à l'adresse http://www.magicleap.com/account-terms (ci-après les « conditions du compte »), sauf dans la mesure permise par les conditions spéciales vis-à-vis de nos amis internationaux. Veuillez lire attentivement les dispositions relatives à l'arbitrage et à la renonciation aux recours collectifs afin de comprendre vos droits. Il convient de noter que différentes conditions relatives au droit applicable et à la résolution des litiges peuvent s'appliquer à nos amis internationaux. Veuillez consulter les conditions spéciales spécifiques à votre juridiction ci-dessous. La Convention des Nations Unies sur les contrats de vente internationale de marchandises ne s'applique pas à la présente licence.

12. GENERALITES Si l'une des dispositions de la présente licence est jugée illégale, nulle ou inapplicable, la validité des dispositions restantes ne saurait en être affectée, ces dispositions restant en vigueur et de plein effet. La présente licence ainsi que les conditions du compte constituent l'intégralité de l'accord conclu entre Magic Leap et vous, concernant votre utilisation du logiciel Lumin, et se substituent à toute déclaration ou tout accord antérieurs oraux ou écrits. En cas de conflit entre les conditions de la présente licence et les conditions du compte concernant le logiciel Lumin, celles de la présente licence prévalent. Le non-respect par l'une ou l'autre des parties d'une disposition de la présente licence ne saurait être interprété comme une renonciation continue à ladite disposition ou à toute autre disposition. Les dispositions de la présente licence, par leur nature, demeurent en vigueur et de plein effet, y compris après la résiliation de la présente licence. Vous n'êtes pas autorisé à déléguer, transférer ou céder, en vertu de la loi ou de quelque manière que ce soit, la présente licence ou vos droits ou obligations en vertu de celle-ci sans l'accord écrit préalable de Magic Leap, toute tentative de le faire étant nulle et non avenue. La présente licence lie tout successeur ou cessionnaire autorisé, et vous devez la présenter à tout cessionnaire autorisé.

13. CONDITIONS GENERALES SPECIALES POUR LES JURIDICTIONS INTERNATIONALES Bonjour, chers amis internationaux ! Les présentes conditions spéciales définissent des droits et conditions supplémentaires pouvant s'appliquer à la relation que nous entretenons. o Garantie légale contre les vices cachés : conformément aux articles 1641 à 1649 du Code civil, le Client a deux ans à compter de la découverte du vice pour demander le retour du produit. Le Client doit prouver que le vice existait lors de l'achat du produit.

Allemagne. Si vous êtes un client de l'UE résidant en Allemagne, les conditions spéciales suivantes s'appliquent également :

● Les sections 7 (Exclusion de garantie) et 8 (Limitation de responsabilité) sont remplacées par les clauses suivantes :

o Aucune disposition du présent contrat ne doit être considérée comme une promesse de garantie, sauf mention contraire. Magic Leap exclut spécifiquement toute garantie portant sur les défauts initiaux conformément au paragraphe 536a (1) du Code civil allemand.

o En cas de négligence légère, nous ne saurions être tenus pour responsables en cas de violation d'obligations contractuelles non substantielles. In diesem Fall gelten die separaten Bedingungen ausschließlich fr die jeweilige Lumin-Software-Komponente oder -Anwendung. Wenn die separaten Bestimmungen nicht mit der Lumin-Software-Komponente oder -Anwendung geliefert werden, sind sie mglicherweise in der HINWEISE-Datei der Lumin-Software zu finden. „Lumin-Software” bezeichnet einzeln oder zusammen: (a) die Lumin-Betriebssystem-Software auf Ihrem Gerät; (b) alle Anwendungen, die auf Ihrem Gerät vorinstalliert sind; (c) bestimmte OSS (definiert in Abschnitt 4 unten); und (d) die gesamte zugehrige Dokumentation. Zur Klarstellung wird angemerkt, dass alle Anwendungen, auf die von Magic Leap World zugegriffen wird und die heruntergeladen werden, sowie alle Inhalte, Produkte, Dienste oder Materialien, auf die ber diese Anwendungen zugegriffen wird, separaten Bedingungen unterliegen. 1.2 Magic Leap gewährt Ihnen hiermit eine persnliche, widerrufbare (nach Belieben), eingeschränkte, nicht bertragbare, nicht in Unterlizenz zu vergebende und nicht exklusive Lizenz zur Verwendung der Lumin- Software auf Ihrem Gerät, auf dem sie geliefert wird, oder, falls die Lumin-Software nicht auf einem Gerät, einem einzelnen Computer geliefert wird, ausschließlich zum Zweck der Installation der Lumin-Software auf einem einzelnen Gerät, fr das sie vorgesehen ist. Sie haben keine weiteren Rechte an der Lumin-Software. 1.3 Magic Leap kann von Zeit zu Zeit Updates fr die Lumin-Software bereitstellen, und die Lumin- Software stellt mglicherweise automatisch eine Verbindung zu Magic Leap oder Servern von Drittanbietern ber das Internet her, um nach verfgbaren Updates zu suchen, und kann entweder: (a) das Update zu der Version der von Ihnen verwendeten Lumin-Software automatisch auf Ihrem Gerät installieren; oder (b) Ihnen die Mglichkeit geben, die Updates manuell zu installieren. Durch die Installation der Lumin-Software und das Nichtdeaktivieren einer automatischen Suche nach Updates stimmen Sie zu, Updates automatisch von Magic Leap oder Servern von Drittanbietern anzufordern und zu erhalten, und erklären sich damit einverstanden, dass diese Lizenz fr alle solche Updates gilt, sofern keine separaten Bestimmungen festgelegt sind. In diesem Fall gelten diese separaten Bedingungen ausschließlich. Magic Leap fordert Sie auf, diese Updates herunterzuladen, zu installieren und zu verwenden, um Ihr Gerät optimal zu nutzen. Wenn Sie ein Update nicht installieren und verwenden, knnen Probleme mit Verzgerungen, Unterbrechungen, Leistung oder Sicherheit auftreten. Bestimmte Updates sind obligatorisch (z. B. Magic Leap berträgt Ihnen keine Rechte an der Lumin-Software. 2.2 Folgendes ist Ihnen nicht gestattet und darf von Ihnen auch keinen Dritten gestattet werden: (a) Archivkopien der Lumin-Software zu erstellen; (b) technische Beschränkungen oder Softwareschutzmaßnahmen in der Lumin-Software zu umgehen, zu beeinträchtigen, zu berschreiten oder zu umgehen; (c) die Lumin- Software zu modifizieren, anzupassen, zu verändern, zu vermieten, zu verleasen, zu verleihen oder zu verteilen oder die Lumin-Software im Betrieb eines Dienstleistungsunternehmens oder zum Vorteil eines Dritten zu verwenden; (d) die Software rckzuentwickeln, zu dekompilieren, zu bersetzen, zu disassemblieren oder anderweitig zu versuchen, einen Quellcode der Lumin-Software abzuleiten (außer sofern gesetzlich zulässig); (e) abgeleitete oder zusammengefhrte Werke der Lumin-Software zu erstellen oder die Komponenten der Lumin- Software zu separieren; (f) ungesetzliche oder bswillige Informationen, Materialien oder Codes in oder ber die Lumin-Software einzugeben, hochzuladen, zu bertragen oder anderweitig bereitzustellen; (g) Eigentumsrechtshinweise oder Legenden auf oder in der Lumin-Software zu ändern oder zu entfernen; (h) die Lumin-Software in gefährlichen Umgebungen, die eine ausfallsichere Leistungen erfordern, zu verwenden, insbesondere, aber nicht ausschließlich, der Betrieb von nuklearen Einrichtungen, Flugzeugnavigation oder Kommunikationssystemen, Flugverkehrskontrolle, direkten lebenserhaltenden Maschinen oder Waffensystemen (zusammen „eingeschränkte Nutzung”) oder (i) die Lumin-Software fr die Entwicklung, Bereitstellung oder Nutzung eines konkurrierenden Softwaredienstes oder -produkts zu verwenden.

Bitte lesen Sie unsere Datenschutzrichtlinien sorgfältig durch, damit Sie verstehen, wie wir Daten, die wir ber Sie erfassen, verwenden und weitergeben.

4. MATERIALIEN VON DRITTEN 4.1 Die Lumin-Software kann Materialien von Dritten enthalten, die separaten Geschäftsbedingungen unterliegen. In Bezug auf Materialien von Dritten, die keine OSS (wie hierin definiert) sind, gelten ausschließlich diese separaten Bedingungen und nicht diese Lizenz fr solche Materialien von Dritten. „OSS” bezeichnet Software und Materialien, die von ihrem Lizenzgeber unter einer Lizenz (einer „OSS-Lizenz”) als „freie Software”, „Open-Source-Software” oder unter ähnlichen Lizenz- oder Vertriebsbedingungen vertrieben werden. Dementsprechend umfassen OSS-Lizenzen insbesondere die MIT-Open-Source-Lizenz, die BSD-Open- Source-Lizenz, die Apache-Softwarelizenz, die General Public License, die Lesser General Public License und die Eclipse Public License. 4.2 Teile der Lumin-Software enthalten OSS-Software und -Materialien von Drittanbietern oder werden daraus abgeleitet. Die von Magic Leap im Rahmen einer OSS-Lizenz erhaltene OSS, die die Unterlizenzierung im Rahmen dieser Lizenz zulässt, wird von Magic Leap gemäß den Bedingungen dieser Lizenz an Sie unterlizenziert. OSS, die von Magic Leap im Rahmen einer OSS-Lizenz erhalten wird, die keine Unterlizenzierung im Rahmen dieser Lizenz zulässt, wird Ihnen direkt vom OSS-Lizenzgeber lizenziert. Von Magic Leap von OSS erstellte abgeleitete Werke, die von Magic Leap unter einer OSS-Lizenz erhalten wurden, die die Lizenzierung solcher abgeleiteten Werke im Rahmen dieser Lizenz erlaubt, werden von Magic Leap gemäß den Bedingungen dieser Lizenz lizenziert. Von Magic Leap von OSS erstellte abgeleitete Werke, die von Magic Leap unter einer OSS-Lizenz erhalten wurden und die die Lizenzierung solcher abgeleiteten Werke im Rahmen dieser Lizenz nicht zulassen, werden von Magic Leap gemäß den Bedingungen der OSS-Lizenz lizenziert (z. Wenn Sie diese Einstellung aktivieren und Anwendungen verwenden, die mit Zertifikaten von Drittanbietern signiert sind, geschieht dies auf Ihr eigenes Risiko, und Sie sind allein fr diese Verwendung verantwortlich. MAGIC LEAP UND SEINE LIZENZGEBER LEHNEN IM GESETZLICH ZULÄSSIGEN UMFANG AUSDRÜCKLICH SÄMTLICHE SCHRIFTLICHEN, AUSDRÜCKLICHEN, STILLSCHWEIGENDEN, GESETZLICHEN ODER SONSTIGEN GEWÄHRLEISTUNGEN AB, EINSCHLIESSLICH, ABER NICHT BESCHRÄNKT AUF STILLSCHWEIGENDE GEWÄHRLEISTUNGEN DER MARKTGÄNGIGKEIT, DER NICHTVERLETZUNG VON RECHTEN UND DER EIGNUNG FÜR EINEN BESTIMMTEN ZWECK ODER IM ZUSAMMENHANG MIT DER LEISTUNGSERBRINGUNG, DER ABWICKLUNG ODER DEM HANDELSBRAUCH IN BEZUG AUF DIE NUTZUNG VON DIGITALEN ZERTIFIKATEN. 5.2 Bestimmte Magic-Leap-Dienste, auf die auf Ihrem Gerät zugegriffen werden kann, die mit diesem verknpft sind oder auf diesem angezeigt werden, sind mglicherweise nicht in allen Sprachen oder in allen Ländern oder Regionen verfgbar. MAGIC LEAP UND SEINE LIZENZGEBER GEBEN IM GESETZLICH ZULÄSSIGEN RAHMEN KEINE ZUSICHERUNGEN UND LEHNEN AUSDRÜCKLICH ALLE AUSDRÜCKLICHEN, STILLSCHWEIGENDEN, GESETZLICHEN ODER ANDERWEITIGEN GEWÄHRLEISTUNGEN AB, DASS DIESE MAGIC-LEAP-DIENSTE AN EINEM BESTIMMTEN ORT ZWECKMÄSSIG ODER VERFÜGBAR SIND. Sofern Sie sich fr die Nutzung oder den Zugriff auf diese Magic-Leap-Dienste ber Ihr Gerät entscheiden, sind Sie fr die Einhaltung aller geltenden Gesetze verantwortlich.

6. BEENDIGUNG

Diese Lizenz gilt ab dem Datum, an dem Sie die Lumin-Software erstmals installiert oder verwendet haben, und bleibt bestehen, bis sie von Magic Leap nach eigenem Ermessen beendet wird. Unbeschadet anderer Rechte von Magic Leap endet diese automatisch ohne Vorankndigung, wenn Sie Ihren Verpflichtungen aus dieser Lizenz nicht nachkommen. Bei Beendigung dieser Lizenz: (a) endet Ihre Lizenz zur Verwendung der Lumin- Software; (b) mssen Sie die Verwendung der Lumin-Software unverzglich einstellen; (c) mssen Sie alle Kopien der Lumin-Software nach Anweisung von Magic Leap zurckgeben, vernichten oder von Ihrem Gerät lschen. Diese Rechte sind kumulativ und gelten zusätzlich zu allen anderen fr Magic Leap verfgbaren Rechten und (d) zudem gelten weiterhin die folgenden Bestimmungen: Materialien von Drittanbietern, Beendigung, Gewährleistungsausschlsse, Haftungsbeschränkung, Endbenutzer der US-Regierung, Exportbeschränkungen, Anwendbares Recht und Schiedsverfahren sowie Allgemeines.

7. GEWÄHRLEISTUNGSAUSSCHLUSS VORSORGLICH WIRD ANGEMERKT, DASS NICHTS IN DIESER LIZENZ, EINSCHLIESSLICH DIESES ABSCHNITTS 7, DIE HAFTUNG BESCHRÄNKT ODER AUSSCHLIESST, DIE NACH GELTENDEM RECHT NICHT BESCHRÄNKT ODER AUSGESCHLOSSEN WERDEN KANN. SOWEIT NACH GELTENDEM RECHT ZULÄSSIG, STELLT MAGIC LEAP DIE LUMIN-SOFTWARE „WIE BESEHEN” UND „WIE VERFÜGBAR” MIT ALLEN FEHLERN UND OHNE ZUSICHERUNGEN ODER GEWÄHRLEISTUNGEN JEGLICHER ART ZUR VERFÜGUNG. MAGIC LEAP UND SEINE LIZENZGEBER LEHNEN AUSDRÜCKLICH SÄMTLICHE SCHRIFTLICHEN, AUSDRÜCKLICHEN, STILLSCHWEIGENDEN, GESETZLICHEN ODER SONSTIGEN GEWÄHRLEISTUNGEN AB, EINSCHLIESSLICH, ABER NICHT BESCHRÄNKT AUF STILLSCHWEIGENDE GEWÄHRLEISTUNGEN DER MARKTGÄNGIGKEIT, DER NICHTVERLETZUNG VON RECHTEN UND DER EIGNUNG FÜR EINEN BESTIMMTEN ZWECK ODER IM ZUSAMMENHANG MIT DER LEISTUNGSERBRINGUNG, DER ABWICKLUNG ODER DEM HANDELSBRAUCH. MÜNDLICHE ODER SCHRIFTLICHE INFORMATIONEN ODER RATSCHLÄGE, DIE VON MAGIC LEAP, SEINEN LIZENZGEBERN, ZULIEFERERN, VERTRIEBSPARTNERN, AGENTEN ODER MITARBEITERN BEREITGESTELLT WERDEN, ERHÖHEN DEN UMFANG DIESER GARANTIE NICHT. MAGIC LEAP GARANTIERT NICHT, DASS DIE LUMIN-SOFTWARE IHREN ANFORDERUNGEN ENTSPRICHT, BESTIMMTE ERGEBNISSE ERZIELT ODER FEHLERFREI FUNKTIONIERT. IN EINIGEN LÄNDERN SIND DER AUSSCHLUSS BESTIMMTER GEWÄHRLEISTUNGEN, ZUSICHERUNGEN ODER BEDINGUNGEN, DIE BESCHRÄNKUNG ODER DER AUSSCHLUSS STILLSCHWEIGENDER GEWÄHRLEISTUNGEN, DIE EINSCHRÄNKUNG DER DAUER EINER STILLSCHWEIGENDEN GEWÄHRLEISTUNG, DIE EINSCHRÄNKUNG ODER BESCHRÄNKUNG FÜR FOLGE- ODER BEILÄUFIG ENTSTANDENE SCHÄDEN NICHT ZULÄSSIG, SO DASS EINIGE BESCHRÄNKUNGEN MÖGLICHERWEISE NICHT VOLLSTÄNDIG AUF SIE ZUTREFFEND SIND, UND DIE HAFTUNG VON MAGIC LEAP IST IM GESETZLICH ZULÄSSIGEN UMFANG BESCHRÄNKT.

HAFTUNGSBESCHRÄNKUNG IM MAXIMAL NACH GELTENDEM RECHT ZULÄSSIGEN UMFANG (A) HAFTEN MAGIC LEAP ODER UNSERE LIZENZGEBER IHNEN ODER DRITTEN GEGENÜBER UNTER KEINEN UMSTÄNDEN FÜR ENTGANGENE GEWINNE, NUTZUNGSAUSFÄLLE, VERLUSTE VON UMSÄTZEN, VERLUSTE VON GOODWILL, VERLUSTE ODER BESCHÄDIGUNGEN VON DATEN, BETRIEBSUNTERBRECHUNGEN ODER SYSTEMSTÖRUNGEN ODER FÜR INDIREKTE, SPEZIELLE, ZUFÄLLIGE SCHÄDEN ODER FOLGESCHÄDEN IM ZUSAMMENHANG MIT DIESER LIZENZ ODER DER LUMIN-SOFTWARE, UND ZWAR UNABHÄNGIG VON DER ART DER HANDLUNG, OB VERTRAGLICHE ODER UNERLAUBTE HANDLUNG (EINSCHLIESSLICH FAHRLÄSSIGKEIT), VERSCHULDENSUNABHÄNGIGE HAFTUNG ODER ANDERWEITIG, SELBST WENN MAGIC LEAP VON DER MÖGLICHKEIT SOLCHER SCHÄDEN IN KENNTNIS GESETZT WURDE ODER SICH DIESER ANDERWEITIG BEWUSST IST, ODER (B) ÜBERSTEIGT DIE GESAMTHAFTUNG VON MAGIC LEAP IM ZUSAMMENHANG MIT DIESER LIZENZ KEINESFALLS DEN JEWEILS HÖHEREN DER FOLGENDEN BETRÄGE: (i) DEN VON IHNEN AN MAGIC LEAP GEZAHLTEN GESAMTBETRAG FÜR DAS GERÄT (FALLS ZUTREFFEND); ODER (ii) EINHUNDERT DOLLAR (100 $). DURCH MEHRERE ANSPRÜCHE WIRD DIESE EINSCHRÄNKUNG NICHT ERWEITERT. DIE VORSTEHENDEN EINSCHRÄNKUNGEN, AUSSCHLÜSSE UND HAFTUNGSAUSSCHLÜSSE GELTEN IN DEM NACH GELTENDEM RECHT MAXIMAL ZULÄSSIGEN UMFANG, SELBST WENN EINE ABHILFE IHREN WESENTLICHEN ZWECK VERFEHLT. DIE VORSTEHENDEN HAFTUNGSBESCHRÄNKUNGEN GELTEN IM GESETZLICH MAXIMAL ZULÄSSIGEN UMFANG. DIE OBEN GENANNTEN SCHADENSERSATZBESCHRÄNKUNGEN SIND GRUNDLEGENDE BESTANDTEILE DER VERHANDLUNG ZWISCHEN MAGIC LEAP UND IHNEN. DIE VORSTEHENDE HAFTUNGSBEGRENZUNG GILT NICHT FÜR DIE HAFTUNG VON MAGIC LEAP FÜR (A) TOD ODER PERSONENSCHÄDEN, DIE DURCH GROBE FAHRLÄSSIGKEIT VON MAGIC LEAP IN VERBINDUNG MIT DER LUMIN-SOFTWARE VERURSACHT WURDEN; ODER (B) SCHÄDEN, DIE DURCH BETRUG ODER BETRÜGERISCHE FALSCHDARSTELLUNG, VORSÄTZLICHES FEHLVERHALTEN ODER GROBE FAHRLÄSSIGKEIT VERURSACHT WURDEN.

9. ENDBENUTZER DER US-REGIERUNG Lumin-Software, die von der US-Regierung erworben wurde, ist als „Commercial Computer Software” klassifiziert und wird mit eingeschränkten Rechten gemäß der Definition dieses Begriffs in FAR 52.227-19 und DFARS 227-7202 bereitgestellt. Diese Lizenz regelt die Verwendung und Offenlegung der Lumin-Software durch die US-Regierung und ersetzt alle entgegenstehenden Bedingungen, es sei denn, eine Bestimmung stimmt nicht mit dem US-Bundesrecht berein. Wenn die US-Regierung Rechte bentigt, die nicht im Rahmen dieser Lizenz gewährt werden, werden diese Rechte separat verhandelt und in einer separaten schriftlichen Lizenz oder in einem schriftlichen Nachtrag zu dieser Lizenz dargelegt.

10. EXPORTBESCHRÄNKUNGEN Sie verpflichten sich, alle US-amerikanischen oder anderen geltenden Exportkontrollgesetze bezglich des Exports von Artikeln, Software oder Technologie einzuhalten, einschließlich der Gewährleistung, dass: (a) keine Geräte, technische Daten oder Lumin-Software in ein Land, an eine Person oder ein Unternehmen exportiert oder reexportiert werden, das/die gegen US-amerikanische oder andere geltende Exportkontrollen oder Sanktionen verstßt; und/oder (b) dass von Magic Leap empfangene Daten nicht fr eine verbotene Verwendung gemäß den US-amerikanischen oder anderen geltenden Exportkontrollgesetzen verwendet oder reexportiert werden. Darber hinaus sichern Sie zu und gewährleisten, dass Sie (y) nicht in einem Land ansässig sind, das Sanktionen der US-Regierung unterliegt oder von der US-Regierung als ein Land mit Untersttzung fr Terroristen eingestuft wurde, und (z) nicht als sanktionierte Partei vom U.S. Office of Foreign Assets Control oder anderen geltenden Sanktionen oder Listen von verweigerten Personen durch eine andere zuständige Behrde bestimmt wurden. Sie drfen die Lumin-Software nicht verwenden, wenn in Ihrem Land geltende Gesetze Ihnen dies gemäß diesen Bedingungen untersagen.

11. GELTENDES RECHT UND SCHIEDSVERFAHREN Diese Lizenz unterliegt den Gesetzen des US-Bundesstaates Kalifornien und wird gemäß diesen ausgelegt, und zwar ohne Rckgriff auf die Bestimmungen des Kollisionsrechts. Im Falle von Streitigkeiten im Zusammenhang mit dieser Lizenz oder in sonstiger Weise im Zusammenhang mit Ihrer Verwendung der Lumin-Software erklären Sie sich ausdrcklich damit einverstanden, dass alle diese Streitigkeiten ausschließlich den Bestimmungen zum Gerichtsstand und der Vereinbarung zur Schiedsgerichtsbarkeit und zum Verzicht auf Sammelklagen in den Geschäftsbedingungen des Kontos unterliegen, die unter http://www.magicleap.com/account-terms zu finden sind (die „Kontonutzungsbedingungen”), sofern nicht in den Sonderbestimmungen bezglich unserer internationalen Freunde etwas anderes dargelegt ist. Bitte lesen Sie die Vereinbarung zur Schiedsgerichtsbarkeit und zum Verzicht auf Sammelklagen sorgfältig durch und stellen Sie sicher, dass Sie Ihre Rechte verstehen. In Bezug auf unsere internationalen Freunde wird darauf hingewiesen, dass mglicherweise andere Bedingungen in Bezug auf geltendes Recht und Streitbeilegung gelten – bitte lesen Sie sich die Sonderbestimmungen fr Ihr Land unten durch. Das Übereinkommen der Vereinten Nationen ber Verträge ber den internationalen Warenkauf gilt nicht fr diese Lizenz.

12. ALLGEMEINES Sollte eine Bestimmung der Lizenz fr rechtswidrig, ungltig oder nicht durchsetzbar befunden werden, so wird die Gltigkeit der brigen Bestimmungen nicht berhrt und im vollen Umfang des geltenden Rechts durchgesetzt. Diese Lizenz enthält zusammen mit den Kontonutzungsbedingungen die gesamte Vereinbarung zwischen Ihnen und Magic Leap bezglich Ihrer Verwendung der Lumin-Software und ersetzt alle vorherigen mndlichen oder schriftlichen Zusicherungen oder Vereinbarungen. Bei Widersprchen zwischen den Bedingungen dieser Lizenz und den Kontonutzungsbedingungen bezglich der Lumin-Software haben die Bestimmungen dieser Lizenz Vorrang. Die unterlassene Durchsetzung einer Bestimmung dieser Lizenz durch eine der Parteien ist nicht als fortlaufender Verzicht auf diese Bestimmungen oder eine andere Bestimmung auszulegen. Die Bestimmungen dieser Lizenz, die ihrer Natur nach ber die Beendigung dieser Lizenz hinaus in Kraft bleiben sollten, bleiben in Kraft. Sie drfen diese Lizenz oder Ihre Rechte oder Pflichten aus selbiger nicht ohne die vorherige schriftliche Zustimmung von Magic Leap bertragen oder abtreten, und jeder Versuch, dies zu tun, ist nichtig. Diese Lizenz bindet alle zulässigen Nachfolger oder Abtretungsempfänger, und Sie mssen diese Lizenz jedem zulässigen Abtretungsempfänger vorlegen.

13. SONDERBESTIMMUNGEN FÜR DAS AUSLAND Hallo internationale Freunde! Diese Sonderbestimmungen enthalten zusätzliche Rechte und ergänzende Bedingungen, die fr unsere Beziehung gelten knnen. Wenn es in der Standardlizenz eine Bedingung gibt, die nicht mit diesen Sonderbestimmungen bereinstimmt, finden die fr Ihr Land geltenden Sonderbestimmungen Anwendung.

Europäische Union

Allgemeines. Die folgenden Sonderbestimmungen gelten fr alle Einwohner Großbritanniens oder der Europäischen Union („EU-Kunden”):

● Diese Lizenz beschränkt keine unserer Verpflichtungen oder Ihrer Rechte im Rahmen des geltenden Datenschutzes oder anderer Gesetze, die nicht durch den Vertrag beschränkt werden knnen.

● Nichts in dieser Lizenz schränkt Ihr Recht auf Reverse Engineering ein, um die Interoperabilität mit anderen Programmen zu erreichen, sofern dies ohne Zustimmung durch zwingendes Recht zulässig ist.

● Bitte beachten Sie, dass die folgenden Bestimmungen zwischen Ihnen und Magic Leap „Schlsselbestimmungen” darstellen: Abschnitte 1, 2 und 10.

● Die Gesetze des US-Bundesstaates Kalifornien gelten weiterhin fr unsere Beziehung, vorbehaltlich aller geltenden lokalen Gesetze. Sie knnen in Santa Clara County, Kalifornien, oder bei den Gerichten Ihres Wohnsitzlandes Klage in Bezug auf diese Bedingungen oder Ihre Beziehung zu Magic Leap erheben. Mit anderen Worten: Sie knnen selbst entscheiden, wo Sie Klage erheben mchten.

● Wenn Sie mit der Art und Weise, wie Magic Leap mit einer Unstimmigkeit in Verbindung mit dieser Lizenz umgeht, nicht einverstanden sind, knnen wir die Angelegenheit gemeinsam auf eine Form der Streitbeilegung verweisen (einschließlich wie in der Schiedsvereinbarung in den Kontonutzungsbedingungen beschrieben), wobei es keiner Partei untersagt ist, ein Gerichtsverfahren einzuleiten. Mit anderen Worten: Die Schiedsvereinbarung in den Kontonutzungsbedingungen ist optional, nicht obligatorisch. Frankreich. Wenn Sie ein EU-Kunde mit Wohnsitz in Frankreich sind, gelten die folgenden Sonderbestimmungen:

● Sie sind gemäß Artikel L. 213-1 der franzsischen Verbraucherschutzordnung berechtigt, Zugang zu allen mit Ihnen abgeschlossenen Verträgen im Wert von mindestens 120 € zu beantragen. Ihr Recht auf Zugriff auf solche Verträge kann jederzeit unter [email protected] ausgebt werden.

● Im Hinblick auf die Lumin-Software knnen Sie von der gesetzlichen Konformitätsgewährleistung und der gesetzlichen Gewährleistung fr latente Mängel in Bezug auf diese Lumin-Software profitieren (die nachstehenden Begriffe sind in den geltenden Gesetzen definiert):

o Gesetzliche Konformitätsgewährleistung: Gemäß den Artikeln L217-4 bis L217-14 der Verbraucherschutzordnung hat der Kunde zwei Jahre ab Lieferung des Produkts Zeit, um eine Reparatur oder einen Ersatz des Produkts zu erhalten (vorbehaltlich der in Artikel L217-9 der Verbraucherschutzordnung aufgefhrten Kostenaspekte).

o Gesetzliche Gewährleistung fr latente Mängel: Gemäß den Artikeln 1641 bis 1649 des Zivilgesetzbuchs hat der Kunde zwei Jahre ab Entdeckung des Mangels Zeit, um eine Rckgabe des Produkts zu beantragen. Der Kunde muss nachweisen, dass der Mangel beim Kauf des Produkts durch den Kunden vorgelegen hat.

Deutschland. Wenn Sie ein EU-Kunde mit Wohnsitz in Deutschland sind, gelten die folgenden Sonderbestimmungen:

● Abschnitte 7 (Gewährleistungsausschluss) und 8 (Haftungsbeschränkung) werden durch die folgenden Klauseln ersetzt:

o Keine Bestimmung dieses Vertrags sollte als Versprechen einer Garantie verstanden werden, es sei denn, sie wird ausdrcklich als solche bezeichnet. Magic Leap schließt ausdrcklich eine Garantie fr anfängliche Mängel gemäß § 536a Abs. 1 des Brgerlichen Gesetzbuchs aus. o Bei einer leichten Fahrlässigkeit haften wir nicht fr den Fall einer Verletzung nicht wesentlicher Vertragspflichten. In solchen Fällen sowie bei grober Fahrlässigkeit beschränkt sich unsere Haftung auf typische vorhersehbare Schäden. Diese Einschränkung gilt nicht, sofern Schäden durch unsere leitenden Mitarbeiter oder gesetzlichen Vertreter verursacht wurden. o Unsere Haftung fr Vorsatz und grobe Fahrlässigkeit fr Ansprche aus dem deutschen Produkthaftungsgesetz bleibt im Fall einer betrgerischen Verschleierung von Mängeln oder einer Garantie in Bezug auf Eigenschaften sowie fr Schäden an Leben, Krper oder Gesundheit unberhrt und wird ausschließlich nach dem gesetzlichen Recht bestimmt.

● Bitte beachten Sie, dass wir gemäß § 36 Abs. 1 VSGB (deutsches Verbraucherstreitbeilegungsgesetz) nicht verpflichtet oder bereit sind, vor einem Verbraucherschiedsausschuss an einem Schlichtungsverfahren teilzunehmen.

Spanien. Wenn Sie ein EU-Kunde mit Wohnsitz in Spanien sind, gelten die folgenden Sonderbestimmungen:

1. LICENCIA DEL SOFTWARE LUMIN Y ACTUALIZACIONES 1.1 En esta Licencia se cubre el uso de todo el Software Lumin, a menos que algn componente o aplicacin concretos del mismo esté acompaado de términos independientes. En ese caso, los términos independientes regirán nicamente el componente o la aplicacin del Software Lumin correspondiente. Si los términos independientes no acompaan al componente o la aplicacin del Software Lumin, se pueden encontrar en el archivo NOTIFICACIONES del Software Lumin. "Software Lumin" significa, de manera individual o colectiva: (a) el Software Lumin OS de su Dispositivo; (b) todas las aplicaciones preinstaladas en su Dispositivo; (c) algunos OSS (definidos en la seccin 4 que aparece a continuacin); y (d) toda la documentacin relacionada. 2. RESERVA DE DERECHOS Y RESTRICCIONES 2.1 El Software Lumin se otorga bajo licencia y no se vende. 3. 4. MATERIALES DE TERCEROS 4.1 El Software Lumin puede contener materiales de terceros que están sujetos a términos y condiciones independientes. En lo que respecta a materiales de terceros que no sean OSS (como se define en este documento), esos términos independientes, pero no esta Licencia, regirán nicamente dichos materiales de terceros. "OSS" significa software y materiales distribuidos por su licenciante en virtud de una licencia (una "licencia OSS") como "software libre", "software de cdigo abierto" o en el marco de términos similares de licencia o distribucin. En consecuencia, las licencias OSS incluyen, entre otras, la licencia de cdigo abierto MIT, la licencia de cdigo abierto BSD, la licencia de software Apache, la licencia pblica general, la licencia pblica general menor y la licencia pblica Eclipse. 4.2 Algunas partes del Software Lumin contienen o se derivan de software OSS y materiales de terceros. Los OSS recibidos por Magic Leap en virtud de una licencia OSS que sí permite la sublicencia en virtud de esta Licencia son sublicenciados por Magic Leap conforme a los términos y condiciones de esta Licencia. 5. CERTIFICADOS; SERVICIOS 5.1 El Software Lumin cuenta con configuraciones que permiten aceptar certificados digitales emitidos por terceros que no sean Magic Leap. Si opta por habilitar esta configuracin y utilizar aplicaciones firmadas con certificados emitidos por un tercero, lo hace bajo su propio riesgo y usted será el nico responsable de dicho uso. EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE, MAGIC LEAP Y SUS LICENCIANTES RENUNCIAN EXPRESAMENTE A TODAS LAS GARANTÍAS, YA SEAN ESCRITAS, EXPRESAS, IMPLÍCITAS, ESTATUTARIAS U OTRAS, INCLUIDAS, ENTRE OTRAS, GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, NO INFRACCIÓN, ADECUACIÓN PARA UN FIN ESPECÍFICO O DERIVADAS DEL TRANSCURSO DEL RENDIMIENTO, DEL TRANSCURSO DE LAS NEGOCIACIONES O DEL USO DEL COMERCIO CON RESPECTO AL USO DE CERTIFICADOS DIGITALES. 5.2 Es posible que algunos servicios de Magic Leap a los que se puede acceder en el Dispositivo, así como vincularlos o mostrarlos en él, no estén disponibles en todos los idiomas o en todos los países o regiones. En la medida en que decida utilizar o acceder a dichos servicios de Magic Leap desde el Dispositivo, usted será el responsable de cumplir con las leyes aplicables.

6. FINALIZACIÓN

Esta Licencia entrará en vigor en la fecha en que instale o utilice el Software Lumin por primera vez, y continuará a menos y hasta que Magic Leap la cancele a su exclusivo criterio. Sin perjuicio de otros derechos de Magic Leap, esta Licencia finaliza automáticamente sin previo aviso si no cumple con sus obligaciones indicadas en la misma. Al finalizar esta Licencia: (a) la Licencia de uso del Software Lumin finaliza; (b) debe detener inmediatamente el uso del Software Lumin; (c) debe devolver, destruir o eliminar, segn lo indique Magic Leap, todas las copias del Software Lumin del Dispositivo. 7. EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE, MAGIC LEAP PROPORCIONA EL SOFTWARE LUMIN "TAL CUAL" Y "EN FUNCIÓN DE SU DISPONIBILIDAD" CON TODOS LOS FALLOS Y SIN NINGUNA DECLARACIÓN NI GARANTÍA DE NINGÚN TIPO. MAGIC LEAP Y SUS LICENCIANTES RENUNCIAN EXPRESAMENTE A TODAS LAS GARANTÍAS, YA SEAN ESCRITAS, EXPRESAS, IMPLÍCITAS, ESTATUTARIAS U OTRAS, INCLUIDAS, ENTRE OTRAS, GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, NO INFRACCIÓN, ADECUACIÓN PARA UN FIN ESPECÍFICO O DERIVADAS DEL TRANSCURSO DEL RENDIMIENTO, DEL TRANSCURSO DE LAS NEGOCIACIONES O DEL USO DEL COMERCIO. LA INFORMACIÓN ORAL O ESCRITA PROPORCIONADA POR MAGIC LEAP, SUS LICENCIANTES, PROVEEDORES, DISTRIBUIDORES, AGENTES O EMPLEADOS NO AUMENTARÁ EL ALCANCE DE ESTA GARANTÍA. MAGIC LEAP NO GARANTIZA QUE EL SOFTWARE LUMIN CUMPLA CON SUS REQUISITOS, OBTENGA RESULTADOS PARTICULARES NI FUNCIONE SIN ERRORES. LAS CARACTERÍSTICAS Y FUNCIONES DEL SOFTWARE LUMIN PUEDEN CAMBIAR EN CUALQUIER MOMENTO, Y MAGIC LEAP RECHAZA LA RESPONSABILIDAD POR DICHOS CAMBIOS. ALGUNAS JURISDICCIONES NO PERMITEN LA EXCLUSIÓN DE DETERMINADAS GARANTÍAS, DECLARACIONES O CONDICIONES, LA LIMITACIÓN O EXCLUSIÓN DE GARANTÍAS IMPLÍCITAS, LIMITACIONES SOBRE LA DURACIÓN DE UNA GARANTÍA IMPLÍCITA O EXCLUSIONES O LIMITACIONES POR DAÑOS CONSECUENTES O INCIDENTALES, ASÍ QUE ES POSIBLE QUE ALGUNAS DE LAS LIMITACIONES ANTERIORES NO SE APLIQUEN POR COMPLETO PARA USTED, Y LA RESPONSABILIDAD DE MAGIC LEAP SE LIMITARÁ EN LA MEDIDA EN QUE LAS LIMITACIONES ESTÉN PERMITIDAS POR LA LEY.

8. LIMITACIÓN DE RESPONSABILIDAD EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE, (A) MAGIC LEAP O NUESTROS LICENCIANTES NO RESPONDERÁN ANTE USTED O CUALQUIER TERCERO POR PÉRDIDAS DE GANANCIAS, PÉRDIDAS DE USO, PÉRDIDAS DE INGRESOS, PÉRDIDAS DE BUEN NOMBRE, PÉRDIDAS O CORRUPCIÓN DE DATOS, INTERRUPCIÓN COMERCIAL, FALLOS O MAL FUNCIONAMIENTO DEL SISTEMA, NI POR CUALQUIER DAÑO INDIRECTO, ESPECIAL, INCIDENTAL, EJEMPLAR, PUNITIVO O CONSECUENTE DE CUALQUIER TIPO QUE SURJA O QUE ESTÉ RELACIONADO CON ESTA LICENCIA O EL SOFTWARE LUMIN, INDEPENDIENTEMENTE DE LA FORMA DE ACCIÓN, YA SEA EN CONTRATO, PERJUICIO (INCLUIDAS NEGLIGENCIAS), RESPONSABILIDAD ESTRICTA U OTRAS, INCLUSO SI SE HA NOTIFICADO A MAGIC LEAP O ES CONSCIENTE DE LA POSIBILIDAD DE DICHOS DAÑOS; O (B) LA RESPONSABILIDAD TOTAL DE MAGIC LEAP DERIVADA O RELACIONADA CON ESTA LICENCIA EXCEDE (i) LA CANTIDAD TOTAL PAGADA POR USTED A MAGIC LEAP POR EL DISPOSITIVO (SI LO HUBIERA); O (ii) CIEN DÓLARES ESTADOUNIDENSES (100 USD). LAS RECLAMACIONES MÚLTIPLES NO SE EXTENDERÁN A ESTA LIMITACIÓN. LAS LIMITACIONES, EXCLUSIONES Y EXENCIONES DE RESPONSABILIDAD ANTERIORES SE APLICARÁN EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE, INCLUSO SI ALGÚN RECURSO NO SIRVE PARA SU PROPÓSITO PRINCIPAL. LAS LIMITACIONES DE RESPONSABILIDAD ANTERIORES SE APLICAN EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY. 9. USUARIOS FINALES DEL GOBIERNO DE EE. UU. El Software Lumin adquirido por el gobierno de EE. UU. se clasifica como "Software informático comercial" y se le otorgan derechos restringidos tal como se define ese término en FAR 52.227-19 y DFARS 227-7202. 10. RESTRICCIONES DE EXPORTACIÓN El usuario cumplirá con todas las leyes de control de exportaciones estadounidenses u otras relacionadas con la exportacin de artículos, software o tecnología, incluida la garantía de que: (a) ningn equipo, datos técnicos o Software Lumin se exporte ni reexporte a ningn país, persona o entidad en incumplimiento de los controles o sanciones de exportacin de estadounidenses aplicables u otros; o (b) nada de lo recibido de Magic Leap se utilice ni reexporte para un uso prohibido segn las leyes de control de exportaciones estadounidenses u otras. 11. LEY APLICABLE Y ARBITRAJE Esta Licencia se regirá e interpretará de acuerdo con las leyes del Estado de California sin recurrir a sus disposiciones sobre conflictos de leyes. Alemania. Si usted es un cliente de la UE que reside en Alemania, también se aplican los siguientes términos especiales:

● Las secciones 7 (Renuncia de garantía) y 8 (Limitacin de responsabilidad) se reemplazarán por las siguientes cláusulas:

o Ninguna disposicin de este acuerdo se debe entender como una promesa de garantía, excepto si se nombra específicamente como tal. Magic Leap excluye específicamente una garantía por defectos iniciales de conformidad con la seccin 536a (1) del Cdigo Civil alemán.

o En casos de negligencia leve, no seremos responsables del incumplimiento de obligaciones contractuales no materiales. 4. MATERIALI DI TERZE PARTI 4.1 Il Software Lumin pu contenere materiali di terze parti soggetti a termini e condizioni separati. Per quanto riguarda i materiali di terze parti non OSS (come di seguito definiti), tali materiali di terze parti saranno regolamentati esclusivamente dai termini separati, e non dalla presente Licenza. Le opere derivate create da Magic Leap dai materiali OSS ricevuti dalla stessa Magic Leap con una licenza OSS che ne consente la concessione in sublicenza ai sensi della presente Licenza sono concesse in sublicenza da Magic Leap in base ai termini e alle condizioni della presente Licenza. Le opere derivate create da Magic Leap dai materiali OSS ricevuti dalla stessa Magic Leap con una licenza OSS che non ne consente la concessione in sublicenza ai sensi della presente Licenza sono concesse in sublicenza da Magic Leap come stabilito dai termini della licenza OSS (ad es. all'utente da Magic Leap in base alla stessa licenza OSS). 4.3. Nella misura massima consentita da eventuali materiali di terze parti, o da qualsiasi licenza OSS, Magic Leap fornisce tali materiali di terze parti, OSS e/o opere derivate "così come sono", senza garanzie di alcun tipo, esplicite o implicite, ivi comprese a titolo esemplificativo le garanzie di commerciabilità, idoneità per uno scopo specifico e non violazione. In nessun caso, Magic Leap potrà essere ritenuta responsabile per eventuali reclami, danni o altre responsabilità, in un'azione di contratto, illecito o altro, derivante da o correlata a tali materiali di terze parti, OSS e/o opere derivate, nonché per l'utilizzo o altre attività riferibili a tali materiali di terze parti, OSS e/o opere derivate. Fatto salvo quanto sopra, nessuna disposizione della presente sezione potrà limitare o escludere eventuali responsabilità che non possono essere limitate o escluse ai sensi della legge applicabile. Per informazioni sugli Amici internazionali, consultare le disposizioni specifiche per la propria giurisdizione nei termini speciali.

5. CERTIFICATI E SERVIZI 5.1 Il Software Lumin presenta impostazioni che consentono di accettare certificati digitali emessi da terze parti diverse da Magic Leap. Se l'utente sceglie di attivare questa impostazione e usa le applicazioni firmate tramite certificati emessi da terzi, se ne assume il rischio ed è l'unico responsabile di tale utilizzo. NELLA MISURA MASSIMA CONSENTITA DALLA LEGGE APPLICABILE, MAGIC LEAP E I RELATIVI CONCESSORI DI LICENZA ESCLUDONO ESPRESSAMENTE TUTTE LE GARANZIE, SCRITTE, ESPLICITE, IMPLICITE, DI LEGGE O DI ALTRO TIPO, IVI COMPRESE LE GARANZIE IMPLICITE DI COMMERCIABILITÀ, NON VIOLAZIONE E IDONEITÀ PER UNO SCOPO SPECIFICO O DERIVANTI DAL CORSO DELLE PRESTAZIONI, TRATTATIVE O USI COMMERCIALI NEL RISPETTO DELL'USO DEI CERTIFICATI DIGITALI. 5.2 Alcuni servizi Magic Leap accessibili, collegati o visualizzati sul Dispositivo potrebbero non essere disponibili in tutte le lingue o in tutti i Paesi o le regioni. NELLA MISURA MASSIMA CONSENTITA DALLA LEGGE APPLICABILE, MAGIC LEAP E I RELATIVI CONCESSORI DI LICENZA NON RILASCIANO ALCUNA DICHIARAZIONE ED ESCLUDONO ESPRESSAMENTE TUTTE LE GARANZIE, SCRITTE, ESPLICITE, IMPLICITE, DI LEGGE O DI ALTRO TIPO, IN RELAZIONE ALL'IDONEITÀ DI TALI SERVIZI MAGIC LEAP O ALLA LORO DISPONIBILITÀ PER L'USO IN SEDI SPECIFICHE. Nella misura in cui l'utente decida di utilizzare o accedere a tali servizi Magic Leap dal proprio Dispositivo, è responsabile della conformità con le leggi applicabili.

6. RISOLUZIONE

La presente Licenza è valida a partire dalla data della prima installazione o utilizzo del Software Lumin e continua a essere valida fino a e salvo rescissione da parte di Magic Leap, a sua esclusiva discrezione. Fatto salvo qualsiasi altro diritto di Magic Leap, tale Licenza terminerà automaticamente senza preavviso in caso di mancato rispetto degli obblighi previsti dalla stessa. Alla risoluzione della presente Licenza: (a) la Licenza per l'utilizzo del Software Lumin si considera terminata; (b) l'utente deve interrompere immediatamente l'uso del Software Lumin; (c) l'utente deve restituire, distruggere o eliminare, come indicato da Magic Leap, tutte le copie del Software Lumin dal Dispositivo. Tali rimedi sono cumulativi e aggiuntivi rispetto a qualsiasi altro rimedio disponibile per Magic Leap e (d) continueranno a essere applicabili anche le seguenti disposizioni: materiali di terze parti, risoluzione, esclusioni di garanzia, limitazione di responsabilità, utenti finali del governo degli Stati Uniti, limitazioni all'esportazione, arbitrato e legge applicabile e disposizioni generali.

7. ESCLUSIONE DI GARANZIA A SCANSO DI EQUIVOCI, NESSUNA PARTE DI QUESTA LICENZA, COMPRESA LA PRESENTE SEZIONE 7, POTRÀ LIMITARE O ESCLUDERE EVENTUALI RESPONSABILITÀ CHE NON POSSONO ESSERE LIMITATE O ESCLUSE AI SENSI DELLA LEGGE APPLICABILE. NELLA MISURA MASSIMA CONSENTITA DALLA LEGGE APPLICABILE, MAGIC LEAP FORNISCE IL SOFTWARE LUMIN "COSÌ COM'È" E "COME DISPONIBILE", CON TUTTI I DIFETTI E SENZA ALCUNA DICHIARAZIONE O GARANZIA DI ALCUN TIPO. MAGIC LEAP E I RELATIVI CONCESSORI DI LICENZA ESCLUDONO ESPRESSAMENTE TUTTE LE GARANZIE, SCRITTE, ESPLICITE, IMPLICITE, DI LEGGE O DI ALTRO TIPO, IVI COMPRESE LE GARANZIE IMPLICITE DI COMMERCIABILITÀ, NON VIOLAZIONE E IDONEITÀ PER UNO SCOPO SPECIFICO O DERIVANTI DAL CORSO DELLE PRESTAZIONI, TRATTATIVE O USI COMMERCIALI. LE INFORMAZIONI O GLI AVVISI ORALI O SCRITTI FORNITI DA MAGIC LEAP, DAI RELATIVI CONCESSORI DI LICENZA, FORNITORI, DISTRIBUTORI, AGENTI O DIPENDENTI NON ESTENDERANNO L'AMBITO DI APPLICAZIONE DELLA PRESENTE GARANZIA. MAGIC LEAP NON GARANTISCE CHE IL SOFTWARE LUMIN SODDISFERÀ LE ESIGENZE DELL'UTENTE, RAGGIUNGERÀ RISULTATI SPECIFICI O FUNZIONERÀ SENZA ERRORI. LE CARATTERISTICHE E FUNZIONALITÀ DEL SOFTWARE LUMIN POSSONO SUBIRE VARIAZIONI IN QUALSIASI MOMENTO E MAGIC LEAP DECLINA QUALSIASI RESPONSABILITÀ PER TALI MODIFICHE. Il SOFTWARE LUMIN NON È PROGETTATO PER UN USO LIMITATO (COME DEFINITO NELLA SEZIONE 2.2 DI CUI SOPRA) E NON FORNISCE ALCUNA GARANZIA IN RELAZIONE A TALE USO. ALCUNE GIURISDIZIONI NON CONSENTONO L'ESCLUSIONE DI DETERMINATE GARANZIE, DICHIARAZIONI O CONDIZIONI, LA LIMITAZIONE O L'ESCLUSIONE DI GARANZIE IMPLICITE, LIMITAZIONI SULLA DURATA DELLA GARANZIA IMPLICITA OPPURE ESCLUSIONI O LIMITAZIONI PER DANNI CONSEQUENZIALI O ACCIDENTALI, PERTANTO ALCUNE LIMITAZIONI DI CUI SOPRA POTREBBERO NON ESSERE APPLICABILI NELLA MISURA MASSIMA. IN TAL CASO, LA RESPONSABILITÀ DI MAGIC LEAP SARÀ LIMITATA NELLA MISURA IN CUI TALI LIMITAZIONI SONO CONSENTITE DALLA LEGGE.

8. LIMITAZIONE DI RESPONSABILITÀ NELLA MISURA MASSIMA CONSENTITA DALLA LEGGE APPLICABILE, IN NESSUN CASO (A) MAGIC LEAP O I RELATIVI CONCESSORI DI LICENZA POTRANNO ESSERE RITENUTI RESPONSABILI NEI CONFRONTI DELL'UTENTE O DI TERZI PER EVENTUALI PERDITE DI PROFITTI, PERDITE DI UTILIZZO, PERDITE DI RICAVI, PERDITE O DANNEGGIAMENTI DI DATI, INTERRUZIONI AZIENDALI O MALFUNZIONAMENTI O GUASTI DEL SISTEMA OPPURE PER DANNI INDIRETTI, SPECIALI, ACCIDENTALI, ESEMPLARI, PUNITIVI O CONSEQUENZIALI DI ALCUN TIPO, DERIVANTI DA O RIFERIBILI ALLA PRESENTE LICENZA O AL SOFTWARE LUMIN, INDIPENDENTEMENTE DALLA FORMA DI AZIONE, SIA PER CONTRATTO, ILLECITO (COMPRESA LA NEGLIGENZA), RESPONSABILITÀ OGGETTIVA O ALTRO, ANCHE NEL CASO IN CUI MAGIC LEAP SIA STATA INFORMATA O SIA COMUNQUE CONSAPEVOLE DELLA POSSIBILITÀ DI DETTI DANNI; OPPURE (B) LA RESPONSABILITÀ TOTALE DI MAGIC LEAP, DERIVANTE DA O RIFERIBILE ALLA PRESENTE LICENZA, POTRÀ ESSERE SUPERIORE A: (i) L'IMPORTO TOTALE CORRISPOSTO DALL'UTENTE A MAGIC LEAP PER IL DISPOSITIVO (SE PREVISTO); O (ii) CENTO DOLLARI AMERICANI ($100). TALE LIMITAZIONE NON SARÀ AMPLIATA IN PRESENZA DI PIÙ RICHIESTE. LE SUDDETTE LIMITAZIONI, ESCLUSIONI E LIBERATORIE SI APPLICANO ALLA MISURA MASSIMA CONSENTITA DALLA LEGGE APPLICABILE, ANCHE NEL CASO IN CUI UN RIMEDIO NON ABBIA ESITO POSITIVO. LE SUDDETTE LIMITAZIONI DI RESPONSABILITÀ SONO APPLICABILI NELLA MISURA MASSIMA CONSENTITA DALLA LEGGE. LE LIMITAZIONI DI DANNI SOPRA STABILITE COSTITUISCONO ELEMENTI FONDAMENTALI DEL CONTRATTO TRA MAGIC LEAP E L'UTENTE. IL LIMITE DI RESPONSABILITÀ SOPRA DEFINITO NON SI APPLICA ALLA RESPONSABILITÀ DI MAGIC LEAP PER (A) LESIONI PERSONALI O DECESSO CAUSATI DA NEGLIGENZA GRAVE DI MAGIC LEAP RIFERIBILE AL SOFTWARE LUMIN; O (B) EVENTUALI DANNI CAUSATI DA FRODE O DICHIARAZIONE FRAUDOLENTA, CATTIVA CONDOTTA INTENZIONALE O NEGLIGENZA GRAVE DI MAGIC LEAP.

9. UTENTI FINALI DEL GOVERNO DEGLI STATI UNITI Il Software Lumin acquisito dal governo degli Stati Uniti è classificato come "Software commerciale per computer" ed è fornito con diritti limitati, come definito in FAR 52.227-19 e DFARS 227-7202. La presente Licenza regola l'uso e la divulgazione da parte del governo degli Stati Uniti del Software Lumin e sostituisce eventuali termini o condizioni in conflitto, salvo nel caso in cui qualsiasi termine o condizione sia incoerente con le leggi federali degli Stati Uniti. Qualora il governo degli Stati Uniti richieda eventuali diritti che non sono conferiti ai sensi della presente Licenza, tali diritti verranno negoziati separatamente e verranno definiti in una licenza scritta separata o in un'appendice scritta alla presente Licenza.

10. RESTRIZIONI ALL'ESPORTAZIONE L'utente si impegna a rispettare tutte le leggi applicabili in materia di controllo delle esportazioni degli Stati Uniti o di altri Paesi, in relazione all'esportazione di articoli, software o tecnologie, garantendo quanto segue: (a) nessuna apparecchiatura, dato tecnico o Software Lumin potrà essere esportato o riesportato verso alcun Paese, persona o entità in violazione alle sanzioni o controlli sull'esportazione applicabili negli Stati Uniti o in altri Paesi; e/o (b) qualsiasi articolo ricevuto da Magic Leap non verrà utilizzato o riesportato per un utilizzo vietato ai sensi delle leggi applicabili in materia di controllo delle esportazioni negli Stati Uniti o in altri Paesi. Inoltre, l'utente dichiara e garantisce di (y) non essere residente in un Paese soggetto a sanzioni del governo degli Stati Uniti o designato dal governo degli Stati Uniti come "Paese che sostiene il terrorismo" e (z) non essere stato identificato come parte sanzionata dall'Ufficio per il controllo dei beni esteri (OFAC, Office of Foreign Assets Control) degli Stati Uniti o in virt di altre sanzioni applicabili né negli elenchi di persone respinte da parte di altre agenzie governative applicabili. L'utente si impegna a non utilizzare il Software Lumin in presenza di eventuali leggi nazionali applicabili che ne vietino l'uso in conformità con i presenti termini. 11. LEGGE APPLICABILE E ARBITRATO La presente Licenza sarà disciplinata e interpretata in conformità con le leggi dello Stato della California, senza ricorso alle sue norme sul conflitto di leggi. In caso di controversie ai sensi della presente Licenza o in altro modo correlate all'uso del Software Lumin da parte dell'utente, quest'ultimo accetta espressamente che tutte le controversie siano regolate esclusivamente dalla sede e dalle disposizioni del Contratto di arbitrato e Rinuncia alle class action dei Termini e condizioni dell'account, disponibili all'indirizzo http://www.magicleap.com/account-terms ("Termini dell'account"), ad eccezione di quanto previsto nei termini speciali per gli Amici internazionali. Leggere attentamente il Contratto di arbitrato e la Rinuncia alle class action per comprendere i diritti dell'utente. Per gli Amici internazionali, potrebbero essere applicabili termini differenti riguardanti le leggi vigenti e la risoluzione delle controversie. Consultare i termini speciali specifici della propria giurisdizione di seguito. La Convenzione delle Nazioni Unite sui Contratti per la vendita internazionale di beni non si applica alla presente Licenza.

12. CONSIDERAZIONI GENERALI Qualora una delle disposizioni della Licenza venga ritenuta illegale, non valida o non applicabile, la validità delle restanti disposizioni non verrà compromessa e verrà applicata nella massima misura della legge applicabile. La presente Licenza, insieme ai Termini dell'account, contiene l'intero accordo tra l'utente e Magic Leap in merito all'utilizzo del Software Lumin da parte dell'utente e sostituisce qualsiasi precedente dichiarazione o accordo, orale o scritto. In caso di conflitto tra i termini della presente Licenza e i Termini dell'account in relazione al Software Lumin, prevarranno i Termini della presente Licenza. Il mancato rispetto di una delle parti di qualsiasi disposizione stabilita nella presente Licenza non potrà essere interpretato come una rinuncia continuativa a tali disposizioni o a qualsiasi altra disposizione. Le disposizioni della presente Licenza che, per loro natura, dovrebbero continuare a essere valide oltre il termine della Licenza resteranno in vigore. L'utente non potrà delegare, trasferire o assegnare, per legge o in altro modo, la presente Licenza, né i diritti o gli obblighi dell'utente in virt di essa, senza il previo consenso scritto di Magic Leap e qualsiasi tentativo in tal senso sarà considerato nullo. La presente Licenza vincola tutti gli eventuali successori o cessionari e l'utente dovrà presentare la Licenza a ogni assegnatario autorizzato.

13. TERMINI E CONDIZIONI SPECIALI PER LE GIURISDIZIONI INTERNAZIONALI Salve Amici internazionali! I presenti termini speciali stabiliscono ulteriori diritti e termini supplementari applicabili al rapporto di questi utenti con Magic Leap. Qualora nella Licenza standard sia presente una disposizione non conforme a tali termini speciali, saranno applicati i termini speciali applicabili per la giurisdizione dell'utente.

Unione Europea

Considerazioni generali. I seguenti termini speciali si applicano a tutti gli utenti residenti nel Regno Unito (Regno Unito) o nell'Unione Europea ("Clienti UE"):

● La presente Licenza non limita alcun obbligo o diritto dell'utente ai sensi della protezione dei dati applicabile o di altre leggi che non possono essere limitate per contratto.

● Nulla di questa Licenza limiterà i diritti dell'utente ad eseguire il reverse engineering allo scopo di ottenere l'interoperabilità con altri programmi, laddove consentito senza il consenso della legge obbligatoria.

● I seguenti termini rappresentano i termini "chiave" tra l'utente e Magic Leap: sezioni 1, 2 e 10.

● Le leggi dello Stato della California continueranno a essere applicabili al rapporto con gli Amici internazionali, nel rispetto di qualsiasi legge locale obbligatoria applicabile. L'utente pu intraprendere un'azione legale relativa a questi termini o al suo rapporto con Magic Leap nei tribunali statali o federali della Contea di Santa Clara, California, o nei tribunali situati nel proprio Paese di residenza. In altre parole, la scelta della sede dell'azione legale dipende dall'utente.

● Qualora l'utente non sia soddisfatto del modo in cui Magic Leap gestisce le controversie in relazione alla presente Licenza, è possibile concordare collettivamente di deferire la questione in un'altra forma di risoluzione delle controversie (come descritto nel Contratto di arbitrato dei Termini dell'account), ma nessuna delle parti sarà soggetta a restrizioni per l'esecuzione di procedimenti giudiziari. In altre parole, il Contratto di arbitrato dei Termini dell'account è facoltativo e non obbligatorio. La Commissione europea fornisce una piattaforma online per la risoluzione delle controversie, alla quale è possibile accedere al seguente indirizzo: http://ec.europa.eu/consumers/odr/. Per sottoporre una questione all'attenzione di Magic Leap, inviare un'e-mail all'indirizzo [email protected].

Francia. Se l'utente è un cliente UE residente in Francia, si applicano anche i seguenti termini speciali:

● Ai sensi dell'articolo L. 213-1 del Codice dei consumatori francese, l'utente ha diritto a richiedere l'accesso a tutti gli accordi stipulati con l'utente stesso per un valore di €120 o superiore. Il diritto dell'utente ad accedere a tali accordi potrà essere esercitato in qualsiasi momento contattando [email protected].

● Per quanto riguarda il Software Lumin, l'utente pu beneficiare della garanzia di conformità legale e della garanzia legale contro difetti latenti relativi al Software Lumin (i termini riportati di seguito in maiuscolo sono definiti nello statuto applicabile):

o Garanzia legale di conformità: secondo quanto stabilito negli articoli da L217-4 a L217-14 del Codice dei consumatori, il Cliente ha due anni di tempo a partire dalla consegna del prodotto per ottenere una riparazione o una sostituzione del prodotto (subordinatamente alle considerazioni sui costi riportate nell'articolo L217-9 del Codice dei consumatori).

o Garanzia legale contro difetti latenti: secondo quanto stabilito negli articoli da 1641 a 1649 del Codice civile, il Cliente ha due anni di tempo a partire dalla scoperta del difetto per richiedere la restituzione del prodotto. Il Cliente dovrà dimostrare che il difetto esisteva al momento dell'acquisto del prodotto.

Germania. Se l'utente è un cliente UE residente in Germania, si applicano anche i seguenti termini speciali:

● Le sezioni 7 (Esclusione di garanzia) e 8 (Limitazione di responsabilità) saranno sostituite dalle seguenti clausole:

o Nessuna disposizione del presente contratto deve essere intesa come una promessa di garanzia, salvo ove espressamente indicata come tale. Magic Leap esclude specificatamente una garanzia per i difetti iniziali in conformità alla sezione 536a (1) del Codice civile tedesco.

o In caso di lieve negligenza, non saremo responsabili di violazione di obblighi contrattuali non sostanziali. In tali casi, così come nei casi di grave negligenza, la nostra responsabilità sarà limitata ai danni prevedibili tipici. Questa limitazione non si applica nella misura in cui i danni siano stati causati dai nostri responsabili o rappresentanti legali.

o La nostra responsabilità in caso di premeditazione e grave negligenza, per richieste di risarcimento ai sensi del Product Liability Act tedesco, nel caso di occultamento fraudolento di difetti o garanzia in relazione alle caratteristiche e per danni derivanti da lesioni alla vita, all'integrità fisica e alla salute, rimarrà invariata e sarà determinata esclusivamente in conformità alla legge vigente.

● Tenere presente che, in base alla sezione 36 (1) del VSGB (Legge tedesca sulla composizione delle controversie per i consumatori), non siamo obbligati né disposti a partecipare a procedimenti per la risoluzione delle controversie dinanzi a un collegio arbitrale per i consumatori.

Spagna. Se l'utente è un cliente UE residente in Spagna, si applicano anche i seguenti termini specifici:

● Magic Leap non limita né esclude alcuna responsabilità per i prodotti difettosi ai sensi degli articoli da 128 a 134 della Legge a tutela dei consumatori spagnola.

Regno Unito. Se l'utente è un cliente UE residente nel Regno Unito, si applicano anche i seguenti termini speciali:

● Magic Leap non limita né esclude alcuna responsabilità per i prodotti difettosi ai sensi del Consumer Protection Act del 1987. RIEPILOGO DEGLI AVVISI

Laddove gli autori delle dipendenze abbiano fornito una documentazione incompleta o incoerente, sono state fatte deduzioni con lo scopo di dare effetto all'intento desiderato dell'autore della dipendenza. Parte della documentazione sulla conformità pu essere disponibile nel software stesso.

Laddove licenze di terze parti richiedono che venga offerta la possibilità di ottenere il codice sorgente pertinente, in conformità con i termini della licenza di terze parti, è possibile contattare Magic Leap per ricevere tale copia.
