ORDER IN COUNCIL/DÉCRET ______The Crown Corporations Act, 1993 ______26 March 2002 [O.C.243/2002] TO THE HONOURABLE THE LIEUTENANT GOVERNOR IN COUNCIL The undersigned has the honour to report that: 1 The Crown Corporations Act, 1993 provides, in part, as follows: 14(1) The Lieutenant Governor in Council may create a Treasury Board Crown corporation to establish, administer, operate or manage any business, commercial or other activity or program that the Lieutenant Governor in Council may prescribe. (2) A Treasury Board Crown corporation is a corporation. (3) A Treasury Board Crown corporation consists of one or more persons appointed for the purpose by the Lieutenant Governor in Council. (4) Every person appointed pursuant to this section as a member of a Treasury Board Crown corporation holds his or her office at pleasure for a term not greater than three years and, notwithstanding the expiry of his or her term, continues to hold office until his or her successor is appointed. (5) When creating a Treasury Board Crown corporation, the Lieutenant Governor in Council shall: (a) prescribe the objects and purposes that the Treasury Board Crown corporation shall meet; (b) prescribe the powers that the Treasury Board Crown corporation may exercise; and (c) fix the fiscal year of the Treasury Board Crown corporation. 18 The head office of every Crown corporation and of every designated subsidiary Crown corporation is to be at any location in Saskatchewan that the Lieutenant Governor in Council may designate. 23(1) A board of directors, consisting of those persons who constitute a Crown corporation or designated subsidiary Crown corporation, shall manage the affairs and business of the Crown corporation or designated subsidiary Crown corporation. (4) The Lieutenant Governor in Council shall designate one member of the board of a Treasury Board Crown corporation as the chairperson of the board of the Treasury Board Crown corporation and may designate one other member of the board as vice- chairperson. 27 Notwithstanding sections 25 and 26, the Lieutenant Governor in Council may designate employees of a Treasury Board Crown corporation as employees to whom The Public Service Act, The Public Service Superannuation Act and The Superannuation (Supplementary Provisions) Act are to apply. 31(4) Where the purchase price or sale price of real property included in one transaction entered into by the Crown corporation or designated subsidiary Crown corporation exceeds the amount fixed by the Lieutenant Governor in Council, the Crown corporation or designated subsidiary Crown corporation shall obtain the approval of the Lieutenant Governor in Council before the purchase or sale. 33(3) The Provincial Auditor or any other auditor or firm of auditors appointed by the Lieutenant Governor in Council for a Treasury Board Crown corporation shall audit the records, accounts and financial statements of the Treasury Board Crown corporation annually and at any other time that the Lieutenant Governor in Council may require. 41(1) Subject to the approval of the Lieutenant Governor in Council, a Crown corporation may borrow, within the borrowing limitation prescribed by section 43, by way of temporary loans from any chartered bank, trust corporation licensed pursuant to The Trust and Loan Corporations Act, 1997 or credit union incorporated or continued pursuant to The Credit Union Act, 1998 or from any person, any moneys, on any terms and conditions and for any purpose that the Crown corporation may determine: (a) by way of bank overdraft or line of credit; (b) by the pledging, as security for those temporary loans, of notes, bonds, debentures or other securities of the Crown corporation pending their sale or in place of the selling of them; or (c) in any other manner that the Crown corporation may determine. 43(1) Neither the Minister of Finance nor a Crown corporation may borrow any moneys by the issue and sale of bonds, debentures or other securities or by way of temporary loans or otherwise, under the authority of this Act, where that borrowing would cause the aggregate principal amount of the outstanding bonds, debentures or other securities and the outstanding temporary loans of the Crown corporation to exceed the sum fixed by the Lieutenant Governor in Council unless the borrowing is for the purpose of paying in whole or in part any indebtedness previously incurred for the purpose of this Act. 45(1) A Crown corporation may, from time to time: (a) invest any part of the capital or operating moneys of the Crown corporation in any security or class of securities that is authorized: (i) for the investment of moneys in the consolidated fund pursuant to The Financial Administration Act; or (ii) for the investment of the Crown corporation’s capital and operating moneys pursuant to the Act incorporating or continuing the Crown corporation; (b) dispose of the investments in any manner, on any terms and in any amount that the Crown corporation considers expedient. (2) The Lieutenant Governor in Council may appoint the Minister of Finance or any other person to be the agent of a Crown corporation for the purposes of making investments pursuant to subsection (1) or disposing of those investments. 2 It is considered advisable and in the public interest to create the Education Infrastructure Financing Corporation as a Treasury Board Crown corporation, to appoint the membership of that corporation and to prescribe the objects, purposes and powers of that corporation. 3 It is desirable that the corporation be authorized to borrow by way of temporary loans amounts not exceeding in the aggregate the principal amount of $100,000,000 at any time outstanding, and the Minister of Finance has approved such borrowing by the corporation. The proposal includes the following points: (1) Spacing Area “G” will be enlarged to include an area bounded by, and inclusive of, Township 72 to the north, Township 22 to the south, Range 15 to the east and the Fourth Meridian to the west. (2) The target area will be enlarged by changing the sides of the target area from 500 metres to 200 metres from the sides of the drainage unit. (3) The current target area provision for proposed wells which have adjacent undeveloped drainage units is eliminated. (4) Spacing Area “G” will apply to all zones except the Second White Specks and shallower in Townships 22 to 27, which will be covered by a “shallow gas” spacing order. (5) Where the target area has been specified in a pool spacing order for a gas pool that is within the proposed boundaries of Spacing Area “G”, the target area shall remain in effect until the provisions of the pool order are revised or rescinded. (6) For wells that are not subject to a penalized allowable, the minimum requirement for absolute open flow testing will be reduced to a single point test, unless otherwise approved. The proposal includes the following points: (1) Spacing Area “H” will include an area bounded by, and inclusive of, Township 27 to the north, Township 1 to the south, Range 10 West of the Third Meridian to the east and the Fourth Meridian to the west. (2) The drainage unit for a gas well shall be one quarter section, except for fractional quarter sections adjacent to the Fourth Meridian. (3) The target area for a gas well shall be a 235 metre square situated in the north-east corner of the drainage unit. (4) Spacing Area “H” will only apply to the Second White Specks and shallower zones. (5) Where the drainage unit, target area or other provisions have been specified in a pool spacing order for a gas pool that is within the proposed boundaries of Spacing Area “H”, the provisions of the pool order shall prevail. (6) For wells that are not subject to a penalized allowable, the minimum requirement for absolute open flow testing will be reduced to a single point test, unless otherwise approved. (7) The minimum requirements for well logs will be set out in the order. (8) Commingling of production from two or more zones will require approval. (9) The use of the two-rig drilling method will be allowed, subject to guidelines published by the Department. EXTRACTS FROM THE RULES AND PROCEDURES OF THE LEGISLATIVE ASSEMBLY OF SASKATCHEWAN RELATING TO PRIVATE BILLS ______PETITIONS 12(1) A petition to the Assembly may be presented by a Member at any time during the sitting of the Assembly by filing the same with the Clerk of the Assembly. (6) Petitions may be either written or printed, provided always that when there are three or more petitioners, the signatures of at least three petitioners shall be subscribed on the sheet containing the prayer of the petition. (9) No petition can be received which prays for any expenditure, grant or charge on the public revenue, whether payable out of the Consolidated Fund or out of moneys to be provided by the Assembly. NOTE: A form of Petition can be obtained on application to the Clerk of the Legislative Assembly. PRIVATE BILLS 64(1) All petitions for Private Bills shall be in duplicate and shall be filed with the Clerk of the Assembly not later than the twentieth sitting day of the Session. (2) No petition for any Private Bill shall be received by the Assembly if presented after the first twenty-five sitting days of the Session. (3) No Private Bill may be introduced in the Assembly after the first thirty sitting days of the Session. 65(1) Every applicant for a Private Bill shall deposit with the Clerk of the Assembly along with the petition for same, two copies of the bill, with marginal notes inserted, and an accepted cheque payable to the Minister of Finance for the sum of two hundred and fifty dollars, if the said bill does not exceed ten pages, and fifteen dollars additional for each page over that number, four hundred and fifty words shall be held to constitute a page. (2) In the case of a bill incorporating a company, a receipt from the Registrar of Joint Stock Companies for any statutory fees required shall also be deposited with the Clerk of the Assembly. 66 No remittance of a deposit on account of a Private Bill or any portion thereof shall be ordered by the Assembly unless the same has been recommended by the committee charged with its consideration, or unless the bill has been withdrawn, rejected or not reported upon, in which cases the actual expenses incurred shall be deducted from the deposit received before making such remittance. 68(1) All petitions to the Legislature for Private Bills of any nature whatsoever, shall require a notice, clearly and distinctly specifying the nature and object of the application and where the same refers to any proposed work, indicating generally the location of the work, and signed by and on behalf of the petitioners, with the address of the party signing the same; and when the petition is for an act of incorporation the name of the proposed company shall be stated in the notice. (2) Such notice shall be published prior to the filing of the petition with the Clerk of the Assembly as required in Rule 64(1) in two consecutive issues of The Saskatchewan Gazette and four consecutive issues of a newspaper, published in English and having circulation in the locality affected. (3) A copy of the notice with a statutory declaration of the several publications of advertisement shall be filed with the Clerk of the Assembly along with the petition and bill. 69(2) Every bill for an act of incorporation, where a form of model bill has been adopted, shall be drawn in accordance with such model bill, copies of which may be obtained from the Clerk of the Assembly. Any provisions contained in any such bill which are not in accord with the model bill shall be inserted between brackets and shall be so printed. 72 When any bill for confirming any agreement is filed with the Clerk of the Assembly a true copy of such agreement must be attached to it. COMMITTEE RULING In cases where the proposed bill provides that the property to be used or occupied by the petitioner be exempt from taxation, either in whole or in part, the petitioner must file with the Clerk of the Assembly, along with the petition, a written statement from the local municipal authority in which the said property is situated approving the intent of the provisions of the proposed bill which provide for the exemption from taxation. The name of the Member who is to present the petition and Private Bill must be furnished to the Clerk of the Assembly at the time of filing the petition. Such Member should not, of course, be a Member of the Cabinet.

Une page est réputée renfermer quatre cent cinquante mots. (2) Si le projet de loi prévoit la constitution d’une société, le récépissé des droits réglementaires donné par le registraire des sociétés par action est également déposé auprès du greffier. 66 L’Assemblée ne peut ordonner la remise totale ou partielle des dépôts relatifs aux projets de loi d’intérêt privé, sauf recommandation du comité chargé d’étudier le projet en question ou si celui-ci est retiré ou rejeté ou encore n’est pas rapporté. Les dépenses réelles sont déduites du dépôt avant de le remettre. 68(1) Toutes les pétitions introductives de projets de loi d’intérêt privé à l’adresse de la Législature nécessitent un avis qui expose clairement la nature et l’objet de la demande et qui est signé par les requérants et en leur nom, avec mention de l’adresse des signataires. Les avis qui visent des travaux proposés font état de leur site; ceux qui visent une loi de constitution en société font état du nom de la société. (2) Les avis sont publiés, avant le dépôt de la pétition auprès du greffier de l’Assemblée conformément au paragraphe 64(1), dans deux numéros consécutifs de la Gazette de la Saskatchewan ainsi que dans quatre numéros consécutifs d’un journal anglais diffusé dans la région touchée. DÉCISION EN COMITÉ Dans les cas où la proposition de projet de loi prévoit que les biens devant être utilisés ou occupés par le requérant soient exempts d’impôts, que ce soit dans leur ensemble ou partiellement, le requérant devra déposer au bureau du greffier de l’Assemblée en plus de sa pétition, une déclaration par écrit des autorités municipales locales où se trouvent les biens en question approuvant l’objet des dispositions de la proposition de projet de loi qui prévoit l’exemption d’impôts. Le nom du député qui présentera la pétition et le projet de loi doit être fourni au greffier de l’Assemblée lors du dépôt de la pétition.
