ANNEXURE–I

Scope of the Work & Time frame

MSTC Limited is a Mini Ratna Category-I PSU under the administrative control of the , Government of India. The company was incorporated to deal in export of ferrous scrap. Of late, MSTC has emerged as a major player in the country for promoting e-commerce. It has presented with e-Auction portal namely, www.mstcecommerce.comwhich has become an immensely popular tool for transacting business over the internet in a most transparent and fair manner. The portal provides a virtual marketplace for domestic sellers and buyers to do business in metal scrap (ferrous/non-ferrous), surplus stores, machineries, obsolete spares, vehicles, minerals and agriculture & forest produce etc. The methodology adopted includes open tender, public auction and e-auction.MSTC has recently developed an e- Procurement portal and is ready with end-to-end e-Procurement services.

MSTC’s major work profile of the Vigilance Department comprises: investigation of complaints received from customers, Principals, bidders, contractors, Company employees, individuals & other stakeholders, Ministry of Steel, CVC, PMO, MSTC Management, News reports, Audit reports and other sources; preventive vigilance activities like surprise checks, regular inspections, surveillance/scrutiny of procurement & contract files, CTE type inspections, system study, monitoring of sensitive posts, preparation of list of officials of doubtful integrity & Agreed list and their surveillance; scrutiny of property returns of employees and coordination with the Central Vigilance Commission (CVC), Chief Technical Examiner (CTE), Central Bureau of Investigation (CBI), Ministry of Steel, etc. The Vigilance Department is certified ISO 9001:2015 as a measure of quality for its preventive vigilance activities. Now we require the services of a Consultant for Re Certification of Quality Management System (ISO 9001:2015).

SCOPE OF WORK

• Preparation/Review of Quality System with the existing documents, records, existing management system, conduct gap analysis and suggestions for changes for overall improvement in the existing working of the vigilance Office at Head Office and sub- regional office/s.

• Documentation of Quality Management System (including Policy, objectives, determination of Process KPIs, Operation Control Plans, Procedures for undertaking various activities etc.) in coordination with your key personnel.

• Providing training on “Awareness and Implementation of ISO 9001:2015” to the concerned Officers 3 | P a g e

• Management System Documentation and awareness over implementation of ISO 9001:2015 certification”.

• “Conducting Internal Quality Auditing” as per latest standards. • Assessment of the documentation including the report, issuance and coordination of an audit plan.

• Guiding auditors during external certification and surveillance audits and to ensure appropriate corrective actions by the auditors to comply with standard requirements as per the outcome of external audits and sustain the certification during the tenure of certification.

• Assistance in identifying root-cause of the issue(s) identified during Internal Audit and subsequently planning the Corrective Action(s), if required.

2. TIME FRAME The estimated time frame for the entire project is 2 months from the date of starting. Work will be started within seven days of receipt of Work Order and mobilization advance money.

ANNEXURE-II Important instructions for Bidders

This is an e-procurement event of MSTC LTD (hereinafter referred to as “MSTC”). Bidders are requested to read the terms & conditions of this tender before submitting their online tender. Bidders who do not comply with the conditions with documentary proof (wherever required) will not qualify in the NIT. 1. Process of E-tender: A) Registration: The process involves vendor’s registration with MSTC Limited e-procurement portal, which is free of cost. Only after registration, the vendor(s) can submit their bids electronically both Techno-Commercial Bid as well as Price Bid. The Vendor should possess Class III signing type digital certificate. Vendors have to make their own arrangement for bidding from a P.C. connected with Internet. MSTC Limited is not responsible for making such arrangement. (Bids will not be recorded without Digital Signature).

1).Vendors are required to register themselves online with https://www.mstcecommerce.com→eProc→Register (Filling up details and creating own user id and password→ Submit. Please follow the ‘Registration Guide’ available in the Registration link before proceeding.

2). Vendors will receive a system-generated mail confirming their registration in their email , which has been provided during filing up the registration form.

3) The vendors shall have to subscribe to the buyers and categories in order to receive system generated mails. In order to subscribe, a vendor has to login and click on ‘My Subscription’ followed by ‘Add Subscription’. On successful subscription, a system generated mail shall be forwarded to the vendor. Please follow the guide for ‘Subscription’ of ‘Download Guides’ available in the Dashboard before proceeding.

The bidders may upload the bidding related documents in the link ‘My Documents’. The documents uploaded here shall be available for attaching

with this event in the Bid Floor. f. In order to submit bid, a vendor has to go to ‘Events’ from the menu and select ‘Bid Floor’. The vendor has to select the buyer ‘MSTC’ from the buyer list in order to view the live events list. The correct event has to be selected from the event list for participation. A vendor has to submit ‘Event-wise bid details’ that may consist of ‘Common Terms’ and or ‘Document attach’. A vendor has to save the Common Terms and / or attach documents by clicking the respective buttons. Once the event specific bids are saved, the status is updated in ‘Event specific bid status’ and the ‘Item specific bid’ button appears on the bid floor. Thereafter vendor has to click button under ‘Technical Cover’ in order to save the technical bid for specific lots. Once the technical bid is saved, the ‘Price Cover’ button appears on the screen for respective lots. Once price bid is saved, the vendor has to click on ‘Final Submit’. On final submission of bid, the status of the bid submission shall display ‘Bid Submitted’ under ‘Item specific bid status’. Vendor shall receive system generated mail.

NOTE: - The bid cannot be revised once theFinal Submit button has been clicked by the bidder. To revise bid, bidder/s have to delete the bid with mapped DSC, then repeat the process of bidding as mentioned above.

g. In all cases, bidder should use their own ID and Password along with Digital Signature at the time of submission of their bid.

h. During the entire e-tender process, the bidders will remain completely anonymous to one another and also to everybody else.

i. The e-tender floor shall remain open from the pre-announced date & time and for as much duration as mentioned above. j. All electronic bids submitted during the e-tender process shall be legally binding on the bidder. Any bid will be considered as the valid bid offered by that bidder and acceptance of the same by MSTC Limited will form a binding contract between MSTC Ltd and the Bidder. k. It is mandatory that all such bids are to be submitted with digital signature certificate otherwise the same will not be accepted by the System.

l. MSTCLimited reserves the right to cancel or reject or accept or withdraw or extend the bid in full or part as the case may be without assigning any reason thereof.

m. No deviation of the terms and conditions of the tender document is acceptable. Submission of bid in the e-tender floor by any bidder confirms his acceptance of terms & conditions for the tender.

n.Unit of Measure (UOM) is indicated in the e-tender Floor. Rate to be quoted should be in Indian Rupee as per UOM indicated in the e-tender floor/tender document. 7 Any work orderresultingfromthisopene-tendershallbegovernedby the commercial termsandconditions. 3 At the time of bidding, bidder should not be blacklisted by any PSU or Govt. Organization, at least in the preceding 5 (Five) years.(Undertaking to this effect shall be submitted by the bidder on its letter head should be uploaded ).Any wrong information in this regard shall make liable the bid to be cancelled at the sole discretion of MSTC LIMITED .The bidder shall also be liable to compensate any loss suffered for such false statements to MSTC LIMITED. 4 Earnest Money Deposit - The bidder shall have to deposit earnest money (EMD) of 10,000/- (Ten thousand only)by RTGS/ NEFT/Online within the time as stipulated in the NIT for the entire project. The EMD of the unsuccessful bidders will be returned within 90 days from the date of opening of the tender or within one week from the date of awarding of the formal order to the successful bidder, whichever is earlier. The EMD of successful bidder will be converted into Performance Security Deposit.The performance security deposit will be forfeited in the event of violation of any of the terms and conditions herein contained. The performance security deposit will be released only after successful and satisfactory completion of the Contract and no interest shall be paid on such performance security deposit due to any reason whatsoever. 5 PAYMENT TERMS:30% on assignment of the work 40% on submission of final manual 30% on receipt of Certificate

6 MSTC may at its sole discretion amend the Bidding Documents at any time prior to the deadline for submission of bids. However, in case of such amendment, the bid submission date may be extended at the discretion of MSTC. Any 9 | P a g e

amendment/corrigendum, as and when required, will be uploaded only on the website of the company www.mstcindia.co.in and related Government of India e-procurement websites where the e-tender is floated, it shall be duty of the bidders to be observant to such developments. 7 Any additional cost not mentioned in the offer has to be borne by the bidder; MSTC LIMITED will not pay anything extra other than as need between the parties at the time of finalizing the contract. 8 INTEGRITY PACT: TheTender will be governed by the Integrity Pact as available in MSTC’s website www.mstcindia.co.in, it is suggested that the bidder downloads and go through the documents before bidding. All contracts/order and transactions arising out of this Tender shall be governed by the said Integrity Pact. The Successful Bidder shall sign the Integrity Pact with MSTC as available in MSTCs website:www.mstcindia.co.in.

The Integrity Pact would be implemented through a panel of Independent External Monitors (IEMs), as appointed by MSTC. The IEM would review independently and objectively, whether and to what extent parties have complied with their obligations under the Pact.

9 VALIDITY OF THE OFFER: Offer should be valid for 90 days from the date of close of tender. 10 Taxes & Duties: Price should be inclusive of all charges/taxes but exclusive of GST which will be payable extra as applicable 11 FORCE MAJEURE: Neither MSTC nor the selected bidder shall be liable to meet contractual obligations under this Agreement for delays due to operation of any force majeure condition or event. Force Majeure shall mean unforeseeable circumstances beyond the reasonable control of a party such as act of God, Strike, War or war like conditions, mobilizations, riots, sabotage, terrorism, acquisition or embargo or restriction by Government or any authority or actions, omissions, or interventions of public authorities (including but not limited to changes in laws /regulations or import/export security restrictions).The party affected by Force Majeure shall immediately inform the other party of the occurrence of the Force Majeure within seven days whereupon an equitable adjustment in the time schedule shall be done accordingly by the parties hereto.

12 TERMINATION MSTC reserves right to cancel the agreement / contract with one month’s notice in case of unsatisfactory performance in maintenance services or otherwise. In this regard MSTC's decision shall be final and binding. The contract may be renewed / extended with mutual consent of both the parties. This however, does not construe that MSTC shall be bound to renew or extend the same after the expiry of the contract. 13 NON – LIABILITY OF THE GOVERNMENT OF INDIA It is clearly understood and accepted by the parties hereto that Government of India is not a party to this Agreement in any way and no liability whatsoever attaches to the Government in any manner arising out of any execution, performance, non-performance or otherwise of this Agreement by the parties hereto. 14 ARBITRATION: Any dispute or differences whatsoever arising out between the parties or relating to the construction, meaning, scope, operation of effect of this NIT or the resulting contract or the validity or the breach thereof shall be settled by arbitration of a Sole Arbitrator to be appointed mutually by the parties. If the parties fail to appoint sole arbitrator within 30 days of the invocation of the arbitration by any party, the same will be appointed as per the provisions of the Arbitration &Conciliation Act, 1996 (as amended). The arbitration shall be governed by the provisions of the Arbitration & Conciliation Act, 1996(as amended) and Rules framed there under and the Award made in pursuance thereof shall be final & binding on the parties. The language of the Arbitration proceeding shall be English. The venue of the Arbitration shall be Kolkata. The costs of the arbitration proceeding shall be borne equally by the parties to the Agreement. 15 JURISDICTION: Subject to the above Arbitration agreement, both the parties viz, MSTC Ltd and Vendor submit to the exclusive jurisdiction of the courts in Kolkata only as regards to any claims or matters arising under or in relation to the terms and conditions herein. The relevant Indian laws for the time being in force shall govern the Tender. 16 TRANSFERABLITY / SUB-CONTRACTING The bidder shall not assign, transfer, pledge or sub-contract the performance or services to any other party. /agency without the written permission of MSTC Ltd. 17 AMENDMENT TO NIT: If MSTC Ltd deems it appropriate to revise any part of this NIT or frame subsequent clauses to clarify an interpretation of the provisions of this NIT, it may issue supplements/amendments to this NIT at any time prior to the deadline for submission of the Bid. Such supplemental information, including but not limited to, any additional conditions, clarifications, minutes of meeting, official communication over email / post, etc. will be published in the website of MSTC Ltd. Any such supplement/amendment shall be deemed to be incorporated by reference into this NIT. In order to allow bidders a reasonable time to take the amendment(s) into account in preparing their bids, MSTC Ltd., at its discretion, may extend the deadline for submission of the Bids. 18 SEVERABILITY: If any provision of this NIT is found to be illegal, invalid or

otherwise not enforceable by any court of law, such finding shall not affect the remaining provisions hereto and they shall remain binding on the parties hereto 19 CONFIDENTIALITY OF PROCESS: Information relating to the examination, clarification, evaluation and comparison of bids, and recommendations for the award of the Work Order / Contract shall not be disclosed to Bidder (s) or any other persons not officially concerned with such process until the award to the successful Bidder(s). MSTC Ltd,.
