2. SUMCO Corporation’s position in affiliated-company groups and other relations with affiliated companies

SUMCO Corporation was an affiliated company of Nippon Steel & Sumitomo Metal Corporation and Mitsubishi Materials Corporation accounted for by the equity method, but has at all times been responsible for its own management and has undertaken its business activities independently. With regard to personnel, among the directors of SUMCO Corporation, one director was a member of the Nippon Steel & Sumitomo Metal Corporation and one director was a member of Mitsubishi Materials Corporation. The term of these two directors ended at the conclusion of the 18th Ordinary General Meeting of Shareholders held on March 29, 2017, at which time they duly retired from their posts. As of the release of this announcement, no member of the directors of SUMCO Corporation is concurrently serving as a director of either Nippon Steel & Sumitomo Metal Corporation or Mitsubishi Materials Corporation.

3. Transactions with controlling shareholders, etc.

SUMCO Group purchases the following products from the Nippon Steel & Sumitomo Metal Group and the Mitsubishi Materials Group: poly-silicon, the principal raw material in the production of silicon wafers, and manufacturing equipment for silicon wafers, etc. All such transactions are conducted under normal commercial terms.
