Annual Report 2012 9 The MTN Nigeria Foundation Limited by Guarantee resolves to conduct itself in accordance with good business and moral ethics, and best practices, in all of its exchanges in respect of its numerous stakeholders.

Functions of the Board The major decision-making body of the MTN Foundation is the Board of Directors which is guided by a charter which defines its aims, roles and powers. These Directors are required and expected to conduct themselves appropriately and professionally, thereby upholding the core values of integrity and leadership with due regard to their fiduciary duties and responsibilities. As part of its governance structure, the Board currently has two committees constituted: The Project Appraisal Committee is responsible for the appraisal and recommendation of viable and beneficial projects to the Board for consideration. The Committee also ensures the sustainability and effective monitoring of on- going projects. The Audit Committee assists the Board in carrying out its responsibility of safeguarding the assets of the Foundation in preparing the financial statements. The committee also ensures that effective controls are maintained in the financial and operational processes of the Foundation. In addition, the Foundation engages the services of the firm of PricewaterhouseCoopers as external auditors.

Legal Form MTN Foundation Limited by Guarantee (“MTNF Ltd/Gte” or the “Foundation”) was incorporated in Nigeria as a company limited by guarantee on 19th July, 2004 under the Companies and Allied Matters Act. Principal Activities MTN Foundation Limited by Guarantee is a non-profit making organisation actively engaged in corporate social responsibility initiatives. To this end, the Foundation seeks to implement viable and beneficial projects across the country in the selected focus areas of Health, Education and Economic Empowerment. Directors and their interests MTN Nigeria Foundation directors have nil interest in contract/projects. Directors’ Responsibilities In accordance with the provisions of the Companies and Allied Matters Act, the Directors are responsible for the preparation of annual financial statements, which fairly presents the state of affairs of the Company and of the surplus for the financial year. The Directors’ responsibilities include ensuring that: a) appropriate internal controls are established both to safeguard the assets of the Company and to prevent and detect material fraud and other material irregularities; b) the Company keeps accounting records which disclose with reasonable accuracy the financial position of the Company and which ensure that the financial statements comply with the requirements of the Companies and Allied Matters Act and the requirement of Financial Reporting Council of Nigeria Act. c) the Company has used suitable accounting policies, consistently applied and supported by reasonable and prudent judgements and estimates, and that all applicable accounting standards have been followed; and d) it is appropriate for the financial statements to be prepared on a going concern basis.

16 MTN Nigeria Foundation MTN Nigeria Foundation Ltd/Gte Donations Corporate social responsibility projects in the Health, Education and Economic Empowerment portfolios during the year ended December 31 2012 were funded through donations of N2.44b (2011: N1.97b). MTN Nigeria is committed to making available up to 1% of its Profit After Tax to the Foundation. In addition, projects are funded through interest income. However, donations are made based on MTN Nigeria’s Board approval. No donation was made by the Foundation to any political organisation.

Taxation The Foundation is exempt from tax due to the fact that it is a non-profit making organisation.

Gift In Kind In addition to the donations mentioned above, MTN Nigeria made certain resources available to the Foundation. Details of these are given in note 7 to the Financial Statements.

Amidst the increasingly competitive business environment, MTNF was able to achieve its 2012 strategic objectives while adding value to the business as measured by the qualitative assessment and quantitative analysis of its performance during the course of the year. The qualitative assessment recorded significant strides made in both internal stakeholder integration and external stakeholder involvement in the planning, implementation and commissioning/handover events of the Foundation. 2012 witnessed MTNF supporting MTNN’s value proposition and visibility across the country through the MTNF Scholarship award events, Community Health Screening project at 6 venues, commissioning of MTNF Youth Friendly Centre, Ago-Iwoye and Science and Technology Laboratory project. In addition MTNF’s various activities and initiatives were used as platforms for leveraging MTNN’s brand essence of enriching lives. Such platforms include: use of pictures from the MTNF View Book for MTNN 2012 Calendar, Advertorials for World Kidney day, World Malaria Day, World Disability day, Newspaper spread for breast cancer awareness and self-examination, Publications of Expressions of Interest advertorials for MTNF Eyesight Restoration Intervention Scheme (EyeRIS), School Laboratories, and call for scholarship application. MTNF worked very closely with both internal and external stakeholders throughout the lifecycle of projects in 2012 (from womb to tomb) for the benefit of the MTN business. For example in the evaluation of bids of prospective consultants and Expressions of Interest from State Governments, for the MTNF Y’ello Mobile Medical Intervention scheme and Eyesight Restoration intervention Scheme (EyeRIS) projects, evaluation teams comprising staff from Marketing, Regulatory, Sales & Distribution, Government Relations, Legal and Corporate Affairs were set up to shortlist qualifying applications.

18 MTN Nigeria Foundation Following the shortlisting process verification visits were conducted with project partners and staff from MTNN Facilities & Safety Health and Environment units. MTNF continued to employ a methodical approach to project implementation in order to optimise project sustainability for impact on beneficiaries and to generate goodwill for the MTN brand. For example site verification inspections were conducted at short-listed applicants’ locations following submission of their expressions of interest to assess eligibility for the project and confirm claims made in submissions before final selection of beneficiaries. The execution of Multiparty Agreements between MTNF, Project consultants and Beneficiary stakeholders was also put in place in the interest of the projects and to obtain commitments from the project recipients to ensure that they fulfill their role in the upkeep of the projects for sustainability.

The following states received relief items under the MTNF Emergency Fund in 2012: Adamawa, Anambra, Bayelsa, Benue, Cross River, Delta, Edo, Enugu, Imo, Jigawa, Kano, Kastina, Kogi, Kwara, Niger, Ondo, Oyo, Plateau, Rivers, Sokoto,Taraba and Zamfara states.

22 MTN Nigeria Foundation Enabling... the education of the visually challenged MTNF Scholarship Scheme for Blind Students (MTNF- SSBS) In 2011 the MTNF Board of Directors approved the MTNF-SSBS to provide financial support to high performing 2nd or 3rd year full- time blind students who depend on Braille in accredited universities, polytechnics and colleges of education in Nigeria. This is further demonstration that MTNF is passionate about building the capacity of persons with disabilities and enhancing their social inclusion. The award ceremonies took place early 2012 with 113 qualifying blind students awarded scholarships worth N200,000 each for the academic session 2011/2012. 24 MTN Nigeria Foundation Supporting distressed communities MTNF Emergency Relief Intervention The heavy rains in 2012 led to serious floods in 22 states. MTNF responded in a timely manner and provided useful relief materials like mattresses and pillows, cooking pots and stoves, blankets and bed sheets as well as food items for displaced families in the following states: Adamawa, Anambra, Bayelsa, Benue, Cross River, Delta, Edo, Enugu, Imo, Jigawa, Kano, Kastina, Kogi, Kwara, Niger, Ondo, Oyo, Plateau, Rivers, Sokoto, Taraba and Zamfara. The items were received on behalf of the affected communities by the various state government officials and management staff of the respective State Emergency Relief Agency.

Annual Report 2012 25 An empowering start... graduates receive starter packs MTNF/FOTD Skills Acquisition Project for Persons with Disabilities The MTNF/FOTD Skills Acquisition Project,which commenced in 2009, is designed to empower disabled youths with skills in the areas of Tailoring & Bead Making, Shoe Making & Welding, to make them employable or to set up their own business. The graduation ceremony of the 45 phase 1 beneficiaries was held successfully and in May 2012, the first set of beneficiaries were presented with empowerment items to assist them start off their businesses. The starter packs included 23 Embroidery Tailoring Machine, 9 Electric Arc-Welding Machines and 13 Straight Shoe Sewing Machines.

The International Day of Persons with Disabilities (IDPWD) As part of MTNF’s commitment to ensure the social inclusion of persons with disabilities, the 2012 edition of the International Day of Persons with Disabilities (IDPWD) was commemorated in partnership with the Federal Ministry of Women Affairs & Social Development on the 3rd December, 2012 in Abuja. MTNF has been partnering with the Federal Ministry of Women Affairs & Social Development since 2009 to commemorate this important day. The 2012 theme was “Removing Barriers to Create an Inclusive and Accessible Society for All”. This platform was used to showcase MTNF’s initiatives benefitting people with disability. Beneficiaries of the MTNF Scholarship Scheme for Blind Students and the MTNF Skills Acquisition Project also attended the ceremony and exhibited their products.

MTNF Community Sponsorship Project As part of efforts to provide infrastructure development to deserving communities where MTNN operates, MTNF continues to deploy a variety of sustainable and high impact projects in several communities. In 2012, a total of 8 Community Projects such as provision of boreholes, transformers and renovation of community schools and community halls were successfully implemented. Communities in the following states benefited in 2012: Abia, Anambra, Ekiti, Imo, Oyo, Rivers and Sokoto.

MTNF Schoolsconnect Project

The SchoolsConnect project, which is now in its 5th phase, is located in 62 secondary schools spread across 14 States and the FCT. The beneficiary States are: Bauchi, Bayelsa, Cross River, Ekiti, Enugu, Imo, Kaduna, Kano, Katsina, Kwara, Lagos, Niger, Ogun, Rivers and the Federal Capital Territory, Abuja. After implementation, the project was enhanced by providing 30 KVA generators to ensure continued service during public power outage, and the installation of software to improve speed and server performance during usage. Following an enhancement exercise in 2009 the Foundation Board approved the restructuring of the project in 49 schools in 2011, to remodel and refocus the project to meet the ICT learning requirements of the students. Multipartite Agreements have been signed between MTNF, the project partner, the respective State Ministries of Education and the beneficiary schools. By the end of 2012 the project partners had completed the civil works at most of the sites. It is expected that work will be completed by 3rd Quarter of 2013 for official handover to the schools.

Annual Report 2012 29 MTNF UniversitiesConnect The MTNF UniversitiesConnect project continues to add value to the studies of students in the various universities where it is located. In 2012, the UniversitiesConnect libraries at Ahmadu Bello University (ABU), Zaria and the University of Lagos (UNILAG), Akoka were enhanced. The enhancement delivered the following in both sites: Renovation work on the facility Replacement of all 128 computers and 3 Servers with new hardware Replacement of the entire network environment with new one Renovation of all 130 seats and other furniture Installation of new subject databases in addition to existing ones. In addition to upgrading the facilities at UNILAG and ABU, the Foundation provided the visually impaired students with proprietary software in a few computers at all the sites except UNILAG.

MTNF Learning Support Materials Initiative Under this project in 2012, a total of 75,090 exercise books; 10,075 school bags; 35,235 rain coats; 6,595 pencil cases and 7,870 maths sets were distributed to 368 schools and organisations in Nigeria. The items were donated as part of the following events: Children’s Day Sports Day Anniversaries/Fun-time events Easter children programmes and other events Children events in religious organisations Among the key beneficiaries of this project in 2012 were: 12 public schools nominated by the Ministry of Defence, across the 6 geopolitical zones, who received school bags, raincoats, pencil cases and math sets. Over 130 primary and secondary schools and children organisations who were supported with the same learning materials.

MTNF-Muson Music Scholars Programme: In partnership with the MUSON, MTN Foundation held the 2012 graduation concert and ceremony on Monday and Tuesday, July 2nd and 3rd, 2012 at the Agip Recital Hall, MUSON Centre, Onikan, Lagos at 6pm and 12 noon respectively. Plans are in advanced stages to commence distribution of 12,000 students’ desks & benches and 1,200 teachers’ chairs & tables to 60 public schools spread across Nigeria, beginning with schools in the South West in 2013.

40 MTN Nigeria Foundation ...and supporting its well-being MTNF Orphanage Support Initiative In the course of the year MTN Foundation continued its enviable tradition of reaching out to the less privileged residents of orphanages and hospices spread across the country, by donating household items to them. In February, 40 orphanages and hospices in the six geopolitical zones of the country benefitted from the initiative, bearing millions of naira worth of household goods and food items. Again, in October 2012, another set of 41 orphanages and hospices across the country also benefitted from the initiative. Items donated included double door freezers, Water dispensers, Televisions, bags of rice, semovita, garri, vegetable oil, sugar, beverages, detergents, soaps, mosquito nets etc.

We have audited the accompanying financial statements of MTN Nigeria Foundation Limited by Guarantee (“the company”) which comprise the balance sheet as of 31 December 2012 and the statement of receipt and expenditure, and statement of cash flows for the year then ended and a summary of significant accounting policies and other explanatory notes.

Directors’ responsibility for the financial statements The directors are responsible for the preparation and fair presentation of these financial statements in accordance with Nigerian Statements of Accounting Standards and with the requirements of the Companies and Allied Matters Act and for such internal control, as the directors’ determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

The significant accounting policies applied in the preparation of these financial statements are set out below. Those policies have been con- sistently applied to all the years presented, unless otherwise stated.

(a) Basis of preparation The financial statements are prepared on a modified cash basis under the historical cost convention and in accordance with applicable standards.

(b) Fund accounting Cash donations are recognised as revenue when cash is received.

Gifts-in-Kind are valued at market value or reasonable estimates and disclosed in the notes to the financial statements.

(c) Expenditure All expenditure is accounted for on a modified cash basis and has been classified under headings that aggregate all costs of similar nature. Expenditure is recognised: • when goods or services are received and cash paid • when cash is paid in advance to project partners (d) Investments Investments comprise term deposits placed with banks and are stated at cost.
