Approval of Minutes Chair Quarum requested Board approval of the minutes of the October 11, 2016 Alliance Board meeting. Action: A motion was made and seconded to approve the minutes as written. The motion passed unanimously.

Presidents Report President Grainger reported on the budget proposals from the Trump administration which would cut funding for: Pell grants; the Work Study program; the National Endowment for the Arts; and the National Institute of Health. She also reported there may be changes in national enforcement of teacher preparation regulations and a change to enforcement of immigration regulations that may affecting DACA students. President Grainger cited the importance of guidance from the Public Affairs Subcommittee of the Alliance Board regarding legislative and policy matters. Cindy Robert, the OAICU lobbyist, reported on the status of budgetary challenges shaping legislation in Salem and on specific legislation to: • Define Higher Education Coordination Council’s (“HECC’s”) involvement in the student complaint process; • Delay the Oregon Department of Education’s implementation of the Council for the Accreditation of Educator Preparation (“CAEP”) regulations; • Require Colleges and Universities to distribute information to students regarding vaccinations; • Empower Community Colleges, in limited cases, to award baccalaureate degrees; • Mandate additional individualized reporting regarding the quantity of student debt and associated repayment requirements; and • More restrictively define entities exempt from Oregon taxation. Discussion followed regarding potential impacts of changes to the federal budget and policy implementation and proposed changes to Oregon law.

Group Insurance Program Proposal Chair Quarum reported that the Executive Committee, in response to requests from several Alliance schools, approved exploration of alternative group insurance programs which can be offered to Alliance schools. The goal is to take advantage of the Alliance group buying power to provide flexible insurance options to Alliance colleges and universities for Health/Dental, Life and Disability insurance at lower cost. To accomplish this, the insurance consultant will need to gather insurance census data and claims histories from Alliance schools. The plan is to focus on Life and Disability data first because it is easier and faster to test the market for this insurance. Data will be gathered for all insurance types by April 28th so that flexible structural options and pricing for Health and Dental insurance can be shared with all Alliance schools by fall.

DAB Page 2 of 4 April 4th, 2017 Chair Quarum provided background regarding changes in the health insurance market and current structural limitations in the Pioneer Education Health Trust. Discussion followed.

Alliance Program Update President Grainger reported on the E3 – Earn, Education and Empower saving matching program administered in partnership with the Community and Shelter Assistance Corp of Oregon (“CASA of Oregon”) where students can earn $8 for every $1 saved. She also reported on the Oregon College Talent Network that is offering a reduced cost for schools to utilize Handshake software to connect business and industry (employers) with talent (students and alumni). The Handshake software offers business one point of entry to connect internships and jobs with students via software pushed to student and alumni cell phones. This program currently includes nine Alliance schools and five public four-year Oregon universities.

Treasurer’s Report Chair Quarum reported that Grieg Anderson, the Alliance’s Treasurer and longest serving corporate officer has given notice that he needs to resign his position as an Alliance Trustee and that Mark Swenson has agreed to serve as Treasurer, pending Board approval, effective as of the date of Grieg Anderson’s resignation. Action: Chair Quarum made a motion that Mark Swenson be approved as the Alliance Treasurer as of the date of Grieg Anderson’s resignation. The motion was seconded and passed unanimously. Brent Wilder referenced The Alliance Statement of Financial Positions 01/31/17, Liabilities and Net Assets report, The FY17 Operating budget and the Revenue update prepared by The Alliance auditors Susan Matlack Jones & Associates, LLC. The Board packages also included: The Summary of FY17 Fundraising and Grants to-Date and a Summary of FY17 Scholarship Support to-Date; an OAICU Proposed FY18 Budget; and a projected Membership Dues Worksheet. Action: A motion was made and seconded to refer the financial report and draft budget to the Alliance Executive Committee for further action and approval. The motion passed unanimously.

PGE Foundation Grant Presentation Kristin Stathis, VP for Customer Service Operations at Portland General Electric (“PGE”) presented Alliance President Grainger with a check from the PGE Foundation in the amount of $39,142.

Strategic Partnerships: Working Collaboratively to Develop Comprehensive Relationships that Maximize Opportunity and Value Panelists included Participating George Fox University and University of Portland students and faculty and NW Natural project sponsors. Brent Wilder served as moderator. After a brief discussion of the research projects and the participation of the sponsors, the panelists addressed three questions: 1.) What are the benefits of the Research Project from a Student Perspective; 2.) What are the benefits of the Research Project from a Faculty Perspective; and 3.) What are the benefits of the Research Project from an Industry Perspective? A question and answer period followed.

Roundtable Discussion with Ben Cannon, Director of HECC Director Cannon gave a brief overview of higher education in Oregon and discussed HECC’s program responsibilities as specified by statue followed by comments regarding the current

Meeting Adjourned Chair Quarum adjourned the Board meeting at 2:10 pm.
