With reference to the subject matter of delay in filing Audited Financial Results for the quarter/year ended 31.3.2020, we had addressed a letter to you on 31.7.2020, a copy of which is enclosed as Annexure A. Being alive to our responsibility, but for permittable difficulties in the finalisation of the Accounts due to COVID-19 related issues we had addressed on the subject as per Annexure A. The delay in compliance with SEBI extended date of July 31, 2020 under Regulation 33 of SEBI (Listing Obligations and Disclosure) Requirements, Regulations, 2015 was due to the following reasons: 1. There was a complete lockdown of all the Offices and Organizations in from 24.3.2020 to 10.5.2020. Hence, no activities were possible during the period. 2. Subsequently, our office was functioning with reduced staff members, adhering to the Standard Operating Procedures and guidelines issued by the respective Governments. The relevant notification of the Government is enclosed as Annexure B. 3. Due to number of positive cases among our office had to remain closed from 9.7.2020 to 22.7.2020. it may be kindly noted that the concerned officers themselves were affected and unable to function. The reported cases of COVID-19 positive in our office included our Chief Financial Officer, Sri S Seshadri, he was hospitalised for about 10 days and further quarantine for a fortnight apart from other staffs. This had totally crippled the finalisation of the Audit process. We enclose herewith as Annexure D, the records relating to the illness of Sri S Seshadri our Chief Financial Officer. 5. Sri N Krishnaraj, Company Secretary was also on isolation for possible COVID-19 health condition. 6. Our Auditors are M/s Deloitte Haskins & Sells LLP, Sri M N Balaji, Chartered Accountants is the Auditors who was attending to the scrutiny of our records for the purpose of certification, being based in Bangalore, he had no access to the Company Accounts and records maintained at the Registered Office in Coimbatore. This made communication difficult and time consuming to provide necessary clarifications. This made the audit process a tough task. We respectively submit that the several factors were mentioned above and supported by the enclosure were beyond our control and whereof force majeure nature. There were no way that it could be avoided or got over. The factors obviously even SEBI had recognized the difficulties and provided extension for compliance with Regulation 33. Such extension happened to be insufficient to our case because of the disability of the Principal Officers and closure of the office itself. In this circumstances the delay of 11 days cannot be viewed as a serious breach for imposition of fine. Accordingly, we request that the proposed fine kindly may be waived taking into consideration the facts that we have submitted with evidence. Not more than 5 employees permitted for Post production activities like Editing, Dubbing, DI, Re-Recording Sound Design/Mixing and VFX/CGI (10 to 15 persons only) for Television & film content from 10:30 am to 6:00 pm. Permission should be obtained from Commissioner, GCC/ District Collector for employees.

iii. Schools, colleges, educational_/ training / coaching institutions etc. will remain closed. Online / distance learning shall continue to be permitted and shall be encouraged. iv. Hotels, restaurants and other hospitality services, expect those meant for housing health / police / Government officials / healthcare workers / stranded persons including tourists and for quarantine facilities; and running of canteens at bus depots, . _ railway stations and airports. Restaurants shall be permitted to operate kitchens for home delivery of food items.

v. All cin�ma halls, shopping malls, gymnasiums, swimming pools, entertainment parks, theatres, bars and auditoriums assembly halls and similar· places. Sports complexes and stadia will be . permitted to open; however, spectators will not be allowed.

vi. All s cial / political / sports / entertainment / academic / cultural ; _ ? _ rel1g1ous functions/ Others gatherings and large congregations. vii. IV. Existing Restrictions: ► In the 12 districts viz Chennai, Kancheepuram, Tiruvallur, Chengalpattu, Villupuram, Cuddalore, Rani pet, Thirupathur, Kallakurichi, Tiru.var_rnamalai,Ariyalur and Perambalur, all the present restrictions will continue without any relaxations.

► Tourists travel to Nilgiris District, Kodaikanal and Yercaud Tourist Places will be prohibited. ► No activity will be permitted in the Containment Zones across the State, during the lockdown period ► The activities already allowed in areas' falling under the jurisdiction of Greater Chennai Police will· continue (Except in containment zones). ► The activities already allowed in all the areas across the State, except for areas under the jurisdiction of Greater Chennai Police will continue (Except in containment zones).

V. New Relaxations:

General public should avoid unnecessary movement from home. ► The proportion of persons employed in MGNREGS in rural areas will be increased from the present 50% to 100%. ► In relaxation to earlier orders, ·the permission to· operate industries are relaxed further and permitted to operate with 100% of employees in the industries working with less than 100 persons and 50% of employees or a minimum of 100 persons in the industries workin_g with more than 100 persons in all Corporations, Municipalities and _Town Panchayats in all areas across the State, except for areas under·the jurisdiction of Greater Chennai Police. ► In rural areas (Village Panchayats), all industries are allowed to operate with 100% of employees except for the areas under the jurisdiction of Greater Chennai Police. ► The private and business organisations which are temporarily closed due to lockdown are allowed to use minimum staff for essential maintenance. ► Works relating to 12th class ( +2) examination valuations are exempted. ► Training from independent coaches for the persons who prepare for National and International Sports events are exempted. However permission should be obtained from concerned District Collector/Commissioner, Greater Chennai Corporation in Chennai. ► Taxi and auto rickshaws are permitted for urgent medical treatment with TN e-pass within the district, in respect of 12 dist_ricts where Intra district movements are otherwise not permitted. ► Barber shops in Rural areas. 6
