CELTICS SEASON TICKET MEMBERSHIP TERMS AND CONDITIONS

1. All Sales Are Final. No full or partial refunds will be made on playoff or season ticket payments. 2. Rights. All rights granted to the purchaser (“I”) under these Terms and Conditions (this “Agreement”) are in the nature of a revocable license. No property rights are conveyed under this license. I acknowledge that the licensor, Banner Seventeen, LLC (doing business as the , or “Celtics”), reserves the right to reassign seats or cancel tickets by refunding the purchase price printed on unused ticket(s) or issuing the ticket(s)’ face value as a credit to be used for future ticket purchases, at any time, if deemed advisable in the Celtics’ sole discretion. I further understand the Celtics reserve the right, upon written notification, to modify my payment plan, including pricing, for future seasons and/or terminate this Agreement in their sole discretion. 3. Tickets, playoff tickets and future seasons. I acknowledge and agree that the tickets are solely for games played at the TD Garden by the Celtics, and for the avoidance of doubt, shall not include tickets, or the right to purchase tickets, to any other event or game, including, but not limited to, any NBA All-Star or NBA Draft event held in the Celtics’ market or hosted by the NBA at the TD Garden or otherwise in which the Celtics participate. Nothing herein shall operate as or constitute any warranty, representation, covenant or guarantee by the Celtics that any number of games shall occur at the TD Garden. I acknowledge and agree that the Celtics and/or NBA may cancel, postpone, reschedule or relocate games for any reason, as determined in their/ its sole discretion, as well as to modify or discontinue, temporarily or permanently, any aspect of the rules, operations, and presentations of NBA games and events. Subject to Section 12 below, (a) playoff ticket purchase opportunities and season ticket renewal privileges are extended at the discretion of the Celtics, and (b) purchase or renewal of playoff tickets or season tickets does not include these privileges, nor does it include any rights with regard to any specific seat location for future playoffs or any future season. 4. Payment. Failure to make any payment of an invoiced amount by the required due date (including any rejection of any automated payment or debit under any payment plan) may result in, at the Celtics’ sole discretion, account or ticket cancellation. Third party payments are accepted but such payments do not confer on the paying party any account access or any ticket, account, or future credit rights. 5. Resale. Sale or resale of any and all Celtics tickets by unauthorized means is prohibited and violation of this policy may result in seizure or cancellation of unused tickets, without refund or other compensation. Season ticket members may resell their tickets via the NBATickets.com Resale Marketplace on Celtics.com. I understand that to the extent I receive seller credit, such credit may, in the Celtics’ sole discretion, be required to be applied to future seasons’ playoff or season ticket purchases. Celtics tickets also may not be used for advertising, promotion (including contests or sweepstakes) or other trade purposes without the express prior written consent of the Celtics. 6. Digital Ticketing. In the event I select a digital ticketing option, or purchase tickets for which digital ticketing is the only option, I agree that it is my responsibility to safeguard the digital ticket access device (in whatever form, the “device”). I also agree that I will ensure that I and anyone to whom I grant access to my tickets is in possession of a valid method of entry into the TD Garden at the time of any attempted entry (e.g., that a PDF of a ticket is printed out); otherwise a ticket-printing fee may be assessed, or entry may be refused. I agree that I bear sole responsibility in the event my device is lost or stolen, and that the Celtics shall have no liability in connection therewith. In the event I choose a traditional paper ticketing option, I agree to pay the relevant fee for paper tickets. 7. Ticketholder Conduct. The use of all tickets provided for in this agreement is subject to the rules and regulations established from time to time by the Corporation-Boston (“DNC-B”), the owner of the TD Garden, and by the Celtics (the “Ticket Rules”), including, but not limited to, the rules printed on the back of each ticket. In the event of the violation of the Ticket Rules, both DNC-B and the Celtics will have the right to revoke the tickets and eject the violators from the TD Garden. Any violation of these rules may lead to account or ticket cancellation, in the Celtics’ sole discretion. I agree to be responsible for the conduct of all guests using tickets provided for under this Agreement. 8. Assumption of Risk/Waiver of Liability. I, and anyone to whom I provide tickets under this Agreement, voluntarily assume all risk and danger of personal injury (including death) and all hazards arising from, or related in any way to, the use of any such tickets, howsoever caused and whether by negligence or otherwise. 9. Account Ownership. Season ticket accounts are non-transferable, except to immediate family. Only the first listed name on any account will be recognized as the season ticket member (except with regard to explicitly-identified corporate accounts, for which any authorized corporate officer yma act). 10. Choice of Law. By entering into this Agreement, I agree that this Agreement will be governed by the laws of the Commonwealth of , without regard to choice of law principles, and that venue for any dispute relating to this Agreement will be in a duly authorized court located within the Commonwealth of Massachusetts. 11. Waiver and Severability. The failure of the Celtics to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision. In the event that any provision of this Agreement is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement will remain in full force and effect. 12. Term; Automatic Renewal; Recurring Payment Authorization. a. Term and Automatic Renewal. For purposes of this Agreement, the “Term” will consist of the current season’s playoffs (should the Celtics qualify for the NBA playoffs) and the following preseason and regular season. For example, the first Term subject to this Agreement consists of the 2017 playoffs, should the Celtics qualify, and the 2017-2018 preseason and regular season. I ACKNOWLEDGE THAT MY SEASON TICKETS WILL AUTOMATICALLY RENEW FOR THE UPCOMING TERM ON MARCH 10th OF EACH YEAR (THE “AUTOMATIC RENEWAL DATE”), UNLESS I OR THE CELTICS, FOR ANY REASON, HAVE PROVIDED WRITTEN NOTICE OF CANCELLATION. For example, on March 10, 2018, my season tickets will automatically renew for the 2018 playoffs (should the Celtics qualify for the NBA playoffs) and the 2018-2019 preseason and regular season. I understand that each year, the Celtics will notify me in writing (a “Notification Message”) of the impending automatic renewal of my season tickets, any change to the price of my season tickets for the subsequent Term, and/or any material change to this Agreement, at least 30 days, but no more than 45 days, prior to the Automatic Renewal Date. Such Notification Message may, in the Celtics’ sole discretion, include an option to decline the purchase of the current season’s playoff tickets (should the Celtics qualify for the NBA playoffs). Should I wish to cancel my season tickets before they are automatically renewed for the following Term or, as applicable, decline to purchase the current season’s playoff tickets (if such option is made available to me by the Celtics), I acknowledge that it is my responsibility, upon receiving the Notification Message, to inform the Celtics of my intention to do so before the Automatic Renewal Date. I acknowledge that I also may cancel my season tickets for any future Term for any reason on any date prior to the Automatic Renewal Date for that Term, subject to this Agreement. b. Recurring Payment Authorization. I hereby authorize the Celtics to charge my credit or debit card (or withdraw from my bank account via Electronic Funds Transfer, if so selected by me), for the purpose of paying for my Celtics season tickets for each Term. For all season ticket payments, the foregoing payment authorization shall remain in effect, subject to change by the Celtics, for as long as I am a season ticket member. In the event I cancel my season tickets for any future Term (as set forth above in Section 12(a)), I understand that I will no longer be obligated for any payments to the Celtics for future Terms, but will continue to remain responsible for making any payments remaining for the current Term, under this Agreement. I acknowledge that use of my Celtics season tickets is conditioned upon my acceptance and compliance with this Agreement and the Celtics season ticket policies and procedures. I agree that the Celtics may, at any time and in their sole discretion, revise the terms of this Agreement, and that the most current version of this Agreement (and the Celtics season ticket policies and procedures) will always be available at https://www.myceltics.me/pdf/1718- updated-terms-conditions. If any revision to this Agreement is material, in Celtics’ sole discretion, I understand that the Celtics will provide me with written notification of such revision. By continuing to use my Celtics season tickets after the revised Agreement becomes effective, I agree to be bound by the revised Agreement.
