2017-2018 Annual Report: Copies of the report were distributed. A paper copy of the report will be mailed from the head office if requested. An electronic copy of the Annual Report will be posted on the Rivers West District website.

Tri-Global Report:

Kerry Bailey, Saskatchewan Parks and Recreation Association Field Consultant, expressed thanks for the invitation and brought greetings on behalf of SPRA. SPRA had change of leadership this past year with the retirement of Norm Campbell as CEO. Todd Schafer started as CEO prior to the Gathering Strength: Framework for Recreation in Forum 2018. Todd plans to travel throughout the Districts to meet SPRA Field Consultants, District board members and staff. The upcoming SPRA Conference will be held in Maple Creek/Cypress Hills from October 18-20, 2018. Details and the brochure will be coming out soon. Kerry noted that in the Tri-Global report SPRA has an Expression of Interest to host the 2019 SPRA Conference. Only one bid has been received so far which is from the City of North Battleford.

Michel Mercredi, Sask Sport Inc. Consultant, gave thanks for the invitation to attend. Michel highlighted that Saskatchewan Lotteries Trust Fund and the Administration Centre are run through Sask Sport Inc. Highlights from the Sask Sport Inc. Annual Report were reviewed including the impact of lotteries funding in Saskatchewan. Over 12,000 sport, culture and recreation groups receive funding through the Saskatchewan Lotteries Trust Fund impacting over 1,000 communities. 28% of every dollar from lotteries goes back to funding sport, culture and recreation throughout the province. In 2017-2018, over $5.5 million was granted out through the Saskatchewan Lotteries Trust Fund Community Grant Program to over 1,000 communities.

There are 65 Provincial Sport Governing Bodies in Saskatchewan and over 26,000 trained coaches. Michel highlighted a new approach taken on by the Tribal Council Coordinators for the necessary training before the Tony Cote Summer Games where all the coaches and officials were brought to a super clinic and trained together over one weekend. This was successful compared to trying to arrange training throughout the province. Michel then went over four major multisport events that happened within the past year. The North American Indigenous Games in Toronto

which had 584 Saskatchewan athletes, coaches, managers and support staff. The Canada Summer Games in Winnipeg had 418 Saskatchewan athletes, coaches and support staff. The Tony Cote Summer Games in Regina had 3,500 athletes coaches and volunteers. The Saskatchewan Winter Games in North Battleford had 1,894 Saskatchewan athletes, coaches, managers, officials and support staff.

FINANCIAL REPORT The Financial Statements and Auditor’s Report, as prepared by Vantage Chartered Professional Accountants, for the period April 1, 2017 - March 31, 2018, were reviewed and discussed.

Good afternoon everyone. Welcome to the River West District Annual Meeting. It has been an honour and a privilege to share with you the activities from the past year. Rivers West’s greatest asset is our people. The Staff, the Board, volunteers and participants all ensure that “Rivers West Is The Best”. This past year, our esteemed Chairperson, Ollie Marciniuk, stepped down. He remains on the Board and continues to be a great mentor. I cannot begin to follow his footsteps. Due to scheduling conflicts and relocation two Board members resigned. Their dedication is greatly appreciated. The Board also gained a new member whose knowledge is very welcomed. Our Staff is awesome. They are dedicating their talents to offer opportunities to the citizens of Rivers West District. We are a huge District geographically, therefore representation and inclusion can be challenging. Our Executive Director, Donna Johnston-Genest, is the amazing leader of this organization. She is respected and well known throughout the entire Province. She has ensured that the Staff and Board members have access to ongoing education opportunities. Our society is changing and this organization is striving to adapt and continue to offer differing but important services. We are fortunate to live in a Province where Sport, Culture and Recreation are recognized as part of a healthy society. Thank you for attending today. Executive Director’s Remarks

Welcome to the 2019 Annual General Meeting of Rivers West District for Sport, Culture & Recreation. Thank you for traveling to the Ancient Echoes Interpretive Centre nestled in the beautiful Eagle Creek valley in Herschel, Saskatchewan. As we gather here today, we acknowledge we are on Treaty 6 Territory and the Homeland of the Métis. We pay our respect to the First Nation and Métis ancestors of this place and reaffirm our relationship with one another. — Developed by Indigenous faculty and staff at University of Saskatchewan. Ten productive years…wow, time has gone by in a blink of an eye. It truly does seem like just yesterday when the original Building Better Communities Committee from the 4 amalgamating organizations were sitting around the table deciding how we would operate as a new organization. Many things have changed since those meetings. Most of the founding Board Members have moved on to share their wisdom with other organizations and all but 2 of the original staff have been replaced with our current team. One thing has remained as a timeless reminder of why we do what we do…we are making a difference in our communities. Whether it be through the Sport, Culture & Recreation grant, the

Mobile Playground program, the Saskatchewan Games Program, the Indigenous Community Sport grant, our District Dream Broker program, Creative Kids and KidSport programs, the coaching and facility operator support programs, our community visitations, or the numerous workshops and clinics we offer to our members, we help lighten the load on our communities and help to build skills in our volunteers. The Board and Staff has spent the past year and half reviewing our governing documents and I am very proud to report that our Governance Manual, Human Resources Manual, and our Constitution & Bylaws have been updated to reflect the fluidness of our sector. The staff has worked very hard developing a Procedures Manual which will ensure the continued success of the District regardless of who is at the helm. We have also developed a new Strategic Framework that will guide us into the future with solid insight and purpose. Our partnerships with the three Globals; SaskSport Inc., SaskCulture and SPRA; the various Provincial Sport Governing Bodies, Provincial Recreation Associations and the Eligible Cultural Organizations are a vital part of our organization and affords us the opportunity to bring diverse and inclusive programs and services to the residents of our District. I am so thankful to all of you attending today to help us celebrate our 10 Year Anniversary. Here is to another 10 years! Cheers, Donna Johnston-Genest

Introduction

Rivers West District for Sport, Culture & Recreation Inc. (Rivers West DSCR) was formed through the amalgamation of Battlefords Regional Recreation Association, Wild Goose Recreation Association, River Junction Recreation Association and the Zone 7 Sport Council. The new District began operations on February 1st, 2009 and is a registered non-profit corporation governed by a volunteer Board of Directors. The geographic area served by Rivers West District is located in West Central Saskatchewan and encompasses the area from and Dorintosh in the north, south to the South Saskatchewan River and from the Alberta Border in the west to Tessier, Hafford and Medstead in the east. Rivers West District is one of 7 Sport, Culture & Recreation Districts in the Province which were formed through the Building Better Communities (BBC) initiative driven by SaskSport, SaskCulture and Saskatchewan Parks and Recreation Association. These Districts are an integral part of the Sport, Culture & Recreation delivery system in the Province of Saskatchewan. Rivers West District receives the bulk of its funding from revenue generated through the sale of lottery tickets in the Province. The Saskatchewan Lotteries Trust Fund for Sport, Culture and Recreation administers the lottery ticket revenue and this money funds over 12,000 Sport, Culture and Recreation groups. The Board of Directors meets monthly (excluding July, August and January) and also meets for a strategic planning session and budget meeting once per year. Committees of the District include: Human Resources Committee, Finance Committee and the Governance Committee. 9

2018-2019 Programs & Services

Aboriginal Community Sport Program (ACSG) - Aboriginal Community Sport Grant (ACSG) provides greater sport participation and development opportunities for Aboriginal youth in Saskatchewan. Rivers West District adjudicated fifteen grants for a total of $60,000 grant dollars. Allocated through Sask. Sport dollars went to the development of Softball, Hockey, Volleyball, Rugby, Boxing, Judo, Cheerleading. Each sport gets $10,000 total / sport allocated over a three- year period. We are now moving forward to new and existing communities applying for new sports.

Creative Kids - Creative Kids is a charitable giving program designed to reduce social and financial barriers for children and youth who wish to participate in arts and cultural activities in Saskatchewan. 2018 has mark the completion of our 9th year in which the Battlefords Committee funded 105 applications for a total of $38,000. Funding allotment is changes depending on the season, for example: December $19,485; March $1,328; June $6,185; and August $10,950. Participants were funded for activities that included Regalia Making, Pow Wow, Piano, Tap, Jazz, Ballet, Hip Hop, Music, Voice, Choir, Aboriginal Art, Pottery, Visual Arts, and Community Strings. We continue to add to our list of service providers who are on board and offer quality instruction. Our 8th Annual Celebrate Kids is our major fundraiser which was held the second Sunday of March highlighting the multitude of talent from the Battlefords.

SSFA 55+ Rivers West Committee - The Saskatchewan Senior Fitness Association (SSFA) Rivers West District hosts the 55+ Games every year. Even years include the 55+ District, Provincial and Canadian Games, during the odd years we have a different focus either hosting a few games days or as this year The Rivers West District Committee focused on reviewing and revamping our policies, procedures and updating our goals. We also plan on doing more visitations and providing social media workshops. Promoting walking and including it in our activities.

Rivers West District Dream Broker (DDB) program - The DDB Program targets children and youth who are faced with various social and economic challenges that adversely affect their quality of life. These issues create barriers to sport, culture and recreation such as: economic circumstance, awareness, cultural insensitivity, and access to transportation. Children, youth and their caregivers are given support to provide greater opportunities that contribute to developing children and youth who are healthy, active, successful members of their community. This is where the District Dream Broker (DDB) comes in. The DDB works directly with children, youth and their families from Connaught Community & Saint Mary’s Community schools in North Battleford to reduce barriers and gain access to existing sport, culture and recreation activities. Since the beginning of the 2018-2019 school year, over 220 students have been registered and successfully completed a program offered in the Battlefords. From judo, soccer & swimming to beading, sculpting and drawing, Dream Broker kids have participated in nearly everything that North Battleford has to offer.

DDB Program - Summer Camps - The DDB program and Sask Choral partnered during the summer of 2018 to host a 5 day-long music camp at Saint Mary School. 50 students from Connaught, St. Mary’s, Notre Dame, McKitrick & Lawrence School participate. The music camp 14

will take place the week of July 22nd th-26th and offers a variety of lessons; music, art & a sport element. This will ensure that these kids get a well-rounded camp experience and have fun! Last summer there were two other camps that took place in North Battleford for inner-city youth. Dance Saskatchewan hosted a Creative Camp at Connaught school where 30 students from St. Mary’s & Connaught participated. They learned different forms of dance including Powwow dancing. They also got the opportunity to drum & sing around the drum. To finish off the camp we had a round dance at the school. SaskSport sent Carlin Nordstrom to host a camp at St. Mary’s for 30 students. It was a three-day camp and the students learned to play various sports including lacrosse.

DDB Schools - Connaught School & St. Mary’s School - This year at Connaught we brought in several new programs for the kids. With the help of local artists Shawn Piller, as well as the generosity of CreativeKids Saskatchewan, we had eight after school art clubs at Connaught School & St. Mary’s; sculpting, drawing, beading club & edible creations. Each session ran 8 weeks and had 12-24 kids signed up in each program. Each of the classes had specific age groups based on the difficulty of the activity. Snacks were provided for the kids. Many kids had the opportunity to further their artistic abilities or just spend time with their friends after school from 3:30PM- 4:45PM. All of the kids were proud to bring home their creations to their families. Shawn was fantastic in her abilities and at teaching different art techniques. The DDB program looks forward to working with Shawn again. The program has once again partnered with Saint Mary’s School to bring in a Saskatchewan Safety Council instructor to teach the Babysitters course. 12 students from grades 5, 6 and 7 attending Saint Mary School participated on June 8th & 9th.

KidSport provides grants to children from families that are facing obstacles so that the children are able to participate in organized sport.

Battlefords KidSport – The Battlefords KidSport does three major fundraisers every year; fundraising and awareness BBQ, lobster sales, and Operation Red Nose. The total KidSport expenditures were $70,854.00 helping a total of 397 children for 2018. A large percentage of these are Dream Broker kids and therefore come from the DB trust, through Sask Lotteries. KidSport BBQ’s have added about $2,000 more to the yearly fundraising total because of RBC’s grant that they offer for team work done by RBC employees. The BBQ’s will be May 31st every year and the 2nd will be sometime in June. This year KidSport took over Operation Red Nose and it went very smoothly. Thanks to the help of many volunteers including Gold Eagle Casino who donated a few employees every night to drive. KidSport is the main source of funding for Dream Broker 15

families. Without the generosity and hard work of the local committee and community members KidSport would not be able to help so many families.

Volunteer Recognition Awards - Our 10th Annual Volunteer Recognition Program (VRP) held its banquet Tuesday April 9th hosted by the community of Kyle, Sk. Recognition award plaques were created by Rosmarie Stadnyk who is a resident of North Battleford, Sk. 2019 Award Recipients: Sport – Athlete of the Year Layne Young (Frenchman Butte), Sport – Coach of the Year Winston Walkingbear (Thunderchild First Nation), Sport – Event of the Year 2018 Saskatchewan Winter Games (North Battleford), Culture – Development and Promotion Terra Kruchkowski (Goodsoil), Culture – Artist of the Year Raymond Maier (Paradise Hill), Culture – Event of the Year Lloydminster Culture Days (Lloydminster), Recreation – Professional of the Year Cindy Rekimowich (Lloydminster), Recreation – Facility - Renovated or New Build Perdue Arena Rebuild (Perdue), Museum of the Year Biggar Museum & Gallery (Biggar), Over-All Volunteer of the Year: Kyle Community Sports Centre Ice Crews, Kitchen Convenors and Mezzanine Volunteers (Kyle) & Marion Jean Nordell (Turtleford)

Mobile Playground Program (MPP) - The Mobile Playground Program (MPP) provides children from the Rivers West District, who do not have access to any other recreation programs, a day of organized, fun activities. The program is available during the summer school break Monday to Friday and member communities have the option of choosing a full day of their choice by selecting 1 (one) day in July and 1 (one) day in August. If there are extra days left over after all the communities have booked then the communities who expressed an interest in booking more than two days will be contacted. If you wish, two communities may combine for one day to ensure there are enough children to meet the minimum requirements. The summer of 2018 we visited 63 communities with 475 children participating in the program, 273 females and 202 males. Rivers West appreciates the volunteer help in each community that partner to administer the program. Communities that participated included; Borden, Cut Knife, Dodsland, Edam, Elrose, Eston, Eatonia, Hafford, Herschel, Kerrobert, Kindersley, Kyle, Lloydminster, Luseland, Marshall, Milden, North Battleford, North Bend, Paradise Hill, Pierceland, St. Walburg, Waseca, Wilkie.

Preparations are under way for the upcoming 2020 Saskatchewan Summer Games which will be held in Lloydminster, Saskatchewan on July 26th, 2020 to August 1st, 2020. The Host Community has been working diligently with the Games Manager, Nicole Clow, to plan the best Games yet! Lloydminster previously hosted the SSG in 2008. There will be 14 different sports featured at the 2020 SSG. Archery, Athletics, Baseball, Basketball, Canoe Kayak, Golf, Rugby, Soccer, Softball, Swimming, Swimming Special Olympics, Tennis, Triathlon, and Volleyball. The potential Athlete/Coach/Manager numbers participating in the 2020 SSG is 2,232. There will also be approximately 72 Mission Staff which will make up the 9 District Teams participating. Add to these numbers the Officials, VIPs, parents and spectators and Lloydminster will be a busy place!

National Coaching Certification Program (NCCP) Clinics - A Nutrition and Planning a Practice workshop was hosted at the Don Ross Centre in North Battleford on March 16th. Eight people participated in the training under the direction of Crystal Meakin.

Coaching Assistance Program - Rivers West District identified a need to assist coaches in obtaining various levels of coaching certification. In the rural areas of Saskatchewan it is sometimes a challenge to ensure that a minimum of 10 participants enrol in a NCCP Clinic. Rivers West District developed an assistance program to help coaches offset costs associated with traveling to the larger centres to participate in NCCP clinics and CAAWS workshops not offered in the rural areas. Five of our District coaches took advantage of the Coaching Assistance Program (CAP) to upgrade their coaching certification outside of the District in 2018-2019 for a total of 51 District coaches assisted by the District in 2018-2019, including those who participated in the CAAWS workshops. CAAWS Workshops - On April 27th, the District offered a Conflict Resolution half day workshop, as developed by the Canadian Association for the Advancement of Women and Sport and Physical Activity, at the Atoskewin Success Centre with twenty participants. Michelle Dezell, Manager of Athlete Services, Sask Sport Inc., did an excellent job of facilitating the CAAWS event. Michelle presented Effective Communication and Conflict Resolution workshops on November 29th, again at the Atoskewin Success Centre, with twelve and fourteen (respectively) participants attending.

Sport, Culture & Recreation Event and Partnership Building Program - This program was put in place to help communities offset the costs of hosting events, workshops, clinics and training sessions in their communities. Culture Awareness Programs - The District offered a Cultural Gathering at Ancient Echoes Interpretive Centre in Herschel on September 19th, 2018. The event’s Guest Speakers included:  John Kennedy Executive Director, Saskatchewan Cultural Exchange,  Alex Rogalski, Program Consultant, Saskatchewan Arts Board  Marian Donnelly, Executive Director, The Duke of Edinburgh’s International Award, Saskatchewan Division  Marianne Woods, Performing Arts-School Tours & Membership Liaison, Organization of Saskatchewan Arts Councils (OSAC)  Wendy Fitch, Executive Director, Museums Association of Saskatchewan  Kristin Enns-Kavanagh, Executive Director, Saskatchewan History and Folklore Society  Dominga Robinson, Outreach Consultant, SaskCulture Inc.

Sixteen people enjoyed both the information sessions and the Coal Mine Ravine hike. “Thanks so much for the invite to the gathering at Herschel! I had a great time and it was really lovely day in a lovely place!” one of the presenters

Community Cultural Engagement and Planning Grant Workshop - The District had planned for a CCEP information event to be held on November 20th in Kyle. Instead, and in an effort to meet with interested communities, Dennis Garreck, SaskCulture Outreach Consultant, set up a road tour at the beginning of December with meetings in Kyle, Elrose, Biggar, Kindersley and Eatonia.

Culture Days 2018 - Rivers West District worked with SaskCulture to promote Culture Days- Animate Your Community $1000 grant. Four applications were received from communities within the District and, at the beginning of August, SaskCulture, Outreach Consultant, Dominga Robinson announced that both Battlefords Boys and Girls Club and Norbion Cooperative Community Centre were awarded $1000.!!

Cultural Exchange Partnership - The District again had the exciting opportunity to partner with the Saskatchewan Cultural Exchange to bring the Arts Outreach Program to several communities within the District. Artists were selected and then communities Bid to Host the artist of their choice. As a result, five workshops were held. Kara Perpelitz, Goodsoil, conducted Needle Felting workshops in St. Walburg (for the Allied Arts Council) and at Glaslyn School. Cathy Merkley, Hillmond, facilitated scarf fusion felting for Battleford Immigration Resource Centre Inc. on October 15th and for the Marsden Library on October 28th. Cathy also did the same workshop for the Lloydminster Community Youth Centre on November 7th.

SPRA Enhanced Member Support Initiative - Through our participation in this initiative we have been afforded the opportunity to enhance our programming and services to our members. SPRA Field Consultant, Kerry Bailey, is housed in our Rosetown office and keeps our staff and members updated on everything SPRA. The following programs and services are a direct result of our partnership with SPRA on this intiative.

Community Visitations - The District continues to travel to our communities to meet the people who are directly involved in providing sport, culture and recreation programs and services in their communities. To accomplish these visitations we employ various methods such as: personal visits by the Executive Director, conducting workshops and clinics in the communities, our participation in committees such as the West Central Municipal Government Committee and through our traveling Mobile Playground Program. We continue to build our extensive community profiles, complete with pictures of facilities and unique features of the community. Through our personal visitations and meetings, 188 separate client consultations/point of contact consultations were made with District communities and 31 District and Provincial organizations were informed of our programs and services in 2018-2019. We have built a strong communication network, increased membership and informed our members about Rivers West District and our Global partners through these visitations.

Facility Operator Support Program - The purpose of the Program is to provide financial assistance and support to organizations, communities and individuals to attend training and educational opportunities specific to the operation and management of recreational facilities within the boundaries of Rivers West District. Rivers West District acknowledges that recreation facilities are crucial to the development and provision of sport, culture and recreation programs and services. In order to operate these facilities in the most effective and efficient manner possible, facility staff must be kept current on all aspects of facility maintenance and operations. Through the Facility Operator Support Program Rivers West District is able to provide some funding support to meet this goal. In 2018-2019, Rivers West District supported two facility workers from two communities in upgrading their skills. This number was greatly impacted by the horrific tragedy that befell the Humboldt Broncos Hockey Team in the spring of 2018. Several District communities had registered their facility operators for the SPRA Spring Symposium which was scheduled to occur in Humboldt days after the accident. The Symposium was ultimately cancelled out of respect for the families and friends of the Humboldt Broncos and the City of Humboldt. in motion - Rivers West District continues to be a member of the Lloydminster in motion Committee through attendance by a staff member at their meetings throughout the year. One of the Committee’s initiatives is School Travel Planning (STP) which involves the committee working with schools to ensure they are active and that the children have safe routes to school.

Grant Writing Workshops - Rivers West District hosted five Grant Writing Workshops during the year. Big Island Cree Nation hosted two of these events; one on July 10th where SaskCulture’s Outreach Coordinator, Dominga Robinson, provided Grant Writing tips and SaskCulture info to the twenty-one participants and the other on September 4th with facilitator, Marian Donnelly. Marian shared her knowledge of Grant Writing strategies and best practices and then she spoke about opportunities for youth available through The Duke of Edinburgh’s International Award. On May 24th Glenys Reeves-Gibbs and Wendy Plandowski, Lloydminster business women, co- facilitated for fourteen participants at the Atoskewin Success Centre in North Battleford. On August 15th Coralie Bueckert, Warman, provided instruction in Wilkie at their Community Centre. Ten participants attended and learned from SPRA’s President. In November Marian Donnelley was in Borden to offer a Fundraising and Grant Writing workshop to the fourteen participants. On January 16th Dominga Robinson shared SaskCulture information and Grant Writing tips with the fourteen registrants in Meadow Lake.

Training programs – HIGH FIVE and Play Leadership Workshops - On June 2nd and 3rd, in conjunction with the City of North Battleford, the District hosted a weekend workshop with facilitator, Crystal Clarke, offering PHCD (8 participants) and Play Leadership training (7 participants) at the Don Ross Centre. On November 3rd, in partnership with the Battleford Boys & Girls Club, fifteen participants took the Principals of Healthy Childhood Development training, again with Crystal facilitating. Crystal travelled to Meadow Lake on March 2nd to provide PHCD training to twenty-one community members at the North West College.

Recreation Practitioners support – Recreation Practitioners’ meetings/ Friends Around the Table Gathering - In Borden, on October 23rd, Rivers West District hosted a Valued Volunteers, Recruiting and Retaining Volunteers in an Intergenerational Setting workshop with Brenda Robinson (The Robcan Group) facilitating. Brenda presented to an audience of eight (who braved the icy roads) representing a variety of dedicated volunteers. Brenda also presented Working in an Intergenerational Community sessions in Eston with twenty-one attendees on October 22nd and in Elrose on March 5th with thirteen in attendance. We were pleased to have school staff support youth attendance at both of these events.

Recreation Board Development (RBD) – The District responded to requests for Board Training by engaging Lloydminster business women, Glenys Reeves-Gibbs and Wendy Plandowski, to facilitate Board Governance Basics 101 full day workshops. Three events were hosted: one in Hillmond with ten participants on September 22nd, another in Rosetown on November 14th with sixteen in the audience, and on January 19th, 2019 in Makwa Curling Rink, another thirteen people received training.

Social Media workshops - On March 19th, Michelle Brownridge, EMBEE Inc. from Regina, conducted a How to Create Your Brand Online Workshop at the Atoskewin Success Centre in North Battleford with twenty eager participants.

Building Resiliency in Youth - Rivers West District was offered an amazing opportunity to partner with the Saskatchewan Prevention Institute in hosting the day and a half Building Resiliency in Youth training in Hillmond on March 21st and 22nd. Morris (Moe) Green, who recently retired from the Nova Scotia Department of Health and Wellness where he was the Coordinator of Youth Health, co-facilitated with Dave Shanks. Dave is the Program Developer for 21

Vinyasa Yoga for Youth and is the Director of the Student’s Commission’s Prairie Region. Maria Soonias Ali, Youth Action for Prevention Provincial Coordinator, FASD Prevention Program Coordinator, for the Prevention Institute also guided the days’ events. The interactive training provided teachers, education support staff and community members with tangible tools on how to encourage the meaningful participation of youth and everyone took home a relevant toolkit. A huge thanks goes to the students from Hillmond Central School for their active participation in this event; your willingness to share was paramount to the event’s success. “To date, this is THE BEST youth specific training I have received in the 11 years employed with the Northwest School Division. This training has provided an excellent working tool to help engage students, build relationships and empower students in our school.” Feedback from one of the participants

CONSTITUTION AND BYLAWS OF THE AMALGAMATED CORPORATION

Article 1: NAME Rivers West District for Sport, Culture & Recreation Inc.

Article 2: DEFINITIONS 2.01: Organization: Within this constitution refers to Rivers West District for Sport, Culture & Recreation Inc.

2:02: Board of Directors: The elected and appointed representatives from within the organization.

2.03: Communities: As defined by Saskatchewan Lotteries Trust Fund for Sport, Culture and Recreation Community Grant Program “All cities, towns, villages, organized hamlets, rural and bands. They must be recognized as municipal entities and appear on the ministry’s eligibility list.”

Article 3: PURPOSE 3.01: To be leaders in facilitating Community Development through sport, culture and recreation for and with communities in our jurisdiction.

Article 4: OBJECTIVES 4.01: In support of the purpose the objectives of the organization are: (i) To facilitate, promote and assist in the development of programs and opportunities in sport, culture and recreation. (ii) To increase diversity of participants in all sport, culture and recreation programs. (iii) To improve community volunteerism and organizational development in sport, culture and recreation through training, leadership and research. (iv) To facilitate cooperation and coordination amongst partners in sport, culture and recreation and others through a network of communication, promotion and marketing. (v) To become advocates for healthy lifestyles through sport, culture and recreation. (vi) To conduct day to day operations of the organization in a professional manner.

Article 5: ORGANIZATION BOUNDARIES 5.01: Shall consist of the geographic area as set out by Saskatchewan Lotteries Trust Fund for Sport, Culture and Recreation.

Article 6: MEMBERSHIP 6.01: The membership shall be open to: General: All communities within the organization boundaries who are served by a Municipal Recreation Board and/or other Recreation Authorities established by municipal by-law or municipal authority/first nations bands/regional parks that provide services in sport, culture and recreation to residents in the organization. 23

Associate: A constituted or registered sport, culture or recreation organization (including special minority groups) within the organization boundaries who are actively providing a sport, culture or recreation service for the residents in the organization.

Individual: All residents of the organization who wish to contribute to or be associated with the organization.

Membership fees may be levied as prescribed by the District Board.

6.02: Membership Process: General: Must apply to organization for membership. Shall name their voting delegate(s) prior to the Annual General or Special Meeting.

Associate: Must apply to organization for membership. Shall provide proof of constitution or registration with a Provincial Sport Governing Body, Provincial Recreation Organization or Provincial Cultural Organization.. Shall name their voting delegate prior to the Annual General or Special Meeting.

Individual: Must apply to organization for membership.

6.03: Membership Voting Procedures: General: 2 delegates per community; one vote per delegate present at meetings of the members.

Associate: One vote at all meetings of the members.

Individual: Non-voting category.

6.04: Meetings of the Members: a. Annual General Meeting: (i) The Annual General meeting will be held within ninety (90) days of the end of the fiscal year. Notice of the time and place of the meeting of the members to be sent, not more than 50 nor less than 15 days before the meeting. (ii) Agenda items shall include: review the minutes of the previous AGM; review progress towards strategic outcomes and goals in previous year; consider resolutions, and new, amended or repealed articles and bylaws submitted by the members or made by the Board, audited financial statement, membership fees, election of Directors and the Auditor shall be appointed for the upcoming year at the Annual General Meeting by the General members present. Auditing shall take place immediately following the fiscal year.

Meetings shall be conducted according to Robert’s Rules of Order. 24

b. Special Meetings: (i) The Board of Directors may, if deemed necessary, call a Special General meeting of the organization. Members must receive notice of the time and place of the meeting not more than 50 nor less than 15 days before the meeting. (ii) Special meetings may also be called by members at any time upon request in writing from a minimum of one-third (1/3) of the membership.

c. No voting by proxy.

d. At the Annual General Meeting or Special General Meeting all decisions shall be decided by a majority vote of those present. Chairperson voting only in the case of a tie. Constitutional amendments require a two-thirds majority (2/3) vote by voting delegates present.

Article 7: BOARD MEMBERS 7.01 Directors must be nominated by either a General or Associate member and reside in the Organization boundaries to run for the Board. Nominations may be made in written form and submitted to the Head Office of the District one (1) month prior to the Annual General Meeting. Nominations will also be accepted from the floor at the Annual General Meeting of the District.

7.02 The Board of Directors will consist of a minimum of six (6) persons and a maximum of twelve (12) persons who reside within the organization’s boundaries, with at least one (1) representative from each of the following sectors: Sport, Culture, Recreation and Aboriginal.

7.03 All Board members are elected for a three (3) year term at the Annual General Meeting and officially take office at the commencement of the first meeting after the Annual General Meeting.

7.04 Board Member terms are renewable for 3 year terms.

7.05 The terms of 1/3 of the Directors will expire each year.

7.06 In the event of any vacancy among the Board of Directors, the Board of Directors may appoint a replacement Director by resolution for the unexpired term of the vacant position.

7.08 No Director will be a salaried employee of Rivers West District for Sport, Culture and Recreation.

Article 8: DUTIES OF THE BOARD OF DIRECTORS 8:01: The Board will utilize a policy governance model in compliance with the Funder, and determine the structure and processes by which they will govern RIVERS

WEST DISTRICT FOR SPORT, CULTURE & RECREATION, including the number and types of committees and the officers of the Board. 8.02 Board of Directors to Members Relationship Description The authority, limitations to authority, responsibilities, expectations and accountabilities delegated to the Board by the Members are as follows:

(i) AUTHORITY The Board’s sources of strategic/operational authority are the members of Rivers West District for Sport, Culture & Recreation. Other stakeholders – the strategic partners including: communities, provincial and municipal government, SPRA, SaskCulture, and SaskSport, have a voice in determining the future of the District, but without vote. The Board’s sources of legal/regulatory authority are the governmental authorities where Rivers West District for Sport, Culture & Recreation is registered (Information Services Corporation of Saskatchewan) and Saskatchewan Lotteries Trust Fund for Sport, Culture and Recreation.

(ii) LIMITATIONS OF AUTHORITY In exercising its legal and regulatory authority, the Board may not cause or allow Rivers West District for Sport, Culture & Recreation to be in violation of the laws of Canada where it is registered and operates. IE: the Province of Saskatchewan and the Dominion of Canada. The Board may enact motions, not contrary to law, to regulate the conduct of the affairs of the District. In exercising its strategic/operational authority the Board may not cause or allow Rivers West District for Sport, Culture & Recreation to be in violation of the Bylaws of Rivers West District for Sport, Culture & Recreation.

(iii) RESPONSIBILITIES  Design the Board’s structure and governance process.  Provide strategic leadership by determining Rivers West District for Sport, Culture & Recreation’s values, vision, mission and outcomes.  Delegate management authority and responsibility to the Executive Director.  Monitor risk management and performance and measure strategic outcomes.  As members of the Board of Directors, your ultimate responsibilities are to the District as a whole, including its bylaws, constitution, mission, vision, values, policies, members and staff. You will be seen as a representative of the District at all times. The Board shall carry on the business of the District until such time as their successors assume office.

(iv) EXPECTATIONS  The expectations of the Board are described in its strategic plan.

 In fulfilling its strategic and operational responsibility the Board shall seek and follow the counsel of its stakeholders in its strategic planning process and in its governance of the strategic mission and priorities.  Ensure that the requirements of the Board’s accountability to Saskatchewan Lotteries Trust Fund for Sport, Culture and Recreation and the stakeholders are met.

(v) ACCOUNTABILITIES  The Board is accountable to the stakeholders of Rivers West District for Sport, Culture & Recreation and to SaskSport, SaskCulture, SPRA and Saskatchewan Lotteries Trust Fund for Sport, Culture and Recreation.  The Board’s accountability will be exercised by the submission of required documentation to Saskatchewan Lotteries Trust Fund for Sport, Culture and Recreation and funding authorities and by clear and true reporting to all of its stakeholders, members, employees, volunteers, strategic partners and clients.  Summary of monitoring results, outcomes and outputs, to the Board prior to the planning session.

8.03 The Board may suspend a member from the Board under the following circumstances: a. Failure of a member to comply with the Constitution. b. A decision by the Board of Directors that the conduct of the member is detrimental to the interest and/or reputation of the organization. c. If any Board member fails to attend three (3) consecutive Board meetings, without reasonable cause, the Board of Directors will review that position for suspension. d. A Board Meeting shall be called to consider a suspension after written notice has been given to the member in question advising of the meeting and the reason for action. The member may be heard at the said meeting. e. A resolution for suspension shall require a three-fourths majority of the Board members present entitled to vote. Passing of said resolution constitutes termination of the member’s involvement.

8.04 The Board will employ an Executive Director who will be responsible for overseeing the daily operations of Rivers West District for Sport, Culture and Recreation.

Article 9: AMENDMENTS 9.01: Amendments to this Constitution may only be made if: (i) The amendments are submitted in writing to the organization at least seven (7) days prior to the date of the Annual General Meeting. Proposed Constitutional amendments must receive a two-thirds (2/3) majority vote of the voting delegates present.

(ii) Or in the case of receiving the written amendment at the Annual General Meeting, a two-thirds (2/3) majority vote of those voting delegates present

agree to have the amendment presented and will only be passed with an 80% majority vote of the voting delegates present.

Article 10: FISCAL YEAR 10.01: The fiscal year shall be April 1 to March 31.

Article 11: INDEMNIFICATION 11.01 In the performance of their duties, Rivers West District for Sport, Culture & Recreation will indemnify and save harmless the employees, members of the Board and/or persons acting at the request of Rivers West District for Sport, Culture & Recreation in the event of legal proceedings against them, except where liability incurred relates to these individuals failing to act honestly, in good faith, and in the best interests of the District.

Article 12: DISSOLUTION 12.01: Subject to the Non-Profit Corporation Act, in the event of dissolution of the organization its property and assets shall, after payment of all liabilities, be donated or transferred to one or more recognized charitable recreation, sport, and culture organization(s) in Saskatchewan as may be decided by the Board.
