Lyndsay Hatlelid Senior Vice President and General Counsel Brookfield Reinsurance Partners Ms. Hatlelid is Senior Vice President and General Counsel of Brookfield Reinsurance Partners. In this role, Ms. Hatlelid provides strategic and legal advice across Brookfield’s reinsurance business, and has oversight of legal, compliance and risk activities. Ms. Hatlelid was previously responsible for legal and transaction execution within Brookfield’s Private Equity Group. Prior to joining Brookfield in 2017, Ms. Hatlelid was a lawyer at a leading Toronto-based law firm, where her practice focused on corporate finance, mergers and acquisitions and private equity. Ms. Hatlelid also serves on the board of directors of Brookfield’s operating reinsurance company, North End Re Ltd., and on the board of directors of Camp Oochigeas and Camp Trillium. Ms. Hatlelid holds a Juris Doctor from Osgoode Hall Law School and a Bachelor of Arts (Honours) from Queen’s University.

James Lea General Counsel Irving Shipbuilding Inc. James Lea is General Counsel at Irving Shipbuilding Inc. (ISI), which is a member of the J.D. Irving, Limited group of companies. James leads the business’ legal, immigration, and trade compliance teams. As a trusted member of ISI’s executive leadership team, James provides advice on all aspects of the business, including day-to-day strategic and operational support to ISI’s major shipbuilding projects for the Royal Canadian Navy. In 2018, James completed an Executive MBA at Ivey Business School at Western University. He is also a graduate of Schulich School of Law at Dalhousie University and before that Acadia University. James’ biggest source of pride is his family, which includes a patient and supportive partner and three wonderful (and extremely energetic) young children.

Diana J. Lee Associate Vice President, Legal TD Bank Group Diana is an Associate Vice President within TD Legal with an executive mandate that spans digital and mobile innovation, marketing and customer experience, accessibility, and human rights. Previously, Diana served as chief of staff/special assistant to the Group Head and General Counsel at TD, providing a broad range of strategic and risk advice to senior leaders of the bank. Before joining TD, Diana practiced technology transactions and privacy law at Latham and Watkins LLP in Boston. She is a graduate of the University of Toronto and Harvard. Valérie Quintal Senior Counsel & Vice-President, Legal and Regulatory Compliance BMO Financial Group Ms. Quintal is Senior Counsel & Vice President, Wealth Management Litigation, in the Legal and Reg- ulatory Compliance group at BMO Financial Group. Ms. Quintal leads and manages complex litigation and class actions, internal investigations and regulatory matters for BMO’s Wealth Management businesses globally. Prior to joining BMO, Valerie practiced at a leading Toronto litigation boutique and a large firm in Calgary in the areas of commercial litigation, securities litigation, international arbitration and class actions. Frank V. Reda Chief Legal and Compliance Officer Gallagher Canada Frank Reda is the Chief Legal & Compliance Officer & Corporate Secretary of Gallagher Canada and a key member of the Senior Executive Committee and the Board of Directors. Frank works with a high functioning team of legal and compliance personnel that together ensure the effective provision of legal advice and the successful implementation of corporate policies, procedures and controls. Frank overseas all Canadian acquisitions, dispositions, litigation, employment and corporate governance and regula- tory matters. Tolek Strukoff Chief Legal & Administrative Officer Gateway Casinos & Entertainment Limited Tolek has been the Chief Legal Officer and Corporate Secretary at Gateway Casinos & Entertainment Limited since June 2016, and in January of 2020 took on the additional role of Chief Administrative Officer for the company. In his current role, Tolek oversees the Legal Department, Corporate Hu- man Resources & Labour Relations Department, Property Development Department, and Strategic Transaction & M&A functions for Gateway. Prior to joining Gateway, Tolek practiced corporate and commercial law with Lawson Lundell LLP. Lilac Bosma Senior Vice-President and General Counsel HSBC Bank Canada Lilac Bosma is the General Counsel of HSBC Bank Canada, the proud leader of a national team working together to protect and grow HSBC’s business. Prior to joining HSBC, Lilac was a partner at a firm in , with a broad commercial litigation and employment law practice. Lilac joined HSBC as a specialist employment lawyer in 2012, took on the role of Head of Litigation and Regulatory Enforcement in 2014, and was appointed GC in June 2018. Lilac sits on HSBC Bank Canada’s Executive Committee, plays a global role on HSBC’s Global Legal Risk Executive Committee, and is a well-known champion for diversity and inclusion.

Tom Ferns General Counsel & Corporate Secretary Mohawk College Mr. Ferns is General Counsel and Corporate Secretary of Mohawk College where, in addition to legal matters, he has responsibility for corporate policy, privacy, access to information, risk management, insurance and governance. Before joining Mohawk College, he was Associate General Counsel at U.S. Steel, General Counsel and Corporate Secretary at U.S. Steel Canada and held legal and cor- porate affairs positions at Dofasco Inc. He has a Juris Doctor and Master of Arts from the University of Toronto and a Bachelor of Arts from Queen’s University. Andrea Wood Chief Legal and Governance Officer TELUS As Chief Legal & Governance Officer of TELUS and a member of TELUS’ Executive Leadership Team, Andrea oversees TELUS’ cross enterprise legal team. She is a fervent advocate for sustainability, good governance and transparent financial and non-financial disclosure, enabling TELUS’ global leadership in social capitalism. Jody A. Evely Assistant Vice President and General Counsel - U.S CN Jody Evely is Assistant Vice President and U.S. General Counsel at CN. Jody is a graduate of Osgoode Hall Law School and practiced civil litigation in , and Alberta before joining CN. She is a member of the bar in Ontario and Illinois.

Emily Head Senior Counsel and Director, Canadian Securities Litigation Royal Bank of Canada Emily Head currently manages all aspects of dispute resolution matters for RBC’s securities-related businesses in Canada. In her time at RBC, Ms. Head has advised a number of businesses both do- mestically and internationally on complex and significant litigation matters, including class actions and regulatory enforcement. Before joining RBC, she practiced commercial litigation at a leading Canadian law firm. In addition to an LLB, Ms. Head holds a BA in Geography and an MA in Urban Planning. Kerry O’Reilly Wilks EVP, Legal, Commercial & External Affairs TransAlta Corporation Kerry O’Reilly Wilks is the Executive Vice-President, Legal, Commercial and External Affairs with TransAlta Corporation (TSX: TA) (NYSE: TAC), one of Canada’s largest producers of wind power with a diverse fleet of electrical power generation assets in Canada, the United States and Australia. Ms. O’Reilly Wilks’ portfolio spans legal, commercial, ESG, government relations, stakeholder engage- ment, indigenous affairs, regulatory and market policy, corporate secretarial, governance and trading compliance. She also sits on the Board of Directors of TransAlta Renewables Inc. (TSX:RNW), as well as the Board of St. Michael’s Hospital Foundation. Kathrine Smirle Senior Counsel and Director, Banking Litigation (Canada and Caribbean), RBC Law Group Royal Bank of Canada Kathrine Smirle is Senior Counsel & Director in the Law Group at Royal Bank of Canada. With a team of 8, she manages banking litigation and risk across all of Canada and the Caribbean. She advises on bankruptcy, collection and fraud recovery; and directs the strategy on all defensive banking matters. In the last decade, she has directed the bank’s defence on a dozen class actions and secured critical legal decisions up to the Supreme Court of Canada. In 2016, she was named as a Lexpert Rising Star and in 2019 she was a top five finalist in Litigation Management at the CGCA Awards.

Angela Vivolo Vice President & Associate General Counsel - Litigation Scotiabank Angela Vivolo is the Vice President & Associate General Counsel for Litigation at Scotiabank. Ange- la has 18 years of experience advising commercial clients on litigation matters, investigations and regulatory enforcement matters. In her role at Scotiabank, Angela leads a high performing team of 10 litigation and eDiscovery lawyers, law clerks and paralegals. Katherine Gurney General Counsel Northleaf Capital Partners Katherine is General Counsel, Corporate Secretary and Chief Compliance Officer of Northleaf Capital Partners, a global private markets firm with US$16 billion in private equity, private credit and infra- structure commitments under management and offices in four countries. Katherine is a member of Northleaf’s Management Committee and provides strategic and legal advice to Northleaf’s leadership team, notably leading Northleaf’s internal and external legal teams to complete Northleaf’s strategic transaction with IGM/Mackenzie & Great-West Life in 2020. Katherine leads Northleaf’s legal and compliance teams and is responsible for directing the legal and structural elements of Northleaf’s investment transactions and portfolio holdings, business development, fund formation activities and compliance matters in Canada, the U.S., the UK and Australia. Elizabeth Hall Executive Director and General Counsel Ontario Bar Association Elizabeth Hall is the Executive Director and General Counsel of the Ontario Bar Association, a not- for-profit with over 15,000 members. Elizabeth heads a team of 7 lawyers and 40 other professionals, with the leadership and support of 1200 volunteers. She navigates the various legal issues related to the organization’s increasingly diverse range of services. Elizabeth conceptualized and led the de- velopment of the OBA’s Innovator in Residence Program, its Not Another Decade EDI initiative and its gender-equality Momentum campaign. Jim Miller General Counsel and Corporate Secretary Clairvest Group Inc. Jim Miller is General Counsel and Corporate Secretary of Clairvest Group Inc. Tricia Waddell General Counsel Champion Petfoods Tricia is the first in-house lawyer at Champion Petfoods. Assisted by her team of one other lawyer, Tricia manages all legal affairs for Champion and its subsidiaries, globally. Her accomplishments include overseeing the successful defense of several class action lawsuits in the United States and other lawsuits worldwide, opening operations in Amsterdam and Shanghai, management of major PR and government relations issues, and supporting the incredible growth trajectory of Champion. Janie C. Béïque President and CEO Fonds de solidarité FTQ Janie C. Béïque is the current President and Chief Executive Officer of the Fonds de solidarité FTQ. Appointed in April 2021 as the organization’s first ever female chief executive, she joined the Fonds in 2000 as Vice-President, Legal Affairs, and Corporate Secretary. Prior to taking the reins at the head of the organization, Ms. Béïque held the role of Executive Vice-President, Investments. Formerly a partner at McCarthy Tétrault, she holds a law degree from Université de Montréal and was called to the Barreau du Québec in 1991. She has been a member of the Institute of Corporate Directors since 2012 and in 2015 earned an MBA from Georgetown University and ESADE University.

Deborah R. Greenberg SVP & Chief Information Officer Canada Mortgage and Housing Corporation Deborah is the Chief Information Officer at Canada Mortgage and Housing Corporation (CMHC). She is responsible for furthering CMHC’s technology and business transformation and driving its digital strategy. Deborah joined CMHC in 2017 as Chief Legal Officer and Corporate Secretary. Prior to that, she was the General Counsel at Aimia (Aeroplan). She started her law career at Davies Ward Phillips Vineberg LLP. Deborah holds degrees in Civil and Common law from McGill University. She also holds a Graduate Man- agement diploma from McGill, a Bachelor’s degree in Psychology from Carleton University and the ICD.D designation. David Hanick Chief Legal Officer Starlight Investments David Hanick is the Chief Legal Officer at Starlight Investments responsible for transaction, risk and governance matters. Mr. Hanick has 20 years of experience advising public companies and private equity firms on acquisitions, dispositions and mergers as well as equity and debt capital markets transactions. Before joining Starlight in 2012, he was a partner and co-chair of the mining group at Osler, Hoskin & Harcourt LLP, practicing in the corporate group. Cheryl Foy University Secretary and General Counsel Ontario Tech University Cheryl Foy is the University Secretary and General Counsel at Ontario Tech University, and the author of the recently-published book An Introduction to University Governance. She is a regular columnist for several magazines. Cheryl is a “builder” having served as the first General Counsel in all of her executive roles in the public and private technology company context and within higher education. She is a founder and the Past President of Women General Counsel Canada. Cheryl is a passionate advocate for women lawyers, vulnerable women and girls, the GC role, ethics and good governance. Cheryl is a single mom to a teenage daughter and three rescued animals.

Sharon Haward-Laird General Counsel BMO Financial Group Sharon Haward-Laird is General Counsel of BMO Financial Group and leads the bank’s legal & reg- ulatory compliance groups. She is responsible for corporate governance, banking regulation and supervision, and litigation. She also oversees the bank’s ethics, ombudsman, sustainability, and in- vestigations practices. Steven Kresak is the General Counsel and Corporate Secretary of IBI Group Inc. and is responsible for the corporation’s legal affairs across its over 60 offices worldwide. He leads the Legal, Compli- ance, Insurance and Corporate Governance functions. Prior to joining IBI Group, Steven was Senior Vice President, Commercial Projects at Infrastructure Ontario. Melanie Schweizer Senior Vice President and General Counsel Bell As SVP and General Counsel, Melanie is accountable for the legal affairs at BCE Inc, Bell Canada and affiliates, leading a team of 110, including over 65 lawyers. Melanie joined BCE in 2006 as litigation counsel and took on increasing scope and responsibilities before being appointed Assistant General Counsel in 2013 and Vice-President, Legal in 2014. Following her call to the bar in 2001, Melanie practised commercial litigation at a boutique in Toronto where she specialized in class actions and other complex com- mercial litigation. With her husband Tom, Melanie has two teenaged children at whose sporting events and activities you can often find her when not at work.

Miguel Baz Assistant General Counsel and Assistant Corporate Secretary Bell Miguel Baz is Assistant General Counsel and Assistant Corporate Secretary at Bell. Mr. Baz joined Bell in 2001 and leads the company’s mergers and acquisitions legal team and the corporate secre- tariat group. He is also director of legal operations and oversees the management of the legal func- tion. Mr. Baz is a member of the 2021 Centraide of Greater Montreal campaign cabinet and former Chair of Lawyers Without Borders Canada. THE NATIONAL GC NETWORK is a Canadian coalition of General Counsel and in-house lawyers who self-identify as Indigenous, Black, or People of Colour, and our allies. We started informally as a handful of General Counsel who shared similar experiences of bringing equity, diversity and inclusion (ED&I) initiatives to our organizations. With popular interest, we incorporated in January 2021 to launch The National GC Network. André Le Bel is Vice President, Legal Affairs and Corporate Secretary of Osisko Gold Royalties Ltd. and of Falco Resources Ltd. and was recently appointed as Corporate Secretary of Osisko Develop- ment Corp. He also serves as director of Brunswick Exploration Inc. He began his 24-year legal min- ing career with Cambior Inc. in 1997 where he gained progressive experience and then with Osisko Mining Corporation from 2007 to 2014. Mindy Gilbert Executive Vice-President and General Counsel GFL Environmental Inc. Ms. Gilbert is Executive Vice-President and General Counsel of GFL Environmental Inc., North Amer- ica’s fourth largest diversified environmental services company with over 15,000 employees across Canada and the United States. In this role, Ms. Gilbert oversees all legal matters, including M&A, corporate governance, financings and crisis management. In early 2020, Ms. Gilbert coordinated GFL’s US$2 billion cross-border IPO, amid the onset of the COVID-19 pandemic. Prior to GFL, Ms. Gilbert practiced corporate law for over 20 years. Ms. Gilbert has served as a member of the Securities Advisory Committee of the OSC and currently serves on the Alumni Board of Osgoode Hall Law School.

Sarah Kurash Associate General Counsel, OP Trust Formerly Director & Senior Legal Counsel, Investments Ontario Teachers’ Pension Plan Ms. Kurash is Associate General Counsel at OPTrust. She is responsible for supporting the business and advising on both transactional and commercial contracts. Ms. Kurash graduated from Queen’s University, and was called to the Ontario bar in 2005. She has over 16 years of experience in mergers and acquisitions from Stikeman Elliott LLP and the Ontario Teachers’ Pension Plan. She is passionate about mental health as well as sponsoring and mentoring women in law. She is a wife, mother of three, and spends her free time managing junior sports teams and fundraising for local charities in her community.

Charlie MacCready General Counsel & Corporate Secretary Dye & Durham Charlie has worked with D&D since 2012, starting in 2018 as General Counsel. This has included over 35 M&A and capital markets transactions. Charlie has over 25 years of experience practicing corporate securities law and mergers & acquisitions. Tom Mix VP & General Counsel, Mergers & Acquisitions Nutrien Ltd. Tom Mix is the VP & General Counsel, Mergers & Acquisitions for Nutrien. His areas of responsibil- ity include mergers and acquisitions, corporate development and strategy, corporate governance, investor relations, domestic/international government relations, and general corporate. Tom joined Nutrien’s predecessor, Agrium Inc., in September 2012. Prior to that, Tom was a partner in the Cal- gary-based law firm Burnet, Duckworth & Palmer LLP, specializing in mergers and acquisitions and general corporate matters. Tom, who was called to the Alberta Bar in 2001, has an MBA from Queen’s University and an LL.B from the University of British Columbia.

Logan Willis Managing Director, Legal Chief-of-Staff to the President & CEO CPP Investments Logan Willis is a Managing Director at CPP Investments, one of the world’s largest investors with $500 billion invested globally. Logan handles high-complexity, high-impact transactions, including complex M&A and transactions involving litigation. Recent mandates include the $3 billion contested acquisition of 10% (for a total 50% stake) in the 407 toll road, the US$6.1 billion take-private acquisition of global renew- able power company Pattern Energy and the restructuring of Neiman Marcus. In February 2020, Logan was seconded to serve as Chief-of-Staff to the President & CEO of CPP Investments, working to navigate the impact of the pandemic across CPP Investments’ portfolio and nine global offices. Kenneth J. Fredeen General Counsel Emeritus, Deloitte LLP

ur legacy is like the ripples from a pebble we throw in a pond: the positive impact we have Oon others will determine how large the ripples will be and for how long they will last. Rummaging through my things the other day I found my report cards from elementary school which confirmed what I remembered: I was a mediocre student who attended school to play sports. Ultimately, with a little bit of luck, hard work and persistence, I entered the College of Law at the University of Saskatchewan. Articling, not on Bay Street, but on the main street in Prince George BC, my experiences as a young lawyer were unique. Moving to Calgary to work in house for Dome Petroleum, an oil and gas company under CCAA protection provided me with my first inhouse experience and I liked it, even though it was apparently a job nobody else wanted. I joined the fledging Canadian Airlines in 1986.

Until 2000 I honed my skills as one of Canada’s few aviation lawyers. Based in Calgary, I focused on aviation litigation, regulatory, employment, human rights and labor law. I argued cases before courts and tribunals, travelled endlessly with work, dealing with regulators and global aviation matters. Professionally the work was challenging, interesting, and unique: I had a blast and Katherine and I travelled the world, making the best of free flights and no kids. It was an exciting and challenging career, but with the acquisition of Canadian by Air Canada in 1999, I chose to leave the aviation world for the accounting profession. So naturally one might wonder how I ended up as General Counsel at Deloitte and am now accepting this Lifetime Achievement Award.

Deloitte is Canada’s largest professional services firm. It wasn’t when I accepted the Gen- eral Counsel role in 2000, but the Anderson transaction in 2003 changed that. The Accounting profession was not ‘regulated’ when I took on the role, but it was after the collapse of Enron, Anderson, and a series of other events. The devolution of consulting practices by the accounting firms was occurring, and Deloitte took a different approach. Leading the firm through complex, large litigation, and regulatory matters, sometimes to the Supreme Court of Canada was a privilege. Managing a legal team of professionals which expanded from 3 to over 25, as the firm grew and evolved, required unique skills and talented legal professionals. The acquisi- tion of the Chilean Deloitte member firm added an interesting international aspect to the role. The challenges of 9/11, SARS and the financial crisis in 2008 required senior legal skills too, as did the challenges of globalization and fierce domestic and international competition. All won- derful and complex challenges for a legal mind. What a wonderful time to be a general counsel of a professional services firm. I look back on my tenure as General Counsel at Deloitte with such a sense of gratitude. First and foremost was my deep sense of service to others: service, to the partnership, my partners, my team, and our people. But increasingly in my tenure, a sense of the need to serve others: the community, those marginalized and seeking an invitation and opportunity to play in the game. People ‘not like me’ who I and people like me could mentor, coach, and sponsor.

This sense of collective service lead to the formation of Legal Leaders for Diversity and In- clusion. The LLD was founded by a few of us in the belief that general counsel could play a significant role in creating a more diverse and inclusive legal profession and beyond. With well over 100 members from across Canada, we have made great progress but there is work left to be done. General Counsel and their teams must be the critical drivers towards the change we need not only on diversity, but on Environmental, Social and Governance (ESG). I spent my career at Deloitte in pursuit of this change, both within and outside of Deloitte but I was just one of many, too many to name here.

With one year remaining in the partnership, I asked if I could step out of my general counsel role, so that I could spend my last year as Senior Partner, Indigenous and AccessAbility. Leaving the best job in the world was not easy, but I quickly learned that I had entered through a door, into an incredible space where all that I had done as General Counsel created the foundation for an even more purposeful end to my career at Deloitte. We spend our lives as lawyers focused on the law, resolving disputes, and negotiating and drafting agreements. Being able to serve the partnership and the country in creating a more inclusive place for people with disabilities and leading on Reconciliation with Indigenous peoples is priceless. I was indeed lucky.

Thanks to mandatory retirement, I am young enough to know that I am not done yet. For nearly 40 years I have worked in a corporate inhouse role, and I have seen the evolution of the role of General Counsel and their teams. The role that corporate counsel play within their or- ganizations and beyond is important and needs to be supported and developed. We can never be satisfied with just being good. We need to be the best! And we can not be satisfied simply to do our jobs. There are leadership roles General Counsel and their teams can, and must play, beyond our organizations.

I would like to close with this. A leader cannot be successful without a strong team and I had the best. I would not be accepting this award without their hard work, commitment, and sense of belonging and purpose. I will be forever grateful for having had the opportunity to know and work with them. This award is shared with them. Together, I think we have created more than a few ripples!

She also leads environmental, social and governance strategy across the bank. Prior to joining CIBC, Kikelomo was Chief Legal Officer, Ombudsman and Corporate Secretary at Interac Corp. She has over 25 years of experience, as both a trial lawyer and a transactional lawyer, and has been accountable for functions ranging from compliance and regulations to corporate governance and crisis management. Kerry O’Reilly Wilks EVP, Legal, Commercial & External Affairs TransAlta Corporation Kerry O’Reilly Wilks is the Executive Vice-President, Legal, Commercial and External Affairs with TransAlta Corporation (TSX: TA) (NYSE: TAC), one of Canada’s largest producers of wind power with a diverse fleet of electrical power generation assets in Canada, the United States and Australia. Ms. O’Reilly Wilks’ portfolio spans legal, commercial, ESG, government relations, stakeholder engage- ment, indigenous affairs, regulatory and market policy, corporate secretarial, governance and trading compliance. She also sits on the Board of Directors of TransAlta Renewables Inc. (TSX:RNW), as well as the Board of St. Michael’s Hospital Foundation. David J. Shapiro Newly retired, EVP, International and Regulatory Affairs and Chief Legal Officer Air Canada David served as Air Canada’s EVP, International and Regulatory Affairs & CLO, and previously, its GC since 2004, responsible for its worldwide legal strategies and services, regulatory and international affairs, and its compliance and claims departments. David played a leading role in pivotal AC mile- stones including: restructuring of Canadian Airlines and its subsequent corporate reorganization and amalgamation with AC; its CCAA in 2003-2004; government and legislative initiatives, its out of court restructuring in 2009 and foundational transactions that have helped set AC on its path to sustained profitability.
