JOINT-VENTURE, AL-GHARIB & ASSOCIATES AND AZTAN

In response to the calls of our local and regional clients who set up or at the stage of setting up business in Dubai, AZTAN signed, in 2014, a joint-venture agreement with M/s. Al-Gharib & Associates. Based on this joint-venture, AZTAN stationed three professional lawyers in the offices of Al-Gharib & Associates looking after the interests of AZTAN’s clients in the United Arab Emirates in particular and in the GCC in general. The past period of this collaboration with Al-Gharib & Associates proved striking success of this joint-venture.

JOINT-VENTURE, AZTAN, SULAF & ASSOCIATES

As will be detailed in this profile, AZTAN was deeply involved in business in South Sudan prior to and after independence of the Republic of South Sudan in July 2011. The Republic of South Sudan is a newly borne country, got its independence in July 2011. Both Sudan and the Republic of South Sudan follow the Common Law System. Special attention should be drawn to the fact that most of the laws have not yet been enacted in the Republic of South Sudan. Furthermore, official staffs in governmental bodies encounter many difficulties in application of the newly enacted laws due to the lack of guiding precedents. In spite of the fact that they are co-operative, however, it is not at all an easy task to get accurate information regarding a certain issue.

In 5th December 2013 AZTAN Law Firm formed a joint-venture with "Sulaf & Associates" of South Sudan (the "JV"). The main feature of this JV was that both law firms shall work together in the Republic of South Sudan on projects basis. The JV will submit for qualification for each project and, for each transaction, a "Business Name" shall be registered with the Registrar of Companies, Business names and NGOs in Juba, Republic of South Sudan. This approach secures compliance with the local Laws in South Sudan and reflects the JV relationship between the two firms. By creating the JV in South Sudan, AZTAN Law Firm responds to the current economic trends and needs of its current and potential local and international clients who have business interests and activities in South Sudan.

 Being the exclusive external lawyers of Canar Telecom Co. Ltd. (an affiliate of Etisalat, United Arab Emirates), we vetted a considerable number of equipment, services and funding agreements.

 Supervised and vetted a major loan agreement between Bank of Khartoum and Sabina Integrated Solutions.

Construction and An infra-structure agreement concluded in October 2005 between our clients and the Government of Infrastructure Projects Unity State in South Sudan related to projects of building hospitals, schools, government offices, campuses, houses for ministers, roads, bridges, airstrips, generation of power by setting plants and distribution to the counties, clean water treatment plants, storage and distribution, productive sectors (agriculture and livestock infra-structure), clearance/cleaning of the river channel, building the airport, micro industrial infra-structure. The value of the first phase of this agreement was US$ 100 million.

In January 2008 we drafted the second phase agreement between our clients and the Government of Unity State.

In January 2006 we drafted the Terms of Reference Agreement between our clients M/s. AJC Planning Consultants SDN BHD of Malaysia and the Government of Unity State by virtue of which our clients were retained to draw the Master Plan of Bentiu, capital of Unity State. This was also followed by drafting the Financial Agreement for Bentiu Master Plan. It was further followed by drafting the Consultancy (Engineer) Agreement for the same project.

In November 2006 an infra-structure agreement was drafted by AZTAN between our clients and the Government of Upper Nile State in South Sudan.

In September 2006 we drafted an agreement for the construction of road signed between our clients and the Sudan People’s Liberation Army of South Sudan.

Legal Aid:

In response to an initiative of the partners to make a substantial commitment to Humanitarian, Social Institutions and Non Profit Organizations, as well as the poor, a team of AZTAN’s staff volunteer, at no cost and on a regular basis (usually one morning per month), to perform intake interviews consist of interviewing potential clients as they come into the offices, taking down the basis for their claims and completing a legal memorandum to the concerned authority, and directing them in the appropriate procedures to be followed by them.

Environment protection:
