OFFICIAL RULES “Keybank Key Fan Sweepstakes” OFFICIAL RULES “KeyBank Key Fan Sweepstakes” Sponsored by the Colorado Avalanche NO PURCHASE IS NECESSARY TO ENTER OR WIN A PRIZE; A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. THIS PROMOTION IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, FACEBOOK. ANY QUESTIONS, COMMENTS OR COMPLAINTS REGARDING THE PROMOTION SHOULD BE DIRECTED TO SPONSOR, NOT FACEBOOK. 1. Eligibility. The “KeyBank Key Fan Sweepstakes” (“Sweepstakes”) is open only to legal residents of the state of Colorado who are eighteen (18) years of age or older at the time of entry (each an “Eligible Entrant”). Employees, officers and directors (including immediate family members (spouse, domestic partner, child, sibling, parent and their respective spouses/domestic partners, regardless of where they reside) and members of the same household, whether or not related) of Sponsor (defined below), Kroenke Sports & Entertainment, LLC (“KSE”), KeyBank, the National Hockey League (“NHL”) and its member teams and NHL Enterprises, L.P., and each of their respective parents, affiliated companies, subsidiaries, licensees, divisions, advertising and promotion agencies, and any and all other companies associated with the Promotion (collectively, the “Sweepstakes Entities”) are not eligible to participate or win any prize. The Sweepstakes is subject to all applicable federal, state and local laws, rules and regulations. Void where prohibited or restricted by law, rule or regulation. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes, including but not limited to the administration and operation of the Sweepstakes and the selection of the potential Winner. Winning a prize is contingent upon fulfilling all requirements set forth herein. 2. Sweepstakes Period. The Sweepstakes begins on March 6, 2017 at 12:00 p.m. and ends March 24, 2017 at 11:59 p.m. (the “Sweepstakes Period”). All entries must be received by Sponsor by the end of the Sweepstakes Period to be part of the Sweepstakes. Sponsor reserves the right to extend or shorten the Sweepstakes Period at its sole discretion, and to cancel, terminate, modify or suspend the Sweepstakes for any reason in Sponsor’s sole discretion. Sponsor’s clock shall, for all purposes, be the official clock of the Sweepstakes and all time references are to local Denver time. 3. How to Enter. There are two ways to enter, both of which will require you to answer the following question- Why are you an Avs fan? Your answer will be referred to herein as the “Fan Statement.” A. Visit https://www.nhl.com/avalanche/fans/contests/fan-appreciation-kb/ and follow the instructions provided to submit a completed online entry form. B. Post your Fan Statement online and tag it with the following hashtag: #AvsKeyFan. Limit one (1) entry per Eligible Entrant regardless of entry method. No other form of entry will be accepted other than those specified above. In the event of dispute over the identity of an Eligible Entrant, an entry will be deemed made by the “authorized account holder” of the e-mail address submitted at the time of entry, and potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such e-mail address. The “authorized account holder” is deemed the natural person who is assigned to the e-mail address in question by the applicable Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. It is solely the responsibility of the entrant to notify the Sponsor in writing if the entrant changes his or her e-mail or postal address. Sponsor is not responsible for late, lost, illegible, damaged, misdirected, incomplete or otherwise invalid entries. Sponsor reserves the right to disqualify any entry that it deems, in its sole discretion, to be a violation of the Official Rules. 4. Winner Determination and Contact. Sponsor will randomly select fifty (50) potential Winners from all Eligible Entrants within twenty-four (24) hours after the end of the Sweepstakes Period (the “Drawing”). Sponsor will attempt to contact each potential Winner via e-mail within twenty-four (24) hours after the end of the Drawing. If a potential Winner cannot be reached during the twenty-four (24) hour period or fails to respond within twenty-four (24) hours after said message is delivered, such potential Winner will be disqualified and an alternative potential Winner will be randomly selected from the remaining Eligible Entrants and contacted. Such process will continue until Sponsor contacts twenty-four (24) potential Winners who returns Sponsor’s message and each such individual will be the “Winner”. At all times, Sponsor reserves to right to select an alternate Winner in the event that a Winner is found to have not complied with these Official Rules. Odds of winning will depend on the total number of eligible entries received during Sweepstakes Period. 5. Grand Prize; Prize Terms. Each Winner will receive the following prize package (the “Grand Prize”): two (2) tickets to the Colorado Avalanche home game against the Minnesota Wild on April 6, 2017 at the Pepsi Center and one (1) invitation to attend a VIP events hosted by KeyBank at one of their branches located in the Denver metropolitan area. The approximate retail value (“ARV”) of each Grand Prize is $242 (ARV of all Grand Prizes is $15,600). All Grand Prizes are guaranteed to be awarded unless a potential Winner fails to respond as described above. The right to receive a prize is non-transferable and non-assignable. No cash redemption is permitted except at Sponsor’s sole and absolute discretion. Sponsor reserves the right to substitute the Grand Prize with one of comparable or greater value at its sole and absolute discretion. All costs and expenses associated with Grand Prize acceptance and use not specified herein as being provided (such as, by way of example, transportation costs and additional food and beverage purchases) are the sole responsibility of the applicable Winner. All federal, state, or local taxes associated with the Grand Prize, are each Winner's responsibility. A form 1099 may be issued based on the value of the prize as required by law. Winner may be required to execute and return any required affidavit of eligibility and/or liability/publicity release as a condition to receive the Grand Prize. To the extent requested, all such forms will be completed and returned within twenty-four (24) hours or Sponsor may disqualify the Winner and select and alternate Winner. 6. Privacy Policy. Any personally identifiable information collected during an entrant’s participation in the Promotion will be collected by Sponsor and used by Sponsor (i) for purposes of proper administration and fulfillment of the Promotion as described in these Official Rules, and (ii) as described in Sponsor’s privacy policy, found at http://avalanche.nhl.com/club/page.htm?id=32558. Entrants specifically acknowledge and agree that Sponsor may share the information they provide with any of the other Promotion Entities for use in accordance with such Promotion Entity’s privacy policy. 7. Fan Statement Guidelines. Fan Statements must be the original work of the Eligible Entrant, must have been created specifically for the Promotion, and must not have been previously published, released commercially or won any awards. A Fan Statement must not include, depict or make reference to any of the following: obscenity, inappropriate language, nudity, sexual explicitness, drug or alcohol use, violence, firearms/weapons, commercial products, material that promotes any activities that may appear unsafe or dangerous, or promotes any particular political agenda or message, material that is hateful, tortious, defamatory, false or misleading, disparaging, slanderous, libelous, or otherwise unlawful, material that violates or infringes another’s rights, including but not limited to, rights of privacy or publicity, copyrights, trademarks, patents or any other intellectual property rights, material that promotes bigotry, racism, hatred or harm against any group or individual, or promotes discrimination based on race, ethnicity, sex, religion, nationality, disability, sexual orientation or age, and any other content, including but not limited to, text, images, music, graphics, photographs, captions and descriptions, data, codes or programs that could be considered inappropriate or offensive, as determined by Sponsor in its sole discretion. Sponsor reserves the right to disqualify any entry with a Fan Statement that it deems, in its sole discretion, to be a violation of the Official Rules or that are not in keeping with the Fan Statement guidelines specified herein or Sponsor’s image or which communicate messages or images inconsistent with the positive images and/or good will to which Sponsor wishes to be associated. Sponsor may request entrant to modify or edit any Fan Statement so that the Fan Statement meets such guidelines. Sponsor is not obligated to use, publish or display or broadcast any Fan Statement. By entering the Promotion, each Eligible Entrant represents and warrants that: (i) the Fan Statement is original, that he/she has all rights to the Fan Statement; (ii) that the Fan Statement was created specifically for the Promotion; (iii) that the Fan Statement,

At a high level, we compare actual draft outcomes to teams’ perfect draft outcomes. The perfect draft can be thought of as what would happen if a general manager (GM) could redo a draft with complete knowledge of prospects’ career values as well as other teams’ choices.
