24 HDOS Enterprises (the “Debtor”) for Order: (1) Approving Bid Procedures In Connection with 25 Sale of All Assets Free and Clear of Liens, Claims, Encumbrances and Interests; (2) Establishing 26 Notice of Bid Procedures Relating to Such Sale; (3) Approving Asset Purchase Agreement with 1 27 28

1 Stalking Horse Bidder; and (4) Approving Sale Schedule (the “Bid Procedures Motion”),1 and

2 respectfully represent as follows.

3 I. BACKGROUND FACTS

4 1. The filed a voluntary petition for relief under Chapter 11 of Title 11 of the United

5 States Code on February 3, 2014. Upon information and belief, the Debtor is operating its business

6 and manage its properties as debtor-in-possession pursuant to 11 U.S.C. §§ 1107(a) and 1108 1 2 * 7 2. The Debtor leases space (the “Premises”) from the Landlords pursuant to unexpired

8 leases of nonresidential real property (the “Leases”) at the locations (the “Centers”) set forth on 9 Schedule A hereto. The Leases are leases “of real property in a shopping center” as that term is 10 used in Section 365(b)(3). See In re Joshua Slocum, Ltd., 922 F.2d 1081, 1086-87 (3d Cir. 1990). 11 3. On June 23, 2014, the Debtor filed the Bid Procedures Motion. The Bid Procedures

12 Motion requests approval of bidding procedures to conduct an auction for the purchase and sale of

13 substantially all of the Debtor’s assets, including the Leases (the “Bidding Procedures”), to LB 14 Advisors, LLC (the “Stalking Horse Bidder”), which sale is subject to overbid.

15 4. While Debtor has yet to file any substantive sale motion, the Bidding Procedures 16 propose an expedited auction and sale process that unnecessarily shortens the time for Landlords to

17 review adequate assurance information, and does not protect Landlords’ rights under their Leases, 18 the Bankruptcy Code, or principles of due process. 19 II. ARGUMENT

20 A. The auction and sale timetable do not protect legitimate Landlords’ rights. 21 5. The Debtor proposes the following schedule for the auction and sale process:

22 • July 8, 2014 - Deadline to serve notice of auction and sale hearing. • July 8, 2014 - Deadline to file sale motion. 23 • July 16, 2014 - Deadline to submit bids. • July 18,2014- Auction. 24 • July 21, 2014 - Deadline to select Successful Bidder. • July 29, 2014 - Sale Hearing. 25 • September 1, 2014 - Deadline for closing of sale.

1 6. Landlords understand the desire to conclude a sale quickly, and does not oppose a

2 reasonable sale process. After five months in bankruptcy, however, a three week auction and sale

3 process is not appropriate. In the three-week sale period, the Debtor must provide: (a) notice of an

4 auction scheduled to take place within eight days; (b) adequate assurance of future performance

5 information (the “Adequate Assurance Information”) for the Stalking Horse Bidder; (c) notice of

6 proposed cure amounts; (d) adequate assurance of future performance information other bidders (if 7 any); (e) sale and cure objections deadlines that provide Landlords sufficient time to review the

8 information provided; and (f) time for discovery by objecting Landlords in advance of any sale

9 hearing, if necessary. This schedule is not workable, is unnecessary, and does not protect the rights 10 of third parties, especially in light of the five-week closing cushion. 11 7. The Bid Procedures Motion does not address many of above issues, which will have to

12 be covered in a sale motion. Even if the sale motion does cover these issues, the proposed schedule

13 does not provide necessary information to Landlords, nor provide time for meaningful objections to 14 the Successful Bidder. Landlords need time to assess the Successful Bidder and to file objections,

15 if any, to proposed cure amounts and Adequate Assurance Information.

16 8. In order to adequately protect Landlords, the Bidding Procedures should provide that: 17 (a) Landlords have two weeks to review and object to proposed cure amounts; (b) Landlords (and 18 counsel) receives Adequate Assurance Information from any bidder not later than the bid deadline; 19 (c) Landlords can attend the auction; (d) Landlords have five (5) business days from the auction’s 20 conclusion to review and assess Adequate Assurance Information from the Successful Bidder prior

21 to an objection deadline; and (e) the July 29, 2014 hearing serve as a status conference to the extent

22 the sale, or assumption and assignment of leases, is contested.5 The sale schedule should provide

23 sufficient time for objections and any necessary additional discovery in advance of the sale hearing. 24 9. Due process requires that “notice must be reasonably calculated to apprise interested 25 parties of the pendency of an action and to afford them an opportunity to present objections.” 26 5 The Bid Procedures Motion provides that the sale hearing will serve as a status hearing if the Successful 27 Bidder withdraws its offer and a Back-Up Bidder is designated. See Bid Procedures Motion at page 14. 1 Mullane v. Central Hanover Bank & Trust Co., 339 U.S. 306, 314 (1950); see also Sullivan v.

2 Barnett, 139 F.3d 158, 171 (3d Cir. 1998) (due process requires notice and a meaningful

3 opportunity to be heard). The Bidding Procedures do not afford Landlords sufficient time to review

4 Adequate Assurance Information or to prepare for an evidentiary hearing to present objections.

5 This deprives Landlords of due process, and rights granted under Section 365 of the Bankruptcy

6 Code in connection with the proposed assumption and assignment of Leases. Landlords understand

7 the need to expedite the sale process in the bankruptcy context, but such expediency should not

8 come at the expense of Landlords rights.

9 B. The Debtor must provide Adequate Assurance Information for any bidder. 10 10. The Bidding Procedures do not include a mechanism for providing Landlords with the

11 Adequate Assurance Information required under Section 365 of the Bankruptcy Code. In fact, the

12 Bidding Procedures do not even require bidders to include information sufficient to satisfy the

13 requirements to Section 365(b) as part of the bid package. The Bid Procedures Motion simply 14 requires that bids contain information that the bidder has sufficient cash on hand or a binding

15 financial commitment to close the transaction. See Bid Procedures Motion, at pages 10-11. This 16 does not satisfy the Debtor’s adequate assurance burden with respect to an assignee’s future 17 performance under the Leases, and Landlords must receive such information to evaluate any bidder.

18 11. To satisfy the adequate assurance of future performance burden, the Landlords must

19 receive the following Adequate Assurance Information, which is a non-exclusive list of the

20 minimum requirements to assess a potential assignee:

21 (i) the specific name of the proposed bidder, the proposed tenant that will act as the assignee, and the proposed name under which the assignee intends to operate the 22 store; (ii) the potential assignee’s intended use for the space; 23 (hi) audited financial statements and annual reports for the past three (3) years, including all supplements or amendments thereto; 24 (iv) cash flow projections for the proposed assignee, the proposed assignee’s most recent business plan, all cash flow projection for the Lease subject to the 25 assignment request, and any financial projections, calculations and/or pro-formas prepared in contemplation of purchasing the Leases; 26 (v) all documents and other evidence of the potential assignee’s retail experience and experience operating in-line stores in a shopping center; and 27 (vi) a contact person for the proposed assignee that Landlords may directly contact in connection with the adequate assurance of future performance. 28 ______4______OBJECTION OF LANDLORDS TO DEBTOR’S BID PROCEDURES MOTION 100690837_3.DOC Case 2:14-bk-12028-NB Doc 385 Filed 07/07/14 Entered 07/07/14 09:40:16 Desc Main Document Page 5 of 31

1 12. The Debtor must provide Landlords with Adequate Assurance Information for any

2 bidder, such that Landlords have sufficient time to review such information and assess a potential

3 assignee before any sale objection deadline. If the Landlords do not receive sufficient Adequate

4 Assurance Information, or enough time to assess such information, or if the proposed assignee is

5 unacceptable, the Landlords must object and prepare for an evidentiary hearing.- In preparation of

6 such an evidentiary hearing, the Landlords must conduct expedited discovery, arrange for expert

7 testimony, and file supplemental objections based upon the facts gleaned from whatever Adequate

8 Assurance Information is produced. 9 13. The Bankruptcy Code requires that Adequate Assurance Information be provided to 10 the Landlords before the Debtor may assume and assign the Leases. 11 U.S.C. §§ 365(b)(1)(C) &

11 365(f)(2). Providing adequate assurance of future performance is an affirmative duty of the Debtor,

12 and the Debtor bears the ultimate burden of persuasion as to issues under Section 365. See In re

13 Rachels Industries, Inc., 109 B.R. 797, 802 (Bankr. W.D. Term. 1990); see also Richmond Leasing 14 Co. v. Capital Bank. N.A., 762 F.2d 1303, 1309 (5th Cir. 1985). The obligation to comply with

15 Section 365(b) and Section 365(f) is unaffected by maneuvering the assumption and assignment

16 process through a sale under Section 363. The Debtor cannot carry its burden under Section 365 17 without providing Adequate Assurance Information and, without receipt of this information, the 18 Landlords cannot meaningfully assess the bona fides of a proposed assignee. Landlords reserve the 19 right to request further information that they deem necessary to make an informed decision as to 20 any potential assignee’s ability to satisfy Section 365, when such party is known.

21 C. The Debtor must satisfy heightened adequate assurance standards under Section 365(b)(3) for shopping center leases. 22

23 14. Each of the Leases is a lease of real property in a shopping center and, as such, the 24 Bankruptcy Code requires more than the basic adequate assurance of future performance of the

25 - A sale motion that contemplates the assumption and assignment of the Leases initiates a contested hearing 26 subject to Rule 9014 of the Federal Rules of Bankruptcy Procedure (“FRBP”). See FRBP 6006(a). Any evidentiary hearing will include witness testimony, and under FRBP 9014, the Court should establish procedures to provide parties 27 a reasonable time to schedule an evidentiary hearing where witnesses will testily. See FRBP 9014(e). 1 Leases under Section 365(b)(1)(C). In re Sun TV and Appliances. Inc.. 234 B.R. 356, 359 (Bankr.

2 D. Del. 1999). “‘[Ajdequate assurance of future performance’ has a specialized meaning in the

3 case of shopping center leases.” In re Arden and Howe Associates, Ltd., 152 B.R. 971, 976 n.9

4 (Bankr. E.D. Cal. 1993). To assume and assign shopping center leases, the Debtor must satisfy the

5 heightened requirements set forth in 11 U.S.C. § 365(b)(3)(A) - (D). See Joshua Slocum. 922 F.2d

6 at 1086; see also L.R.S.C. Co. v. Rickel Home Centers, Inc. (In re Rickel Home Centers. Inc.), 209 7 F.3d 291, 299 (3rd Cir. 2000). Section 365(b)(3) was implemented to remedy: “(1) the hardship

8 caused to landlord and tenant resulting from vacancy or partial operation of the debtor’s space in 9 the shopping center; (2) the uncertainty of whether the landlord will continue to receive rent 10 payments; and (3) the disruption to the tenant mix of the shopping center.” In re Great Atlantic & 11 Pacific Tea Co.. Inc.. 472 B.R. 666, 676 (S.D.N.Y. 2012).

12 15. The heightened adequate assurance requirements that Debtor must satisfy under

13 Section 365(b)(3) include the following:

14 • the source of rent and that the financial condition and operating performance of the proposed assignee and its guarantors, if any, must be similar to the financial 15 condition and operating performance of the debtor and its guarantor(s), if any, as of the time the debtor became the lessee. See 11 U.S.C. § 365(b)(3)(A); 16 • that any percentage rent due under the lease will not decline substantially. See 11 U.S.C. § 365(b)(3)(B); 17 • that assumption and assignment of the lease is subject to all provisions thereof, including (but not limited to) provisions such as a radius, location, use, or exclusivity 18 provision, and will not breach of any such provision in any other lease, financing agreement, or master agreement relating to such shopping center. See 11 U.S.C. § 19 365(b)(3)(C); and • that assumption and assignment of the lease will not disrupt the tenant mix or 20 balance in the shopping center. See 11 U.S.C. § 365(b)(3)(D). 21 16. Section 365(b)(3) requires the Debtor satisfy this heightened burden in connection

22 with an assumption and assignment of shopping center leases under Section 365(f)(2)(B). See

23 Section 365(b)(3); Sun TV and Appliances, Inc., 234 B.R. at 370. Courts also require a specific 24 factual showing through competent evidence to determine whether the Debtor has satisfied the 25 heightened adequate assurance requirement for shopping center leases. Matter of Haute Cuisine, 26 Inc., 58 B.R. 390, 394 (Bankr. M.D. Fla. 1986). The Bid Procedures Motion does not provide for, 27 or even acknowledge, these heightened adequate assurance standards. 1 party obliged to have a going forward relationship with the Successful Bidder (if approved by the

2 Court), and Landlords’ rights deserve this unique protection.

3 D. The Bidding Procedures needs to address a procedure to determine cure amounts, and provide for their resolution. 4

5 17. The Bid Procedures Motion does propose a deadline to provide proposed cure 6 amounts, a deadline to objection to such amounts, nor any mechanism to resolve cure objections.

7 The Debtor should establish a procedure that is parallel and separate from the sale process to

8 resolve such objections, so that these disputes are not heard simultaneous with the Sale Hearing, as 9 the large majority of such disputes are resolved informally. Such cure procedures should specify

10 that all undisputed cure amounts will be immediately paid to Landlords upon the entry of a sale

11 order with respect to any assumed and assigned Leases, regardless of whether there is a pending

12 objection to the proposed cure amount. If there is are disputes as to cure, the Debtor should escrow

13 the disputed amounts and request a status conference within thirty (30) days of the sale hearing to 14 deal with any such objections that remain unresolved after such period.

15 18. Moreover, and in addition to the payment of outstanding cure obligations, any sale 16 order should specify whether the Debtor or the Successful Bidder shall have liability for unbilled

17 but accrued charges that arise under the Leases prior to the closing of the sale. 18 19. Any assumption and assignment of the Leases cannot cut off the Landlords’ right to 19 recover all balances, including unbilled charges that have accrued, or are accruing, under the

20 Leases. The Debtor must cure all existing defaults and compensate Landlords for any actual

21 pecuniary loss as a result of those defaults in order to assume the Leases under Section 365(b). See

22 11 U.S.C. § 365(b)(1)(A) and (B). This principle is well-recognized. See Elkton Associates v.

23 Shelco Inc. (Matter of Shelco). 107 B.R. 483, 487 (Bankr. D. Del. 1989). Upon Court approval of 24 the sale, these obligations are payable immediately by Debtor and/or the Successful Bidder. In re

25 Tandem Group, Inc.. 60 B.R. 125 127 (Bankr. C.D. Cal. 1986) (citing In Matter of Condominium 26 Administrative Services. Inc.. 55 B.R. 792 (Bankr. M.D. Fla. 1985)). That notwithstanding, the 27 Leases include charges that accrue throughout the year, but are not reconciled and billed (or 28 credited) until sometime the following year. 1 ordinary course under the Leases. The Debtor and Successful Bidder cannot avoid these charges

2 simply because they are not yet billed, and they must specify who will satisfy these charges which

3 have not yet been reconciled and/or adjusted from pre-petition (or even post-petition) periods.

4 E. Any assumption and assignment must comply with the terms of the Leases. 5 20. Through the BAPCPA- amendments, “Section 365(f)(1) is amended to make sure that 6 all of the provisions of Section 365(b) are adhered to and that 365(f) of the code does not override

7 Section 365(b).” Floor Statement of Senator Orrin Hatch, 151 Cong. Rec. S. 2459, 2461-62 (daily 8 ed. March 10, 2005). The BAPCPA clarified Section 365 to reflect the Congressional intent that 9 the language of Section 365(f), and any ability to assume and assign the Leases, is subject to the 10 protections of Section 365(b)(1) and (3). It does not modify Section 365(b). Trak Auto Corp. v.

11 West Town Ctr. LLC (In re Trak Auto Corp.L 367 F.3d 237, 243-44 (4th Cir. 2004) (bankruptcy

12 courts could not use the general anti-assignment provision of Section 365(f)(1) to trump the specific

13 protections granted to landlords in Section 365(b)(3)(C)). Therefore, any assignment must remain

14 subject to all provisions of the Leases, including those provisions concerning use, radius,

15 exclusivity, tenant mix and balance, and so forth.

16 F. Any sale must not be free and clear of obligations to pay all charges due under the Leases, including unbilled year-end adjustments and reconciliations. 17

18 21. The Debtor seeks to sell the assets “free and clear of all liens, claims, encumbrances 19 and other interests.” See Sections I.A and I.C of the Asset Purchase Agreement. Landlords object

20 to any sale free and clear of the obligations in the Leases to satisfy unbilled taxes, reconciliations,

21 percentage rent, or other year-end adjustments or unbilled charges that may have accrued under the

22 Leases prior to the assignment of the Leases, but which have not yet been billed. The Debtor

23 continues to be responsible for all such unbilled charges as they come due under the Leases. The 24 Debtor or any Successful Bidder must agree to satisfy all charges due under the Leases, including

25 charges which have not yet been billed, reconciled and/or adjusted from pre-petition (or even post­ 26 petition) periods. As set forth above, any assumption and assignment of the Leases cannot cut off

1 the Landlords’ right to recover unbilled charges that have accrued, or are accruing, under the

2 Leases. If the assignment is not subject to these reconciliation and adjustment claims, it is unlikely

3 that these legitimate charges will get paid to the Landlords.

4 22. Moreover, the Leases provide that the Debtor must indemnify and hold the Landlords

5 harmless with respect to any existing claims which may not become known until after the

6 assumption and assignment of the Leases, examples of which may include such claims as personal 7 injuries at the Premises and damage to the Premises or Centers by the Debtor or its agents. Any 8 sale order must provide that the Successful Bidder has responsibility for all such indemnification

9 obligations, regardless of when they arose. In the alternative, the Debtor must provide (by

10 insurance or otherwise) that it can satisfy the indemnification obligations under the Leases for any

11 such claims that relate to the period prior to any assumption and assignment of the Leases.

12 G. The Bidding Procedures should authorize Landlords to attend the auction. 13 23. The Bidding Procedures should permit Landlords to attend the auction. . The Bid 14 Procedures Motion states that the sale will pay all creditors in full, so the Committee and other

15 creditors have no interest in the process beyond ensuring that representation is correct. See Bid 16 Procedures Motion at page 2. The Landlords and vendors are the only parties that have a true

17 interest in the sale once it closes, and Landlords are the only party that will be required to maintain 18 a relationship with the Successful Bidder post-closing. As a result, and Landlords should have 19 every opportunity to participate in the sale process and collect information from potential bidders. 20 There is no legitimate purpose to barring the Landlords (or their representative) from attending the 21 auction to gain whatever information they can about the bidders, especially when the sale process is

22 proceeding on such an expedited schedule.

23 H. Reservation of rights to raise further objections. 24 24. In addition to the above, and because the Debtor has filed no sale motion or proposed

25 form of order, Landlords reserve all rights to raise additional objections, including but not limited 26 to, the rights to raise additional objections: (i) to any bidder; (ii) to Adequate Assurance Information 27 for any bidder (or the lack of such information); (iii) to any sale motion, when filed; (iv) to require a 28 security deposit or letter of credit as security for the performance of the assignee’s obligations under ______9______OBJECTION OF LANDLORDS TO DEBTOR’S BID PROCEDURES MOTION 100690837 3.DOC Case 2:14-bk-12028-NB Doc 385 Filed 07/07/14 Entered 07/07/14 09:40:16 Desc Main Document Page 10 of 31

1 the Leases pursuant to Section 365(1) for any Successful Bidder that is a newly formed entity; (v) to

2 require any proposed assumption and assignment to comply with all Lease terms; (vi) to the

3 assumption and assignment of any Lease; and (vii) to the form of sale order when filed.

4 I. Joinder in other Landlords’ objections. 5 25. To the extent consistent with the objections expressed herein, Landlords also join in 6 the objections of other landlords to the Debtor’s proposed relief.

7 III. CONCLUSION 8 The Court should modify the procedures to incorporate the objections raised herein and

9 adequately protect the rights of the Landlords, and grant such further relief it deems appropriate.
