I. Reading of "Sunshine Law" Statement Adequate notice of this Regular and Executive Meeting, setting forth time, date and location, has been provided in accordance with the requirements of the Open Public Meetings Act on January 4, 201 3 by:

Approval to Convene into Executive Session WHEREAS, the Wayne Township Board of Education (hereinafter X-14-01 referred to as the "Board") from time to time must convene into Executive Session to discuss confidential matters including but not limited to personnel issues, legal matters, student issues and labor negotiations.

WHEREAS, THE Board has on its agenda for the meeting being held on July 18, 201 3 on issues relating to Personnel, Property and Legal Matters which must be discussed in a confidential closed session. Regular Meeting July 18, 2013 Page 2 of318

NOW THEREFORE BE IT RESOLVED, the Board shall move into Executive Session to discuss the above referenced matter.

BE IT FURTHER RESOLVED, that the minutes of the executive session will provide as much information as possible without violating any applicable privilege or confidentiality so that the public can understand what was discussed and when available what the Board decision was.

BE IT FURTHER RESOLVED, that the minutes of the executive session will be released to the public in an appropriately redacted fo rm within a reasonable period of time.

BE IT FURTHER RESOLVED, that the redacted portion of the executive session minutes will not be released until such time as the privilege or confidentiality is no longer applicable.

IV. Reconvene The Executive Session of the Wayne Board of Education Regular Meeting of July 18, 2013 was convened in the Conference Room of the Wayne Board of Education, 50 Nellis Drive, Wayne, NJ 07470.

The Statement of Compliance setting fo rth time, date and location was read in accordance with the requirements of the Open Public Meetings Act and the roll call was taken. The meeting was recessed and is now being reconvened.

Approval to Authorize Execution of Documents for PCIA Municipal S-14-06 BANC Program -RECOMMENDED ACTION: "that the Board authorize the execution of various documents in connection with the Passaic County Improvement Authority's Passaic Municipal Banc Program as follows:" WHEREAS, under the Passaic Municipal Banc Program (as defined herein), various municipalities, local authorities and school districts within the County of Passaic (the "County") and the County (each a "Participant") submit a request (the "Application") to the Passaic County Improvement Authority (the "Authority" or "Lessor") to borrow funds from the Authority (the "Passaic Municipal Banc Program") to finance the lease purchase of certain capital equipment and, if applicable, other personal property (the "Property";); WHEREAS, under the Passaic Municipal Banc Program, the Authority will assign all rights, title and interest in the Property, and the right to receive lease payments due under the Master Lease (as hereinafter defined) to U.S. Bancorp Government Leasing and Finance, Inc. (the "Assignee") under an Assignment Agreement entered into by and between the Authority, as Assignor, and the Assignee; WHEREAS,under the Passaic Municipal Banc Program, the Assignee intends to provide funds to acquire the Equipment over time, and immediately lease the Equipment to the Participant, all pursuant to the terms of that certain "Master Tax-Exempt Lease Purchase Agreement" entered into by and between the Participant, as lessee, and the Authority, as lessor (together with any amendments thereof or supplements thereto in accordance with the terms thereof, the "Master Lease"); WHEREAS, under the Master Lease, the Participant shall make lease payments to the Assignee; WHEREAS, the Participant will make lease payments that are subject to annual appropriation of said Participant in an amount sufficient to pay the corresponding lease payments applicable to Regular Meeting July 18, 2013 Page 24 of 318

the Property, plus all administrative expenses of the Passaic Municipal Banc Program; WHEREAS, pursuant to the county improvement authorities law, constituting Chapter 183 of the Pamphlet Laws of 1960 of the State, and the acts amendatory thereof and supplemental thereto, specifically Section 37 thereof (N.J.S.A. 40:37A-§Q), the County may fo r the purpose of aiding the Authority in the planning, undertaking, acquisition, construction or operation of a public facility, guaranty the punctual payment of moneys for the purposes of the Authority (the "County Guaranty"); and WHEREAS, in order to implement the County Guaranty, and in accordance with the terms of that certain agreement entitled Guaranty Agreement by and between the County and the Authority (the "County Agreement"), the County intends to appropriate moneys to the Authority to the extent the lease payments made by the Participant to the Assignee are not sufficient; NOW THEREFORE BE IT RESOLVED, by the Board of Education of the Township of Wayne (the "Board") as follows:

Section 1. That the Master Lease, in the form presented to this meeting, be and the same is hereby approved, and the President, Vice President or Business Administrator of the Board (each, an "Authorized Participant Representative") is hereby authorized to, and one of such officers shall execute the Master Lease, with such additions, deletions or modifications as such officer(s) of the Participant the Lessor and Assignee shall approve, and such approval will be conclusively evidenced by the execution and delivery thereof.

Section 2. The lease payments required by the Master Lease are subject to annual appropriation of said Participant in an amount sufficientto pay the corresponding lease payments applicable to the Property, plus all administrative expenses of the Passaic County Municipal Banc Program

Section 3. That any Authorized Participant Representative is hereby authorized and directed to execute and deliver any and all documents and instruments and to do and cause to be done any and all acts and things necessary or proper for the execution and delivery of the Master Lease and for carrying out the sale, issuance and delivery of the lease obligations, and all related transactions contemplated by this resolution.

Section 4. This Resolution constitutes a declaration of official intent under Treasury Regulation Section 1.150-2. The Board reasonably expects to pay expenditures with respect to the Properlyprior to the date that Board incurs obligations under the Master Lease, and such expenditures shall Regular Meeting July 18, 2013 Page 25 of 318

not be more than sixty (60) days prior to passing this Resolution. The Board reasonably expects to reimburse such expenditures with the proceeds of obligations to be incurred by the Board under the Master Lease. The maximum principal amount of obligations expected to be issued for payment of the costs of the Property is $1 ,250,000.

Section 5. . The following additional matters are hereby determined, declared, recited and stated:

(a) The maximum amount of the Participant's lease payments shall not exceed $130,298.40 and the interest rate on said lease obligations shall not exceed 1.524%percent per annum;

(b) The items to be leased from the Lessor shall be as set forth in Exhibit A hereto; provided that the President or any authorized representative of the Board (as defined in the Master Lease) may substitute or add items of equipment, with the Lessor's and Assignee's permission, in accordance with the provisions of the Master Lease; and

(c) The lease term applicable to a particular item of leased equipment shall not exceed the useful life of such item.

Section 6. This resolution shall become effective immediately.

NOTE: This lease through the Passaic County Improvement Authority (PCIA) was included in the development of the 2013- 2014 budget and will be used to purchase school buses, technology equipment, facilities equipment, high school replacement scoreboards, cafeteria tables and equipment for the Wayne Valley wood shop. grants and Debt Service, the District has withdrawn its original application and will re-submit it as part of an eligible project seeking 40% of the total eligible costs for the project in the fo rm of Debt Service Aid. The local share of the project would be funded under a possible referendum for safety and security items. Approval of Shared Service Agreement for District Radios S-14-32 -RECOMMENDED ACTION: 'that the Board approve a Shared Service Agreement for District Radios between the Township of Wayne and the Wayne Board of Education for a period of ten years from July 2013 through July 2023, with a 90-day withdrawal option, as per the attached."

Note: This shared services agreement allows fo r the District to . utilize its radios, sharing the cost of the infrastructure with the Township, to provide for more extensive and reliable service coverage for the Facilities and Transportation Departments. The District will pay a pro-rated share of the Township's cost for infrastructure based on the number of radio units, which is approximately $19,000 for the 13-14 school year. This amount has been budgeted. Approval to Accept Awards for Sale of District Equipment and S-14-33 Vehicles -RECOMMENDED ACTION: "that the Board approve the acceptance of awards for the sale of District equipment and vehicles, as auctioned on USBid.gov as per the attached list."

Note: The final sale of some items has not yet been completed by USBid.gov. These final sales will be presented to the Board fo r ratification at the August meeting, although the District will release the vehicles as soon as they are paid for and confirmed. TITLE: Non-Supervisory Lead Teacher

i. QUALIFICATIONS: The Non-Supervisory Lead Teacher (Lead Teacher) shall be a teacher currently employed by the district.

ii. POSITION SUMMARY: In conjunction with the school and district administration, the Lead Teacher shall be responsible for coordination of all activities that support the proper function of the department as outlined below. These dUties will be in addition to all regular duties performed as a teacher.

iii. JOB RESPONSIBILITIES: The Lead Teacher will assist the administration in promoting instructional leadership as follows:

a. Provides input to school and district administration of courses of study within his/her department. b. Assists departmental staff with criteria for student evaluation. c. Assists building administration to issue · and · collect texts , teaching equipment, and supplementary materials delegated to hislher department. d. Assists the school and district administration with the dissemination of information as needed to keep teachers abreast of current test results, relevant research, curriculum innovations and trends in his/her subject area. e. Fulfills all responsibilities listed above in a non-evaluative capacity. All evaluations of performance and assignment of departmental staff will be conducted by a certified administrator pursuant to statute and policy.

iv. SELECTION a. Lead teacher shall be annually recommended to the superintendent by a joint academic committee comprised of 2 administrators and 3 members of the department as selected by the WEA.
