The Board of Airport Commissioners, at their meeting held on June 22, 2009, by Board Order No. AO-5131, approved the Blanket Order authorizing Amendments to the Non- Exclusive Air Carrier Operating Permits at Los Angeles International Airport to extend the [bim and continue current practices until June 30, 2010, subject to approval by your Honorable Body.

There is no fiscal impact to the City's General Fund as a result of this action.

BLANKET ORDER AUTHORIZING AMENDMENTS TO THE NON-EXCLUSIVE AIR CARRIER OPERATING PERMITS AT LOS ANGELES INTERNATIONAL AIRPORT TO EXTEND THE TERM AND CONTINUE CURRENT PRACTICES UNTIL JUNE 30, 2010.

Section 1. WHEREAS, the Board of Airport Commissioners issued Blanket Board Order No. AO- 4814, and amendments to it, covering five (5) year Air Carrier Operating Permits for use of leading facilities at Los Angeles International Airport; and !.AX WOnmrio WHEREAS, it is the desire of Los Angeles World Airports (LAWA) to extend the term of WPalmdale said Non-Exclusive Air Carrier Operating Permits (ACOPs) and continue current practices until June 30, 2010; and Van Nuys

City of Los Angeles WHEREAS, an ACOP is a comprehensive agreement that defines and sets the

In the interim period, pending completion of a comprehensive review and Alan I. Rothenberg President resolution of matters that may impact the language of the ACOP, it is important that LAWA have signed documentation with the air carriers that include insurance and Valeria C. Velasco Vice President security deposit requirements. Those air carriers that adequately execute the term amendment to their existing ACOP at LAX and properly adhere to the ACOP provisions Joseph A. Aredas Michael A. Lawson will continue to have the permitted landing fee rate extended to them; and Fernando M. Torres-Olt Wai1:erZ1f!dn WHEREAS, successor ACOPs will be amended to include the First Source Hiring Gina Marle Lindsey' Program, in addition to extension of term until June 30, 2010 and continuance of Ex"cutive Director current practices to allow the Executive Director, or designee, to continue to execute new ACOPs at LAX pursuant to Blanket Board Order No. AO-4814 with an expiration date no later than June 30, 2010; and

WHEREAS, due to timing issues of (1) not obtaining City Council approval for this Blanket Order by the expiration of Board Order No. AO-4814, which gave the Executive Director, or designee, the authority to execute new ACOPs at LAX until June 30, 2009; and (2) the authority to execute amendments to ACOPs at LAX to extend the term until June 30, 2009 that may result in the Executive Director, or designee, not having authorization to issue new, or amendments to, ACOPs after the June 30, 2009 date, permitted landing fee rates from July 1, 2009 through August 31, 2009 will be charged to air carriers that have valid ACOPs and are in good standing with LAWA as of June 30, 2009, as long as such air carriers submit executed amendments to their respective ACOPs by August 31, 2009; and

WHEREAS, issuance of permits, agreements, and renewals, amendments or extensions thereof, or other entitlements granting use of an existing municipal airport involving negligible or no expansion of use and/or alteration or modification of the facilities or its operations beyond that previously existing or permitted is exempt from the requirements of the California Environmental Quality Act (CEQA) pursuant to Article III Class 1 (18)(c) of Los Angeles City CEQA Guidelines, as amended by the Council on July 31, 2002; and

WHEREAS, Permittees are subject to the provisions of the Service Contractor Wo,rker Retention and Living Wage Ordinances; and

WHEREAS, each Permittee must submit an Affirmative Action Plan and comply with the provisions of the Affirmative Action Program; and

WHEREAS, each Permittee must provide a Business Tax Registration Certificate number or Letter of Exemption by the City Office of Finance prior to execution of the Non-Exclusive ACOP; and

WHEREAS, Permittees must comply with the provisions of the Child Support Obligations Ordinance; and

WHEREAS, Permittees must maintain approved insurance documents, in the terms and amounts required, on file with LAWA Risk Management Division; and

WHEREAS, Permittees will be required to comply with the provisions of the First Source Hiring Program for all non-trade LAX jobs once the program is formally implemented by LAWA; and

WHEREAS, actions taken on this item by the Board of Airport Commissioners will become final pursuant to the provisions of Los Angeles City Charter Section 606;

NOW, THEREFORE, IT IS ORDERED that it is in the best interest of the City of Los Angeles to adopt the Staff Report, to make and enter into said Amendments, which are exempt from the California Environmental Quality Act requirements, and the Amendments as now before this Board are hereby approved, and the Executive Director of the Department of Airports is hereby authorized and directed to execute these Amendments on behalf of this Board and the City of Los Angeles upon approval as to form by the City Attorney, and upon approval of this Order and said Amendments by the City Council.

Section 2. IT IS FURTHER ORDERED that the Secretary of the Board is hereby directed to transmit to the City Council of the City of Los Angeles certified copies of this Order, together with copies of said Amendments for appropriate action of its part, in accordance with Section 606 of the Charter of the City of Los Angeles.

Section 3. IT IS FURTHER ORDERED that the Secretary of the Board certify to the passage of this Order and cause the same to be published once in a newspaper of general circulation in the same manner as Ordinances of the City of Los Angeles are published, upon approval thereof by the City Council.

SUMMARY

The Department of Airports (Department) requests approval of the proposed blanket order to allow the Airports Executive Director, or designee, to execute Non-Exclusive Air Carrier Operating Permit (ACOP} amendments. The ACOP is the primary legal instrument used to set and define standard operating terms, conditions and to impose the collection of fees for the use of landing facilities for commercial air carriers at Los Angeles International Airport (LAX). Landing facilities are the common use ramps and common use airfield areas, including runways, taxiways and service roads. On May 21, 2002, the Board of Airport Commissioners (BOAC) initially adopted a board order authorizing five-year ACOPs. Subsequently, ACOP amendments for LAX were authorized by the BOAC on May 21, 2007 and November 19, 2007. The term of current ACOPs will expire June 30, 2009.

The amendments will extend ACOP terms to June 30, 2010 and will incorporate contract requirement language for the First Source Hiring Program into the permits. The amended ACOPs will ensure continuity of air carriers' standard operating agreements and of fee collections and will provide additional time for the resolution of concerns which may impact the language and writing of successor ACOPs. An attachment lists the 91 ACOP air carriers at LAX; 66 are passenger and 25 are cargo air carriers.

Annual revenue generated from ACOP landing fees at LAX averaged $155 million from 2005-06 to the present. Airports staff estimates the ACOP revenue from landing fees will be $180 - $185 million in 2008-09 and will be approximately $190 million in 2009-10 at LAX. Charter Section 632 gives the BOAC the power and duty to fix and collect rates and charges for the use of airport assets and other services provided by the Department.

Pursuant to Charter Section 606, the proposed request requires Council approval because the cumulative term exceeds five years. Upon review of the attached Department request, it is the opinion of this Office that the item can be approved and forwarded for further processing. The request appears to be reasonable and in accordance with City policies and procedures and, therefore, does not warrant a detailed analysis by this Office. If, however, you would like a report on this matter, we can provide a more detailed analysis. -2-

RECOMMENDATION

That the Mayor approves the Blanket Order covering Amendments to Non- Exclusive Air Carrier Operating Permit (ACOP) to extend the term to June 30, 2010 and ensure the collection of fees for the use of landing facilities at Los Angeles International Airport while successor ACOPs are developed and return to the Department of Airports for further processing, including Council consideration.

FISCAL IMPACT STATEMENT

Approval of the proposed request will have no impact upon the City General Fund. Extension of the Non-Exclusive Air Carrier Operating Permit (ACOP) term to June 30, 2010 will allow the Department of Airports to continue to collect landing fees revenue from ACOP commercial air carriers at Los Angeles International Airport during the 2009-10 fiscal year. Since the Department of Airports is bound only by the City Debt Management Policies, the City Financial Policies are not applicable.

This 2009 Amendment (the "Amendment"), made and entered into as of this _ day of , 20o__ , at Los Angeles, California by and between the City of Los Angeles, a municipal corporation ("City"), acting by and through its Board of Airport Commissioners ("Board") and ("Permittee"), is made with reference to the Non-Exclusive Air Carrier Operating Permit between the City and Permittee, a Permitted Carrier, covering the Use of Landing Facilities for Air Carrier Aircraft Operations at Los Angeles International Airport, as amended (the "Permit").

1. Section 4 of the Permit is hereby amended as follows:

1.1 The phrase "Section 4. Term. The term of this Permit" shall be replaced with the phrase "Section 4. (a) Initial Term. The initial term of this Permit"

1.2 The following provision shall be inserted at the end of Section 4:

"(b) Second Term. The second term of this Permit shall commence ______and terminate no later than midnight on June 30, 2010, subject, however, to termination, with or without cause, by either party upon thirty (30) days advance written notice and to such earlier termination as herein provided."

2. Section 31 is hereby added to the Permit after Section 30 as follows:

"Section 31. First Source Hiring Program For Airport Employers. Permittee shall comply with the provisions of the first source hiring program adopted by the Board (the "First Source Hiring Program"). The rules, regulations, requirements and penalties of the First Source Hiring Program are attached as Exhibit G and made a material term of this Permit. Permittee shall be an "Airport Employer" under the First Source Hiring Program."

3. It is understood and agreed by and between the parties that, except as specifically provided herein, this Amendment shall not, in any manner, alter, change, modify or affect any of the rights, privileges, duties or obligations of either of the parties under the Permit and except as expressly amended herein, all of the terms, covenants and conditions of the Permit and all amendments thereto, shall remain in full force and effect.
