MINUTES OF THE 75TH ANNUAL GENERAL MEETING OF BUILDERS’ ASSOCIATION OF INDIA HELD ON SATURDAY, 2ND JULY 2016 AT 4.00 P.M. AT HOTEL EXPRESS INN, MUMBAI-AGRA ROAD, PATHARDI PHATA, .

The list of members present is attached herewith and marked as Annexure ‘A’.

Shri Avinash M. Patil, President, was in the Chair, and called the meeting to order.

Before start of the meeting, the Hon. Gen. Secretary, Shri C.G. Deochake informed about the sad demise of Shri S. Palani Mudaliar, Past Chairman, BAI Southern (Chennai) Centre, expired on 27 th April 2015; Shri Alim Chandani, Chairman & MD of M/s. Stup Consultants Pvt. Ltd., Patron Member from Mumbai Centre, expired on 12 th July 2015; Shri Mohammed Riyas, Patron Member from Aluva Centre, expired on 9 th September 2015; Shri B. Mani, Past Chairman of BAI Coimbatore Centre, expired on 17 th September 2015; Shri M. Gopalakrishnan, Past State Chairman, Tamil Nadu, expired on 18 th October 2015; Shri K.P. Baney, Past Vice President, BAI, expired on 7 th November 2015; Shri Kehar Singh, Senior Member and Past General Council Member, expired on 21 st December 2015; Shri K. Basawaraja Gowda, Past State Chairman, Karnataka, expired on 5 th January 2016; Shri Amar Mulchandani, Past Vice President, BAI, expired on 5 th January 2016; Shri K. Sudarshan Reddy, Past State Chairman, Andhra Pradesh, expired on 28 th February 2016; and Shri Shitul Patel, Past Executive Committee Member of BAI, Mumbai Centre, expired on 5 th March 2016.

Members observed two minutes silence to pay homage to the departed souls.

President welcomed the members to the 75th Annual General Meeting of the Association and appreciated the team of Office Bearers and Secretariat for helping him to take up many issues to the Authorities and bringing positive results. He specifically thanked the Executive Secretary, Shri Raju John for the support and co-operation in executing his official duty as President of BAI. He then informed members that, during the year 2015-16, BAI has successfully taken up many issues concerning to the contractors, and many of our initiatives has resulted getting positive results from the Government Department. To name a few – He stated that, as President of BAI, he visited BAI Coimbatore Centre on 2 nd April 2016 for the installation function of the Office Bearers of BAI Coimbatore Centre; He visited Pune Centre on 6 th April 2016 for the installation function of the Office Bearers of BAI Pune Centre; He visited BAI Solapur Centre on 11 th April 2016 for the installation function of the Office Bearers of BAI Solapur Centre; He visited Phaltan Centre office on 16 th April 2016 for the installation function of the Office Bearers of BAI Phaltan Centre; He visited Sangli Centre office on 17 th April 2016 for the installation function of Shri Suresh B. Patil, State Chairman, and installation of Office Bearers of BAI Sangli Centre; He visited Centre on 18 th April 2016 for the installation function of the Office Bearers of BAI Kolhapur Centre; He visited Kottayam Centre on 21 st April 2016 for the installation of Shri John Paul K., State Chairman, Kerala; He visited Baroda Centre on 23 rd April 2016 for the installation function of the Office Bearers of BAI Baroda Centre; He visited the office of Shri Shankar Aggarwal, Labour Secretary, Ministry of Labour & Employment, Government of India, at Delhi on 6 th May 2016 with Senior Members of BAI. He has written letter to Shri Nitin Gadkari, Hon’ble Minister for National Highways, Surface Transport & Shipping, Government of India, New Delhi, requesting him to consider dividing the development of infrastructure suitably between the high value categories as well as moderate categories for achieiving the better progress and completing the development within planned period. He has participated in Western Zone Meeting and Installation function of Office Bearers of Mumbi Centre held on 24 th May 2016 as Chief Guest. He also visited Guwahati Centre as Chief Guest at a Conference organized by them on Real Estate Regulatory Authority, Income Tax, Service Tax and Company Law, on 3 rd June 2016; .He visited Kolhapur Centre for the Maharashtra State level meeting held on 10 th June 2016. He also visited Gurgaon for opening a new BAI Centre on 17 th June 2016. He then stated that, he visited many BAI Centres and always available to all Members who try to reach me. He then observed that, BAI has to take up many issues concerning to the contractors, particularly on (a) Abnormal Cement price increase (b) Provident Fund issues (c) Employees’ State Insurance (ESI) issues (d) Upgradation of Skill Development of Construction Workers, and (e) Quicker sanction of permissions for Environment & Forest clearances etc. etc. in the near future (f) Excise Duty on Ready Mix Concrete retrospective levy issue and (g) Service Tax retrospective levy issue.

On President’s request, Hon. General Secretary, Shri C.G. Deochake took up the agenda for the 75th Annual General Meeting of Builders’ Association of India, as circulated to the members.

1. To confirm the Minutes of the Seventy fourth Annual General Meeting held on 12 th September 2015 at the Lalit Plaza, Hotel The Lalit, Sahar Airport Road, Andheri (East), Mumbai – 500 059.

The Hon. General Secretary informed members that, minutes of 74th Annual General Meeting held on 12 th September 2015, at Mumbai, were already circulated to members and then requested Members to confirm the same. Since there were no comments or queries from the members, the minutes were confirmed.

2. To take note of the result of BAI Organisational Elections for the year 2016-17.

The Hon. Gen. Secretary informed members that, the results of BAI Organisational Elections for the year 2016-17 were already circulated to the members, and the same was noted.

3. To take note of the result of BAI Trustees Election for the year 2016-19..

The Hon. Gen. Secretary informed members that, the results of BAI Trustees Election for the year 2016-19 were already circulated to the members, and the same was noted.

4. To consider, and if thought fit, adopt the Annual Report of the Association for the year ending 31 st March 2016.

The Hon. General Secretary stated that, the Annual Report depicting the activities of BAI, i.e. Headquarters and Centres for the financial year 2015-2016 i.e. the year ending 31 st March 2016, have been circulated to the members. He further stated that, this Annual Report has also been circulated to the Managing Committee at its meeting held on 2nd July 2016 at Nashik, and the Managing Committee have unanimously approved the same. He then requested members to approve the same.

The Hon. General Secretary also informed members that, BAI Headquarter is in receipt of a letter from Shri O.K. Selvaraj, Imm. Past Chairman, Southern (Chennai) Centre, requesting to include the names of Centre Chairman also in the attendance list of Annual Report.

Members unanimously adopted the Annual Report of the Association for the year ending 31 st March 2016, and passed the following resolution, which was proposed by Shri Naresh Grover, General Council Member, and seconded by Shri Abhay Garde, Managing Committee Member.

“RESOLVED that the 75th Annual Report of Builders’ Association of India for the year 2015-2016 be and is hereby approved”.

5. To consider, and if thought fit, adopt the Audited Balance Sheet and Income & Expenditure Account of the Association for the year ending 31 st March 2016.

The Hon. General Secretary stated that, Audited statement of Accounts for the year 2015-2016 i.e. for the year ending 31 st March 2016 have been circulated to the members. He further stated that, the said Audited Accounts have also been circulated to the Managing Committee at its meeting held on 2nd July 2016 at Nashik, and the Managing Committee have unanimously approved the same. He also informed members that, all Centres have submitted its audited accounts. He then requested members to approve the audited Accounts of BAI for the year 2015- 2016.

After discussion, Members unanimously adopted the Audited Balance Sheet and Income & Expenditure Account of the Association for the year ending 31 st March 2016, and passed the following resolution, which was proposed by Shri Jagdish M. Parekh, Past Vice President & Past Trustee, and seconded by Shri Harshad N. Bhayani, Managing Committee Member.

“RESOLVED that, the audited Statement of Accounts and the Balance Sheet of Builders’ Association of India for the year ending 31 st March 2016 be and are hereby approved”.

6. To appoint Auditors to audit the accounts of the Association for the year 2016-17 and fix their remuneration.

Shri C.G. Deochake, Hon. Gen. Secretary informed members that, the present fee of the Auditor is Rs.20,000/- to audit the accounts of BAI Headquarter. He also stated that, our Auditors are doing a good job particularly in the matter of filing combined Return of Statement of Income and Expenditure Account with the Income Tax Department. He also stated that, the Auditors fee is Rs.20,000/- to audit the accounts of the Association for the year 2016-17.

After discussion, Members unanimously approved the decision and passed the following resolution:-

“RESOLVED that, M/s. K.V.S. & Company, Chartered Accountants, Mumbai, be and are hereby appointed as Auditors of Builders’ Association of India, on the remunerations of Rs.20,000/- (Rupees Twenty Thousand Only) to audit the accounts of the Association for the year 2016-2017”.

The Resolution was proposed by Shri Mohan Katariya, Managing Committee Member, and seconded by Shri S.I. Chunkhare, Managing Committee Member.

7. To consider, any other item, with the permission of the Chair.

(i) BAI Awards 2015-16.

The Hon. Gen. Secretary informed the members that, 24 entries for BAI Awards of eleven different categories were received by the Headquarter, for the year 2015-16. He further informed the members that, the Award Committee have selected the following Centres / Members for BAI Award 2015-16:-

The Hon. Gen. Secretary then informed the members that, Trophy and Certificate will be presented to Centres / Members during the concluding function of “Platinum Jubilee Celebration” to be held at Chennai on 5 th November 2016.
