NOTICE OF ANNUAL GENERAL MEETING NORTH AND WEST REMOTE HEALTH LIMITED

Notice is hereby given to the Members that the Annual General Meeting of North and West Remote Health Limited (“NWRH”) will be held in the Board Room at The Ville, Sir Leslie Theiss Drive, Townsville, QLD, 4810 on Tuesday 24 November, 2020 at 9am.

Business to Address

1. Financial Report To receive and consider the financial report of the Company and the reports of the Directors and auditors for the year ended 30th June 2020.

2. Election of Directors To consider, and if thought fit, to pass the following resolutions as ordinary resolutions:

2.1 Ordinary Resolution 1 That Mr Phil Barwick, being a Director of the Company who retires by rotation under the Company’s Constitution, and being eligible, is re-elected as a Director of the Company.

2.2 Ordinary Resolution 2 That Mr Robert Stable, being a Director of the Company who retires by rotation under the Company’s Constitution, and being eligible, is re-elected as a Director of the Company.

2.3 Ordinary Resolution 3 That Mrs Annie Clarke, being a Director of the Company who retires by rotation under the Company’s Constitution, and being eligible, is re-elected as a Director of the Company.

Members are referred to the explanatory memorandum and Director profiles accompanying and forming part of this notice of meeting.

Proxy Votes: a) A member who is entitled to attend and cast a vote at the meeting is entitled to appoint a proxy. b) The proxy need not be a member of the Company. c) If you wish to appoint a proxy and are entitled to do so, then complete and return the proxy form no later than 24 hours to the scheduled commencement of the AGM to the Company Secretary.

DIRECTOR PROFILE MR PHIL BARWICK

Current Position: DIRECTOR, BOARD CHAIRMAN

Experience and expertise

Non-Executive Director since 31 May 2012 and is the currently elected Chair of North and West Remote Health Limited.

Mr Barwick has extensive experience in a leadership role in the community sector, commercial, and local government sector, in North West and Central West . He holds formal qualifications in management including a post graduate diploma in Community Sector Management, a Post Graduate Certificate in Innovation and Entrepreneurship and is a Graduate of the Australian Institute of Company Directors.

He was elected to Mount Isa City Council (MICC) in 2016 and again in 2020 and has served the consecutive terms as Deputy Mayor. He is also a member of the MICC internal finance and audit committee. In 2019, he was appointed as chair of the Community Advisory Group for the North West Hospital and Health Service (NWHHS).

He is also a director and current chairperson of the Mount Isa City Council Owned Enterprises Pty Ltd that operate the Civic Centre, The Buchanan Park Rodeo Arena, The Outback at Isa Museum, and the "Hard Times" underground tourist mine.

Mr Barwick has previously held board and chair positions for a nationally significant employment services company, city council statutory companies, and other not-for-profit companies.

DIRECTOR PROFILE EMERITUS PROFESSOR ROBERT STABLE

Current Position: DIRECTOR AND MEMBER OF CLINICAL GOVERNANCE COMMITTEE

Non-executive director since 31 March 2012 and Member of the Clinical Governance Committee.

Emeritus Professor Stable's former roles include Vice-Chancellor and President of , Director- General of Queensland Health, Chair of the Australian Health Ministers' Advisory Council, Hospital Chief Executive and Medical Superintendent, and National Rural Health Workforce Board Director. He is a past Rural General Practitioner and Flying Doctor, past Chair of the Brisbane Metro North Health and Hospital Service Board (May 2020) and past Director and Chair of Vast Bioscience.

Currently, Professor Stable is the Chair of the Health Workforce Queensland Board, a Director on the Royal Flying Doctor Service Queensland Board, and a Director of selectability and Jobtrain (subsidiary of selectability).

Professor Stable is a Fellow of the Royal Australian College of General Practitioners and the Australian Institute of Company Directors. He has a Masters in Health Planning degree from the University of New South Wales and an undergraduate degree in Medicine from the .

Professor Stable was awarded the title of Adjunct Professor by the University of Queensland in 1997, and by the , Townsville in 2001. He was also awarded an Honorary Doctorate by the Queensland University of Technology in 2002. The Council of Bond University conferred the title of Emeritus Professor in December 2011.

An Award in the Order of Australia was received in 2013.

Experience and expertise

Non-executive director since 31 March 2012, Mrs Annie Clarke has extensive experience in leadership positions in local Government as Mayor, Burke Shire Council (15 years), Councillor and Deputy Mayor (18 years), Chair and Board Member of North Queensland Area Consultative Committee (5 years), a nationally significant economic development organisation, Chair of the local Disaster Committee, Gulf Savannah Development; Burke Shire Council's representative on Regional Arts Committee, Energy Board, Regional Roads Group, North-Western Mineral Province leadership Group, Native Title and Cultural Heritage Matters; State Advisory Committee for education including T.A.F.E. and distance education and a past advisory committee member of Mt Isa Centre for Rural and Remote Health.

Mrs Clarke is a Director of Clarke Grazing Ply Ltd , a current member of Burkeshire Community Advisory Network committee and a past Director of the North West Hospital and Health Services Board, a position held since 2012, and the past Vice President of the North West Division of Queensland Country Women's Association.

Mrs Clarke has previously held executive positions with community groups such as President of the Queensland Country Women's Association (QCWA) North West Division and a member of QCWA State Council, Isolated Children Parent's Association, Gregory and Burketown Turf Clubs and other not-for-profit organisations.
