Market Update Education Key Highlights The top subsector stock performer in Q4 2019 Technology was digital educational content & services, up 13.7% year-over-year & Services On average, EBITDA multiples for the subsectors decreased 0.5x from the prior quarter and were Q4 2019 down 0.8x on a year-over-year basis 2020 Forecast…Sustained Robust Deal Activity Focused on High Quality Assets and Strong Outcomes-Driven Business Models For several years now, we have been predicting continued consolidation within the education technology and services market. Merger and acquisition activity of all types within the sector has been robust, with overall transaction volumes repeatedly surpassing year-over-year levels by healthy margins. Even with ongoing strategic consolidation in the space, ever-increasing private equity interest in the education sector has been the primary driver of continued strong transaction levels and increasing valuations. A record amount of available capital, or “dry powder,” and elevated interest in software-as-a-service (“SaaS”) business models were the primary underlying factors driving private equity interest levels in ed tech businesses. Interest in high quality education providers has also been robust, underpinned by strong outcome-driven theses behind businesses built to solve the “achievement gap” and/or “skills gap” problem with a keen focus on value proposition to the consumer. In the early childhood segment, activity levels remain high, driven by continued professionalization and consolidation within an otherwise highly fragmented global market. And in the proprietary postsecondary sector, after a “decade of pain,” M&A has made a comeback with several new investments by private equity investors seeking premium operators in markets with strong supply/ demand imbalances. -

OrbiMed Asia Partners III, LP Fund (RRP REG 51072) OWNERSHIP, MANAGEMENT, AND GOVERNANCE A. The Fund Structure 1. The Asian Development Bank (ADB) proposes to invest in OrbiMed Asia Partners III, LP Fund (OAP III), which is a Cayman Islands exempted limited partnership seeking to raise up to $500 million in capital commitments. It is managed by OrbiMed Asia GP III, LP (the general partner), a Cayman Islands exempted limited partnership. The sole limited partner of the general partner is OrbiMed Advisors III Limited, a Cayman Islands exempted company. OrbiMed Advisors LLC (the investment advisor), a registered investment advisor with the United States (US) Securities and Exchange Commission, will provide investment advisory services to OAP III. This structure is illustrated in the figure below. Table 1 shows the ultimate beneficial owners (UBOs) of the general partner and the investment advisor. THE UNIVERSITY OF MICHIGAN REGENTS COMMUNICATION ITEM FOR INFORMATION Subject: Alternative, Absolute Return, and Equity Commitments Background and Summary: Under a May 1994 Request for Action, the University may commit to follow on investments in a new fund sponsored by a previously approved partnership provided the fund has the same investment strategy and core investment personnel as the prior fund. Pursuant to that policy, this item reports on the University's follow-on investments with the previously approved partnerships listed below. Alternative Asset Commitments EQT VIII, L.P., a private equity fund headquartered in Stockholm, Sweden, will make controlling equity investments in medium to large sized companies based in Northern Europe, primarily in Denmark, Finland, Norway, Sweden and Germany. A minority portion of investments is also expected to be made in companies that are U.S.-based. EQT invests in a wide range of industries and targets situations where it has a specific industrial angle. Investments will focus on leading, high-quality companies that can be used as platforms to develop local businesses into global leaders. EQT is differentiated from its competitors by its network of senior industrialists who work with EQT at various stages of investment, helping the team identify opportunities, evaluate company operations and management, and implement growth strategies. In December 2017 the University committed €55 million (- U.S. $64 million) to EQT VIII, LP. Silversmith Capital Partners 11-A, L.P., a Boston, MA, based private equity fund, which will invest in private, lower middle market, rapidly growing and profitable technology and healthcare companies. The fund will focus on opportunities in the growth space positioned between late stage venture capital and large scale private equity. -

In the US, there are approximately 18,000 publicly traded companies, and more than 300,000 privately held companies. WHO MIGHT SEEK A PRIVATE EQUITY INVESTOR AS A SOURCE OF CAPITAL? • Companies looking to fund a capital need that is beyond traditional bank financing • Owners considering a partial or complete sale of their business • Managers looking to buy a business Private equity strategies. EU4Digital: supporting digital economy and society in the Eastern Partnership Market Assessment for Digital Innovation and Scale-up Initiative in Eastern partner countries Final report June 2020 1 About this study In early 2020, EU4Digital Facility launched activity ‘Market Assessment for Digital Innovation and Scale-up Initiative (DISC) in Eastern Partner Countries’ (hereinafter – study / research) The goal is to analyse the investment landscape for digital high tech companies in these countries: Armenia, Azerbaijan, Belarus, Georgia, the Republic of Moldova and Ukraine. The activity was inspired by Digital Innovation and Scale-up initiative (DISC) in Central, Eastern and South Eastern Europe region (European Commission Factsheet). Based on the findings of this study, the European Commission will be able to adjust its plans to better serve the needs of the local markets, developing adapted financial support instruments. This research aims to: 1. Understand digital innovation and high-tech start-ups investment landscape and identify existing gaps on investment in Eastern partner countries. 2. Map the main private & corporate equity investors that provide financing to digital start-ups and fast growth companies in Eastern partner countries. 3. Map the main public sector investment programs in start-up / tech-oriented companies at the country-level. 4. Analyse micro-level data on private investments in start-up / tech-oriented companies in the region. 5. Provide recommendations to develop and use financial instruments for digital innovation and the scale-up of high-tech start-ups. The research focuses on start-ups at the creation and scale-up phases, rather than traditional SMEs on their path to digitalisation. -

salesforce.com Acquires ExactTarget TRANSACTION COMMENTS salesforce.com, inc (NYSE:CRM) signed a definitive agreement to acquire ExactTarget, Inc. (NYSE:ET) from a group of shareholders for $2.5 billion in cash on June 3, 2013. The group of shareholders includes Battery Ventures, Collina Ventures LLC, Greenspring Associates, Inc., Insight Venture Partners, SAP Ventures, Scale Venture Partners and others. Salesforce will pay $33.75 for each outstanding share of ExactTarget. The transaction is expected to close late in salesforce.com's fiscal second quarter, ending July 31, 2013. Marty Korman and Mike Ringler of Wilson Sonsini Goodrich & Rosati acted as legal advisors for salesforce while Howard B. Adler and Christopher D. Dillon of Gibson, Dunn & Crutcher LLP acted as legal advisors for ExactTarget. BofA Merrill Lynch acted as the financial advisor to salesforce.com. JP Morgan acted as the financial advisor to ExactTarget. STRATEGIC RATIONALE salesforce.com continues to build out its marekting cloud offerings by acquiring ExactTarget. The ExactTarget acquisition comes on the heels of acquiring Buddy Media for $745M last year and Radian6 in 2011. Salesforce, and other software providers, are rapidly enhancing their marketing offerings as forecasts suggest the CMO will spend more on technology than the CTO/CIO in years to come. According to Gartner, marketing was the fastest growing CRM category in 2012, growing at 21%, more than four times the software industry norm. The marketing category as a whole is undergoing rapid transformation due to the explosion of social and mobile which offer new and unique ways to for brands to reach the end customer. -
