Unopposed Motion for Approval of Collective Action Settlement (including the Parties'

Stipulation of Settlement and its Exhibits A-F), and the Court being fully apprised of the facts

and finding that:

(a) All terms used in this Order shall be defined as these same terms are defined in

the Stipulation of Settlement and the Exhibits A-F attached thereto, unless specifically

provided otherwise herein.

(b) Plaintiffs' Counsel has authority to settle Plaintiffs' claims arising under the

Fair Labor Standards Act ("FLSA"), 29 U.S.C. § 201 et seq., on behalf of all Plaintiffs, who

"consent[ed] to join [this civil action]" and thus agreed "to join this lawsuit as described in

the Notice [of Lawsuit]". See "Notice of Lawsuit" and "Consent to Join Form" (Dkt. Entry#

(c) By opting in to this Civil Action, all Plaintiffs agreed pursuant to the Notice to:

( 1) "be bound by the judgment (meaning, the final result of the lawsuit), whether favorable or unfavorable'', (2) "be bound by, and ... share in, any settlement that may be reached in the case", and (3) "designate the Named Plaintiffs and their counsel to make decisions regarding the course of the litigation and settlement discussions in connection with this lawsuit. These decisions will then be binding on you."' See "Notice of Lawsuit" and "Consent to Join

Form" (Dkt. Entry# 100 and Attached Exhibits).

(d) This Civil Action represents a bona fide dispute brought by the Plaintiffs against the Defendants pursuant to 29 U.S.C. § 216(b) about Plaintiffs' status as independent contractors with the Defendants and an asserted failure to pay minimum wage and overtime compensation alleged to be due under the FLSA. Moreover, the terms embodied in the

Parties' Stipulation of Settlement and its Exhibits A-F represent a fair and reasonable resolution of this bona fide FLSA dispute. See Lynn's Food Stores, Inc. v. United States, 679

F.2d 1350, 1353-55 (11th Cir. 1982).

It is hereby ORDERED and DECREED that:

1. Plaintiffs' Unopposed Motion for Approval of Collective Action Settlement is

GRANTED.

2. The Parties' Stipulation of Settlement and the Exhibits A-F attached thereto are

APPROVED.

3. The Stipulation of Settlement and the Exhibits A-F attached thereto, and any act performed or document executed pursuant to, or in furtherance of, the settlement memorialized in the Stipulation of Settlement is not and may not be cited or otherwise used as an admission or evidence of (a) the validity of any claims released in the Stipulation of

Settlement, or of any wrongdoing or liability of the Releasees (as defined below), or any of them, or (b) any fault or omission of the Releasees, or any of them, in any civil, criminal or administrative proceeding in any court, administrative agency, or other tribunal.

4. Each Current Independent Operator Plaintiffs Distribution Agreement(s) with the Company is/are hereby amended such that the Distribution Agreement Amendment attached as Exhibit D to the Stipulation of Settlement is made an express part of each Current

Independent Operator Plaintiffs Distribution Agreement(s) with the Company.

5. "PlaintiffReleasors," which are defined as (i) for all named and opt-in Plaintiffs who are individuals, Plaintiffs, as well as their spouses and families, attorneys, agents, executors, administrators, personal representatives, heirs, successors, any future estates, assigns, beneficiaries, and all business entities Plaintiffs partially or wholly own, and (ii) for all named and opt-in Plaintiffs that are entities, Plaintiffs, as well as their parents, subsidiaries and affiliates and all of their owners, officers, directors, and members and each of their spouses and families, attorneys, agents, executors, administrators, personal representatives, heirs, successors, any future estates, assigns, and beneficiaries, hereby are deemed to have released Bimbo Bakeries USA, Inc., Bimbo Foods, Inc. (formerly Bimbo Foods Bakeries,

Inc.), Bimbo Foods Bakeries Distribution, LLC (formerly Bimbo Foods Bakeries

Distribution, Inc.), Bimbo Bakeries Distribution Company, LLC (formerly Bimbo Bakeries

Distribution Company, Ltd.), and Arnold Sales Company, LLC (formerly Arnold Sales

Company, Inc.) (collectively "the Company"), and all of their past, present and future parents, subsidiaries, affiliates, successors and predecessors, and each of their past, present and future directors, officers, employees, insurers, lawyers, and agents (collectively along with the Company defined to mean the "Releasees"), in their personal, individual, official

and/or corporate capacities, from all "Released Claims," which are defined as any and all

claims, demands, causes of action, fees and liabilities of any kind whatsoever, whether

known or unknown, whether contingent or non-contingent, specifically asserted or not,

which the Releasors (as individuals or as entities) ever had, now have, or may have against

any of the Releasees by reason of any act, omission, transaction, practice, plan, policy,

procedure, conduct, occurrence, or other matter, up to and including the date of this Order,

that could have been asserted in the Civil Action based on the factual allegations therein, that

otherwise arise out of, related to, or in connection with, their Distribution Agreements, or that

arise under the Fair Labor Standards Act ("FLSA") or any other state and local wage/hour

and wage payment statute/ordinance, for any type of relief, including without limitation,

minimum, overtime or other wages, retaliation damages, unpaid costs, penalties (including,

but not limited to, late payment penalties, wage statement or other record keeping penalties,

and meal or rest break penalties), wage deductions, spread of hours pay, premium pay,

liquidated damages, punitive damages, interest, attorneys' fees, litigation costs, restitution, and equitable relief, also including, but not limited to, those claims listed on Exhibit E to the

Settlement Agreement.

6. "Named Plaintiff Releasors", which are defined as (i) for all Named Plaintiffs who are individuals, the Named Plaintiff and his/her spouses and families, attorneys, agents, executors, administrators, personal representatives, heirs, successors, any future estates, assigns, beneficiaries, and all business entities they partially or wholly own, and (ii) for all

Named Plaintiffs that are entities, the Named Plaintiff and its parents, subsidiaries and affiliates and all of their owners, officers, directors, and members, hereby are deemed to have released the Company and Releasees, in their personal, individual, official and/or corporate

capacities, from any and all claims, demands, causes of action, fees and liabilities of any kind whatsoever, whether known or unknown, whether contingent or non-contingent, specifically asserted or not, which the Named Plaintiff Releasors, as individuals or as entities, ever had, now have, or may have against any of the Releasees, by reason of any act, omission, transaction, practice, plan, policy, procedure, conduct, occurrence, or other matter, up to and including the date of this Order, including but not limited to all of the Released Claims and all other claims under the FLSA, Title VII of the Civil Rights Act of 1964, 42 U.S.C. §2000e et seq., the Civil Rights Act of 1871, 42 U.S.C. §1981, the Civil Rights Act of 1991, 2 U.S.C.

§60 et seq., Section 503 and 504 of the Rehabilitation Act of1973, 29 U.S.C. §701 et seq., the

Americans with Disabilities Act, 29 U.S.C. §12101 et seq., the Family and Medical Leave

Act, 29 U.S.C. §2601 et seq., the Equal Pay Act, 29 U.S.C. §206(d), the Employee

Retirement Income Security Act, 29U.S.C.§1001 et seq., the Pennsylvania Minimum Wage

Act, 35 Pa. Stat.§ 333.101 et seq., the Pennsylvania Wage Payment and Collection Law, 43

Pa. Cons. Stat. Ann. §§ 260.1 et seq., the Pennsylvania Human Relations Act, 43 PA. C.S.A.

§951 et seq., the New Jersey Wage and Hour Law, NJ. Stat. Ann. §§ 34: 11-56a et. seq., New

Jersey Law Against Discrimination, N.J. Stat. Ann§§ 10:5-1 et seq., and the New Jersey

Civil Rights Law, N.J. Stat. Ann.§§ 10:1-1through10:6-2, all as amended, all other legally waivable claims under any federal, state or local statute, regulation, or ordinance, all claims based upon any express or implied contracts, all common law claims now or hereafter recognized, and all claims for counsel fees and costs.

7. The Plan of Allocation set forth in the Stipulation of Settlement, particularly the

$12,500.00 Service Payments, $900.00 Current Independent Operator Payments, and

$450.00 Former Independent Operator Payments as set forth in Exhibit A to the Stipulation of Settlement are APPROVED.

8. The sum of $375,000.00 in attorneys' fees and costs is APPROVED.

9. Simpluris is APPROVED as the Third-Party Administrator.

10. The Third-Party Administrator shall establish and administer the Qualified

Settlement Fund ("QSF") in accordance with the terms of the Stipulation of Settlement and the Exhibits A-F attached thereto.

11. This Court retains jurisdiction to implement, effectuate, enforce, construe, interpret, and administer the terms of the Stipulation of Settlement and the Exhibits A-F attached thereto, including the Distribution Agreement Amendment and the releases of

Released Claims and Named Plaintiff Released Claims.

12. Pursuant to Fed. R. Civ. P. 41(a)(2), this matter is DISMISSED WITH

PREJUDICE; and

13. The Clerk of Court shall CLOSE this case statistically.

ARBITRATION

§1.1 Binding Mutual Arbitration: DISTRIBUTOR and COMPANY agree that any Covered Claims (defined below) will be resolved by final and binding arbitration. The arbitration agreement set forth in this Arbitration Article shall be governed by the Federal Arbitration Act (“FAA”) and the law of the Commonwealth of Pennsylvania to the extent Pennsylvania law is not inconsistent with the FAA. This agreement to arbitrate applies with respect to all Covered Claims, whether initiated by DISTRIBUTOR or COMPANY.

§1.2 Covered Claims: Except for the Excluded Claims (defined below), Covered Claims include any and all claims or disputes between DISTRIBUTOR and COMPANY, its parents, subsidiaries, affiliates, predecessors, and successor corporations and business entities and its and their officers, directors, employees, and agents (collectively, “the COMPANY Entities”), including but not limited to: claims and disputes arising out of or in any way relating to this Agreement; and claims and disputes relating to any assertion of any employment relationship between DISTRIBUTOR and any of the COMPANY Entities, including but not limited to contract, tort, defamation and other common law claims, wage and hour claims, statutory discrimination, harassment, and retaliation claims, and claims arising under or relating to any federal, state or local constitution, statute or regulation, now or hereafter recognized.

§1.3 Excluded Claims: The following claims and disputes are not subject to the arbitration agreement set forth in this Arbitration Article: (i) claims relating to specific performance under this Distribution Agreement; (ii) claims or cross-claims relating to indemnification or subrogation of third-party claims; (iii) applications for temporary or preliminary injunctive relief in aid of arbitration or for the maintenance of the status quo pending arbitration; (iv) claims within the jurisdiction of the National Labor Relations Board (“NLRB”); (v) claims under ERISA governed pension and welfare plans; (vi) claims related to use or misuse of trade-names, trademarks, or intellectual property of COMPANY Entities; (vii) claims related to use or misuse of alleged confidential trade secrets and proprietary business information of COMPANY; and (viii) any claim that is expressly precluded from arbitration by a federal statute or regulation. Nothing set forth herein waives DISTRIBUTOR’s right to file a charge or complaint with any federal, state, or local administrative agency; however, any Covered Claim that is not resolved through the federal, state, or local administrative agency proceeding must be submitted to arbitration in accordance with this Arbitration Article, except where expressly precluded by a federal statute or regulation. DISTRIBUTOR has the right to challenge the validity of this Arbitration Article on any grounds that may exist in law and equity, and COMPANY shall not engage in any retaliatory actions against DISTRIBUTOR in the event it chooses to challenge the validity of this Arbitration Article. However, COMPANY reserves the right to attempt to enforce this agreement in any appropriate forum.

§1.4 WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTRIBUTOR AGREES TO WAIVE ANY RIGHT TO: (I) INITIATE OR MAINTAIN ANY COVERED CLAIMS ON A CLASS ACTION BASIS, COLLECTIVE ACTION BASIS, OR REPRESENTATIVE ACTION BASIS EITHER IN COURT OR IN ARBITRATION AGAINST ANY OF THE COMPANY ENTITIES; (II) SERVE OR PARTICIPATE IN THE FUTURE AS A REPRESENTATIVE OF ANY SUCH CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION; (III) SERVE OR PARTICIPATE IN THE FUTURE AS A MEMBER OF ANY SUCH CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION; OR (IV) RECOVER ANY RELIEF FROM ANY SUCH CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.

DISTRIBUTOR further agrees that if DISTRIBUTOR is included within any such class, collective, or representative action, DISTRIBUTOR will take all steps necessary to opt-out of the action or refrain from opting in, as the case may be. DISTRIBUTOR further agrees that no arbitrator shall have authority to: (i) order, authorize, or permit any notice or information about an arbitration or any claims or defenses in an arbitration to be sent to any class or group of persons other than the parties to the individual arbitration, provided that either party or the arbitrator may compel testimony of a witness or the production of documents, material or information consistent with applicable arbitration rules; or (ii) order or require either party to produce any kind of contact information for any class or group of current or former distributors of COMPANY. Any Covered Claim filed or brought in court or arbitration as a class, collective or representative action will be decided in arbitration on an individual basis. Any issue concerning the validity or enforceability of the Waiver in this Arbitration Article (including the prohibition against class, collective or representative action arbitration) shall be decided by a court of competent jurisdiction applying Pennsylvania law, and no arbitrator shall have any authority to consider or decide any issue concerning the validity or enforceability of the Waiver. Any issue concerning arbitrability of a

particular issue or claim pursuant to the arbitration agreement (except for those concerning the validity or enforceability of the Waiver) must be resolved by the arbitrator, not the court.

§1.5 Selection and Rules: Except as specified below, DISTRIBUTOR and COMPANY agree that any arbitration of a Covered Claim will be resolved by final and binding arbitration conducted under the auspices of the American Arbitration Association (“AAA”) and its Commercial Arbitration Rules (“AAA Commercial Arbitration Rules”), or any successor rules, and shall be conducted before a single arbitrator unless all parties to the arbitration agree otherwise in writing. DISTRIBUTOR and COMPANY agree that the arbitration shall be held in or near the county in which it operated as a distributor for COMPANY, or in any other mutually agreed location. To the extent any of the terms, conditions or requirements of this Arbitration Article conflict with the AAA Commercial Arbitration Rules or other applicable rules, the terms, conditions or requirements of this Arbitration Article shall govern. Arbitrators are required to issue a written award and opinion, and their awards shall be final and binding, and any judgment or award issued by an arbitrator may be entered in any court of competent jurisdiction. The arbitration shall be subject to the same burdens of proof and statutes of limitations as if the Covered Claim was being heard in federal district court, and the parties may file and the arbitrator shall hear and decide at any point in the proceedings any motion permitted by the Federal Rules of Civil Procedure, including but not limited to motions to compel discovery, motions for protective orders, motions to dismiss, motions for summary judgment, and motions in limine. No arbitration award or decision will have any preclusive effect as to any issues or claims in any dispute, arbitration, or court proceeding where any party was not a named party in the arbitration.

§1.6 Remedies: Subject to the parties’ right to appeal or seek vacatur under applicable law, the parties acknowledge and agree that the decision of the arbitrator will be final and binding on the parties and that the arbitrator is authorized to award any party the full remedies that would be available to such party if the Covered Claim had been filed in a court of competent jurisdiction, including actual and reasonable attorneys’ fees and costs, if any. The parties acknowledge and agree that as part of a party’s costs, it may recover expert fees incurred to the same extent as it could in court. DISTRIBUTOR acknowledges and agrees that, subject to any applicable fee-shifting provisions, DISTRIBUTOR shall be responsible for the filing fee required to institute arbitration with the AAA up to the amount of the filing fee DISTRIBUTOR would have incurred had DISTRIBUTOR filed such Covered Claim(s) in federal district court. COMPANY shall be responsible for all additional arbitration filing fees, forum fees, and other fees and costs assessed by the AAA, subject to the arbitrator’s exercise of its authority to award COMPANY its costs and fees as the prevailing party or for other equitable reasons. Unless the arbitrator decides otherwise, DISTRIBUTOR shall be responsible for DISTRIBUTOR’s own attorneys’ fees and costs.

§1.7 Liquidated Damages: DISTRIBUTOR acknowledges and agrees that if it is determined that DISTRIBUTOR breached this Arbitration Article by attempting to prosecute a Covered Claim in a forum other than arbitration under this Arbitration Article, DISTRIBUTOR shall owe COMPANY liquidated damages in the amount of Ten Thousand Dollars and No Cents ($10,000.00). These liquidated damages shall be in addition to any equitable or legal remedies which COMPANY may have for DISTRIBUTOR’s breach of this Arbitration Article.

You must keep strictly confidential the fact and terms of this Agreement and all communications relating to settlement leading up to the Agreement. You cannot disclose, make known, discuss or relay orally, or in writing, electronically or otherwise, the existence or terms of this Agreement, any information concerning this Agreement, or any of the discussions leading up to this Agreement. If you are asked about the above-captioned lawsuit or other litigation between you and Bimbo Bakeries USA, Inc., Bimbo Foods, Inc. (formerly Bimbo Foods Bakeries, Inc.), Bimbo Foods Bakeries Distribution, LLC (formerly Bimbo Foods Bakeries Distribution, Inc.), Bimbo Bakeries Distribution Company, LLC (formerly Bimbo Bakeries Distribution Company, Ltd.), and

Arnold Sales Company, LLC (formerly Arnold Sales Company, Inc.) (collectively “the Company”), you will merely say that the case “has been resolved.” Moreover, you cannot publicize or disclose the terms of this Agreement or the negotiations with respect thereto, either directly or indirectly, that is, through agents, attorneys, , or any other person or entity, either in specific or as to general content, to any media, including on the internet and social media including, but not limited to, Facebook, Twitter, MySpace, personal blogs and websites, the public generally, or any individual or entity.

Notwithstanding the confidentiality obligations described above, you may disclose information concerning this Agreement to your immediate family, counsel, and tax advisors who have first agreed to keep said information confidential and to not disclose it to others. The confidentiality obligations described above do not prohibit or restrict you from making a disclosure that is required by law or as may be necessary for the prosecution of claims relating to the performance or enforcement of this Agreement. Nor do the confidentiality obligations described above prohibit or restrict you from responding to any inquiry about this Agreement or the above-captioned lawsuit or its underlying facts and circumstances by any governmental agency, or any regulatory organization. To the extent permitted by law, with respect to any inquiry by a governmental agency or regulatory organization into this Agreement or the above-captioned lawsuit or its underlying facts and circumstances, you must provide the Company with as much notice as possible of any such inquiry. You must also use your best efforts to ensure that if you disclose anything about this Agreement or the above-captioned lawsuit or its underlying facts and circumstances, that this disclosure occurs in a manner designed to maintain the confidentiality of this Agreement to the fullest extent possible.
