COMMISSION ANNOUNCEMENTS

ANNETTE NAZARETH NAMED DIRECTOR OF THE DIVISION OF MARKET REGULATION

Chairman Levitt today named Annette L. Nazareth Director of the Division of Market Regulation. Ms. Nazareth, who succeeds Richard R. Lindsey, will assume the position immediately. She currently serves as Senior Counsel to the Chairman. Simultaneously, Chairman Levitt announced that Robert Colby will continue as the Division's Deputy Director, and in addition will assume the added responsibilities of Senior Advisor to the Chairman for Market Issues.

In her new position, Ms. Nazareth will be the principal regulator of the securities markets, clearance and settlement system and the investment banking community.

Ms. Nazareth joined the Commission in September 1998 as a Senior Counsel to Chairman . She also served briefly as the Acting Director of the Division of Investment Management. From 1997 until joining the Commission, Ms. Nazareth was Managing Director and Deputy Head of the Capital Markets legal group at Salomon Smith Barney. In this capacity she focused on the legal issues involving the sales and trading of securities and derivatives and the origination of municipal, asset-backed, mortgage-backed and structured products. From 1994 to 1997 Ms. Nazareth was Senior Vice President at Inc., where she was responsible for the Fixed Income Trading group of the Legal and Compliance Department. From 1986 to 1994 she was Managing Director at Mabon, Nugent & Co., where she oversaw the legal, compliance and internal audit functions. She began her career in 1981 as an Associate at Davis Polk & Wardwell.

Ms. Nazareth, 43, is a Phi Beta Kappa graduate of Brown University and earned her J.D. at School of Law where she was a Harlan Fiske Stone Scholar. She is married to Roger Ferguson, a Board Member. They have two children. (Press Rel. 99 -29) TEMPORARY SUSPENSION OF OVER-THE-COUNTER TRADING IN THE SECURITIES OF LEAH INDUSTRIES, INC.

The Commission announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act), of over-the-counter trading of the securities of Leah Industries, Inc. (Leah), of Toronto, Canada at 9:30 a.m. on Friday, March 12, 1999, and terminating at 11:59 p.m. on Thursday, March 25, 1999.

The Commission temporarily suspended trading in the securities of Leah because of questions that have been raised about the accuracy and adequacy of publicly disseminated information concerning, among other things, Leah's relationship with a national aUditing firm, and an acquisition Leah made.

The Commission cautions broker-dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing - information along with all other currently available information and any information subsequently issued by the company.

Further, brokers and dealers should be alert to the fact that I pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspension, no quotation may be entered unless and until they have strictly complied with all of the provisions of the rule. If any broker or dealer has any questions as to whether or not he has complied with the rule, he should not enter any quotation but immediately contact the staff of the Securities and Exchange Commission in Washington, D.C. If any broker or dealer is uncertain as to what is required by Rule 15c2 -11, he should refrain from \ entering quotations relating to Leah's securities until such time as he has familiarized himself with the rule and is certain that all of its provisions have been met. If any broker or dealer enters any quotation which is in violation of the rule, the Commission will consider the need for prompt enforcement action. (ReI. 34-41162)

SINGLE TEN-DAY SUSPENSION OF OVER-THE-COUNTER TRADING IN THE SECURITIES OF IKAR MINERAL CORPORATION

The Commission announced the single ten-day suspension of over-the-counter trading in the securities of Ikar Mineral Corporation (Ikar) for the period beginning at 9:30 a.m. eastern time on March 12, 1999, and terminating at 11:59 p.m. eastern time on March 25, 1999. The Commission temporarily suspended trading in the securities of Ikar because of questions about the accuracy and adequacy of publicly disseminated -information concerning, among other things, a purported agreement with European American Resources, Inc. (Epar), another mining company, for the sale of a portion of Ikar's mineral deposit in Tajikistan for over $39 million, to be paid in cash and stock of Epar. (ReI. 34-41163)

GERARD KING AND CHARLES STEMBER BARRED

The Commission announced that on March 11 it instituted settled administrative proceedings against two former registered representatives, Gerard W. King and Charles Stember. In these two enforcement actions, the SEC alleges that King and Stember participated in secret arrangements with the former president of Teletek, Inc., under which they were to receive undisclosed compensation if they sold Teletek stock to their customers. At the time, Teletek had its principal office in Las Vegas, Nevada and was engaged in the business of marketing international telephone calling services. The SEC alleges that King and Stember sold Teletek stock to their customers without disclosing their arrangements with the company's'president or the compensation that they received. King received approximately $150,000 of undisclosed compensation, and Stember was paid $3,000.

The Commission found that King and Stember willfully violated Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. Without admitting or denying the allegations in the Orders, King and Stember have each consented to be barred from association with any broker, dealer, municipal securities dealer, investment adviser or investment company and from participating in any offering of penny stock. Based on their demonstrated inability to pay, King and Stember will not be required to disgorge the undisclosed compensation that they received, nor will civil monetary penalties be assessed against them.

King and Stember were indicted in u.S. v. Damon Cozzolino, et al., CR-S-96-287, a factually-related criminal prosecution in the District Court for the District of Nevada. King subsequently pleaded guilty to one count of money laundering and Stember pleaded guilty to one count of conspiracy. (In the Matter of Gerard W. INTERSTATE TRANSFER COMPANY AND JANIS PATTERSON SANCTIONED

The Commission has settled previously instituted administrative and cease and desist proceedings by ordering Interstate Transfer Co., a registered transfer agent, and Janis A. Patterson, the company's owner and principal officer, to cease and desist from violations of the transfer agent turnaround, recordkeeping, signature guarantee, fingerprinting and notification provisions of the Securities Exchange Act of 1934 (Exchange Act). Patterson was also ordered to pay a penalty of $5,000. The Commission's Order contained findings that Interstate and Patterson had violated Sections 17(a) (3), 17(f) (2) and 17A(d) of the Exchange Act and Rules 17f-2, 17Ad-2, 17Ad-6, 17Ad-l0, 17Ad-15 and 17Ad-16 thereunder over a prolonged

The Commission further found that Interstate had been notified it was in violation of these regulations and had responded that the deficiencies had been or were being corrected when, in fact, the firm remained in violation of the regulations. JOSEPH AND CONSTANCE PIGNATIELLO ORDERED TO PAY $3.5 MILLION IN CONNECTION WITH AQUA BUOY FINANCIAL FRAUD

The United States District Court for the District of New Jersey issued a final judgment against defendants Joseph and Constance Pignatiello (the Pignatiellos) and: (1) permanently enjoined the Pignatiellos from violating the federal securities laws; (2) ordered the Pignatiellos to pay disgorgement of $2,106,185.14 and to pay prejudgment interest of $1,398,641.98; (3) permanently enjoined Joseph Pignatiello from serving as an officer or director of a public company; and (4) enjoined Constance Pignatiello from serving as an officer or director of a public company for five years. Judgment was entered on February 22, 1999, after the· Court granted the Commission's motion for summary judgment.

The Court found that the Pignatiellos, former officers of Aqua Buoy Corporation (Aqua Buoy), now known as Chester Holdings, Ltd., violated Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder, and Section 20(a) of the Exchange Act when they made false public statements concerning the Aqua Buoy's financial condition and sold their own Aqua Buoy stock at inflated prices. Previously, on August 8, 1997, the Court entered a final judgment by consent against Aqua Buoy, which consented to the entry of the judgment without admitting or denying the allegations in the complaint and was permanently enjoined from violating the antifraud provisions, Section 10(b) of the Exchange Act and Rule 10b-5, and Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1, 13a-11, and 13a-13. Also, on October 8, 1998, the Court entered a final judgment by consent against Werner, who consented to the entry of the judgment without admitting or denying the allegations in the complaint and was permanently enjoined from violating the antifraud provisions, Section 10 (b) of the Exchange Act and Rule 10b- 5, Section 20 (a) of the Exchange Act, and Section 17 (a) of the Securities Act, and ordered to disgorge $74,625.00 and pay $43,020.42 in prejudgment interest. Payment of the disgorgement and prejudgment interest was waived, and the Court did not impose civil penalties, based on Werner's demonstrated inability to pay. [SEC v. An order has been issued exempting Conseco Series Trust and Conseco Capital Management, Inc. (Conseco) from Sections 9(a), 13(a), 15(a) and 15(b) of the Investment Company Act and Rules 6e-2(b) (15) and 6e-3(T) (b) (15) thereunder. The order permits shares of any current or future series of the Conseco Series Trust and shares of any future fund that is designed to fund variable insurance products and for which Conseco, or any of its affiliates, serves, now or in the future, as investment adviser, administrator, manager, principal underwriter or sponsor, to be offered and sold to, and held by: (1) separate accounts funding variable annuity and variable life insurance contracts issued by both affiliated and unaffiliated life insurance-companies; and (2) qualified pension and retirement plans outside of the separate account context. BANKERS TRUST COMPANY

The Commission has issued a temporary order to Bankers Trust Company under Section 9(c) of the Investment Company Act. The temporary order exempts applicant and entities of which it is or becomes an affiliated person from Section 9(a) of the Act until the earlier of May 11, 1999, or the date the Commission takes final action on an application for a permanent order. SELF-REGULATORY ORGANIZATIONS

ACCELERATED APPROVAL OF A PROPOSED RULE CHANGE

The Government Securities Clearing Corporation filed a proposed rule change (SR-GSCC-99-02) under Section 19(b) (1) of the Exchange Act. Under the proposed rule change, GSCC will require all GSCC members to participate in Year 2000 testing with GSCC. The Commission has approved the proposed rule change on an accelerated basis. Publication of the proposal is expected in the Federal Register during the week of March 15. (ReI. 34-41153)
