CONFIDENTIALITY AGREEMENT

To: 643 The Queensway Ltd (the "Vendor") and Colliers Macaulay Nicolls Inc. (the "Agent") c/o: Jeremiah Shamess Re: Information and materials relating to 643-651 The Queensway, Toronto, Ontario (the "Property") provided by Vendor and/or Agent (the “Confidential Information”)

In consideration of Vendor and/or Agent providing us with Confidential Information in connection with a potential purchase transaction involving the Property (the “Transaction”), we agree that all Confidential Information will be kept confidential and will not be disclosed by us or by our representatives, consultants, employees, advisors, lenders, consultants, or any employees of any of them (collectively, the “Representatives”), in any manner whatsoever, in whole or in part, and shall not be used by us or our Representatives other than in connection with our consideration of a Transaction.

Moreover, we agree to disclose the Confidential Information only to our Representatives who need to know the Confidential Information for the purpose of evaluating the Transaction, who are informed by us of the confidential nature of the information and who shall agree to be bound by and act in accordance with the terms and conditions of this Agreement to the same extent as though they were parties hereto. Any breach of this Agreement by a Representative shall be our responsibility, and we agree, at our sole expense, to take all reasonable measures to restrain our representatives, or consultants, or any employees of any of them, from prohibited or unauthorized disclosure or use of the information.

We understand that you have endeavoured to include in the Confidential Information those materials which you believe to be reliable and relevant for the purpose of our evaluation, but we acknowledge and accept that neither you nor any of your respective representatives makes any representation or warranty either expressed or implied as to the accuracy or completeness of the Confidential Information.

We agree to make all inquiries and communications concerning the Confidential Information and the Property through the Agent. We agree not to contact anyone other than the Agent for additional information about the Property, including employees, tenants, business contacts, suppliers, and governmental authorities, or to inspect the Property, without your prior written consent.

We agree that any investigations of the Property are at our sole risk and expense and that you will not be liable for any costs related to such investigations or due diligence.

We agree to indemnify and save harmless the Vendor from any claims, losses, damages and liabilities whatsoever (including legal fees and disbursements) arising out of a breach by us or any of our representatives of any of the terms or provisions of this Agreement.

We hereby acknowledge that we have received the information from the Agent and have not been introduced to the Property by any other agent. If for any reason whatsoever a Transaction is not completed, we will promptly deliver to the Agent all Confidential Information or materials generated by us containing Confidential Information or destroy (and confirm such destruction to Agent) all Confidential Information and materials generated by us containing Confidential Information.

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.
