The Fashion Island Management Team would like to welcome you Fashion Island. This manual has been compiled to assist you by providing information on marketing, special events, advertising, public relations, operational functions, emergency procedures, and other pertinent information.

Important information and tips about Fashion Island gift cards.

• Tri-Center gift cards can be purchased at the Guest Services desk, with $500 being the highest increment per card and $20 being the lowest. Tri Center gift cards are also available for purchase online at www.shopfashionisland.com.

• Acceptable forms of payment include cash, checks and credit cards. We accept MasterCard, Visa, Discover and American Express.

• Tri-Center Gift Card (Fashion Island, Center and the Market Place) are honored at stores and restaurants accepting American Express

SERVICES & PUBLIC CONVENIENCES

As a courtesy to our customers, Center Management requests that all merchants and managers familiarize themselves with the services and public conveniences available at Fashion Island.

ATM There are two (2) Automatic Teller Machines within Fashion Island. One is located on the Lower Level of Atrium Court near the restrooms and the second location is near Anthropologie.

Public Restrooms Public restrooms are located in the lower level of Atrium Court; near the Iris Fountain next to Anthropologie and upstairs in Island Terrace. These facilities are ADA equipped for the disabled. A family restroom is located near Anthropologie. Additional facilities are available in department stores, restaurants and select stores.

Elevators & Escalators Public elevators are located in the following ares: near SoulCycle; Island Terrace; Atrium Garden Court outside Barnes & Noble near Dick's Sporting Goods; Court; and inside Atrium Court near the restrooms. Escalators are located near SoulCycle and Cheesecake Factory; the Pacific Court entrance near Macy's; inside Atrium Court; at Island Terrace; and in the Atrium Garden Court outside Barnes & Noble, near Dick's Sporting Goods.

Lost & Found The lost and found service is monitored by Guest Services on the Main level of Atrium Court. If you have a lost item left in your store for more than one (1) day, please turn it in to Guest Services. All items are logged and stored on property.

Job Information Available positions within the Center's stores and restaurants can be found on the Center's website at www.shopfashionisland.com. If you would like to list an available position, please contact the Marketing Department at (949) 720-3315.

Mailboxes A U.S. Postal vehicle-accessible box is located in the outer parking area west of Bloomingdale's.

Valet Parking Valet Parking is available near Canaletto or Sushi Roku. The cost is $6.

WiFi Complimentary WiFi is available throughout the center including all major courtyards, the koi pond, Atrium Garden Court and the Atrium Cates seating areas.

6 MARKETING SIGN SPECIFICATIONS

Please refer to the following guidelines when producing sings to be displayed at Fashion Island:

1. All creative must be approved by Fashion Island’s Marketing Department prior to printing. 2. All Signs must be 22” wide x 28” tall with a live area of 18” wide x 24” tall. Bleed out your image on all four sides- there should be no white border. 3. The styrene poster board must be 20-point. No foam material. 4. We will accept 4-color process or screen printed signs. Any other process must be approved by Fashion Island Marketing Department. 5. Fashion Island reserves the right to delay or decline signage placement if signs are not in compliance with Fashion Island Standards.

MERCHANT IN-STORE EVENTS

It is very important that each merchant abide by the following guidelines to ensure there are no delays or interruptions with your in-store events or promotions.

• Inform the Fashion Island Marketing Team at 720-3303 as soon as possible prior to your in-store event so that you receive promotional and logistical support as needed.

• No event materials including tables, chairs, or signage may be displayed outside your store or in the common area, prior landlord approval required.

• Fashion Island Management must be informed of any amplified entertainment, and any speakers must be reviewed and approved.

• Fashion Island Management reserves the right to require you to provide a security guard for your event, if deemed necessary.

• Catering, vendor and charity referrals are available upon request.

The Fashion Island Management Team will do everything possible to ensure that your event runs smoothly and is a success.

Each Fashion Island store or restaurant is required to observe the following rules. If you have any questions, please contact the Management Office at (949) 720-3300.

1. No signs, banners, placards, trademarks, or other written material may be attached to windows, doors, or exterior walls of your store. All freestanding sign displays must be inside the premises. Merchant signs are not allowed in the common area. The Landlord has the right, without giving prior notice and without any liability for damage, to remove any of the aforementioned from the common area.

In addition to the above, Fashion Island sign regulations are summarized as follows: • Signs and displays may not obstruct the visibility of, or entry into the store. • Signs must be professionally printed (no hand lettering, stencils, or stick-on letters), and must be maintained in good condition and repair at all times. • "Help Wanted", "No Smoking", and "No Food or Drink" signs also fall under the guidelines described above. Upon request, the Management Office will provide professional and consistent "Now Hiring" signs to merchants.

2. No loudspeakers, televisions, music systems, flashing lights, action signs, or other similar devices may be used in a manner so as to be heard or seen outside of the leased premises.

3. No awnings or other projections shall be attached to the outside walls of the leased premises or the building of which they form a part without prior written consent from the Landlord.

4. No satellite dishes, radio or television aerial may be erected on the roof or exterior walls of the leased premises without prior written consent from the Landlord.

5. No roof penetrations, of any kind, will be allowed without prior Landlord approval. Landlord's roofing contractor must be used for any roof repairs. For roof access, you must sign in at the Operations Office during normal business hours 8:00 a.m. to 3:00 p.m. No exterior ladders will be allowed to access the roof.

6. No auction, fire, bankruptcy, liquidation, emergency sale, or selling out sales shall be conducted on or about the leased premises.

7. All loading and unloading of goods and merchandise shall be conducted in loading docks and corridors which service merchants' stores up until 10:00 a.m. daily. Only stores without back doors will be permitted to receive merchandise through their front doors (before 10:00 a.m.). Service/vendor vehicles shall not park in any fire lanes or block traffic at any time. Vehicles parked illegally will be subject to tow at the owner's expense.

8. All display windows must be kept illuminated, and the signs and exterior lights must be lighted during Center hours.

9. The common areas immediately adjoining the leased premises, including corridors, are to be kept clear of any obstructions, garbage, refuse, merchandise, and displays, including any and all potted plant material. Dumping store fixtures, crates, or any large items is prohibited. Call the Operations Office at (949) 721-2039 to be referred to a vendor who can remove these items.

10. Distributing handbills or samples, or soliciting business in the parking lot, in the Center or in any common area is prohibited.

11. Merchant shall not carry on any trade or occupation nor operate any instrument, apparatus, or equipment, which emits odor or causes a noise outside of the leased premises, which may be deemed offensive in nature.

12. Merchant's vendors and contractors may not perform any work outside of the demised premises. This includes, but is not limited to, the following: electricians, plumbers, window washers, and sign and lighting technicians. In addition, work to be performed must be coordinated with Center Management. Proof of insurance, with additional insured's, is required for all work. Contact the Operations Office at (949) 721-2039 for additional details, and see page 26 for Mall Security Access Form.

13. Each merchant will, at their own expense, keep their premises in good order and repair. This includes, but is not limited to, doors, plumbing, electrical, fixtures, cabinets, kitchen equipment, grease, exhaust fans, make up air, lighting, and storefront window and awning cleaning. Fashion Island Maintenance will not perform any repairs inside tenant spaces or loan any tools or ladders to merchants under any circumstances.

14. Water cannot be dumped into storm drains as a result of cleaning.

10 TRASH REMOVAL

Waste (trash) should be deposited in the proper compactor or dumpster that are available in the loading docks and designated trash rooms found in service hallways throughout Fashion Island (see map on page 12). It is imperative that all merchants utilize adequate containers within their leased premises so waste is not visible to the public or in the service corridors. Constant attention to trash handling within the store and compactor areas is essential to reduce fire hazards and to prevent insect and animal infestation. Please adhere to the following guidelines:

Fashion Island dry waste and wet waste is separated to avoid our waste from going to the County Landfills. Dry waste (paper, cardboard, glass, plastic, aluminum, wood, etc.) is all taken to a Material Recycling Facility (MRF) for separation and recycling. Wet waste (food waste) is taken to an Organic Recycling Facility (ORF) where the food waste is recycled. Dry and wet waste is required to be separated for proper recycling to meet State Regulations.

1. Only dry trash (excludes food waste) and cardboard are to be placed in the trash compactors or trash whales in trash rooms.

2. Food waste is to be placed in the yellow open-top dumpsters labeled “Food Waste Only”, located in all delivery docks.

3. No wet waste (food waste) is to be disposed of in the trash compactors and dry waste is to be disposed of in the yellow “Food Waste Only” dumpsters.

4. No waste is to be left in the corridors, loading docks, or other common areas of the at anytime. If waste is left in these areas, management will have it removed and redelivered to the merchants store and/or include a fine to the merchant’s corporate office. Additionally, Newport Beach Fire Department will also fine merchants who block corridors with debris.

5. When compactors or dumpsters are not available due to being emptied, take waste back to your store until the compactor has returned. Do not leave waste in common areas without being properly disposed of.

6. Waste is to be transported to the compactor or trash room in a leak proof container and secured with a tie to prevent dripping or spilling which may stain the center floor. Dragging a trash bag is prohibited.

7. The common areas immediately adjoining the leased premises, including corridors, are to be kept clear of any obstructions, garbage, refuse, merchandise, and displays. Dumping store fixtures, crates, electronics (i.e. computers) or any other large items are prohibited. Please contact the Operations Office at (949) 721-2039 to be referred to a vendor who can remove these items.

11 8. Light bulbs and paint are hazardous waste and therefore must be separated from other trash. Please contact the Operations Office at (949) 721-2039 for Center staff to pickup and recycle these items in the proper manner.

9. To operate the trash compactor the following procedures need to be followed:

a. All dry waste must be placed into the hopper portion of the compactor. b. Close the hopper door and confirm you have latched the door closed. c. Go to the near by operating equipment as seen in the photo below. d. Enter the code 4206. e. Press OK. f. Press green “start” button.

EMPLOYEE PARKING

In order to provide our customers with the most convenient parking, Fashion Island Security will be enforcing employee-parking regulations in all areas of the Center (please see map on the following page). Please be sure all employees are aware of the following:

1. In Parking Structure #2, between Bloomingdale's and Nordstrom, employee parking is on Level 3 & 4 only.

2. In Parking Structure #1, across from Pizza Kitchen and The Cheesecake Factory, employees must park on the lower level only.

3. In Parking Structure #4, near R+D Kitchen and Canaletto, employee parking is on Level 3 only.

4. There is no employee parking in the underground garage near Nordstrom, or the parking lots near Fleming's Prime Steakhouse and Chase.

5. There is no employee parking in open parking lots, with one exception. Employees may park in the farthest spaces from the Center and past the green line in the parking lots around Macy's.

6. Special parking arrangements for medical or security reasons must be arranged through the Fashion Island Security office in writing, and only those who receive a written exemption will be allowed to park outside the employee areas.

7. Employee vehicles not parked in designated areas are subject to removal at the owner's expense. Security will issue warning citations and will attempt to contact the owner prior to towing, but is under no obligation to do so. Please provide Security with a list of employees' vehicles so that every effort can be made to contact the employee before towing occurs.

8. Employees who park in designated handicap spaces must have a handicap placard.

9. Employees will be notified of designated employee parking during the holidays.

MAILBOXES AND MAIL DELIVERY

.Each merchant is responsible for securing their own mailbox and key. Please contact the Fashion Island Operations department at (949) 721-2039 to obtain your mail box number and location. Once secured, please contact Irvine Lock and Key at (949) 476-1077 to replace the mailbox lock and key. Lastly, it is each merchant's responsibility to notify the Post Office of your new address. Please contact the Post Office at (949) 640-4663 with your new address including your mailbox number.

ATRIUM CAFES POLICIES AND PROCEDURES

Tray Washing Fashion Island Management provides Atrium Café merchants with trays. The trays will be collected and washed by Fashion Island staff.

Items To Go To prevent numerous trays from leaving the food court area, please instruct your employees to ask each guest whether or not the food will be to-go. Should it be to-go, guests should receive a bag; should they be eating inside the food court or in the Atrium Garden Court, the guests should receive a tray.

Trash Each Atrium Café merchant will keep their space and hallway outside its doors free from trash and debris. Trash is to be deposited in the trash room near the freight elevator by the merchant. (See Trash Removal on pages 10-11 for further details).

Exterminator Fashion Island contracts with an exterminating service for all Atrium Café tenants. Service is provided each month and you will be given prior notice of the date and time. The merchant is responsible for providing access to the space, either by providing a key to the extermination company or having an employee there to open the space. If more information is needed, please call the Operations Office at (949) 721-2039.

Café Signs It is important that your premises are not cluttered with improper signage. Banners are prohibited. Signs should be kept clean and in operating condition at all times and must be placed inside the lease line and not out in the common area (i.e. not outside counter tops). Fashion Island Management must approve all signs. See Sign Regulations on page 8 for additional details.

Deliveries All delivery vehicles must load and unload in the loading dock on the second level. Escalators and Passenger Elevators are NOT to be used for deliveries. No vehicles can park along a red curb or in a fire lane for any period of time. Vehicles found in violation of these policies may be towed at the owner's expense. (See hours of delivery on page 8).

Hours of Operation The general hours of operation for the Atrium Café are the same as the Center hours. If you plan to have deliveries to your space before or after approved hours of operation, please contact the Operations Office at (949) 721-2039 or Security at (949) 721-2048.

Repair Hours No employees, vendors, or contractors are allowed to perform work outside the demised premises during Center hours. Vendors and contractors must be out of the common area by 8:30 a.m. Work performed in common areas will require contractor's insurance, and must be coordinated with the Operations Office by submitting a Security Access form (see page 26) at least 24-hours in advance of work.

EMERGENCY PROCEDURES

If an emergency situation arises, such as an injury or accident in or around your store, please follow the guidelines outlined below. For quick reference, see Page 27 for all local emergency numbers. Fashion Island Security can be reached 24-hours at (949) 721-2048.

1. Injury or Accident

• Call 911 immediately. If you are unsure if it is serious. still call 911. • After calling the police, contact Fashion Island Security. • Offer assistance or first aid to injured persons only to the extent that you have been trained. • Be prepared to provide police and Fashion Island Security with detailed information about the nature of the incident, problem, or request; information about the person(s) involved; your name and the name of your store; and a phone number where you can be reached. • Never talk to anyone about the situation, except for police officers, fire personnel, Fashion Island Security, or your store management personnel. • If possible, stay on the phone line until assistance arrives.

2. Vehicle Accidents

• If a vehicle accident in the parking lot is reported to you, immediately notify Fashion Island Security. An officer will be dispatched to the scene. • If the accident is serious, or if injuries are involved, call 911 first and then notify Security.

3. Lost Children

• If a child is reported missing, notify Fashion Island Security immediately. • If there is any indication of a crime, call 911. • Make sure you have the child's name, age, sex, clothing description, and last known location. • Have a parent or other responsible party remain at the location to meet a security officer or police officer. • Do not turn the child over to anyone the child does not recognize or does not want to go with. When in doubt, wait for Security to arrive. Missing children are considered to be a top priority of Fashion Island personnel and your cooperation is appreciated.

4. Disturbances

• Handling disturbances or fights within a store, bar or restaurant area is the responsibility of the individual merchant. If you have a disturbance inside your business, call the Newport Beach Police Department first at (949) 644-3717, and then call Fashion Island Security at (949) 721-2048.

5. ShopliftingITheft

• Shoplifting is an in-store problem and is to be handled as such. Fashion Island Security can assist you by maintaining a high profile at the scene of confrontation and by defusing any problem that may arise. Security will respond to your calls about shoplifters and will remain with you until the police arrive; however, it is each store's responsibility to handle the situation by filing a complaint directly with the Newport Beach Police Department. • It is helpful to form a policy on shoplifting and communicate that policy to all employees.

6. Lost & Found

• If any items are found in the Center, they should be turned in to the Guest Services Desk in Atrium Court during Center hours, or to Security after Center hours. Please notify guests to check with the Guest Services or Security to assist in the handling of Lost & Found items.

7. Power Outage

• Secure store register immediately. • Store personnel should conduct a complete search of the store including bathrooms, stock rooms, offices and dressing rooms to ensure no one is left behind and then secure the store. • Turn off all electrical equipment such as computers, lighting, TV and music and do not burn candles. • During daylight hours, individual merchants may decide whether to close or remain open. Should a merchant decide to close, he or she should remain near or in their secured store until power is restored. Merchants are encouraged to stay on property in anticipation of re-opening once power is restored. • During non-daylight hours, the decision to remain in your secured store or leave the Center will be left up to each individual merchant, unless the circumstances necessitate a complete evacuation. Security will evacuate customers and merchants in enclosed areas of the Center such as Atrium Court and Island Terrace. Merchants located in these areas will not be allowed to remain in their stores due to fire department regulations. • The Fashion Island Security Office has been designated as the Communications Center during a power outage. In addition, each merchant is encouraged to have the following supplies in their store: flashlights, batteries, and a First Aid kit. 8. Bomb Threats (can be received in written form or via the telephone)

a) Written Bomb Threats • Save everything you receive, including the envelope the threat is received in. • Refrain from handling excessively, in an effort to preserve fingerprints. Do not obliterate the postal mark, or fold or mutilate the paper. Use latex gloves to handle any documents. • Report the threat immediately to the Police Department at (949) 644-3717. • Call Fashion Island Security at (949) 721-2048 to advise of the threat. • The Police Department or the Management Office will determine whether the building is to be evacuated. • Do not discuss the incident with co-workers or guests. • DO NOT take this lightly. Any bomb threat should be taken seriously!

b) Telephone Bomb Threats • Keep the caller talking in order to receive as much information as possible. Try to fill out the Telephone Bomb Sheet (see page 23) as you are talking. • Try to learn the time of the detonation, where the bomb is located, the type of device, and what kind of explosive was used. • Inform the caller that there are people in the building. If the caller argues and • tells you that the building is empty, tell them there is a special meeting taking • place or anything you can think of to show that people may be injured. • Take note of background noises, voice qualities, etc. and record this on the Telephone Bomb Sheet. • After the caller hangs up, immediately call the Police Department. Relay all information you have noted about the call. • Call Fashion Island Security and notify them about the threat. • The Police Department or the Management Office will determine whether the building is to be evacuated. • Do not discuss the incident with co-workers or guests. • DO NOT take this lightly. Any bomb threat should be taken seriously!

9. After Hours Access • All merchants of Fashion Island may access their businesses at any time, with the exception of the Atrium Court tenants. All common hallways and doors to Atrium Court are secured approximately one hour after the Center has closed. Spaces may be accessed through back doors, but no one is permitted in the secured common areas without prior authorization from Fashion Island Security. Also, all merchants must notify Security (see the Security Access Form on page 26) if there will be any employees working more than one hour after closing time.

1O. Emergency Tenant Notification • Fashion Island maintains a list of store owner/manager home telephone numbers that are used to notify you in case of an emergency after closing hours. Please be sure and notify Security of any changes in phone numbers or personnel.

EMERGENCY EVACUATION PLAN

The evacuation of the Shopping Center or portion of the Shopping Center is only done when absolutely necessary. A wide variety of emergencies, both man-made and natural, may require an evacuation. These emergencies include acts of Mother Nature (i.e. earthquakes and floods), civil disturbance and utility failure. If instructed to evacuate your store, please follow your internal policies first and then safely and calmly vacate the store as directed by the Fashion Island Security Department.

1. Evacuation Plan Information • The attached evacuation map shows primary and secondary routes of existing. • Primary routes of exiting are located through the common areas of the Shopping Center. Secondary routes are through the service corridors. • In most situations you should use the primary exiting route and vacate through the front entrance of your store. If you are advised to avoid or are unable to use the primary route, use the secondary route and exit through the service corridors.

2. Miscellaneous Evacuation Information • Always remain calm and alert when evacuation is in progress. • Follow your company's internal policies for evacuation. • Confirm the store is vacant prior to securing the premises. • Confirm the store is secured before evacuating the area. • A store representative must contact Fashion Island Management to confirm how long evacuation will be enforced. It is the responsibility of each merchant to know when the store will reopen for business. • Should only a portion of the Shopping Center need to be evacuated while the balance of the Shopping Center is business as usual, store representatives should stay in communication with Fashion Island Management regarding when to reopen the store for business. Typically these types of evacuations are for a very short period of time and stores will be required to open when the evacuation has been lifted.

FIRE, LIFE, AND SAFETY INFORMATION

Fire and Safety Requirements

• Fire prevention starts with good housekeeping. Check areas in your store such as selling areas, dressing rooms, stock rooms, utility closets, etc. daily for any possible fire hazards. Do not block the back doors or service corridors with trash.

• You should keep storage at least 36" from electrical panels and electrical transformers. You are required by Newport Beach Fire Department to keep stored items at least 24" from the bottom of sprinkler heads.

• For general safety, you should keep at least one flashlight and extra batteries on hand at all times.

• Install required fire extinguishers and have them checked yearly as required by fire codes. Additionally, all stores are equipped with automatic fire sprinkler systems. The Newport Beach Fire Department is willing to survey your store and can be reached at (949) 644-3106.

• In case of fire, call 911. Give the exact location and extent of the fire. Call Fashion Island Security at (949) 721-2048 after notifying the Fire Department.

• All buildings at Fashion Island are fully outfitted with sprinklers for fire protection. It is extremely important that these systems are functioning properly at all times. Never hang signs or attach foreign objects to the fire sprinkler as this can impair the system. If it is necessary to do any sprinkler work in your restaurant or store that involves shutting off the sprinklers, you are required to contact the Operations Office during regular business hours (Monday - Friday) at least 24 hours in advance of the scheduled work. All work must be pre-approved by Fashion Island Management.

• Only fire sprinkler contractors approved by Fashion Island Management may perform work at Fashion Island.

Please remember that the fire control system is for the protection of both property and lives, and that the regulations regarding impairment of the system are very important. Failure to follow the rules can result in penalties and false alarm charges.
