Official Rules “Drunk History” Clusterfest Trip Contest Sponsored by

NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID IN ALASKA AND HAWAII AND WHERE PROHIBITED OR RESTRICTED BY LAW. A TWITTER ACCOUNT AND INTERNET CONNECTION ARE REQUIRED FOR ENTRY.

1. ELIGIBILITY: Comedy Central’s “Drunk History” Clusterfest Trip Contest ("Contest”) is open only to permanent, legal residents of of the forty-eight (48) contiguous United States (“U.S.”) and the District of Columbia (void in Hawaii, Alaska, Puerto Rico, and all U.S. territories and possessions and all overseas military installations), who are at least eighteen (18) years of age as of May 27, 2019, with access to the Internet at all times during the Contest Period (as defined below). All employees of Comedy Partners d/b/a Comedy Central and Superfly Comedy Ventures, LLC (“Sponsor” or “Comedy Central”), and all associated agencies and each of their respective parent corporations, subsidiaries, affiliates, sales representatives, distributors, licensees, prize providers or agents, and all of their respective officers, directors and employees (all of the foregoing, together with Sponsor collectively, “Contest Entities”), and their immediate family members (spouse, parent, child, sibling and their respective spouses) and those living in the same household of each (whether legally related or not), are ineligible to enter or win the Contest. All applicable federal, state and local laws and regulations apply. Void where prohibited by law. Entry in the Contest constitutes your full and unconditional acceptance of these Official Rules, and acknowledgement that this Contest is in no way sponsored, endorsed or administered by Twitter.

To be eligible to participate in the Contest, you must have the right and ability to travel to San Franciso, CA between July 21-23, 2019, to partake in the Prize awarded, as further set forth in section 5, below. The Contest is free to enter. However, internet costs in submitting your Entry may vary so you should check with their service provider for current charges and seek the permission of the person paying the bill before entering.

2. CONTEST PERIOD: The Contest begins at 12:00 p.m. Pacific Time (“PT”) on May 27, 2019 and ends at 11:59 p.m. PT on June 11, 2019 (the "Contest Period"). Sponsor’s computer shall be the official timekeeper for all matters related to this Contest.

3. CONTEST ENTRY INSTRUCTIONS: You may enter the Contest as follows: (1) visit Twitter and (a) if you already have a Twitter account, log on using your Twitter username and password, or (b) if you do not have a Twitter account, create a free Twitter account according to the instructions on the website (please note that you must agree to comply with the Twitter Terms of Use in order to create a Twitter account); (2) follow @DrunkHistory on Twitter; and (3) during the Contest Period, write and post a tweet containing an original and creative Drunk History-themed trivia team name, with the hashtag #DrunkHistoryTriviaContest, in 280 characters or less (“Entry”).

If your Twitter profile is set to the “Protect my Tweets” setting or private mode, your Entry may be disqualified and rejected as ineligible for consideration in the Contest. By entering this Contest, you are giving Sponsor the right to post your Entry, including your name and username, on Comedy Central’s linear channel, Comedy Central’s website, other Comedy Central owned or controlled digital and social platforms, and/or other public websites (collectively, “Contest Websites”). Tweets must comply with the Twitter Terms of Use (https://twitter.com/tos).

The Entry submitted must not:  be in bad taste or controversial in the way it portrays any group or individuals (including actors in “Drunk History”);  be derogatory of any ethnic, racial, gender, religious, professional or age group;  be sexually explicit or suggestive;  mention any third party company names;  does not contain any website links;  depict or encourage a violation of any law or regulation or in any way violate any law or regulation; and  contain any third party copyrighted material or otherwise misappropriate or infringe upon the intellectual property rights of a third party.

In Sponsor’s sole discretion, any Entry which does not meet all of these requirements will be disqualified.

By entering this Contest: (1) you are giving Sponsor the right to post your Entry, including your name and Twitter username, on Comedy Central’s linear channel and Contest Websites; and (2) you are assigning all ownership rights and usage rights to your Entry to Comedy Central. By submitting an Entry, you warrant and represent that he/she consents to the submission and use of the Entry and to its posting on the Contest Website and/or any other platform as determined by Sponsor and/or its agent(s). Except where prohibited by law, submission of an Entry grants the Contest Entities the right in perpetuity to reproduce, publish, display, use, edit, adjust, modify, abridge, condense, and excerpt from such Entry in any way, in any and all media, and to sublicense such rights, without limitation and without attribution, notification, or compensation to Entrant.

4. SELECTION OF WINNER: Entries will be reviewed on a rolling basis during the Contest Period by or a qualified agent(s) selected by Derek Waters (the “Judge(s)”) who on or about June 12, 2019, will select one (1) winner (the “Winner”). The Winner will be the entrant who, in the Judge(s) opinion, submitted the most original and creative Entry which also illustrated the overall theme, tone and understanding of the “Drunk History” series, all weighted equally (collectively, the “Judging Criteria”). In the event of a tie, the Judge(s) will break the tie by selecting the tied entrant who received the highest points for creativity. The potential Winner shall be required to sign and return to Sponsor a notarized Affidavit of Eligibility and Liability/Publicity Release (“Affidavit/Release”) within forty-eight (48) hours of being selected as a Winner. At the sole discretion of the Sponsor, disqualification, forfeiture and the selection of an alternate Winner may result from any of the following: (1) a potential Winner’s failure to respond to Winner notifications within forty-eight (48) hours of its transmission; (2) the return of Winner notifications as undeliverable after two (2) attempts; (3) Winner or Guest’s failure to provide Sponsor with a signed and notarized Affidavit/Release within forty- eight (48) hours of transmission and/or (4) any other non-compliance with these Official Rules. Sponsor reserves the right to contact any and/or all entrants by a direct message on Twitter throughout the Contest Period in relation to the Contest and the Prize, and entrants are advised to regularly check for messages. If the Winner is unable or unwilling to accept the Prize, the Prize will be forfeited and an alternate Winner may be selected by Sponsor applying the Judging Criteria from the remaining eligible entries received.

5. PRIZES: There will be one (1) prize (“Prize”) awarded to Winner. The Prize will consist of: (i) one (1) pair of VIP tickets to attend the 2019 Clusterfest comedy festival (“Festival”) which is scheduled to take place from June 21, 2019 through June 23, 2019 in San Francisco, CA, to be shared between Winner and Winner’s one (1) guest (“Guest”); (ii) roundtrip coach class air transportation for the Winner and Guest, which shall originate from a major gateway airport of Sponsor’s choice nearest Winner’s primary residence to San Franciso, CA (or a major gateway airport near San Franciso, CA); (iii) three (3) night’s hotel accommodations in a San Franciso-area hotel (one [1] standard room, room and tax only), as determined by Sponsor in its sole discretion; and (iv) a Two Hundred Dollar ($200) travel stipend to be used for transportation to and and from the airport and to and from the Festival (Approximate Retail Value (“ARV”) $3,500) (collectively, the “Prize”). The ARV is subject to change based on current market conditions at time of Prize fulfillment and the time of travel and the distance between departure and destination. Any difference between the ARV and the actual value, if any, will not be awarded.

Time and/or date of the Festival are subject to change and/or cancellation. If the Festival is cancelled or changed to a date such that Winner and/or Guest are no longer able to attend, the remaining elements of the Prize shall be awarded and shall constitute full satisfaction of Sponsor’s Prize obligation to Winner and no additional compensation will be awarded.

Winner and Guest must travel together on the same itinerary, including same departure date and return date, and must have valid travel documents (i.e., valid government issued photo ID and/or passport) prior to departure. Failure to secure the necessary travel documents will result in forfeiture of Prize and time permitting, at Sponsor’s sole discretion, an alternate potential Winner may be selected from the remaining eligible entries. If Winner’s residence is within two hundred and fifty (250) miles of San Franciso, CA, Sponsor may, in its sole discretion, substitute train or ground transportation for airfare and that shall constitute full satisfaction of Sponsor’s Prize obligation to the Winner and no additional compensation will be awarded. No other travel elements (including, without limitation, baggage fees, ground transportation (except as specifically stated herein), meals, gratuities and souvenirs) are included as part of the Prize. Sponsor will not replace any lost or stolen tickets, vouchers or certificates. An airline ticket will only be issued to Winner and Guest. In the event of an act of God or an unforeseen, uncontrollable event, Sponsor reserves the right to reschedule all travel for a later date.

All taxes on a Prize, and other expenses related to accepting and/or using a Prize not listed in these Official Rules, are the responsibility of the Winner. Winner will receive a Form 1099 reflecting the actual retail value of the Prize. Any

difference stated between the ARV and the actual retail value of a Prize will not be awarded. The Prize is not transferable, except to a surviving spouse residing in the same household, and may not be redeemed for cash. No substitution is allowed except, at Sponsor’s sole discretion, a prize of equal or greater value may be substituted. In the event Winner chooses to attend the Festival with no Guest, the remaining elements of Prize shall be awarded and shall constitute full satisfaction of Sponsor’s Prize obligation to Winner and no additional compensation will be awarded. Guest shall be required to execute and return a release of liability and, where legal, a publicity release (collectively, “Guest Documents”), which must be returned with the Affidavit/Release or Guest portion of the Prize will be forfeited. Guest must be eighteen (18) years of age or older as of the start of the Contest Period. PRIZES ARE AWARDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE). CONTEST ENTITIES (INCLUDING EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES AND AFFILIATES) EXPRESSLY DISCLAIM ANY AND ALL RESPONSIBILITY AND LIABILITY ARISING FROM USE OR REDEMPTION OF A PRIZE, AS FURTHER SET FORTH IN THESE OFFICIAL RULES, INCLUDING BUT NOT LIMITED TO ANY DAMAGES OR INJURIES SUSTAINED BY A WINNER AND/OR GUEST FOR ANY REASON, INCLUDING FROM ANY PART OF TRAVEL TO SAN FRANCISO, CA, ANY PART OF A PRIZE OR ANY OTHER CAUSE(S) BEYOND SPONSOR’S REASONABLE CONTROL.

6. GENERAL RULES: By entering or participating in the Contest, entrants agree to be bound by these Official Rules, the terms and conditions of the Contest Entities’ websites, and by the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest. Contest Entities are not responsible for: (a) any incorrect or inaccurate information or technical failures of any kind; (b) unauthorized human intervention in any part of the entry process or the Contest; or (c) any other computer, network, technical, human or other error, problem or malfunction that may occur in connection with the administration of the Contest, the processing of entries, or the selection or notification of Winner. Further, if, for any reason, the Contest is not capable of running as planned for reasons outside the control of the Sponsor which, in the sole opinion of Sponsor, may corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest (or portion thereof), Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest (or portion thereof). In the event of such cancellation, termination, modification or suspension, Sponsor may select the Winner from all eligible, non-suspect entries received prior to such action. Sponsor also reserves the right in its sole discretion to disqualify the Entry of any individual found to be: (a) tampering or attempting to tamper with the entry process or the operation of the Contest or any website operated by the Contest Entities; (b) using any robotic, macro, automatic, programmed or like entry methods, which will void all such entries; (c) violating these Official Rules or the terms of service, conditions of use, and/or general rules of any Sponsor property or service; or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person.

7. ADDITIONAL TERMS: By accepting a Prize, you agree to release and hold harmless the Contest Entities from and against any and all losses, damages, rights, claims, actions and liabilities of any kind in connection with the Contest and receipt or redemption of a Prize. Twitter shall have no responsibilities in respect of the Contest. The Contest is in no way sponsored, endorsed or administered by, or associated with, Twitter. Entrants hereby release Twitter from all liability arising out of or in connection with the Contest.

Winner hereby grants Sponsor the right to film, tape, sound record and photograph them at, and in connection with, the Contest and the Festival and any Contest-related activity or Prize (and/or any related publicity event or promotional activity) and Sponsor shall own all rights and title in and to all such films, tapes, recordings and photographs. In connection therewith, Sponsor shall have the right to use and authorise others to use the Winner’s name, likeness and any biographical facts which may have been provided by the Winner to Sposnor, worldwide in any and all media (whether now known or hereafter invented).

8. DISPUTES: THIS CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEYS’ FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

By entering this Contest, you agree to the use of your personal information as described in the above Privacy Policy.

10.
