WELLSHIRE WOMEN’S GOLF CLUB

BY-LAWS

Article I
Name, Board, and Purpose

Section A. The organization’s name is Wellshire Women’s Golf Club (“WWGC” or “the Club”).

Section B. The Board of Directors consists of President, Vice-President, Secretary, Treasurer, and Tournament. Each of these five (5) positions is a voting member of the Board.

Section C. The purpose of WWGC is to promote good fellowship and interest in golf, to enable its members to enjoy organized competition and social activities.

Article II

Duties of Officers

Section A. The President conducts all official meetings of the Board of Directors and all WWGC general membership meetings. She is the WWGC’s Representative to the Colorado Women’s Golf Association (CWGA). She performs additional duties specified in the By-laws and any others necessary for the continued wellbeing of WWGC.

Section B. The Vice-President performs the duties of the President in the absence of or the inability of the President to act. The Vice-President is responsible for WWGC membership, which includes qualifying new members. She performs additional duties specified in the By-laws, in the Membership Rules and any others as assigned.

Section C. The Treasurer notifies members of annual dues and itemized fees, collects all monies, manages the bank accounts, pays Club invoices, and maintains financial documents of the Club. She issues checks only with valid and accurate invoices or receipts. She prepares Treasurer’s financial reports for each Board meeting and for the fall and spring membership meetings. Annual accounting records are submitted for auditor’s review at the end of each golf season and before transferring duties to a new Treasurer. The Treasurer performs additional duties specified in the By-laws and others as assigned.

Section D. The Secretary keeps the minutes of official Board and Club meetings, conducts correspondence, and performs additional duties specified in the By-laws and others as assigned.

Section E. The Tournament Director organizes all of the Club’s tournaments, is responsible for determining and distributing all awards, and performs other duties specified in the By-laws and others as assigned.

Article III

Committees

Section A. The Standing Committees of the Club are Handicap, Social, Handbook, Rules, Selects & Chip-ins, Webmaster, Hospitality, and Auditing.

Section B. The President, with the consent of the Board of Directors, appoints individual members to the Standing Committees and may create additional positions when needed to improve Club operations. The President appoints a Nominating Committee of non-Board member(s) to propose nominees for Board vacancies.

Section C. Each Standing Committee member prepares a brief end-of-season report that becomes part of the Club’s records. The report should include a summary of the Committee’s activities for the year and recommendations for the guidance of future committee members.

Article IV

Terms of Office

Board members are elected by the WWGC membership at the annual fall luncheon to a two (2) year term and are limited to a second, consecutive two (2) year term if re-elected. The outgoing Tournament Director will serve an additional year as an Advisor to the incumbent Director. The assistant is not a voting member of the Board.

Terms for the officers shall be staggered with the President and Secretary being on one two-year cycle, and the Vice President, Treasurer, and Tournament Director on another two-year cycle.

Article V

Fees and Dues

Section A. The initiation fee is $15.00.

Section B. Annual dues are set by the Board of Directors. The Treasurer sends itemized notices to renewing members by January 7. Dues and fees must be paid by February 1 for the member’s name and contact information to be included in the Directory.

Section C. Hole-in-One Club. A $2.00 (two dollar) fee is included with annual dues. Funds accumulate yearly until a member(s) scores an Ace, and will be distributed in cash at the end of the season to any member(s) who scored a hole-in-one during WWGC tournament play.

Article VI
Rules Infractions and Grievances

Any incidents of rules infractions or other unsportsmanlike conduct must be addressed by the players involved at the time of the occurrence. The alleged infraction or misconduct should be identified to the player during play and a constructive attempt should be made to indicate proper procedure according to the USGA or local rule.

If the issue remains unresolved after the players attempt to settle the matter as suggested above, the player(s) may bring a complaint to the Board. Complaints may be addressed by the Board in the following ways, including but not limited to:

1.  Pair the indicated member with a Board member for direct observation which may provide another attempt to rectify the situation during play.

2.  Request the player to appear before the Board if the infraction or misconduct continues.

3.  Permanently expel the player from the Club by decision of a majority of the Board and communicate this in writing to the player (fax and/or email are acceptable).

All other general complaints and issues, including concerns about the management and governance of the Club, should be brought to the attention of the Board.

Article VII

Expenses

Club Expenses over $50 (fifty dollars) must be agreed to by a majority of the Board of Directors.

Article VIII

Awards

Section A. Following review of available funds for events requiring awards or prizes, the Tournament Director will disburse the funds per the approved budget and later provide a recap of the expenditures at the next Board meeting.

Section B. Club Championship Awards are distributed as follows:

1. Applies to first day of tournament play only, awarded at end of tournament:

a. Medalist (low gross for entire field)

b. Net Medalist (low net for entire field)

c. Longest drive in each flight

d. Closest to pin in each flight

2. Applies to complete tournament, awarded at end of tournament play:

a. Lillian Reynolds’ Trophy engraved with Club Champion’s name

b. Net and Gross prizes based on the number of participants in each

flight

c. Low putts total in each flight

Section C. Annual awards are distributed as follows:

1.  Weekly tournament winners are described in Awards section of the Handbook.

2.  Gross Selects in every flight

3.  Net Selects in every flight

4.  Most Chip-ins in every flight

5.  The Eleanor Pelligrini Award: given to the most improved golfer in the entire membership, from the start until the end of the Club's season (a minimum of 10 weekly rounds completed at Wellshire required).

Article IX

Rules of Order

All business proceedings of the Club not provided for in the foregoing By-laws are governed by Robert’s Rules of Order (Revised).

Article X

Rules of Play

USGA rules govern all tournaments except when modified by local rules adopted by the Club.

Article XI

Amendments

These By-laws may be changed, amended or revoked at any time by a two-thirds (2/3) vote of the Board of Directors at any regular or special meeting of the Board (voting by fax and/or email is acceptable), provided notice of such amendment was given at the previous meeting of the Board or in writing (fax and/or email are acceptable) at least ten (10) days prior to the meeting.
