WHEREAS the Plaintiffs have commenced and prosecuted the Canadian Proceedings in the Courts and allege that the Settling Defendants participated in the Alleged Conduct, and the Plaintiffs claim class-wide damages allegedly caused as a result of the Alleged Conduct, as well as equitable relief; B. AND WHEREAS, through their participation in the Visa network, the Mastercard network or both, the Settling Defendants received Interchange Fees in Canada during the Class Period; C.
