Across the nation, Federal and State policy-makers are continuing to debate policy solutions to address the health care challenges facing our communities, including affordability and access. UnitedHealth Group values the opportunity and responsibility to meaningfully engage and partner with policy-makers by contributing to the national conversation on health care modernization. We are uniquely positioned to share distinctive policy solutions that improve outcomes, lower costs, and create a better health care experience for everyone. In the 2019 U.S. Political Contributions and Related Activity Report, we provide insight into our advocacy efforts and participation in the political process. UnitedHealth Group’s Political Action Committee – the UnitedHealth Group PAC – and political contributions generally are one component of our multi-faceted approach to engaging elected officials and candidates for public office. The UnitedHealth Group PAC is bipartisan and funded entirely by voluntary contributions from eligible employees and stakeholders. Political contributions support Federal and State candidates, political parties, and other political action committees in alignment with our goals to modernize the health care system. All political contributions are made in compliance with applicable election laws, overseen by the UnitedHealth Group Board of Directors’ Public Policy Strategy and Responsibility Committee, and guided by our mission and values. We have a corporate responsibility to our customers, our employees, our shareholders, and the people we serve across the health care community to continue to: n Lead in the development of innovative solutions that produce consistent, high-quality health care at a lower cost and improve experiences for patients and providers to make health care simpler, more transparent, and more engaging; n Ensure all Americans have access to quality, affordable health care coverage; and n Support and develop proven best practices and apply data and information, technology, and clinical insights to improve health care in a socially conscious way. ADVOCACY ACTIVITIES POLICIES, PRACTICES, AND PRIORITIES UnitedHealth Group participates in activities to advocate for our positions on public policy issues with elected officials and other stakeholders at the International, Federal, State, and Local levels – issues that affect our company, shareholders, employees, and customers. Our goal is to help shape and inform public policy decisions that have the potential to affect our business, customers, employees, consumers, and the communities in which we operate as we fulfill our mission of helping people live healthier lives and helping make the health system work better for everyone. Our legislative and advocacy priorities at the Federal and State levels are set forth in The Path Forward: A Modern, High-Performing, Simpler Health Care System, which outlines actionable policy solutions to most effectively expand access to coverage, lower health care costs, improve health outcomes, and create better experiences, and is available on our website. PROCEDURES AND BOARD AND MANAGEMENT OVERSIGHT Advocacy activities are led by UHG External Affairs with participation throughout our businesses, and are subject to oversight by senior UHG management and the Public Policy Strategies and Responsibility Committee of our Board of Directors. In addition to overseeing our advocacy efforts, the Public Policy Strategies and Responsibility Committee assists the Board of Directors in fulfilling its responsibilities relating to our public policy, health care reform and modernization activities, political contributions, government affairs, community and charitable activities, third party activities (including trade associations and industry groups), and corporate social responsibility, and is responsible for overseeing the risks associated with these activities. The Committee receives regular reports from our leadership on these matters, oversees our policies, and reviews the purposes and benefits of these activities at each meeting. The Committee provides reports of its activities to our Board of Directors at each in-person meeting. Our activities include the work of educational outreach and promotion, campaign contributions, and, in certain instances, lobbying and other related activities. These activities are reviewed by legal counsel in addition to the Public Policy Strategies and Responsibility Committee and are included in the total annual fiscal budget, which is subject to the approval and oversight of our Board of Directors. UnitedHealth Group made no independent expenditures in 2019. All UnitedHealth Group PAC and corporate political contributions are made in accordance with applicable election laws. The Public Policy Strategies and Responsibility Committee adopted a political contributions policy which we have made available on our website at www.unitedhealthgroup.com/About/ CorporateGovernance.aspx.
