This securities Action was brought against Defendants Santander Consumer USA Holdings Inc. (“SCUSA” or the “Company”), Thomas G. Dundon, Jason A. Kulas, Gonzalo de las Heras, Alberto Sánchez, Matthew Kabaker, Tagar C. Olson, Daniel Zilberman, Javier San Felix, Roman Blanco, Stephen A. Ferriss, Juan Carlos Alvarez and Juan Andres Yanes (the “Individual Defendants” and with SCUSA, the “SCUSA Defendants”), Citigroup Global Markets Inc., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, n/k/a BofA Securities, Inc., Deutsche Bank Securities Inc., Santander Investment Securities Inc., Barclays Capital Inc., Goldman Sachs & Co., LLC, Morgan Stanley & Co. Kulas for fraudulent material misrepresentations or omissions made in connection with, and subsequent to, the Company’s IPO. 5.
