Introduction Franchise litigation, as that term is commonly understood, is not confined to disputes between franchisors and franchisees arising out of the offer or sale of the franchise or the parties’ ongoing franchise relationship. Rather, it embraces a broad range of disputes that arise out of or relate in some way to the franchise relationship or the franchised business, only some of which involve franchisors and franchisee asserting claims against each other. While this paper largely focuses on those types of franchisor and franchisee disputes, franchise litigation may also include whether the parties’ business relationship contains the necessary elements to even be considered a franchise, whether that relationship is in fact one of employer and employee under certain statutes, whether customers or other third parties can hold the franchisor
