Annual Members’ Conference & General Assembly: Dublin, Nov 2014 Minutes DAY 1: Saturday 15th November 1/Plenary Session 1 Patrick Dempsey: I am Co-Chair of IGLYO’s Executive Board, Welcome to IGLYO’s General Assembly. The other Executive Board members introduced themselves and their roles: Eirik Rise, Treasurer Ani Giorgadze, Intersectionality Officer Orlaith Hendron, Co-chair Mina Tolu, Communications Officer George-Konstantinos Charonis, Education and Social Inclusion Officer Ashot Gevorgyan, Secretary 2/Adoption of Chair and Minute Taker Patrick Dempsey (IGLYO): The Board would like to propose that Nanna Moe Chair the General Assembly. Nanna has previously served on the IGLYO Board and is currently ILGA-Europe’s Communications Officer. General approval Patrick Dempsey (IGLYO): The Board proposes that Sarah Rowlinson be appointed as minute taker for the General Assembly. Sarah served on the IGLYO Board from 2012 – 2014. General approval 3/Adoption of Agenda Nanna Moe: the agenda had been slightly altered. Can the GA approve the agenda? General approval 4/Adoption of Tellers NM: The Board propose the appointment of Setta Mortensen, IGLYO FCC Member and Alex from BelongTo as tellers to the GA. Can I see approval for this? General approval 5/Roll Call NM: A roll call needs to take place to ensure quorum has been met for the General Assembly to proceed. Quorum is defined as half of the membership plus one. When your organisation is called please put your hand up and you will be given your voting card. Please sign your voting card and make sure you keep it with you. NM held roll call and the following organisations were accepted as present and handed voting cards. 1 IGLYO is funded by the European Union, the Council of Europe European Youth Foundation and the Government of the Netherlands. The Board have confirmed that the organisations meet the requirements of the statutes. Why is this? Patrick Dempsey (IGLYO): The application was received, it has been missed. NM: Can the GA approve this application? General approval 3 IGLYO is funded by the European Union, the Council of Europe European Youth Foundation and the Government of the Netherlands. Annual Members’ Conference & General Assembly: Dublin, Nov 2014 Voting cards were handed out to the 5 newly approved organisations in attendance: LGBT Youth North West, Arcigay II Cassero, HeSeta ry, MAGNUS and LGBT Plovdiv. NM: The Board would like the GA to consider terminating the membership of organisations. Two thirds must agree. Ivan Novosel (Zagreb Pride): We cannot do this. Quorum has not been met for members to be removed. We cannot approve new members without quorum. Gisela Janis (RFSL Ungdom): I would like to suggest that we see how many are in the room and proxy can be sent for those missing. A count of organisations and proxies without new members was held. Total number counted: 39 NM: Quorum is 42 so this has not been met. We are 3 organisations short of quorum. Ashot Gevorgyan (IGLYO): It says in the statutes, article number 8 member organisations that do not exist can be removed by the board automatically as they no longer exist. Orlaith Hendron (IGLYO): HereNI give their proxy to BelongTo Gisela Janis (RFSL Ungdom): KPH give proxy to RFSL Ungdom NM: The Board moves to remove Toleranisto and Lebeshule Gottingen who no longer exist. Ivan Novosel (Zagreb Pride): Can you clarify how this decision was made that they do not exist? PD: Searches, attempts to contact and information from other member organisations. Both were excluded – quorum has now been approved. NM: This means the total membership is 80. Quorum is now 41. Ivan Novosel (Zagreb Pride): We need clarification. They do not need to be legally recognised but statutes say that they are legally organised. Patrick Dempsey (IGLYO): Some organisations accepted years ago did not have legal status. Karoline Börner (Jugendnetzwerk Lamba Berlin-Brandenburg): This discussion should be moved to membership policy discussion NM: This procedure has been recognised for many years in IGLYO. A motion can be proposed next year. Phillipe( CHEFF): The statutes in English and in French are different. Statutes in English state the quorum is half plus one, but French say fifty percent. NM: The English version is the one that is used by GA. Ivan Novosel (Zagreb Pride): There is not clarity. Who has the final say in the interpretation of the statutes? 4 IGLYO is funded by the European Union, the Council of Europe European Youth Foundation and the Government of the Netherlands. Annual Members’ Conference & General Assembly: Dublin, Nov 2014 NM: The GA has the final say in the interpretation of the statutes. These are not clear and so it is the job of the GA that motions are improved to give greater clarity. Member should take responsibility for bringing motions to the GA to bring clarity to the procedures. I ask that the minutes state that the Board should look in to the translations from French to English in the statutes. Ivan Novosel (Zagreb Pride): After this GA the Board should create a working group. NM: This should be brought to work plan adoption discussion so it can be added and motions created for next GA. Assembly voted to approve 11 new members. Majority approved. NM: Membership is now 90 so Quorum is now 47.
