The Company’s ARM & HAMMER brand is one of the nation’s most trusted trademarks for a broad range of consumer and specialty products developed from the base of bicarbonate and related technologies. Church & Dwight’s consumer products business is organized into two segments: Consumer Domestic, which encompasses both household and personal care products, and Consumer International, which primarily consists of personal care products. The Company has eight key brands representing approximately 80% of its consumer sales. These so-called “power brands” include ARM & HAMMER, TROJAN, OXICLEAN, SPINBRUSH, FIRST RESPONSE, NAIR, ORAJEL and XTRA. About 35% of the Company’s domestic consumer products are sold under the ARM & HAMMER brand name and derivative trademarks, such as ARM & HAMMER DENTAL CARE Toothpaste and ARM & HAMMER SUPER SCOOP Clumping Cat Litter. The remaining seven power brands have all been added to the Company’s portfolio since 2001 through several acquisitions. The most recent acquisitions include the acquisition of the net assets of Orange Glo International, Inc. in October 2006, which included OXI CLEAN, a premium-priced leader in the fast-growing laundry pre-wash additive category and Del Pharmaceuticals, Inc. in July 2008, with the acquisition of the ORAJEL analgesic brand. The combination of the core ARM & HAMMER brands and the other seven power brands make Church & Dwight one of the leading consumer packaged goods companies in the United States. Church & Dwight’s third business segment is Specialty Products. This business is a leader in specialty inorganic chemicals, animal nutrition, and specialty cleaners. growth driven by 8 power brands arm & hammer More aisles in the grocery store than any other brand ® A&H brands are in 9 out of 10 households in America trojan #1 Condom Brand oxiclean #1 Laundry Additive Brand spinbrush #1 Battery Powered Toothbrush Brand first response #1 Branded Pregnancy Kit nair #1 Depilatory Brand orajel #1 Oral Care Pain Relief Brand xtra Leading Deep Value Laundry Detergent Based on AC Nielsen FDM excluding Walmart for the 52 weeks ending 12/26/09 1 Matthew T. Farrell James R. Craigie Susan E. Goldy Executive Vice President Finance Chairman and Executive Vice President, and Chief Financial Officer Chief Executive Officer General Counsel and Secretary dear fellow stockholder: It is a pleasure to report the completion of another very successful year for our Company in which we achieved record sales, profits and free cash flow. More importantly, these record business results positively impacted the measure that I believe matters most to so many of our shareholders – Total Shareholder Return (TSR) – which reflects the combination of stock price appreciation and dividends. We manage Church & Dwight with the goal of delivering the best possible TSR to you and will continue this goal in 2010 and beyond. Over the past 10 years, Church & Dwight has delivered an annual TSR of approximately 14% to its shareholders – significantly better than the -3% TSR decline of the S&P 500 stock index during the same period. These results reflect the relentless work of an experienced management team that is never satisfied with the status quo. A decade ago, Church & Dwight was largely a domestic household products company with one iconic brand, delivering less than $1 billion in annual sales. Today, the Company has been transformed into a diversified packaged goods company with a well-balanced portfolio of leading household and personal care brands delivering over $2.5 billion in annual sales worldwide. Over the past 10 years, the Company has developed a proven track record of leveraging our strong cash flow to prudently acquire and integrate leading brands into our efficient base business and drive significant earnings growth. While we have over 80 brands in our total portfolio today, 8 of these brands, which we call our “Power Brands”, deliver over 80% of our revenues and profits. Seven out of the 8 current Power Brands were acquired in the past 10 years. Since I joined the Company over 5 years ago, we have continued to acquire carefully chosen new businesses while simultaneously improving the Company’s ability to grow our existing businesses, often referred to as our “organic growth”. Our annual organic growth over the past 3 years has exceeded 5% which is an outstanding result when compared with our key competitors. This combination of stronger organic growth and accretive acquisitions has driven our 100% increase in earnings over the past 5 years and has provided us with a strong foundation for continued future earnings growth. Driving stronger organic growth of our existing businesses while continuing to acquire and integrate new businesses would have been a challenging accomplishment in a relatively stable business environment, and yet, we have succeeded in the face of an extremely difficult business environment. Over the past 3 years, we have faced unprecedented volatility in material and transportation costs, increased pressure from retailers to reduce our product offerings, and the worst economic recession since the Great Depression. FortunatelY, the CompanY has been able to not onlY overcome these challenges, but to deliver strong growth through 3 keY initiatives: • We have stepped up our aggressive cost savings program that has been in place for several years. The increased focus on this program, in combination with price increases on some of our products, synergies from acquisitions and the benefits 2 of liquid laundry detergent concentration has enabled us to more than offset the significant gross margin impact of volatile commodity prices on our existing business. To be specific, over the past 3 years, we were able to deliver 570 basis points of gross margin improvement, excluding restructuring charges. • Church & Dwight’s unique consumer product portfolio, consisting of both premium (60%) and value (40%) brands, enables our Company to succeed in varied economic environments. In the current recession, our value brands are thriving as consumers are making smart choices to try them and finding that our products’ performance exceeds the consumers’ expectations. We are focusing on making this a permanent shift in purchasing behavior by consumers. At the same time, our Company has wisely increased our marketing spending to support our premium brands and achieve increased sales and profits through higher market share. We believe no other consumer packaged goods company has such a well-balanced portfolio of both premium and value brands. We will continue to leverage this balance to drive continuous strong earnings growth despite the constantly changing economic environment. • Our Sales and Marketing teams have done an outstanding job in developing stronger relationships with our key retailers and our consumers. Regarding our retail partners, our Sales Force has made significant investments in such areas as category management and trade spending efficiency to support a “win-win” relationship with our retailers as they promote our products to consumers.
