The meeting observed a minute of silence in acknowledgement of Remembrance Day. SMS expressed thanks to John Lunt, who had kindly agreed to deliver a short presentation prior to the formal business of the meeting. SMS was pleased to welcome Derek Biggs, the newly elected President of Triathlon England. Apologies Paul Groves 2 President’s Report (see Appendix 1) The President gave her report of the activities of the Federation since the previous Annual General Meeting. She highlighted the phenomenal success of the 2011 season with medal winning performances across the whole spectrum of the sport and outlined the achievements in building performance (inclusion of the triathlon mixed relay in the Commonwealth Games for 2018), profile (paratriathlon in the Paralympics in Rio 2016), participation and business operations. SMS informed the meeting that a Strategic Review for the post-Olympic quadrennial was currently being undertaken by the Board and Senior Management Team. SMS expressed thanks to the Board for their commitment and support over the past 12 months. 3 Chief Executive’s Report (see Appendix 1) The meeting received the Chief Executive’s report. 4 Audited Annual Accounts The Independent Director for Finance, Ryan Wilkinson (RW) presented a financial overview (see Appendix 1) including a summary of the audited income and expenditure accounts for the year to 31 March 2011. This indicated a healthy position, the approved reserves policy target being substantially met. RW highlighted an amendment to the printed Annual Report and advised that an addendum would be circulated. By unanimous vote, the members accepted the audited Annual Accounts. Completed by JB on 22 Nov 2011, reviewed by SMS on 3 Dec 2011, distributed to the Board and Delegates on 5 Dec 2011 and agreed on 12 Dec 2011 5 Appointment of Auditors RW advised that due to work in implementing partial exemption of VAT it had been decided not pursue a tender process for the appointment of Auditors. It was advised that this would be undertaken next year. Approval for reappointment of Haysmacintyre as the Federation’s Auditors was requested. SMS expressed thanks to Ryan Wilkinson. 6 Items of Special Business 6.1 The Board had submitted an amendment to the Articles of Association of the British Triathlon Federation to: Alter the Company’s Articles of Association by deleting the number ‘5’ from the first line of Regulation 32 and replacing it with the following words; .’. 50% of the total number of Board members at the time of the meeting (which shall for the avoidance of doubt include any co-opted directors)’.. Proposer: Dean Hardie Seconded: Geoff Earl Carried unanimously. 6.2 Triathlonscotland had submitted an item of special business to ... “agree that from 1 April 2012 Youth and Junior members of the Home Nations are excluded from the British Triathlon Federation £6.00 non-Olympic levy”. Geoff Earl explained the rationale behind the proposal. ZHP advised that after consideration of the implications of the proposal the BTF Board presented the following amendment for consideration: “That a working group be established comprising representatives of all three members, plus the CEO of British Triathlon, to review the financial model for affiliation for senior members of the Home Nations with a view to continued financial sustainability of the whole sport. This group should report back to the member Boards and the British Triathlon Federation Board by April 2012. By unanimous vote, the members approved firstly the amendment to the item of special business and then the item of special business.
