Adjournment MEMORANDUM FOR IMMEDIATE RELEASE FROM: Pat Lion, Vice Chair (Acting Chair) City of the Village of Douglas Downtown Development Authority (DDA) DATE: 7 May 2020 SUBJECT: DDA REMOTE MEETING SPECIAL PROCEDURES At the direction of the City of the Village of Douglas staff and in accordance with similar action taken by City Council, the City of Douglas Downtown Development Authority (DDA) Board adopted the following Remote Meeting Special Procedures for all remote meetings of the DDA, during the Special Meeting of the Board, held remotely on April 15, 2020. CITY OF THE VILLAGE OF DOUGLAS REMOTE MEETING SPECIAL PROCEDURES The following guidelines shall be in-place to assist and manage public attendance and participation in remote (online and telephone), electronic meetings of the City of the Village of Douglas, Michigan. 1) City Staff shall be available to assist the public to make reasonable accommodations for those with disabilities and/or the hearing impairment to attend and participate without impediment. 2) For the purpose of carrying-out remote meetings, a staff member will act as "administrator" to manage all content, access, video, audio, chat, "gesturing," recording, visual, and screensharing controls. 3) For the purposes of preserving the agenda and integrity of the meeting, the meeting "administrator" shall assist the chairperson in moderating audio/microphone controls of participants, building a speaker list of those wishing to comment while limiting public microphone access to "public comment"/"public participation" periods of the meeting, as published. 4) Online attendees/participants shall indicate their desire to speak on an agenda item or topic by using "gesturing" controls (i.e. Raise Hand, Thumbs Up, etc.), using the chat window, or by voice. All microphones will be temporarily unmuted for a brief period of time at the beginning of all "public comment"/"public participation" periods of the meeting so those joining by telephone or those participants who are audio-restricted may indicate they would like to be added to the speaker list. The chairperson and meeting "administrator" will share the responsibility of building and managing the speaker list, recognizing each speaker individually and toggling microphone controls so all speakers on the list may be heard. 5) Lewd, profane, hostile, aggressive, racist/discriminatory, disruptive, or otherwise obstructive behavior by attendees/participants will not be tolerated. The City and meeting "administrator" reserve the right to warn, limit, restrict, and remove any content or participants in violation of the of this directive. 6) All "public comment"/"public participation" periods of the meeting will be concluded after the chairperson/meeting "administrator" has: a) exhausted the speaker list b) responded to any outstanding "gesturing" c) answered any outstanding requests to speak as indicated in the chat window, and d) after a final call for any additional or remaining public comments as indicated by voice. All microphones will again be temporarily unmuted at that time. 7) The City shall record and make available to the public in a reasonable timeframe all content of all remote meetings of Council and public board/commissions for the public record, online and at individual request in electronic format. Minutes - DRAFT Downtown Development Authority (DDA) City of Douglas 86 W Center Street, Douglas, Michigan 49406 Monday, February 22, 2021 3:00 pm Remote Meeting 1. Call to Order: Reyes called the meeting to order at 3:15 P.M. Remote meeting special procedures were set into place. 2. Roll Call / Quorum – Present: Ramsey, Walker, Laakso, Reyes, Seabert, Lion Absent: Kettlewell Also Present: Planner Wikar, Deputy Clerk Howell 3. Approval of Agenda – Changes / Additions / Deletions: a. Remote Regular Meeting, February 22, 2021 Motion by Laakso, with support from Lion, to add Dick Waskin’s written correspondence to 5cii3 of the Agenda. Motion by Lion, with support from Ramsey, to approve the Agenda as amended. Motion carried unanimously by roll call vote. 4. Approval of Minutes: a. Remote Organizational Meeting, January 25, 2021 Motion by Seabert, with support from Laakso, to approve the minutes as amended. Motion carried unanimously by roll call vote. b. Remote Workshop, January 26, 2021: Seabert - Name is not included as present at Workshop Meeting. Motion by Seabert, with support from Walker, to approve the minutes. Motion carried unanimously by roll call vote. 5. Officer Reports a. Treasurer (D. Laakso): For the month of January, there was a TIF capture of $3,124.82 and an expense of $4,550.00 for allocation of support staff for 7 months. This will be $650 per month from now on. Year-to-date net income is $25,706.47, with a net loss of $1,425.18. There is one invoice outstanding for $675 for an Art on Center advertisement. The end of January cash amount is either $161,000 or $166,000. Laakso will look into getting the correct amount. b. Vice Chair (R. Walker): Plans to observe until gets a better grasp of things. c. Chair (H. Reyes): i. Officer (Secretary and Board Vacancies) ii. Written Communications 1. John Thomas, “DDA request,” 02-15-2021: Reiteration of what he has said in the past regarding the sign progress. He proposes the idea of covering the surface of the sign with vinyl photographic images which can be changed out from time to time. He has been invited to join DDA meetings and to get involved more than written communication. 2. Rich LaBombard, “Put Your Town on the Map Pitch Competition 2021 – Consumers Energy & CEDAM,” 02-15-2021: Motion by Lion, with support from Walker, to move this topic to 8e, under New Business. Motion carried unanimously by roll call vote. 3. Dick Waskin’s Communications: A series of emails back and forth with City staff in regard to future development proposals for 112 W. Center Street and, also, the lack of a DDA website. 6. Public Communications: Dick Waskin – Has 112 W. Center St. listed for sale. The previous owners’ use of the building is now considered by the City to be non-conforming use for Center Street. Wondering if the DDA can help with encouraging what potential buyers can do with it, to help solicit new buyers into the downtown. Hoping to get this on a future DDA agenda so we can talk about it. 7. Unfinished Business a. Pride 2020 Deficit (D Laakso) : A future meeting is going to take place with Dave Laakso, Neal Seabert, City Manager LaBombard, and Patsy Ramsey, and Treasurer Smith to discuss this. b. Art On Center – 2021 Funding Appeal, Krista Reuter (H. Reyes): Reyes explained that Krista Reuter provided a breakdown of the costs for advertising for 2021/2022. Ramsey proposed tabling the second part of the funding request until the DDA does the budget and then respond to AOC on this. Motion by Seabert, with support from Ramsey, to extend the meeting another 30 minutes. Motion carried by unanimous roll call vote. 8. New Business a. Douglas Park Project Presentation on 2021 MEDC Crowdfunding Grant – Beery Field Playground Equipment Update, Anna Gregg (H. Reyes): Anna Gregg gave a brief history of the formation of the Douglas Park Project. The group is seeking an MEDC grant with matching donations to pay for new playground equipment and is asking the DDA to get the word out and fiscally support the project. The DDA will talk about how it can support the group and will stay in contact. b. FY 2021 – 2022 Budget & TIF Goals Discussion (N. Wikar): In anticipation of setting budget goals for next year, the members of the DDA are to look over the Tier 1 and Tier 2 projects in the TIF plan, and email to Reyes what they consider to be the three most important projects to accomplish, along with ideas on how to pay for them. c. Douglas Socials – West Michigan Blue Star Chamber of Commerce, Barb Burmeister (H. Reyes): The DDA had previously talked about handing over the Douglas Socials to West Michigan Blue Star Chamber, but there is concern that they want to use the Socials as a way to help the merchants.
