Polskie Koleje Państwowe Spółka Akcyjna was established on 1 January 2001 as a result of the commercialization of the Polskie Koleje Państwowe SOE and entered into the rights and obligations of its predecessor. On the basis of the Polskie Koleje Państwowe SOE a number of companies were established in 2001 in the areas of: railway passenger transport; freight transport; railway infrastructure management; in addition, the following entities were established: • nine companies providing services for infrastructure renovations and repairs; • two companies dealing with rolling stock repairs; • three companies operating in secondary areas, such as training, pharmacy and supplies; • five companies operating in other areas related to railway services. The PKP Group 2016 About the PKP Group 4 As the result of the ownership changes, including privatization and restructuring in 2016 the PKP Group consisted of: Polskie Koleje Państwowe Spółka Akcyjna – the Parent Company in the PKP Group; PKP Intercity S.A. and PKP Szybka Kolej Miejska w Trójmieście Sp. z o.o. (also being the infrastructure manager of No. 250 Urban Line) – the passenger transport operator; PKP CARGO S.A. and PKP Linia Hutnicza Szerokotorowa Sp. z o.o. (also being the infrastructure manager of No. 65 Line – a broad-gauge line) – the freight transport operator companies; PKP Polskie Linie Kolejowe S.A. – the company managing the national railways infrastructure; PKP Informatyka Sp. z o.o. – the IT company – service supplier for railway sector; Xcity Investment Sp. z o.o. – the real estate development company; PKP Budownictwo Sp. z o.o. – the construction company (telecommunications objects and systems); CS Szkolenie i Doradztwo Sp. z o.o. (training), Drukarnia Kolejowa Kraków Sp. z o.o. (printing house), Natura Tour Sp. z o.o. (travel). The PKP Group 2016 Scheme of the PKP Group 5 The PKP Group 2016 The Main Companies of the PKP Group: PKP S.A. 6 The Company plays a dominant role in the PKP Group, being responsible for: management of the capital group; owner supervision over the PKP Group Companies; management of its assets; provision of railway workers’ medical services. PKP S.A. manages and administers tens of thousands of residential and non-residential properties, including railway stations and adjacent premises. The Company is continuing the process of enfranchisement of the land held for sale, undertakes the preparation of the property to provide for an in-kind contribution to subsidiary companies and rents out the railways properties for commercial purposes. As manager and administrator, PKP S.A. implements a comprehensive investment program of revitalization and modernization of railway stations. The Company is responsible for: ensuring the optimal safety level; ensuring reliable services; environmental protection; making available the railway lines network to the railway passenger and freight operator on an equal basis; providing high quality information on railways passenger traffic; acting towards increased accessibility, attractiveness and reliability of the railway transport. More info: www.plk-sa.pl The PKP Group 2016 The Main Companies of the PKP Group: PKP CARGO 8 The PKP CARGO and other Companies of the PKP CARGO Logistics Group provide freight railway transport services and additional services including: intermodal services; freight forwarding (domestic and international); terminals (trans-loading and storing goods at the junctions of broad and standard-gauge tracks on Poland’s eastern border and in other key locations around the country); siding services; rolling stock maintenance and repairs. PKP CARGO is the market leader in Poland in terms of market share, despite a strong competition (66 registered operators). It is also the first European railway company to be listed on a Stock Exchange (the most successful IPO on Warsaw Stock Exchange in 2013, worth USD 440 mm), and the second largest rail freight operator in the European Union in terms of transport performance (according to Eurostat data). Currently, PKP CARGO has security certifications, that allow for the provision of independent railway transport services on the territory of the Czech Republic, Slovakia, Germany, Austria, Belgium, the Netherlands and Hungary. The Company’s domestic offer includes: Express Intercity Premium (EIP) service – commenced on December 14, 2014 – the first in CEE fast train service (200 km/h), operated by ED250 trains (Pendolino), connecting Warszawa with Gdańsk Trójmiasto, Kraków, Katowice, Rzeszów and Wrocław. In addition the Pendolino trains are in operation on the routes to Kołobrzeg, Jelenia Góra, Bielsko Biała, Gliwice and Rzeszów. More info: www.intercity.pl The PKP Group 2016 The Main Companies of the PKP Group: PKP LHS 10 PKP LHS – the broad-gauge freight company is responsible for: management of the broad-gauge No. 65, 400 km long railway line’s infrastructure, including railway stations’ infrastructure and buildings and structures located along the line; carrying out freight transport within the traction service; providing of additional services associated with freight transport. The Company manages and carries out transport based on the LHS line, which is Poland's longest broad-gauge railway freight line (1,520 mm track gauge) connecting Polish-Ukrainian rail border with Sławków Euro Terminal in Śląsk. The Company’s objectives also include carrying out regional passenger railway transport on other railway lines in Pomorskie Province. The transport is carried out under the agreement concluded with the Local Government of the Pomorskie Province, the public administration body responsible for the organization and financing of regional passenger railway transport as part of its duties to provide public services. This includes the development of application software (systems and applications), especially for the PKP Group Companies (both railway and railway-related companies), as well as maintenance services, including direct maintenance of systems and applications and technical support services. Additionally, the Company provides services in the area of co-location, hosting, web services, computer hardware service, structured cabling and operates throughout the country. In cooperation with external partners it redefines railway properties in centres of Polish cities. Xcity Investment’s core business is to pursue investments that change the surroundings by creating resident-friendly development projects, building new railway stations and conducting office, retail, residential and hotel projects. The examples of the largest investments are: Construction of Warsaw West Station office complex, or managing and reshaping the areas of Warszawa Gdańska, Gdynia’s Międzytorze and Bosacka Street in Kraków.
