Financial Strength As a Berkshire Hathaway company, NetJets has the unmatched resources and commitment to invest in whatever is necessary to provide the safest and most reliable private aviation service available. General Requirement Services provided to NetJets must adequately support our operations 24 hours a day, 7 days a week, 365 days a year (24/7/365). These include, but are not limited to: Sufficient staffing in Reservations and Operations departments to support NetJets requests. Staffing during all hours should be at a level sufficient to provide NetJets with expected service and minimal wait. Continual monitoring of the NetJets Vendor Web Access (VWA), also known as “Crossroads”, 24/7/365. 1. The VWA must be used for all Owner (NetJets’ clientele) reservations. 2. The VWA must be used for all employee and Owner invoicing to the NetJets’ Owner direct bill account. Continual monitoring of Global Distribution System (GDS) reservation system, currently Sabre 24/7/365 for all NetJets employee reservations. When providing service through an affiliate network, affiliates should meet all NetJets requirements. The Vendor shall provide the same product and services for the servicing of NetJets Owners and NetJets Employees Confidential Information of Client shall remain the exclusive property of Client. The Company shall use Confidential Information provided by the Client solely in the performance of its obligations hereunder. Any other use of Confidential Information shall be prohibited without the express written consent of the Client. The Company shall receive Confidential Information in confidence and shall not disclose Confidential Information to any third party, except (i) under court order, (ii) as required by applicable law, or (iii) as may be necessary to perform its obligations under this Agreement, and only to the extent that such third party agrees in writing to the restrictions of Section 9 with respect to such Confidential Information. Upon request or upon termination of this Agreement, the Company shall return to Client all Confidential Information in its possession in hard copy, magnetic, or electronic form. The term “Confidential Information” shall, for the purposes of this Agreement, mean without designation, Client 3 processes, forms, and materials developed prior to the date of this Agreement, its customer and employee information, Client’s customers’ personal, family and travel information, preferences and customs, home addresses and information and conversations overheard while the Company is providing transportation services. Confidential Information shall also include any other information designated by Client as “confidential”; provided, however, that Confidential Information shall not include any information in the public domain or generally available to the public, any information developed by a party on its own and without the assistance of the other party, or information available to a party from a third party unrelated to the activities of the parties under this Agreement and who is not under any obligation to refrain from releasing or disclosing such information. Breach of Confidential Information can be considered grounds for immediate contract termination. The Company shall have each of its officers, directors, employees, Contractors who provide transportation services hereunder and their employees execute a confidentiality agreement consistent with the provisions of this paragraph. The Company shall be responsible for a breach of this paragraph by any of those parties. The parties agree that under no circumstances shall either party be liable to the other for indirect, punitive, incidental, consequential, special, exemplary damages, or diminution of value of the Vehicle following any loss. The limitation of liability shall remain in effect whether in contract or tort (including strict liability and negligence) including, but not limited to, loss of revenue, loss of use or anticipated profits. The limitations of this paragraph shall have no application to a breach of Part d above or to a claim of for indemnification attributable to a third party claim for damages caused by the other party hereto. Certifications The Vendor will operate in compliance with all federal, state, county, local and Port Authority (if applicable) requirements and regulations. Operational Reviews/Quality Checks Vendors are subject to NetJets operational reviews. These reviews will involve safety, management and customer service related functions and they integrate with the operation of general aviation aircraft. It is imperative the Vendor makes available the appropriate personnel, equipment, facilities and information required for completion of the review. The review will be scheduled in advance and will be conducted at a time that is convenient for both parties. 4 Safety The Vendor/Driver will follow both their company and NetJets “Safety First” philosophy. The Vendor will have and follow a safety standards policy and will make this available to NJ if requested. Accident Reports – In the event there is an accident involving a NJ Owner or Employee, the Vendor will immediately contact NJ and convey all necessary and requested information. If requested a written report of the accident must be received with 48 hours following the incident. A copy of the official report (i.e.: police accident report if applicable) must be included. Duty Time – The maximum time that a driver will be on-duty will be 14 hours, unless the driver has had 8 hours of uninterrupted rest during the 14 hour period. The driver is expected to be alert and in control at all times. If the driver feels fatigued or sleep deprived, they must immediately contact their dispatcher and request a replacement driver. The Vendor is responsible for providing or replacing the driver at no additional cost to NJ. Insurance/Indemnity/Compliance Indemnify and Hold Harmless The Vendor, their contractors or agents, shall indemnify and hold harmless NetJets, Inc., its parent, subsidiary and affiliated companies, including their respective directors, officers, employees, charter customers, and agents, from any and all liabilities, damages, obligations, losses, including costs and expenses, during or after, due to, in connection with or in sequence of the performance or non-performance of work under this agreement, unless caused by the willful misconduct of gross negligence of NetJets, Inc. General Liability Insurance The Vendor shall, without expense to NetJets Services, maintain at all times during the term of this business relationship, with insurers of recognized reputation, responsibility and having at least an A.M. Best rating of an A or better, Comprehensive General Liability insurance against Third Party
