Tailor to your requirement and agency policy</p><p>Task Order [Insert TO Number] Modification [Insert Mod Number] Page 2 of 2</p><p>Contractor represents and warrants that it has completed all performance obligations required under the Task Order; including but not limited to providing the Government with all required deliverables, reports and any other information that may have been required under the Task Order.</p><p>In consideration for Contractor’s performance under the Task Order, Contractor acknowledges and agrees that it has received valuable consideration totaling [Insert Total Dollar Value] for discharging its performance obligations under the Task Order. Contractor hereby agrees to release and discharge the Government from any and all further performance obligations under the Task Order, whether such performance obligations are currently known or unknown, and that the valuable consideration actually received by the Contractor from the Government constitutes full and complete accord and satisfaction of all performance obligations that the Government may have under the Task Order.</p><p>The Government specifically does not waive, or release from liability, the Contractor (or any of the Contractor’s subcontractors, officers, employees or agents) for any rights that the Government may have arising out of the Task Order, including, but not limited to any rights which by their nature would survive expiration/termination of the Task Order; such as post-acceptance warranty claims, ability to audit the Contractor’s books and records and then seek to collect from the Contractor any amounts overbilled, or issues relating to fraud, or any.</p><p>This bilateral modification constitutes the entire agreement between the parties with respect to the closeout of the Task Order, and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. No amendment or modification hereto shall be binding unless in writing and signed by the parties.</p><p>2</p>
