<p>Supreme Court of Appeal of South Africa</p><p>MEDIA SUMMARY – JUDGMENT DELIVERED IN SUPREME COURT OF APPEAL</p><p>From: The Registrar, Supreme Court of Appeal</p><p>Date: 24 March 2006</p><p>Status: Immediate</p><p>Please note that the media summary is intended for the benefit of the media and does not form part of the judgment of the Supreme Court of Appeal</p><p>D & H PIPING SYSTEMS (PTY) LTD v TRANS HEX GROUP LTD AND ANOTHER</p><p>The SCA today declared that Trans Hex Group Ltd (which trades as Cape Lime) was liable to D & H Piping Systems (Pty) Ltd (which trades as Rocla) for any consequential loss the latter may have suffered in consequence of alleged latent defects in sand and aggregate supplied to it by Trans Hex.</p><p>D & H Piping Systems used the sand and aggregate to manufacture concrete pipes for a company in the Stocks group. The pipes allegedly failed because of latent defects in the sand and aggregate from which they were constructed. D & H Piping Systems claimed that in consequence it incurred liability to Stocks for more than R13m, which it claimed from Trans Hex. The SCA held that Trans Hex had manufactured the sand and aggregate and that because it was a 2</p><p> manufacturing seller it did not have to possess skill to be liable for consequential loss. The court further held that Trans Hex’s general terms and conditions, which excluded liability for consequential loss, did not form part of the contract between the parties despite a prolonged course of dealing between them. The basis of the decision was that the exclusion clauses were contained in invoices and delivery notes which were not the type of documents in which a reasonable person would expect to find contractual terms. Because they did not come to the attention to anyone authorised to represent D & H Piping, it was not bound by them.</p><p>--ends--</p>
