Oversea-Chinese Banking Corporation Limited ("OCBC") has agreed to grant to [insert name of Borrower] credit facilities ("the Facilities") on the terms and conditions of OCBC's Facility Letter dated [] ("the Facility Letter"). </p><p>2. It is a condition of the Facility Letter that the Facilities are to be guaranteed by the Company.</p><p>3. A sample of the guarantee (“the Guarantee”) to be provided by the Company is annexed to this resolution and marked “Annexure A”. </p><p>IT IS RESOLVED THAT:</p><p>1. It is in the commercial interests of the Company to provide the Guarantee to OCBC.</p><p>2. The Company do provide the Guarantee in the form set out in Annexure A.</p><p>3. The Company’s obligations and liabilities under the Guarantee shall remain valid and binding notwithstanding any revision or supplement to the Facility Letter or any increase in, revision or restructuring of the Facilities.</p><p>4. Any Director or such person/s as authorised by the Company be and is/are hereby authorised on behalf of the Company:-</p><p>(a) to sign the Guarantee and all other documents in connection with, incidental or ancillary to the Guarantee and to approve any amendment, alteration or modification to the same; and</p><p>(b) to exercise all discretion and to do all acts and things necessary or expedient in relation to the Guarantee and to give effect to all other matters referred to in these resolutions.</p><p>5.
