<p>Chairman Update 23/11/2016</p><p>To accompany AGM agenda.</p><p>1. As stated within our articles of association, Badminton Wales is manged by the Board of Directors which shall consist of five Directors elected by the Members and three skills and remit based Directors appointed by the Directors.</p><p>2. In October 2016, Hefin Archer-Williams thanked the Board for his time as Chairman and proposed he stand down following becoming a father and having less time to attend to Badminton Wales matters. A new chair was voted in by the Board as per point 3.</p><p>3. In order to govern the Company effectively the Company requires the Board to hold specific skills and experience. The Board currently comprises of the following persons with identified main skill set:</p><p>Kerry Ann Sheppard, Chair – Business Development and Operational Excellence (elected) Catherine McCluskey, Vice Chair – Sports Development and Coach Education (elected) Ann Bevan – Performance Sport (appointed) Catrin Devonald – Communications (appointed) Hefin Archer-Williams – Legal (elected) Geraint Morgan – Finance (elected) James Thomas – Business Continuity & Risk (elected)</p><p>4. As a Board, we have identified a need to appoint or elect a Director with Human Resource skills and experience. </p><p>5. Geraint Morgan’s term for holding office is coming to an end. Geraint has decided not to stand for re-election and therefore the Board seek to elect or appoint a Director with appropriate finance skills and experience. We thank Geraint for his service to the Board and the Company.</p><p>6. Hefin Archer-Williams’ term for holding office is coming to an end. The Board are supportive of Hefin’s decision to stand for re-election and continue to hold the role of Director with Legal skills and experience.</p><p>7. James Thomas has served Badminton for more than two decades and has been a valued contributor to the Board for more than 15 years. James has decided not to stand for re-election. We thank James for his service and contribution.</p><p>8. Badminton Wales have published two role profiles on the website; Finance and Human Resource Non-Executive Director positions. We invite applicants to send their interest by 12 December. Full information on how to apply is available on the role profiles.</p><p>9. On receipt of applications, profiles of applicants will be distributed to Members (as defined in the articles of association) in advance of the AGM.</p><p>10. A vote will be held during the AGM for the election of new Board Directors.</p><p>11. Where the Board is unable to fulfil the role of Finance and/or Human Resource skillset and experience we would seek to appoint on a 1 year term as per the articles of association.</p><p>12. We thank Rod Chambers, Badminton Wales’ President for his service and contribution to the sport. Rod has been a valued and committed figure in the sport for many years. </p><p>13. We invite nominations for the role of President and more information is set out within the role profile on Badminton Wales’ website by 12 December. As per the articles of association, nominations must be made by a Member and seconded by a Member. </p><p>14. During the AGM on 29 January 2017 we will hold a vote to elect Badminton Wales’ President.</p><p>Kerry Ann Sheppard</p>
