INVITATION TO TENDER The Fort Vermilion School Division No. 52 invites tenders for the Annual Certification of Fire Extinguishers for 14 schools, 3 shops, administration building and approximately 77 housing units. The successful bidder will agree to perform the certification of fire extinguishers at each location as specified in the contract documents: SOUTH AREA NORTH AREA • Blue Hills Community School • High Level Public School • Buffalo Head Prairie School • Florence MacDougall Community • Ridgeview Central School School • Sand Hills Elementary School • Spirit of the North Community • La Crete Public School School • Hill Crest Community School • Rainbow Lake School • Fort Vermilion Public School • Zama City School • St. Mary’s Elementary School • Rocky Lane School • La Crete Bus/Maintenance Shop • High Level Shop • Fort Vermilion Warehouse • 44 school board housing • 33 school board housing • Rocky Acres Site • Central Office • High Level Learning Store • La Crete Learning Store • Bear Necessities Store • Fort Vermilion Learning Store • Northern Home Education Inspection and/or testing and recharging shall be in conformance with the Alberta Fire Code 2014 (AFC 14) and NFPA 10 “Standard for Portable Fire Extinguishers”. Bids are to be submitted in a sealed envelope marked “Annual Certification of Fire Extinguishers - 2019 to the undersigned no later than April 5, 2019 at 2:00 pm. Box 1331 La Crete, AB T0H-2H0 FORT VERMILION SCHOOL DIVISION NO. 52 FORT VERMILIONSCHOOL DIVISION NO. 52 Section 00761 MAINTENANCEDEPARTMENT GENERAL CONDITIONS Page 1 of 8 1. CONTRACT DOCUMENTS .1 The "Contract Documents" consist of: the Letter of Acceptance; the executed Bid and Contract Form, the General Conditions, Supplementary Conditions when used, those parts of the Bidding Requirement documents having application during performance of the Contract; Drawings; Schedules; such other documents as may be identified as Contract Documents, and amendments thereto made in accordance with provisions of the contract. .2 The School Board, in the first instance, shall decide on questions arising under the Contract Documents, interpret requirements therein, and judge performance thereof. 3 The Contract Documents are complementary, and what is required by any one shall be as binding as if required by all. 2. ASSIGNMENT .1 The Contractor shall not assign the Contract, either in whole or in part, nor shall he sublet the Contract as a whole, without previous written consent of the School Board, which consent shall be at the School Board's sole discretion. .2 The School Board shall not be bound by any assignment by the Contractor of any monies payable or to become payable to the Contractor under the Contract, without the written consent of the School Board, which consent: .1 will not be given for a general assignment of book debts, but .2 may, at the School Board's sole discretion, be given for a specific assignment of all or part of monies payable to the Contractor under the Contract. .3 The School Board reserves the right to assign this Contract, in whole or in part, to any person, firm or corporation, subject to the Contractor having been given 30 day written notice of the School Board's intention to make an assignment. 3. SUBCONTRACTS .1 The School Board will recognize the Contractor only. Nothing contained in the Contract Documents shall create any contractual relationship between any subcontractor and the School Board. .2 The Contractor agrees to bind every subcontractor by the terms of the Contract Documents, as far as applicable to the performance of the Contract. PROTECTION OF WORK AND PROPERTY .1 The Contractor shall take reasonable precautions necessary to protect the School Board's property from damage during the performance of the Contract and shall make good any damage to the School Board's property caused by the Contractor or any of its subcontractors during the performance of the Contract. 5. INDEMNIFICATION .1 The Contractor shall indemnify and hold harmless the School Board, its employees and agents, from any and all claims, demands, actions and costs whatsoever that may arise, directly or indirectly out of any act or omission of the Contractor, his employees or agents, in the performance of the Contract by the Contractor. Such indemnity shall survive completion or termination of the Contract. .2 The School Board shall not be liable nor responsible for any bodily or personal injury or property damage of any nature that may be suffered or sustained by the Contractor, his employees or agents in the performance of the Contract. 6. INSURANCE REQUIRMENTS .1 Without restricting the generality of Article 5 and without limiting his obligations or liabilitics under the Contract, the Contractor shall provide, maintain and pay for following minimum insurance coverage in forms and amounts acceptable to the School Board: .1 Comprehensive or Commercial General Liability Insurance with limits of not less than $2,000,000.00 inclusive per occurrence, insuring against bodily injury, death and property damage. Such insurance shall include blanket written contractual liability and broad form property damage endorsement. .2 Automobile Liability Insurance on all vehicles owned, operated or licensed in the name of the Contractor with limits of not less than $2,000,000.00. .2 The Contractor shall provide the School Board with proof that comprehensive or commercial liability insurance coverage are in effect and meet specified conditions. Such proof shall be in the form of a certificate of insurance submitted prior to commencement of activities under the contract. REGULATORYREQUIREMENTS .1 The Contractor shall comply with all laws, ordinances, rules, regulations, orders, codes and other legally enforceable requirements applicable to the performance of the Contract. .2 The Contractor shall apply and pay for necessary permits or licenses required for the performance of the Contract. .3 The Contractor shall comply with the Occupational Health and Safety Act and regulations issued pursuant thereto. .4 The Contractor shall comply with the Workers' Compensation Act of Alberta and all regulations thereto, when the & applies to the operations of the Contractor, and shall upon demand by the Board deliver to the Board's representative a certificate from the Workers' Compensation Board showing that the Contractor is registered and in good standing with the Workers' Compensation Board. Failure to provide a certificate of good standing upon request may result in termination of the contract. 8. CLEANING .1 The Contractor shall keep the assigned area of property free from accumulations of waste materials resulting from the performance of the Contract. 9. MATERIALSAND EQUIPMENT .1 Unless otherwise specified, the Contractor shall provide, maintain and pay for all materials, tools, machinery, equipment, temporary facilities, controls and conveniences necessary for the performance of the Contract. 10. LABOUR .1 Unless otherwise specified in the Contract Documents, the Contractor shall provide and pay for all labour necessary for the performance of the Contract. .2 Persons employed in performance of the Contract shall be skilled in and competent to properly perform the tasks assigned to them and, when required by laws, rules, regulations or the Contract Documents, qualified to do so. .3 Subject to the above, labour from the locality where the Contract is being performed shall be employed to the full extent to which it is available, consistent with proper economy and the expeditious performance of the Contract FORT VERMILIONSCHOOL DIVISION NO. 52 Section 00761 MAINTENANCEDEPARTMENT GENERAL CONDITIONS Page 4 of 8 11. INDEPENDENT CONTRACTOR .1 The Contractor agrees and shall ensure that wages, hours of work and other conditions of employment of all persons employed by the Contractor and any subcontractor in the performance of any required part of the Contract shall be in compliance with the requirements of the Alberta Employment Standards Act, the Alberta Labour Relations Act and any other applicable law, rule, regulation or order of the Government of Alberta. .2 The Contractor is an independent contractor for the purposes of this contract and shall not be deemed to be a servant, employee, or agent of the Board. 12. DEFECTIVE SERVICES .1 "Defective Services" means services, including materials and equipment used or provided by the Contractor in the performance of the Contract, which are, in the School Board's opinion, unsatisfactory, faulty or deficient, or do not conform to the Contract Documents. .2 If, at any time, the School Board notifies the Contractor of Defective Services, the Contractor shall promptly rectify such Defective Services and render acceptable services. 13. SCHOOL BOARD'S RIGHT TO TERMINATE .1 If the Contractor should be adjudged bankrupt, or becomes insolvent, the School Board may, without prejudice to any other right or remedy he may have, by giving the Contractor or receiver or trustee in bankruptcy 14 days written notice,
