<p> Lion Group Inc. Established as New Parent Holding Company</p><p>Effective January 1, 2015, LION completed a corporate reorganization of its legal entities. This realignment of the company, authorized by the company’s directors, established a new holding company structure. </p><p>Under the new structure, Lion Group, Inc. is the new parent holding company for a group of new sub-holding and operating companies. </p><p> Lion Group, Inc., functions as the new parent entity of the LION corporate enterprise, with ownership of all Lion subsidiaries.</p><p> A new entity called Lion First Responder PPE, Inc. manufactures the first responder protective clothing, uniforms and safety products sold under the brand name LION. </p><p> LION TotalCare continues to provide the PPE cleaning and repair services.</p><p> Bullex and Haagen continue to operate under their respective brand names.</p><p> LION Vallen Limited Partnership (LVI) continues to operate under the LVI brand. </p><p>The company's charter, bylaws, board of directors and officers, all remain essentially unchanged other than some minor updates.</p><p>LION’s CEO Steve Schwartz commented that "Our former legal structure was based on the legacy corporate format and was out of date. We realized that we needed to re-align our legal structure to reflect the current operational activities of our three business divisions," Mr. Schwartz said. "We made this change to ensure our structure can accommodate future growth both domestically and internationally.
