<p> Transmission of Delivery Schedules per email Agreement (the "Agreement")</p><p> dated </p><p> between</p><p>Draexlmaier (Shenyang) Automotive Components Co.Ltd. No. 6 WenGuan Street DaDong District CN-110045 Shenyang China</p><p>-the "Buyer" -</p><p> and</p><p>-the "Supplier" -</p><p>- together known as the "Parties"-</p><p>Supplier has requested that Buyer, and any Affiliated Companies as defined below, transmit Delivery Schedules exclusively per email instead of per DFU/EDI or facsimile. </p><p>The Parties have agreed on the following conditions:</p><p>1. Basic Information</p><p>Supplier Number: </p><p>Supplier's Contact Person:</p><p>Transmission frequency: generally once a week, in case of alterations several times a week</p><p>Supplier's only PDF per Email Preferred notification format: PDF and XML per E-Mail</p><p>Preferred Delivery Schedule language: German English</p><p>Dedicated Supplier's Email address to receive Delivery Schedules:</p><p>(Please Note: The email address listed above may not exceed 50 characters. Buyer's Obligations</p><p>The Buyer, and/or the Affiliated Companies as defined below, shall send all series Delivery Schedules in the preferred format to the Supplier's dedicated email address listed above. The following are the Buyer's affiliated companies ("Affiliated Companies") that are subject to this Agreement:</p><p>DAC Dräxlmaier (Shenyang) Automotive Components Co.Ltd., No. 6 WenGuan Street DaDong District, CN- 110045</p><p>Before the Buyer will start emailing Delivery Schedules, Supplier must send a copy of this Agreement to the following email address [email protected] and send the original Agreement to </p><p>DEC Dräxlmaier (Benxi) Automotive Electrics Co.Ltd Dept. Material planning No. 1 Draexlmaier Road Part C of Xiaoshi Industry Area CN-117100 Xiaoshi </p><p>3. Supplier's Obligations </p><p>Supplier shall ensure that it has the necessary IT infrastructure that allows the Buyer to send Delivery Schedules per email. The Supplier shall ensure that the dedicated email address is capable of receiving Delivery Schedules from the Buyer seven (7) days a week, twenty-four (24) a day. </p><p>Supplier shall constantly monitor the dedicated email address Monday through Friday for receipt of Buyer's Delivery Schedules. Supplier shall process Delivery Schedules no later than one (1) business day after receipt. </p><p>Supplier shall give the Buyer thirty (30) days written notice of any change in the dedicated email address. The written notice must be sent to: [email protected]. No changes to the dedicated email address can be undertaken without Buyer's express written consent that shall not be unreasonably withheld.</p><p>If Supplier breaches any of the above listed obligations, it shall fully compensate Buyer, and/or any Affiliated Company for any and all damages as per the Global Supplier Manual.</p><p>4. Global Supplier Manual</p><p>Notwithstanding the provisions contained herein, all applicable provisions of the Draexlmaier Group's Global Supplier Manual, and its Appendices shall be controlling and remain in full force.</p><p>7. Governing Law, Jurisdiction, Venue</p><p>The terms of this Agreement shall be governed by and construed in accordance with the laws of the country (and state/province, if applicable) of the Buyer and/or Affiliated Company's principal place of business as listed above. The terms and conditions set out in the United Nations Convention for the International Sale of Goods (CISG) are hereby expressly excluded.</p><p>8.
