<p> CON 08 111j (v 1.0)</p><p>CONFIDENTIAL AND SUBJECT TO CONTRACT</p><p>HEADS OF TERMS FOR A LEASE OF AN INTERNAL CHAMBER AND EASEMENTS AT –</p><p>LESSOR – and</p><p>UKPN – [ ] POWER NETWORKS PLC</p><p>1. PAYMENT Upon completion of the Lease, the Lessor will receive the consideration of £1.00 [an annual rental of a peppercorn] </p><p>2. LOCATION OF LAND TO BE LEASED The substation chamber situate on the [ ] floor and shown coloured pink on the plan. </p><p>3. TERM OF LEASE 99 years commencing on the date of the lease. </p><p>4. EASEMENTS TO BE GRANTED TO UKPN The Lessor shall grant to UKPN the following rights: - Access over the land shown coloured blue and brown on the plan - To lay use maintain and supplement electric lines under the land shown coloured brown and yellow on the plan - To open any gates or doors in the substation chamber outwards over the Lessor’s adjoining land/building - To use such hoists, cranes and other lifting equipment over the Lessor’s adjoining land as may be necessary in connection with the installation or removal of apparatus in the substation chamber - To install dual locking facilities on any gates doors or barriers across the Lessor’s adjoining land</p><p>1 CON 08 111j (v 1.0)</p><p>- Site specific issues including ventilation and support from the Lessor’s adjoining land</p><p>5. EASEMENTS TO BE RESERVED TO THE LESSOR There shall be reserved to the Lessor a right to enter the substation chamber, for the purpose of complying with the Lessor’s obligations, subject to the standard conditions of entry</p><p>6. UKPN COVENANTS - To pay all rates and taxes applicable to the substation chamber - Not to use the site for any purpose other than as an electrical transformer substation - Not to assign, underlet or part with possession of the substation chamber, except to another DNO - Not to cause any unnecessary damage injury or disturbance in exercise of the rights, and to make good any damage that is caused to the reasonable satisfaction of the Lessor - To keep the substation chamber in a clean and tidy condition - To give the Lessor reasonable prior notice of its intention to carry out works except in case of emergency - To indemnify the Lessor against all claims that are the reasonably foreseeable consequence of any negligence or wrongful act or omission that: (1) is a breach of the terms of the Lease, or (2) arises in the exercise of any of the rights Subject to standard provisions to provide notice of any claims, to assist with the conduct of any claim and to take reasonable steps to mitigate any loss</p><p>7. LESSOR COVENANTS - Quiet enjoyment - To maintain all structural parts of the substation chamber and the adjoining building in good and substantial repair and condition including, if any, services and systems for ventilation, fire-detection and lighting - Not to do anything that will interfere with or damage any electric lines - Not to alter the level of the ground above the electric lines</p><p>2 CON 08 111j (v 1.0)</p><p>- Not to erect any buildings nor plant any trees on the brown land and/or the yellow land - Not to interfere with or obstruct the substation chamber ventilation</p><p>8. LEGAL & SURVEYORS COSTS In connection with the grant of the lease: [the ICP/Customer shall bear the Lessor’s reasonable and proper legal and surveyor’s fees] [each party shall bear its own costs]* * delete as applicable</p><p>9.
